BE IT ENACTED BY THE COUNCIL OF THE DISTRICT OF COLUMBIA, That this
actmay be citedas the“RobertF,Kennedy Campus Redevelopment Amendment Act of 2025”,
Sec.2.Definitions.
Forthepurposesofsections2through15,theterm:(1)“AuthorizedDelegate”meanstheDeputyMayorforPlanningandEconomicDevelopment,theChiefFinancialOfficer,theTreasurer,oranyofficeroremployeeofthe
executiveofficeoftheMayortowhomtheMayorhasdelegatedanyoftheMayor’sfunctionsunderthisactpursuanttosection422(6)oftheHomeRuleAct(D.C.OfficialCode§1-204.226).
(2)“Bonds”meansDistrictrevenuebonds,notes,orotherobligations(including
bonds,notes,andotherobligations)inoneormoreseries,authorizedtobeissuedpursuanttosection490oftheHomeRuleAct(D.C.OfficialCode§1-204.90)andthisact.(3)“Certifiedbusinessenterprise”shallhavethesamemeaningasprovidedinsection2302(1D)oftheSmallandCertifiedBusinessEnterpriseDevelopmentandAssistance
Actof2005,effectiveOctober20,2005(D.C.Law16-33;D.C.OfficialCode§2-218,02(1D)).(4)“ChiefFinancialOfficer”meanstheChiefFinancialOfficerestablishedbysection424(a)(1)oftheHomeRuleAct(D.C.OfficialCode§1-204.24a(a)).(5)“ClosingDocuments”meansalldocumentsandagreements,otherthanFinancingDocuments,thatmaybenecessaryandappropriatetoissue,sell,anddeliverthe

Bonds,andincludesagreements,certificates,letters,opinions,forms,receipts,andothersimilarinstruments,
(6)“CommercialDevelopment”shallhavethesamemeaningasprovidedinthe
Term Sheet.
(7)“Declarationof Covenants”means theDeclarationof Covenants Regarding
theTransferof Jurisdictionof theRobertF.Kennedy Memorial Stadium Campus (Reservation
343F),datedas of January 14,2025,and recordedinthelandrecordsof theDistrictof Columbia
on February4,2025, as InstrumentNo. 2025012660.
(8)“Debt Service”means principal,premium, ifany,and intereston theBonds.
(9)“Developer”means Pro-FootballLLC, or affiliatesor designeesof Pro-
FootballLLCapprovedbytheMayor.
(10)“DevelopmentandFinancingAgreement”meanstheagreementgoverning
thetermsand conditionsof theDistrict’sfundingfortheRFK Campus and theDeveloper’s
obligationtoconstructtheStadiumProject.
(11)“Development Site”means theportionsof theRFK Campus thatarethe
subjectof theTerm Sheet.
(12)(A)“DistrictEvent”means any Stadium use fora District-sponsored,non-
commercialpublicorcommunityevent,suchasagraduation,highschoolfootballgame,or
similaruse,even ifsuch eventchargesfeesforattendance;and
(B)Any othereventagreedtobe a Districteventjointlyby theTeam and
theMayor.
(13)“FinancingDocuments” means thedocuments thatrelatetothefinancingor
refinancingof transactionstobe effectuatedthroughtheissuance,sale,and deliveryof the
Bonds,includinganyofferingdocument,andanyrequiredsupplementstoanysuchdocuments.
(14)“Home Rule Act” means theDistrictof Columbia Home Rule Act,approved
December 24, 1973 (87 Stat.774;D.C. OfficialCode § 1-201.01etseq.).
(15)“NetParkingRevenues”meansallparkingrevenuescollectedattheParking
Facilitiesless15%foroperatingcosts.
(16)“ParkingFacilities”means theparkingfacilitiesconstructedpursuanttothe
DevelopmentandFinancingAgreement.
(17)“PersonalSeatLicense”meansa license, locationright,orothersimilar
instrumentforseatsintheStadium issuedtoa personfortherighttopurchaseseasonticketsto
games and ticketsto othereventsattheStadium.
(18)“RFKCampus”meanstheparcelsoflandthatarethesubjectoftheTransfer
of JurisdictionPlatrecordedintheSurveyor’sOfficeof theDistrictof Columbia on February5,
2025,onpage13ofsubdivisionbook223,togetherwithanypublicstreetswithinoradjacentto
suchparcelsthatmaybeclosedfromtimetotime.

(19)“RFKCampusInfrastructureFund”meanstheRFKCampusInfrastructureFundestablishedbysection2052oftheRFKCampusInfrastructureFundEstablishmentActof2025,enactedonSeptember4,2025(D.C.Act26-148;72DCR9825).(20)“RFKCampusInfrastructureProject”means:(A)Thefinancing,refinancing,orreimbursingofcostsincurredinthe
development,design,andconstructionofthehorizontalimprovementsandeligiblecapitalcostsasdefinedintheTermSheet;
(B)ThefundingofanyrequireddeposittoadebtservicereservefundorcapitalizedinterestfortheBondsissuedpursuanttosection12(a);and
(C)ThepaymentofcertaincostsofissuanceoftheBondsissuedpursuanttosection12(a),suchasfeesandpremiumsforanybondissuanceorcreditenhancement.(21)“RFKCampusParkingFacilitiesFund”meanstheRFKCampusParkingFacilitiesFundestablishedbysection10.
(22)“RFKCampusParkingFacilitiesProject”means:(A)Thefinancing,refinancing,orreimbursingofcostsincurredinthe
development,design,andconstructionoftheParkingFacilitiesandhorizontalimprovementsandeligiblecapitalcostsasdefinedintheTermSheet;
(B)ThefundingofanyrequireddeposittoadebtservicereservefundorcapitalizedinterestfortheBondsissuedpursuanttosection12(b);and(C)ThepaymentofcertaincostsofissuanceoftheBondsissuedpursuanttosection12(b),suchasfeesandpremiumsforanybondissuanceorcreditenhancement.
(23)“Smallbusinessenterprise”shallhavethesamemeaningasprovidedinsection2302(16)oftheSmallandCertifiedBusinessEnterpriseDevelopmentandAssistanceActof2005,effectiveOctober20,2005(D.C.Law16-33;D.C.OfficialCode§2-218.02(16)).
(24)“Sportsplex”meansapublicsportsandrecreationfacilitytobedevelopedontheDevelopmentSite
(25)“Stadium”meansthestadiumtobeconstructedbytheDeveloperandownedbytheDistrictonaportionoftheDevelopmentSite,asdescribedintheTermSheet.
(26)“StadiumEventDay”meanstheStadiumEventDayIntervaloneachdayonwhichanyTeamEventisscheduledtobeheldatalloranypartoftheStadium(includingpetiodsaftermidnightforanysuchTeamEventthatextendspastthathour).(27)“StadiumEventDayInterval”meanstheperiodbeginning10hoursbefore
thescheduledstarttimeforcommencementofanyTeamEventandterminating4hoursfollowingtheconclusionofsuchTeamEvent.
(28)“StadiumMaintenanceFund”meansthespecialfundestablishedbysection

Sitetoincludetheconstructionof theStadium,theParkingFacilities,administrativeoffices,and
otherancillaryimprovements by theDeveloper,as describedintheTerm Sheet.
(30)“Stadium SeatRight”means therightto sell,license,or otherwisetransfer
certainrightstouse and occupy seatsintheStadium,includinga PersonalSeatLicense.
(31)“Team” means theprofessionalfootballfranchisethatisa member clubof
‘theNationalFootballLeague (“NFL”) known as theWashington Commanders, or a successor
member club.
(32)“TeamEvent”meansanyTeamhomegame,anyNFL sponsoredevent,and
any othereventattheStadium thatisnota DistrictEvent and thatisattendedby 5,000or more
visitors,includingany unticketedsuch event.
(33)“Term Sheet”means theTerm SheetfortheRedevelopmentofa Portionof
theRFK Stadium Campus between the Districtand Pro-FootballLLC, datedApril28,2025,that
memorializestheterms ofthedispositionand developmentof theDevelopment Site.
(34)“TransactionDocument” means any document enteredintounder theTerm
Sheetthatimplementsthetermsof thedispositionand developmentof theDevelopment Site,
includingtheDevelopmentandFinancingAgreementandanyleasesenteredintobytheparties,
(35)“TransportationImprovement Fund” means thespecialfund establishedby
section9u of theDepartment ofTransportationEstablishmentAct of 2002,passedon 2nd

approvedthetransferofjurisdictionpursuanttotheTransferofJurisdictionOvertheRobertF.KennedyMemorialStadiumCampusEmergencyApprovalResolutionof2025,effectiveFebruary4,2025(Res.26-16;72DCR 1436).

(3)TheDistrictnowhasaonce-in-a-generationopportunitytocontinueto
revitalizetheAnacostiaWaterfront,catalyzegrowth,and developa vibrant,mixed-use
developmentfeaturingcommunitysports,professionalsports,publicrecreation,publicpark
space,and culturalamenities.The development willprovidetheDistrictwith significant
economic,cultural,social,and financialbenefits.
(4)Sincegainingadministrativejurisdictionover theRFK Campus, theDistrict
governmenthasundertakenacomprehensivepublicengagementprocess,consideringthe
specificinterestsofcommunitiesneartheRFKCampus,economicdevelopmentopportunities,
thecapacityofthecampustogeneratejobsforDistrictresidentsandopportunitiesforDistrict
businesses,park,openspace,andrecreationaloptions,riveraccessoptions,potentialcommunity
amenities,opportunitiestocreatenewhousingunits,andenvironmentalandhistoricalfactors,
among otherconsiderations,to determinethebestusesforthesite.
(5)Consideringthepublicinputreceived,theexistinginfrastructureof the
campus,andthepossibilityofa catalyticinvestmentintheDistrict,itwasdeterminedthatthe
constructionandoperationof a new first-class,state-of-the-art,sportsstadiumwithsupporting
facilities,includingparking,andinfrastructure,forusebytheTeamandanadjacentSportsplex
would beof considerablepublicbenefittotheDistrictas thefirststageof theredevelopmentand
revitalizationofthe entirecampus.
(6)ToensuredeliveryoftheStadium,supportingfacilities,andSportsplexby
2030,alimitedzoningexemptionisnecessaryforportionsoftheRFK Campus.
(7)PlanningforotherresidentialandcommercialdevelopmentattheRFK
Campus, inadditionto otherusespermittedby thetransferofjurisdictionand theDeclarationof
Covenants,willcontinueastheStadiumandSportsplexprojectsmoveforward,andwillinform
theComprehensive Plan rewrite(DC 2050).
(8)The Districtintendsforthecomprehensiveredevelopmentof theRFK
Campustocreateavibrant,multi-usecommunityanddestinationthatwillcreatenewjobs,
businessopportunities,housing,communityamenities,andneighborhood-servingretailand
achievethe5 AnacostiaWaterfrontFramework Plan themes of:
(A)A cleanandactiveriver;
(B)Gainingaccessto,along,andacrosstheriver;
(C)A greatriverfrontparksystem:
(D)Ariverfrontofdistinctplacesandculturaldestinations;and
(E)Buildingandsustainingstrongwaterfrontneighborhoods.
(9)The Districtand Developerhave enteredintotheTerm Sheetforthe
developmentoftheStadiumandsupportingfacilitiesandtheredevelopmentofa portionofthe
RFK Campus thatsetsforththetermsand conditionsupon which thepartiesarewillingto
undertaketheprojects.

(10)TheTeamhasmadeadditionalcommitmentsregardingtheredevelopmentof
theRFK CampusinaJuly29,2025,lettertotheCouncil.
(11)TheTeamhascommittedtoexecutingaProjectLaborAgreementandLabor
Peace Agreement fortheconstructionofthe Stadium Projectand hotelson theDevelopment
Site.
(12)Theconstruction,development,andrevitalizationoftheRFK Campusand
thepublicownershipof the Stadium,foruse forathleticand entertainmentevents,isa municipal

Sec.5.Localhiring,equity,andsubcontractingrequirements,
{a)Sections2,4(a),(b),(c),(e)(1),(1C),(2).(3),(4),and(5),and4aoftheFirstSource
Employment Agreement Act of 1984,effectiveJune 29, 1984 (D.C.Law 5-93;D.C. Official
Code§§2-219.01,2-219.03(a),(b),(©),(e)(1),(1C),(2),3),(4),and(5),and2-219.03a),shall
applytotheconstructionobligationsoftheStadiumProjectandtheCommercialDevelopment
(collectively“theProject”);provided,thatgood faitheffortswillbe requiredto ensurethat51%
of all new hiresfortheProjectareDistrictresidents;providedfurther,thatresidentsof Wards 7
and 8 receivea hiringpreferenceforatleast20% of thenewjobs createdinconnectionwiththe
Project.
(b)Section5oftheAmendmentstoAn ActToProvideforVoluntaryApprenticeshipin
theDistrictofColumbia Act of 1978,effectiveMarch 6, 1979 (D.C. Law 2-156;D.C. Official
Code § 32-1431)(“ApprenticeshipAct”),shallapplytotheconstructionobligationsof the
Project;except,that10%, witha goalof35%, ofallapprenticeshiphoursperformedpursuantto

apprenticeshipprogramsrequiredbysection5(a)oftheApprenticeshipActshallbeperformed
byDistrictresidentsandtheDepartmentofEmploymentServicesmayonlyimposefinesfora
failuretoachievethe10%requirement.
(c)TheSmallandCertifiedBusinessEnterpriseDevelopmentandAssistanceActof
2005, effectiveOctober 20,2005 (D.C.Law 16-33;D.C. OfficialCode § 2-218.01erseq.),shall
applytotheconstructionobligationsoftheProject,includingprofessionalservicesrenderedinfurtheranceofthe Project;except,that:
(1)TheDevelopershallrequireatleast20%equity,excludingdebtfinancing,
mezzanine financing,or otherequitycontributionsby limitedor institutionalinvestors,and 20%
developmentparticipationfromcertifiedbusinessenterprises;and
(2)Fortypercent,withagoalof50%,oftheadjusteddevelopmentbudget,as
definedintheCBE Agreement referencedinsection6(a),shallbe subcontractedtosmall
businessenterprises,with a preferenceforatleast10% of thesmallbusinessenterprisesto be
locatedin,by orderof priority,Wards 7,8,5,and 6;or ifthereareinsufficientqualifiedsmall

50% goalof theadjusteddevelopmentbudget toany qualifiedcertifiedbusinessenterprises,with
a preferenceforatleast10%of the certifiedbusinessenterpriseslocatedin,by orderof priority,
Wards 7,8,5,and 6; provided,thatallreasonableeffortsshallbe made to ensurethatqualified
smallbusinessenterprisesaresignificantparticipantsintheoverallsubcontractingwork.
Sec.6,Conditionsfortheissuanceofbondsandtheexpenditureofbondproceeds.(a)Nobondsmaybeissuedpursuanttothisactortheproceedsofthosebondsexpended,unlessthefollowingconditionshavebeenmet:(1)TheTransactionDocumentsshallincludetermsimposingthefollowingrequirements:

thissection,shallbe dedicatedto and expended only forthepurposesforwhich suchrevenue
maybeexpendedundertheTermSheet.
Sec.9.CommunitybenefitsandCommunityReinvestmentFund.
(a)TheCommunityBenefitsAgreement(“CBA”)requiredpursuanttosection6(a)(2)shall:
(1)RequiretheTeam,oranaffiliatethereof,toinvestnolessthan$50million
over30yearsincommunitybenefitsfortheDistrictinaccordancewithitsnegotiatedterms;(2)BeexecutedbytheMayor,theChairmanoftheCouneil,andtheTeam,ortheirdesignees,afterall3signatoriestotheCBA,ortheirdesignees,meettogethernofewerthan3timestonegotiateitsterms;and(3)Includeinitiativesthatpromotethefollowing
(A)Localeconomicdevelopmentandjobcreation;(B)CommunityaccessandactivationoftheRFKCampus;(C)Youtheducation,includingyouthsportsteamsupport,workforcedevelopment,andhousingstability;
(D)Healthequityandenvironmentalsustainability;and(©)PublicsafetyandculturalheritageatandsurroundingtheRPK -CampusincoordinationwithDistrictagenciesandcommunitystakeholders.
(b)(1)A CommunityBenefitsOversightCommittee(“CBOC”)shallmonitortheimplementationoftheCBA.
