Sec.2,Definitions,Forthepurposesofsections2through15,theterm:(1)“AuthorizedDelegate”meanstheDeputyMayorforPlanningandEconomic
Development,theChiefFinancialOfficer,theTreasurer,oranyofficeroremployeeoftheexecuttiveofficeoftheMayortowhomtheMayorhasdelegatedanyoftheMayor'sfunctionsunderthisactpursuanttosection4226)oftheHomeRuleAct(D.C.OfficialCode§1-204.22(6)).
(2)“Bonds”meansDistrictrevenuebonds,notes,orotherobligations(includingbonds,notes,andotherobligations)inoneormoreseries,authorizedtobeissuedpursuanttosection490oftheHomeRuleAct(D.C.OfficialCode§1-204.90)andthisact.(3)“Certifiedbusinessenterprise”shallhavethesamemeaningasprovidedinsection2302(1D)oftheSmallandCertifiedBusinessEnterpriseDevelopmentandAssistanceActof2005,effectiveOctober20,2005(D.C.Law16-33;D.C.OfficialCode§2-218.02(1D)).(4)“ChiefFinancialOfficer”meanstheChiefFinancialOfficerestablishedbysection424(a)(1)oftheHomeRuleAct(D.C.OfficialCode§1-204.24a(a)).
(5)“ClosingDocuments”meansalldocumentsandagreements,otherthanFinancingDocuments,thatmaybenecessaryandappropriatetoissue,sell,anddelivertheBonds,andincludesagreements,certificates,letters,opinions,forms,receipts,andothersimilarinstruments.

(6)“CommercialDevelopment”shallhavethesamemeaningasprovidedinthe
Term Sheet.
(7)“DeclarationofCovenants”meanstheDeclarationofCovenantsRegarding
theTransferofJurisdictionoftheRobert F. Kennedy Memorial Stadium Campus (Reservation
343F),datedasofJanuary14,2025,andrecordedinthelandrecordsoftheDistrictofColumbia
on February4,2025,as InstrumentNo. 2025012660.
(8)“Debt Service”means principal,premium,if any,and intereston theBonds.
(9)“Developer”means Pro-FootballLLC, or affiliatesor designeesof Pro-
FootballLLCapprovedbytheMayor.
(10)“DevelopmentandFinancingAgreement”meanstheagreementgoverning
thetermsandconditionsoftheDistrict’sfundingfortheRFK CampusandtheDeveloper’s
obligationtoconstructtheStadiumProject.
(11)“Development Site”means theportionsof theRFK Campus thatarethe
subjectoftheTermSheet.
(12)(A)“DistrictEvent”meansanyStadiumuseforaDistrict-sponsored,non-
commercialpublicorcommunityevent,suchasagraduation,highschoolfootballgame,or
similaruse,evenif sucheventchargesfeesforattendance;and
(B)AnyothereventagreedtobeaDistrictEventjointlybytheTeamand
theMayor.
(13)“FinancingDocuments”meansthedocumentsthatrelatetothefinancingor
refinancingoftransactionstobeeffectuatedthroughtheissuance,sale,anddeliveryofthe
Bonds,includinganyofferingdocument,andanyrequiredsupplementstoanysuchdocuments.
(14)“Home Rule Act” means theDistrictof Columbia Home Rule Act,approved
December 24, 1973 (87 Stat.774;D.C. OfficialCode§ 1-201.01etseg.).
(15)“NetParkingRevenues”meansallparkingrevenuescollectedattheParking
Facilitiesless15%foroperatingcosts.
(16)“ParkingFacilities”meanstheparkingfacilitiesconstructedpursuanttothe
DevelopmentandFinancingAgreement.
(17)“PersonalSeatLicense”meansa license,locationright,orothersimilar
instrumentforseatsintheStadium issuedtoa personfortherighttopurchaseseasonticketsto
gamesandticketstoothereventsattheStadium.
(18)“RFK Campus” means theparcelsof landthatarethesubjectof theTransfer
of JurisdictionPlatrecordedintheSurveyors Officeof theDistrictof Columbia on February5,
2025,onpage13ofsubdivisionbook223,togetherwithanypublicstreetswithinoradjacentto
suchparcelsthatmaybeclosedfromtimetotime.
(19)“RFK Campus InfrastructureFund” means theRFK Campus Infrastructure
Fund establishedby section2052of theRFK Campus InfrastructureFund EstablishmentAct of
2025,enactedon September 4,2025 (D.C.Act 26-148;72 DCR 9825).
(20)“RFKCampusInfrastructureProject”means:

(A)Thefinancing,refinancing,orreimbursingofcostsincurredinthedevelopment,design,andconstructionofthehorizontalimprovementsandeligiblecapitalcostsasdefinedintheTermSheet;(B)ThefundingofanyrequireddeposittoadebtservicereservefundorcapitalizedinterestfortheBondsissuedpursuanttosection12(a);and(C)ThepaymentofcertaincostsofissuanceoftheBondsissuedpursuanttosection12(a),suchasfeesandpremiumsforanybondissuanceorcreditenhancement.(21)“RFKCampusParkingFacilitiesFund”meanstheRFKCampusParking

(26)“StadiumEventDay”meanstheStadiumEventDayIntervaloneachdayonwhichanyTeamEventisscheduledtobeheldatalloranypartoftheStadium(includingperiodsaftermidnightforanysuchTeamEventthatextendspastthathour).(27)“StadiumEventDayInterval”meanstheperiodbeginning10hoursbeforethescheduledstarttimeforcommencementofanyTeamEventandterminating4hours
followingtheconclusionofsuchTeamEvent.(28)“StadiumMaintenanceFund”meansthespecialfundestablishedbysectionul. (29)“StadiumProject”meansthedevelopmentona portionoftheDevelopment

(31)“Team”meanstheprofessionalfootballfranchisethatisamembercluboftheNationalFootballLeagueknownastheWashingtonCommanders,orasuecessormemberclub. (32)“TeamEvent”meansanyTeamhomegame,anyNFLsponsoredevent,andanyothereventattheStadiumthatisnotaDistrictEventandthatisattendedby5,000ormorevisitors,includinganyunticketedsuchevent.
(33)“TermSheet”meanstheTermSheetfortheRedevelopmentofaPortionoftheRFKStadiumCampusbetweentheDistrictandPro-FootballLLC,datedApril28,2025,thatmemorializesthetermsofthedispositionanddevelopmentoftheDevelopmentSite.(34)“TransactionDocument”meansanydocumententeredintoundertheTermSheetthatimplementsthetermsofthedispositionanddevelopmentoftheDevelopmentSite,includingtheDevelopmentandFinancingAgreementandanyleasesenteredintobytheparties.
(35)“TransportationImprovementFund”meansthespecialfundestablishedbysection9uoftheDepartmentofTransportationEstablishmentActof2002,passedonemergencybasisonSeptember17,2025(EnrolledversionofBill26-352).
Sec.3.Findings.
The Councilfindsthat:
(1)The RFK Campus consistsof approximately180 acresof waterfrontproperty
locatedintheDistrictwithinReservation343F, as shown on thetransferof jurisdictionplat
recordedintheSurveyor’sOfficeonFebruary5,2025,onpage13ofsubdivisionbook223.The
Districthas been unabletoredevelopthesiteover thelastdecade due tofederalrestrictionson
developmentatthesite,and thesitehas remainedvacant,blighted,and fallow.Over thecourse
of thelastdecade,theDistricthas worked togainbroadercontrolofthe siteand toremove the
federaldevelopmentrestrictionsso thata new, multi-usefuturefortheareacouldbe realized.
(2)WithbipartisansupportfromCongress,thePresidentsignedtheD.C.Robert
F. Kennedy Memorial Stadium Campus RevitalizationAct,approved on January6,2025 (Pub.
L. No. 118-274;138 Stat.3234),intolaw.Pursuanttothislaw,theNationalPark Service
transferredadministrativejurisdictionovertheRFK Campus to theDistrict.The Council
approvedthetransferof jurisdictionpursuanttotheTransferof JurisdictionOver theRobertF.
KennedyMemorialStadiumCampusEmergencyApprovalResolutionof2025,effective
February4,2025 (Res.26-16;72 DCR 1436).
(3)TheDistrictnowhasaonce-in-a-generationopportunitytocontinueto
revitalizetheAnacostiaWaterfront,catalyzegrowth,anddevelopavibrant,mixed-use
developmentfeaturingcommunitysports,professionalsports,publicrecreation,publicpark
space,and culturalamenities.The developmentwillprovidetheDistrictwithsignificant
economic,cultural,social,andfinancialbenefits,
(4)SincegainingadministrativejurisdictionovertheRFK Campus,theDistrict
‘governmenthasundertakenacomprehensivepublicengagementprocess,consideringthe

specificinterestsof communities neartheRFK Campus, economic developmentopportunities,
thecapacityofthecampustogeneratejobsforDistrictresidentsandopportunitiesforDistrict
businesses,park,openspace,andrecreationaloptions,riveraccessoptions,potentialcommunity
amenities,opportunitiestocreatenew housingunits,and environmentaland historicalfactors,
among otherconsiderations,todeterminethebestusesforthesite.
(5)Consideringthepublicinputreceived,theexistinginfrastructureofthe
campus,andthepossibilityofa catalyticinvestmentintheDistrict,itwas determinedthatthe
constructionandoperationofa newfirst-class,state-of-the-art,sportsstadiumwithsupporting
facilities,includingparking,andinfrastructure,forusebytheTeamandanadjacentSportsplex
would be ofconsiderablepublicbenefittotheDistrictas thefirststageof theredevelopmentand
revitalizationof theentirecampus.
(6)ToensuredeliveryoftheStadium,supportingfacilities,andSportsplexby
2030,a limitedzoningexemption isnecessaryforportionsof theRFK Campus.
(7)Planningforotherresidentialand commercial developmentattheRFK
Campus,inadditiontootherusespermittedbythetransferofjurisdictionandtheDeclarationof
Covenants,willcontinueastheStadiumandSportsplexprojectsmoveforward,andwillinform
theComprehensivePlanrewrite(DC2050).
(8)The Districtintendsforthecomprehensiveredevelopmentof theRFK
Campustocreateavibrant,multi-usecommunityanddestinationthatwillcreatenewjobs,
businessopportunities,housing,communityamenities,andneighborhood-servingretailand
achievethe5 AnacostiaWaterfrontFramework Planthemes of:
(A)A cleanandactiveriver;
(B)Gainingaccessto,along,andacrosstheriver;
(C)Agreatriverfrontparksystem;
(D)A riverfrontofdistinctplacesandculturaldestinations;and
(E)Buildingandsustainingstrongwaterfrontneighborhoods.
(9)The Districtand Developerhave enteredintotheTerm Sheetforthe
developmentoftheStadiumandsupportingfacilitiesandtheredevelopmentofa portionofthe
RFKCampusthatsetsforththetermsandconditionsuponwhichthepartiesarewillingto
undertaketheprojects.
(10)The Team has made additionalcommitments regardingtheredevelopmentof
theRFK Campus ina July29,2025, lettertotheCouncil.
(11)The Team has committed toexecutinga ProjectLabor Agreement and Labor
PeaceAgreementfortheconstructionoftheStadiumProjectandhotelsontheDevelopment
Site.
(12)Theconstruction,development,andrevitalizationoftheRFKCampusandthepublicownershipoftheStadium,foruseforathleticandentertainmentevents,isamunicipalusethatisintheinterestof,andforthebenefitof,Districtresidentsbecausesuchapublicly-

ownedStadiumwillcontributetothesocialandeconomicwell-beingofDistrictresidentsandsignificantlyenhanceeconomicdevelopmentandemploymentopportunitiesintheDistrict.(13)Tofurtherthatinterest,itisappropriatefortheDistricttotakecertainactions
withrespecttotheredevelopmentoftheRFKCampus,asfurthersetforthinthisact.
Sec.4.ApplicabilityofcertainlawstoTransactionDocuments,DevelopmentSite,easementsovertheRFKCampus,andthesaleofStadiumSeatRights.(a)NeithertheProcurementPracticesReformActof2010,effeetiveApril8,2011(D.C.
Law18-371;D.C.OfficialCode§2-351.01efseq.),northePublic-PrivatePartnershipActof2014,effectiveMarch11,2015(D.C.Law20-228:D.C.OfficialCode§2-271.01efseq.),shallapplytotheTransactionDocumentsnoranyotheragreementtheMayormayenterintounderthe‘TermSheet;provided,thatthepreconditionsfortheissuanceofbondsandtheexpenditureofbondproceedssetforthinsection6havebeenmet.
(b)Nothinginthissectionshallbeconstruedtopurporttowaivesection451oftheHomeRuleAct(D.C.OfficialCode§1-204.51).

EmploymentAgreementActof1984,effectiveJune29,1984(D.C.Law5-93;D.C.OfficialCode§§2219.01,2-219.03(a).(b),(c),(€)(1),(LC),(2),(3),(4),and(5),and2-219.03a),shallapplytotheconstructionobligationsoftheStadiumProjectandtheCommercialDevelopment(collectively“theProject”);provided,thatgoodfaitheffortswillberequiredtoensurethat51%ofallnewhiresfortheProjectareDistrictresidents;providedfurther,thatresidentsofWards7and8receiveahiringpreferenceforatleast20%ofthenewjobscreatedinconnectionwiththe
Project.(b)Section5oftheAmendmentstoAnActToProvideforVoluntaryApprenticeshipintheDistrictofColumbiaActof1978,effectiveMarch6,1979(D.C.Law2-156;D.C.Official
Code§32-1431)(“ApprenticeshipAct”),shallapplytotheconstructionobligationsoftheProject;except,that10%,withagoalof35%,ofallapprenticeshiphoursperformedpursuanttoapprenticeshipprogramsrequiredbysection5(a)oftheApprenticeshipActshallbeperformedbyDistrictresidentsandtheDepartmentofEmploymentServicesmayonlyimposefinesfora

Sec.6.Conditionsfortheissuanceofbondsandtheexpenditureofbondproceeds.(a)Nobondsmaybeissuedpursuanttothisactortheproceedsofthosebondsexpended,unlessthefollowingconditionshavebeenmet:
(1)TheTransactionDocumentsshallincludetermsimposingthefollowingrequirements:(A)Subjecttocapitalreservesdescribedinanycapitalimprovementsplan
withrespecttotheParkingFacilities,theDistrictshallhavetherighttoallNetParkingRevenuesarisingfromorrelatedtotheuse,occupancy,oroperationoftheParkingFacilitiesotherthanduringStadiumEventDays;(B)TheDeveloperandtheDistrictshallenterintoatleastoneparkingoperationsagreementregardingoperationsoftheParkingFacilities,includingacapitalimprovementsplan;
(C)TheDevelopershalllocateaTeamsalesoffice,withseniorleadership,intheDistrictbyadatesetforthintheTransactionDocuments;(D)TheDevelopershall:
(@ConstructtheStadiumusingmethodsandmaterialsinamannerfeasiblyconsistentwiththeobjectiveofVersion5LEEDPlatinumlevelforNewConstruction.andMajorRenovations(“LEED:BD+Cv5”),asdefinedbytheU.S.GreenBuildingCouncil;(fi)MaintaintheStadiuminamannerfeasiblyconsistentwiththe
objectiveofVersion5LEEDPlatinumlevelforOperationsandMaintenance(*LEED:O+¥Mv5”)asdefinedbytheU.S.GreenBuildingCouncil;(iii)Construct,orcausetobeconstructed,theCommercial
Development,asdefinedintheTermSheet,otherthananyresidentialdevelopmentwithintheCommercialDevelopment,inamannerfeasiblyconsistentwiththeobjectiveofVersion5LEEDGoldlevelforNewConstructionandMajorRenovations(“LEED:BD+Cv5”),asdefinedbytheUSS.GreenBuildingCouncil;andiv)ConstructorcausetobeconstructedtheresidentialdevelopmentwithintheCommercialDevelopmentinamannerfeasiblyconsistentwiththe
objectiveofVersion5LEEDSilverlevelforNewConstructionandMajorRenovations(“LEED:BD+Cv5”),asdefinedbytheU.S.GreenBuildingCouncil;

(E)The DevelopershallenterintoCBE, Apprenticeship,and FirstSource
Agreements with theDistrictthatreflecttherequirementssetforthatsection5;and
(F)IftheDeveloperfailstocompleteconstructionoftherequiredamount
ofsquarefootageofa stageofdevelopmentbytheoutsidecompletiondate,allassetforthinthe
developmentmilestonechartsetforthinsubsection(b)of thissection,thentheyearinwhich the
rentpayableunder theCommercial Development Lease,as definedintheTerm Sheet,isresetto
theFairMarket Rent Amount, as definedintheTerm Sheet,shallbe acceleratedby one yearfor
each missed outsidecompletiondate,unlessthemissed outsidecompletiondateisdue toforce
majeureorfederalreviewdelayssolelyduetothereviewingagency(tobedefinedinthe
TransactionDocuments);provided,thattheamount so acceleratedshallbe equaltotheFair
Market Rent Amount multipliedby a percentagedeterminedby dividingthesum of thesquare
footagethattheDeveloperfailstodeliverbytheapplicableoutsidecompletiondatebythe
aggregatesquarefootagetobedeliveredpursuanttothedevelopmentmilestonechartsetforthin
subsection(b)ofthissection;providedfurther,thattheacceleration,underthisparagraph,from
therentpayableundertheCommercialDevelopmentLeasetotheFairMarketRentAmount rent
shallnotexceed10years;and
(2)TheTeam,oranaffiliatethereof,shallenterintoaCommunityBenefits

(b)Any revenuereceivedby theDistrictfrom thesaleof theStadium SeatRights,
includingrevenuereceivedby an instrumentalityor authorityof theDistrictpursuanttoan.

thissection,shallbe dedicatedtoand expended only forthepurposesforwhich such revenue

Sec.9.Community benefitsand Community ReinvestmentFund.

(E)PublicsafetyandculturalheritageatandsurroundingtheRFK
CampusincoordinationwithDistrictagenciesandcommunitystakeholders.
(b)(1)A Community BenefitsOversightCommittee (“CBOC”) shallmonitorthe
implementationof theCBA.
(2)TheCBOC shallconsistof9members,whoshallbeappointedwithinone
monthof the executionof theCBA, as follows:
(A) The Councilmember thatrepresentstheWard inwhich theStadium is
locatedshallappoint3members;
(B) Each Councilmemberthat representsa Ward contiguoustotheWard
inwhich theStadium islocatedshallappointone member;
(C)TheChairmanoftheCouncilshallappointonemember;and
(D)TheMayorshallappoint2members.
(3)The CBOC shallbe subjecttothetermsestablishedintheCBA.
(4)TheCBOC shallrequest,review,andpublishtimelyprogressreports,
providedbytheTeam,inaccordancewiththereportingrequirementsestablishedintheCBA.
(c)(1)There isestablishedas a specialfund,theCommunity ReinvestmentFund, which
shallbeadministeredbytheMayor,DMPED,oranyDistrictinstrumentalityorauthority
designatedbytheMayorordesignatedbylaw,withoversightbytheCBOC,inaccordancewith
paragraphs(2)and(3)ofthissubsection.
(2)TheCommunityReinvestmentFundshallconsistof:
(A)AnymonetarydonationsfromtheTeamtotheDistrict,asnegotiated

(4)(A)ThemoneydepositedintotheCommunityReinvestmentFundbutnot
expended ina givenfiscalyearshallnotreverttotheunassignedfund balanceof theGeneral
Fundofthe Districtof Columbia attheendof a fiscalyear,or atany othertime.
(B)Subjecttoauthorizationinanapprovedbudgetandfinancialplan,any
fundsappropriatedintheCommunityReinvestmentFundshallbecontinuallyavailablewithout
regardtofiscalyearlimitations.

The Bonds, theinterestthereon,theincome therefrom,and allmonies pledgedoravailableto
payorsecurethepaymentoftheBondsshallatalltimesbeexemptfromtaxationbytheDistrict,
exceptforestate,inheritance,and gifttaxes.

includingonSundaysandholidays.
