Dear Chairman Mendelson:
Pursuant to section 451 of the District of Columbia Home Rule Act (D.C. Official Code § 1-
204.51) and section 202 of the Procurement Practices Reform Act of2010 (D.C. Official Code§
2-352.02), enclosed for consideration and approval by the Council of the District of Columbia is
proposed definitive contract DCKA-2024-C-0102 with Treeman, Inc . in the not-to-exceed amount
of $1,594,100. The contract's period of performance is from December 20, 2024, through
December 19, 2025.
Under the proposed contract, Treeman, Inc., will provide tree pruning services in the District of
Columbia.

missingamendmentsanddiscriminatorypracticesagainsttheprotester’sfirm.TheL
partialcorrectiveactionregardingthemissingamendmentsandfiledamotiontodiremainingallegationsasuntimely.OnDecember19,2024,theDistrictexecutedaDeterminationandFindingstoProceedwhileaprotestispendingpursuanttoD.C.OfficialCode§2-360.08(c)(2).Theprotestiscurrentlyon-going.
(J)Thebackgroundandqualificationsoftheproposedcontractor,includingitsorganization,financialstability,personnel,andperformanceon pastorcurrentgovernmentorprivate

CrownCleaningwillrepresenttheprimaryanddefaultmethodofdeliveringroutinepruning.
3.10 CrownThinning:
Includescrowncleaningaswellasselectiveremovalofbranchestoreducecrowndensityandincrease
lightpenetrationandairmovement.Thinningisintendedtoopenthefoliageofatree,reducetheweight
loadingofcertainsections,andencouragethemostappropriategrowthhabit.Crownthinningshallnot
exceedtheremovaloffifteenpercent(15%)ofthelivecrown,norshallitresultinlion-tailinglimbs.
CrownthinningwillbedeterminedbytheCA ona casebycasebasis.Inmostcases,crowncleaning
willresolvethemajorityofcrownissuesandselectedremovalofobjectionablelimbs.
€3.11CrownReduction:
Reducesthesizeofthetreebycuttingselectivelimbsattheirpointoforiginorlateralscapableof
sustainingtheremaininglimb.Crownreductionshallnotexceedtheremovaloftwentypercent(20%)
ofthelivecrown.Crownreductionisdoneonlywhenappropriatetothespeciesandlocation,andfor
mitigatinglimbslessthan10'abovestructures(whereachievablewithoutharmingthetree),blocking
trafficcontroldevicesand/orlimbsinterferingwiththeconeoflightfromstreetlights.Trafficcontrol
devicesshallincludestopsigns,stoplights,oranydevicethatisintendedtocontroltrafficoralertthe

Crownreduction,incombinationwithElevationPruningwillbedeterminedbytheCAona caseby

3.12 ElevationPruning:
Selectivepruningofbranchestoprovideverticalclearanceunderthecrown,includingtheremovalof
branchesbelow15feetovertheroadand10feetoverthesidewalk,Elevationpruningshallnotexceed
theremovaloftwentyfivepercent(25%)ofthelivecrownandshallnotresultinthelivecrown
consistingoflessthantwothirds(2/3)ofthetotalheightofthetree.
IfeveranyoftheabovedefinitionsareinconflictwiththelatestversionofANSIA300,orthe
companion Best Management PracticesPublicationTree Pruning, the latestversion of the ANSI/Best
ManagementPracticespublicationshallprevail
Elevationpruningshalloccurinallinstances,unlessotherwiseinstructed.
3.13 SmartDevice:
UnderstoodasamobiletelecommunicationsdevicewithaniOSorAndroidoperatingsystemandbe
furnishedwithamobiledatacellularconnectionforfielduse.
3.14LinearClearanceofVegetation:
Wherevegetationhasencroacheduponorfrompublicspace,clearanceshallconsistofcutting
vegetationwithacaliperoflessthan6"totheground,clearingovergrowthsuchasshrubs,grasses,
bamboo,vines,etc,andgenerallyclearingobjectionablevegetationinaccordancewiththoseclearances
outlinedinSectionC.5.6below.Themeasureofpaymentshallbebasedona linearyardandshall
provideadepthofclearancenolessthan2yardsbackfromtheedge,creatinga swathofclearancealong
thelinearyardunit,asidentifiedbytheCA orhis/herdesignee.

C4 BACKGROUND
Thereisagreatdiversityofvegetationoriginatingfrompublicstreets,parks,schoolsandother
publicspacesintheDistrictofColumbia,includingconifer,broadleafevergreen,anddeciduous

species.Foreachspecies,thereexistssubstantialvariationinage,size,condition,andstructure
ofindividualtrees.Thisspeciesdiversityandtreevariabilitycreatechallengesregardingtree
carepracticesandpruning,Pruningneedscanvarysubstantiallydependingonthesefactors:some
treeswillneedlittleornopruning,whileotherswillneedsubstantialpruning.Inaddition,some
treesneedtobeprunedtoimprovestructureandreducetheriskoffailure,whileothersneedparts
removedtomaintainand/orimproveplanthealth,Mostworkorderswillbeperformedworking
fromabuckettruck,whileotherswillrequireactualtreeclimbingtoaccessthetreeandreach
throughoutthetree’scrown;still,otherjobswillbebestapproachedfromtheground.Toensure
thatpruningisappropriateforthespeciesandindividualtreegrowthcharacteristics,itisimportant
tohaveaclearunderstandingofthespecificneedsofthetreeandtheobjectivesforpruning,
Pruningobjectivesincludethefollowing:
C.4.1.1Improvestructureandstrengthtoreducefailurepotential;

REQUIREMENTS
‘Thecontractorshallberesponsibleforprovidingallmanagement,supervision,personnel,tools,materials,equipmentandtransportationnecessarytoprunetreesinthePublicRightofWayandotherpublictreeslocatedonpark,schoolandothergovernment-ownedpropertieslocatedthroughouttheDistrict.‘ThecontractorshallperformallworkinaccordancetotheapplicabledocumentslistedinSectionC.2.ThelocationofthetreesandspecificpruningtreatmentwillbeissuedasworkordersthroughoutthelifeofthecontractbytheContractAdministrator(CA)ortheirdesignee,
Thecontractorshallberesponsibleforprovidingfullcrewstoperformservicesasstatedinthiscontract.Thecontractorshallprovideallhandpruners,saws,polesawsaswellasladders,rakes,brooms,andothertoolsthatshallberequiredtosuccessfullydeliverpruningservicesincludinggroundprotectionmattingtoallowaccessintoturfandunimprovedsurfaceswithoutruttingandtoprotectsidewalksandpathswhencrossingtoaccesstrees.Groundprotectionmattingshallbeatleast’4"thickandsupportupto60tons;i.e.mattingshallresembleAlturnaMat,DuraDeck,orVersaMat.Tendayspriortoaward,thecontractorshallprovideproofofownershipoftheequipmentlistedinthissectionorprovideproofofanexistinglong-termequipmentleaseofatleasttwo(2)years.ThecontractorshallpreparealltrafficcontrolplansinaccordancewithSections104.02,MaintenanceofTraffic,(A)TrafficFlowRestrictions,(B)TrafficControlPlan,and(C)TrafficControls,oftheStandardSpecificationsforHighwaysandStructures(latestversion).Thecontractorshallensureallcuttingtoolsthatareusedtoremovediseasedlimbsaredisinfectedwithacommercialdisinfectantproduct.

areprovidedbytheCA,inaccordancewithDDOTpoliciesandregulations.Anychangeof
locationorworkdatesduringthe72-hourperiodmustbemadebythecloseofbusinesstheday
theworkwasintended,Changesrequireanother72-hourpostingperiodorremovalofthesigns
andrepostingtotakeplacelaterinaccordancewiththelatestversionofSection107.07,
BarricadesandWarningSigns,ofDDOT’sStandardSpecificationsforHighwaysandStructures
(latestversion).
5.6 Thecontractorshallleavethesitesafeandshallclearthepublicrightofwayforpedestrians
andvehiclestotravel,inaccordancewithallapplicableregulations,including24DCMR§3315
—SafeAccommodationforPedestriansandBicyclists.
5.7 Thecontractorshallrestoreanyturfareasandgradesdamagedbyvehiclesormechanical
operationstotheiroriginalcondition.Thecontractorshalltakecaretoprotectpublicandprivatepropertysuchassidewalks,fences,retainingwalls,othertrees,shrubs,andautomobiles.
‘ThecontractorshallnotifytheCA,inwriting,ofalldamagetoprivateorpublicspacebythe
closeofbusinessonthedayof theeventwithadescriptionofwhathappenedandphotosofthe
incident.
5.9 Thecontractorshallcoordinatewiththeappropriateutilityauthoritybeforeproceedingwith
pruningservices,asrequired.
C.5.10 The contractorshallprovide a daily completion reportthatdetailsthose locationswhere
servicewasdeliveredsincethepreviouscompletionreport.Thesereportsshalloccurnoless
frequentlythandailyandshallbearunningtallythatappendsthemostrecentlycompletedlocations
tothe priorreportsof completion,and shallincludethe Work Order ID, Tree Location & date
serviced. DDOT may, at some time through the lifeof the contract,requirethe contractorto

computervirus,oruseofcomputernetworksinconnectionwithdenialofserviceattacks.Suchcoverageshallincluderegulatorydefenseandfines/penaltiesinanyjurisdictionanywhereintheworld.SuchcoverageshallincludecontractualprivacycoveragefordatabreachresponseandcrisismanagementcoststhatwouldbeincurredbyContractoronbehalfofThe
GovernmentoftheDistrictofColumbiaintheeventofa databreachincludinglegalandforensicexpenses,notificationcosts,creditmonitoringcosts,andcoststooperateacallcenter.ContractorshallmaintaincoverageinforceduringthetermofthisAgreementandforan
extendedreportingperiodofnotlessthantwo(2)yearsafter.
5.Commercial Umbrella or Excess Liability-The Contractorshallprovideevidencesatisfactory
totheCOofcommercialumbrellaorexcessliabilityinsurancewithminimumlimitsof$5,000,000per occurrenceand $5,000,000intheannual aggregate,followingthe form and in
excess of allliabilitypolicies.Allliabilitycoveragesmust be scheduledunder the umbrella
and/orexcesspolicy.Theinsurancerequiredunderthisparagraphshallbewritteninaformthatannuallyreinstatesallrequiredlimits.Coverageshallbeprimarytoanyinsurance,selfinsuranceorreinsurancemaintainedbyTheGovernmentoftheDistrictofColumbiaandthe“otherinsurance”provisionmustbeamendedinaccordancewiththisrequirementandprinciplesofverticalexhaustion.
6.EnvironmentalLiability/ContractorsPollutionLiabilityInsurance-TheContractorshallprovide
evidencesatisfactorytotheCOofenvironmentalliabilityinsurancecoveringlossescausedbypollutionorotherhazardousconditionsarisingfromongoingorcompletedoperationsoftheContractor.Suchinsuranceshallapplytobodilyinjury,propertydamage(includinglossofuse
ofdamagedpropertyorofpropertythathasbeenphysicallyinjured),clean-upcosts,transitandnon-owneddisposalsites.Coverageshallextendtodefensecostsandexpensesincurredintheinvestigation,civilfines,penaltiesanddamagesorsettlements.Thereshallbeneitheran
exclusionnorasublimitformoldorfungus-relatedclaims.Theminimumlimitsrequiredunderthisparagraphshallbe$1,000,000peroccurrenceand$1,000,000intheannualaggregate.Ifsuchcoverageiswrittenonaclaims-madebasis,theContractorwarrantsthatanyretroactive
dateapplicabletocoveragesunderthepolicyprecedestheContractor'sperformanceofanyworkundertheContractandthatcontinuouscompletedoperationscoveragewillbemaintainedforatleasttwo(2)yearsoranextendedreportingperiodshallbepurchasedfornolessthantwo

theDistrictofColumbiaasanAdditionalInsured.
.SUBCONTRACTORINSURANCEREQUIREMENTS‘TheContractorshallrequireallofitssubcontractorstocarryataminimumtheinsurancecoverageandlimitsproportionatetotheSub-TradeContractorcontractvalue,scopeandrisk.TheContractorshallensurealltiersofhisSub-TradeContractorsmaintaininsuranceinlikeformandamounts,includingtheAdditionalInsuredrequirements.EachSub-TradeContractorshalllprovideCertificatesofInsuranceandapplicableendorsementstotheContractorpriortothestartoftheSub-TradeContractor’sworkonthisproject.

PRIMARYANDNONCONTRIBUTORYINSURANCETheinsurancerequiredhereinshallbeprimarytoandwillnotseekcontributionfromanyotherinsurance,reinsuranceorself-insuranceincludinganydeductibleorretention,maintainedbytheGovernmentoftheDistrictofColumbia.
DURATION.TheContractorshallcarryallrequiredinsuranceuntilallcontractworkisaccepted
byTheGovernmentoftheDistrictofColumbiaandshallcarrylistedcoveragesfortenyearsforconstructionprojectsfollowingfinalacceptanceoftheworkperformedunderthiscontractandtwoyearsfornon-constructionrelatedcontracts.

thirty(30)dayspriorwrittennoticeintheeventofcancellation,non-renewal,ormaterialchangestotheextentsuchcancellationormaterialchangesresultsinContractornolongcomplyingwiththeaboverequirements.TheContractorshallprovidetheCO withten(10)days’priorwrittennoticeintheeventofnon-paymentofpremium,TheContractorwillalsoprovidetheCOwithan
updatedCertificateofInsuranceshoulditsinsurancecoveragesrenewduringthecontract.TheGovernmentoftheDistrictofColumbiamayreasonablychangetheaboveinsurancecoveragerequirementsduringtheTermbygivingContractoratleast30days’noticeofthechange.
Contractormustcomply,atyourexpense,anddelivertotheCO evidenceofcompliancebeforethechangebecomeseffective.
CERTIFICATESOFINSURANCE.TheContractormustsendtoCO,atleast10daysafterexecutionofthisAgreement,certificatesofinsuranceevidencingtherequiredinsurancecoverageandendorsementsrequiredherein.Contractormustalsoprovideuswithevidenceofrenewalbeforetheexpirationdateofeachinsurancepolicy.Contractorisresponsibleforprovidinguswith

M.WARRANTIES.Whenapplicable,theContractorshouldbenamedasanadditionalinsuredontheapplicablemanufacturer’s/distributer’sCommercialGeneralLiabilitypolicyusingInsuranceServicesOffice,Inc.(“ISO”) form CG 20 15 04 13 (oranotheroccurrence-basedform with
coverage atleastas broad).CO shouldcollect,review foraccuracy,and maintainallwarranties
forgoodsandservices.
L5 SUBCONTRACTS
(A) TheContractorshallnotsubcontractanyoftheContractor’sworkorservicestoany

1.6 ENTIRE AGREEMENT
Thiscontract,includingtheAttachmentshereto,constitutetheentireagreementbetweentheDistrictandtheContractorandnostatement,promise,condition,understanding,inducement,or
representation,oralorwritten,expressedorimplied,whichisnotcontainedhereinwillbebindingorvalid,andthiscontractmaynotbechanged,modified,oralteredinanymannerexceptbyaninstrumentinwritingexecutedbybothpartieshereto.
1.7SUBCONTRACTING REQUIREMENTS

1.“Products”-A deliverableunderanycontractthatmayincludecommodities,servicesand/ortechnologyfurnishedbyorthroughContractor,includingexistingandcustomProducts,suchas,butnotlimitedto:a)recordedinformation,regardlessofformorthemediaonwhichitmayberecorded;b)documentresearch;c)experimental,developmental,orengineeringwork;d)licensedsoftware;e)componentsofthehardwareenvironment;f)printedmaterials(includingbutnotlimitedtotrainingmanuals,systemanduserdocumentation,reports,drawings);g)thirdpartysoftware;h)modifications,customizations,customprograms,programlistings,programmingtools,data,modules,components;andi)anyintellectualpropertyembodiedtherein,whetherintangibleorintangibleform,includingbutnotlimitedtoutilities,interfaces,templates,subroutines,algorithms,formulas,sourcecode,andobjectcode.

B._ TitletoProjectDeliverables
‘TheContractoracknowledgesthatitiscommissionedbytheDistricttoperformservicesdetailedinthecontract.TheDistrictshallhaveownershipandrightsforthedurationsetforthinthecontracttouse,copy,modify,distribute,oradaptProductsasfollows:
1.ExistingProducts:TitletoallExistingLicensedProduct(s),whetherornotembeddedin,deliveredoroperatinginconjunctionwithhardwareorCustomProducts,shallremainwithContractororthirdpartyproprietaryowner,whoretainsallrights,titleandinterest(includingpatent,trademarkorcopyrights).Effectiveuponpayment,theDistrictshallbegrantedanirrevocable,non-exclusive,worldwide,paid-uplicensetouse,execute,reproduce,display,perform,adapt(unlessContractoradvisestheDistrictaspartofContractor'sbidthatadaptationwillviolateexistingagreementsorstatutesandContractordemonstratessuchtotheDistrict'ssatisfaction),anddistributeExistingProducttoDistrictusersuptothelicensecapacitystatedinthecontractwithalllicenserightsnecessarytofullyeffectthegeneralbusinesspurposeoftheprojectorworkplanorcontract.LicensesshallbegrantedinthenameoftheDistrict.TheDistrictagreestoreproducethecopyrightnoticeandanyotherlegendofownershiponanycopiesauthorizedunderthisparagraph.
2.CustomProducts:EffectiveuponProductcreation,Contractorshallconvey,assign,andtransfertotheDistrictthesoleandexclusiverights,titleandinterestinCustomProducts,whether
preliminary,finalorotherwise,includingallpatent,trademark,andcopyrights.Contractorhereby

agreestotakeallnecessaryandappropriatestepstoensurethattheCustomProductsareprotectedagainstunauthorizedcopying,reproductionandmarketingbyorthroughContractor.
C. TransfersorAssignmentsofExistingorCustomProductsbytheDistrict
‘TheDistrictmaytransferorassignExistingorCustomProductsandthelicensesthereundertoanotherDistrictagency.NothinghereinshallprecludetheContractorfromotherwiseusingtherelatedorunderlyinggeneralknowledge,skills,ideas,concepts,techniquesandexperiencedevelopedunderaprojectorworkplaninthecourseofContractor'sbusiness.
D. SubcontractorRights
Wheneveranydata,includingcomputersoftware,aretobeobtainedfromasubcontractorunderthecontract,theContractorshallusethisclause,RightsinData,inthesubcontract,withoutalteration,andnootherclauseshallbeusedtoenlargeordiminishtheDistrict’sortheContractor's
rightsinthatsubcontractordataorcomputersoftwarewhichisrequiredfortheDistrict.
E. SourceCodeEscrow
1.ForallcomputersoftwarefurnishedtotheDistrictwiththerightsspecifiedinsectionB.2,theContractorshallfurnishtothe ,acopyofthesourcecodewithsuchrightsofthescopeasspecifiedinsectionB.2ofthisclause.ForallcomputersoftwarefurnishedtotheDistrictwiththe
restrictedrightsspecifiedinsectionB.1ofthisclause,theDistrict,iftheContractoreitherdirectlyorthroughasuccessororaffiliateshallceasetoprovidethemaintenanceorwarrantyservicesprovidedtheDistrictunderthecontractoranypaid-upmaintenanceagreement,oriftheContractor
shouldbedeclaredinsolventbyacourtofcompetentjurisdiction,shallhavetherighttoobtain,foritsownandsoleuseonly,asinglecopyofthecurrentversionofthesourcecodesuppliedunderthecontract,andasinglecopyofthedocumentationassociatedtherewith,uponpaymenttothepersonincontrolofthesourcecodethereasonablecostofmakingeachcopy.
2.IftheContractororProductmanufacturer/developerofsoftwarefurnishedtotheDistrictwiththerightsspecifiedinsectionB.1ofthisclauseoffersthesourcecodeorsourcecodeescrowto
anyothercommercialcustomers,theContractorshalleither:(1)providetheDistrictwiththesourcecodefortheProduct;(2)placethesourcecodeinathirdpartyescrowarrangementwithadesignatedescrowagentwhoshallbenamedandidentifiedtotheDistrict,andwhoshallbe
directedtoreleasethedepositedsourcecodeinaccordancewithastandardescrowarrangementacceptabletotheDistrict;or(3)willcertifytotheDistrictthattheProductmanufacturer/developerhasnamedtheDistrictasanamedbeneficiaryofanestablishedescrowarrangement
withitsdesignatedescrowagentwhoshallbenamedandidentifiedtotheDistrict,andwhoshallbedirectedtoreleasethedepositedsourcecodeinaccordancewiththetermsofescrow.
3.The Contractorshallupdate thesourcecode,as wellas any correctionsor enhancements tothe
sourcecode, foreach new releaseof the Productinthesame manner as providedabove, and certify
suchupdatingofescrowtotheDistrictinwriting.
