(C) The goods or services to be provided, the methods of delivering goods or services, and any
significant program changes reflected in the proposed contract:
The Department engaged Chiaramonte Construction Company (the “Contractor”) to provide
Design-Build Services for the Stoddert Elementary School Classroom Addition, located at 4001
Calvert Street, NW, Washington, DC 20007 (the “Project) . The Project will be completed in two
phases: (i) the Preconstruction Phase; and (ii) the Construction Phase. The substantial completion
of the Project shall occur on or by July 15, 2025, for East end, July 15, 2026, for West end, and
August 8, 2026, for existing cafeteria remodeling.
The Project includes, but is not limited to, the design and construction services required for a fully
modernized facility to increase the capacity of Stoddert Elementary School to serve 554 students in
a traditional elementary school setting. The anticipated additional program needs a total of 16,000
square feet. To achieve that, DCPS will renovate 4,000 square feet of the existing facility and will
construct an addition of 12,000 square feet to the Stoddert Elementary School . In addition, the
Project shall be designed in such a way as to incorporate, at a minimum, LEED for Schools – Gold
principles.
The Contract was deemed approved by the Council on May 5, 2023, as CA25-148, as an early start
agreement to complete a preliminary scope of work including but not limited to demolition,
concrete, masonry, structural steel, roofing, doors/frames/hardware, windows, exterior farming,
plumbing, HVAC, electrical fire alarm, low voltage, earthwork, and underground site utilities, and
cover the fees and allowances needed to deliver the design and preconstruction deliverables of the
Contract.
The Department seeks Council approval to execute the proposed modification to establish the
GMP. If approved, Modification No. 4 will establish the final GMP of $26,099,594.29, thereby
increasing the Contract’s value by $17,859,313.29 (from $8,240,281 to $26,099,594.29). As the
proposed Modification No. 4 would increase the Contract value by more than $1 million, Council
approval is required for this contract action.
(D) The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price, technical or quality, and past performance components:
The underlying Contract was competitively bid and previously submitted to and approved by the
Council as CA25-148 on May 5, 2023, with a not-to-exceed (“NTE”) amount of $8,240,281.

(E) A description of any bid protest related to the award of the contract, including whether the
protest was resolved through litigation, withdrawal of the protest by the protestor, or
voluntary corrective action by the District. Include the identity of the protestor, the grounds
alleged in the protest, and any deficiencies identified by the District as a result of the protest:
The award of the Contract was not protested.
(F) A description of any other contracts the proposed contractor is currently seeking or holds
with the District:
The Contractor is currently involved in several District projects and is in pursuit of many other
District projects. The list of projects is provided as Exhibit A.
(G) The background and qualifications of the proposed contractor, including its o rganization,
financial stability, personnel, and performance on past or current government or private
sector contracts with requirements similar to those of the proposed contract:
The Contractor is based in Washington, DC and is a Certified Business Enterprise (“CBE”)
specializing in new construction and remodeling of commercial, municipal, and government
buildings in the District of Columbia. The Contractor provides its services to the construction
industry by providing general construction, management, procurement services, and self -
performing various construction scopes of work, such as metal/wood wall framing, drywall,
ceilings, roughs, carpentry, doors/frames/hardware, masonry, and concrete. The Contractor has
successfully completed the renovation and modernization of Hearst Elementary School
Modernization, Ballou High School Modernization, Woody Ward Recreation Center Renovation,
Smothers Elementary School, Ward 5 Short-Term Family Housing, and Amidon Bowen
Elementary School Child Development Center.
The Contractor possesses the financial stability to successfully perform the Project and has
provided a staffing plan for the Project which has been reviewed and approved by the Department.
The Contractor has been determined responsible in accordance with 27 DCMR § 4706.1.
(H) A summary of the subcontracting plan required under section 2346 of the Small, Local, and
Disadvantaged Business Enterprise Development and Assistance Act of 2005, as amended,
D.C. Official Code § 2-218.01 et seq. (“Act”), including a certification that the subcontracting
plan meets the minimum requirements of the Act and the dollar volume of the portion of the
contract to be subcontracted, expressed both in total dollars and as a percentage of the total
contract amount:
The Contractor is a certified business enterprise in accordance with the Act (CBE Number:
LSZX29212122027. Pursuant to D.C. Official Code § 2-218.46 (d-1), the Contractor is required
to submit a detailed subcontracting plan to DSLBD that meets the requirements of D.C. Official
Code § 2-218.46(d) before entering into a guaranteed maximum price; the Contractor submitted a
subcontracting plan as follows:

(I) Performance standards and the expected outcome of the proposed contract:
The Contractor is required to provide all design, preconstruction, and construction services, and
other services necessary to substantially complete all phases of the Project no later than August 8,
2026. In general, the Contractor must perform the requirements contained in the Contract and meet
or exceed the performance standards therein. The Contractor is subject to liquidated damages of
$500 per day of delay for failure to timely achieve substantial completion of the Project. The
Contract also provides a disincentive fee of $25,000 for the replacement of key personnel without
the Department’s prior approval and not as a penalty, to reimburse the Department for its
administrative costs arising from the Contractor’s failure to provide the key personnel.
(J) The amount and date of any expenditure of funds by the District pursuant to the contract
prior to its submission to the Council for approval:
None.
(K) A certification that the proposed contract is within the appropriated budget authority for
the agency for the fiscal year and is consistent with the financial plan and budget adopted in
accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:
The Office of the Chief Financial Officer has certified that the proposed Contract’s GMP and NTE
amount are consistent with the Department’s budget and that adequate funds are available in the
Department’s budget in accordance with D.C. Official Code §§ 47- 392.01 and 47- 392.02. The
applicable Fiscal Sufficiency certification accompanies this Council Package.
(L) A certification that the contract is legally sufficient, including whether the proposed
contractor has any pending legal claims against the District:
The proposed Modification No. 4 has been deemed legally sufficient by the Department’s Office
of the General Counsel, and the Contractor does not appear to have any current pending legal
claims against the District.
(M) A certification that the Citywide Clean Hands database indicates that the proposed
contractor is current with its District taxes. If the Citywide Clean Hands Database indicates
that the proposed contractor is not current with its District taxes, either: (1) a certification
that the contractor has worked out and is current with a payment schedule approved by the
District; or (2) a certification that the contractor will be current with its District taxes after
the District recovers any outstanding debt as provided under D.C. Official Code § 2-
353.01(b):

The Citywide Clean Hands database indicates that the Contractor is in compliance with District of
Columbia tax laws and regulations. The applicable Clean Hands certification for the Contractor
accompanies this Council Package.
(N) A certification from the proposed contractor that it is current with its federal taxes, or has
worked out and is current with a payment schedule approved by the federal government:
The Contractor has certified that it is current with its federal tax laws.
(O) The status of the proposed contractor as a certified local, small, or disadvantaged business
enterprise as defined in the Small, Local, and Disadvantaged Business Enterprise
Development and Assistance Act of 2005, as amended; D.C. Official Code § 2-218.01 et seq.:
According to DSLBD’s website, the Contractor is a certified Local Business Enterprise, Longtime
Resident Owned Business Enterprise , and Small Business Enterprise . The Contractor’s CBE
Number is LSZX29212122027, with an expiration date of December 31, 2027.
(P) Other aspects of the proposed contract that the Chief Procurement Officer considers
significant:

(Q) A statement indicating whether the proposed contractor is currently debarred from
providing services or goods to the District or federal government, the dates of the debarment,

The Contractor is not debarred from providing services to the Government of the District of

capacity as the Agency Fiscal Officer of the Department of General Services (the “Department”),
I hereby state that Modification No. 4 (GMP Amendment) to the Agreement for Design Build Services
for Stoddert Elementary School Classroom Addition (DCAM-22-CS-RFP-0009), with Chiaramonte
Construction Company, in the amount of $26,099,594.29 is consistent with the Department’s current
budget and that adequate funds are available in the budget for the expenditure.

Contract was deemed approved by the Council on May 5, 2023, as CA25-0148, with an initial Not-to-
Exceed amount of $8,240,281.00 ($995,000.00 Letter Contract + $7,245,281.00 Early Start
Agreement #1).

the Contract’s NTE amount to $26,099,594.29 ($17,859,313.29 + $8,240,281.00).
The
proposed Modification No. 4 in the amount of ($17,859,313.29 would establish the guaranteed
maximum price (the “GMP”) totaling the Contract NTE amount to $26,099,594.29.
While funding in the amount of $26,099,594.29 is being certified for capital-eligible items only,
there is an ineligible amount of $323,503.91 listed in Exhibit G of the contract modification. See
the non-capital column and associated items. These items ar e ineligible for cap ital expenditure, per
the District Capital Guidelines. The goods/services are needed in FY2025 and FY2026. There
should be no purchases, commitments and exp enditures for these items, until operating funds ar e
available, via a purchase order for the same amount.
The Department of General Services (DGS – Implementing AGY) has $26,099,594.29 in the District
of Columbia Public Schools (DCPS – Owner AGY) cumulative capital budget authority balance.
There is $24,932,594.29 in the current approved allotment budget through FY2025 and an additional
$1,167,000.00 is pending the FY2026 capital budget load for the Stoddert ES Modernization/Renovation
project – 100123. Per the approved FY2025-FY2030 CIP, Stoddert ES Modernization capital project
will receive $1,167,000.00 in FY2026.

GUARANTEED MAXIMUM PRICE
Section1.1 GuaranteedMaximumPrice.SubjecttoadditionsanddeductionswhichmaybemadeonlyinaccordancewiththeAgreement,theDesign-Builderrepresents,warrantsandguaranteestotheDepartmentthatthetotalmaximumcosttobepaidbytheDepartmentforDesign-Builder’scompleteperformanceundertheAgreement,including,butnotlimitedto,FinalCompletionofallWork,allservicesofDesign-Builderunderthe‘Agreement,andallfees,compensationandreimbursementstoDesign-Builder,shallnotexceedthetotalamountofTwenty-SixMillionNinety-NineThousandFiveHundredNinety-FourDollarsandTwenty-NineCents($26,099,594.29)("GuaranteedMaximumPrice").

Section1.5 DesignIntent;InferableWork.Design-BuilderagreesthattheGuaranteedMaximumPriceisbasedonthecurrentstateofthedesign,whichrepresentsapproximately100%completeConstructionDocumentsfortheEastEndAddition,and50%ConstructionDocumentsfortheWestEndAddition.TheGMP BasisProjectDocumentswillincludevariousclarificationsandassumptionsthatareintendedtofurtherdefinethescopeofWorkthatwillberequiredtocompletedesign.TheDesign-BuilderhasincludedwithintheGuaranteedMaximumPricesufficientamountstocoveraspectsoftheWorkthatarenotshownontheGMP BasisProjectDocuments.IftheDepartmentdoesnotapproveanysuchscopeincrease,theDesign-BuildershallcausetheDesign-Builder’sArchitecttodevelopadesignthatisconsistentwiththeoriginaldesignintentandshallcompletetheWorkforanamountthatdoesnotexceedtheGMP.

INTENT,INTERPRETATION AND CORRELATION
Section2.1 IntentoftheAgreement.TheintentoftheAgreementisfortheDesign-Buildertoperformandsupply,andtheDepartmentherebyengagesDesign-BuildertoandDesign-Builderherebyagreestoperformandsupply,theWork,includingallnecessarydesignservices,scheduling,procurement,supervision,construction,andconstructionmanagementservicesandsupplyallnecessarylabor,materials,equipmentandrelatedworkandservicesnecessarytofullycompletetheWorkandobtaintheintendedresultsoftheContractDocuments,including,butnotlimitedtotherequirementsoftheProjectScheduleandtheGuaranteedMaximumPricerequirementssetforthinArticle1 above.TheenumerationofparticularitemsintheSpecificationsand/orDrawingsshallnotbeconstruedtoexcludeotheritems.TheContractDocumentsarecomplementary,andwhatisrequiredbyanyoneoftheContractDocuments(includingeitheraDrawingorSpecification)asbeingnecessarytoproducetheintendedresultsshallbebindingandrequiredasapartoftheWorkasifrequiredbyallContractDocuments.

2.2.1ThefailureoftheDepartmenttoinsistinanyoneormoreinstancesuponastrictcompliancewithanyprovisionofthisAgreement,ortoexerciseanyoptionhereinconferred,shallnotbeconstruedasawaiverorrelinquishmentoftheDepartment'srightthereaftertorequirecompliancewithsuchprovisionofthisAgreement,orasbeingawaiveroftheDepartment'srightthereaftertoexercisesuchoption,andsuchprovisionoroptionwillremaininfullforceandeffect.
2.2 IfthereisanyinconsistencyintheDrawingsoranyconflictbetweentheDrawingsandSpecifications,Design-BuildershallprovidethebetterqualityorgreaterquantityofWorkormaterials,asapplicable,unlesstheDepartmentdirectsotherwiseinwriting.
2.2.3.Design-BuildershallberesponsiblefordividingtheWorkamongthe

appropriateSubcontractorsandVendors.No claimwillbeentertainedbytheDepartmentbasedupontheorganizationorarrangementoftheSpecificationsand/ortheDrawingsintoareas,sections,subsectionsortradedisciplines.
2.2.4Detaildrawingsshalltakeprecedenceoverscaledrawings,andfigureddimensionsontheDrawingsshallgovernthesettingoutoftheWork.
2.2.5UnlesstheSpecificationsexpresslystateotherwise,referencestodocumentsandstandardsofprofessionalorganizationsshallmeanthelatesteditionspublishedpriortotheEffectiveDate.
2.2.6Technicalwords,abbreviationsandacronymsintheContractDocumentsshallbeusedandinterpretedinaccordancewithcustomaryusageintheconstructionindustry.
2.2.7Wheneverconsent,permissionorapprovalisrequiredfromanypartypursuanttotheprovisionsoftheContractDocuments,suchconsent,permissionorapprovalshall,unlessexpresslyprovidedotherwiseinthisAgreement,begivenorobtained,asapplicable,inwriting.

OTHER PROVISIONS
Section4.1 Design-Builder’s_ResponsibiliThe Design-BuilderalsoexpresslyacknowledgesthatthisProjectandtheWorkwillproceedona"fast-track"methodofconstruction,i.e.,constructionwillcommencewithoutfinalDrawingsandSpecificationsinplace.Morespecifically,whileDrawingsandSpecificationsarecompleteforcertainportionsofWork,thedesignprocesswillcontinueforotherportionsduringconstructionbasedontheGuaranteedMaximumPricepremisesandassumptions.TheDesign-Builderhasbeen,andwillcontinuetobe,anactiveparticipantinthedesignprocess.Givensuchparticipation,theDesign-BuilderrepresentsthatitisfamiliarwiththescopeandqualityofthoseaspectsoftheProjectthathavenotyetbeenfullydesigned,andhastakensuchscopeandqualitymattersintoconsiderationinpreparingeachcomponentoftheGuaranteedMaximumPrice.TheDesign-BuilderagreestoworkwiththeDepartmentinmanagingtheconstructionanddesignworktocompletethedesignprocess.‘TheDesign-BuildershallmanagetheProject,includingcoordinatingredesignorValueEngineeringnecessaryoradvisableforcertainaspectsoftheProjectatanystageofthedesignprocessinordertobringthecostofsuchWorkwithinorbelow,butnotinexcessof,therespectiveallowancesorthebudgetedorallocatedamountsforotheritemscontainedintheGuaranteedMaximumPrice.

OncetheDrawingsandSpecificationsarecomplete,itisrecognizedbytheDesign-BuilderandtheDepartmentthatthescopeoftheGuaranteedMaximumPricemayincludeWorknotexpresslyindicatedontheContractDocuments,butwhichisreasonablyinferablefromtheContractDocuments,andsuchWorkshallbeperformedwithoutanyincreaseintheGuaranteedMaximumPriceorextensionofContractTime,exceptifandtotheextentotherwiseexpresslyprovidedinthisAgreement.

MISCELLANEOUS PROVISIONS
Section5.1 PriorAgreementUnaffected.Exceptasexpresslyagreedtoherein,alloftheterms,conditions,representationsandwarrantiessetforthintheAgreementshallremainunaffectedandinfullforceandaffect.
Section5.2 IntegratedAgreement.ThisAmendmentandanyattachmentheretosetforththeentireagreementandunderstandingofthepartiesregardingthetransactionscontemplatedherebyandsupersedeallpriororalandwrittenagreements,arrangementsandunderstandingsrelatingtothesubjectmatterhereof.Therearenooralorwrittenagreementsorunderstandings,representationsorwarrantiesamongthepartiesotherthanthosesetforthherein.
Section5.3 Counterparts.ThisAmendmentmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedtobeanoriginal,butallofwhichshallbeconsideredoneandthesameinstrument.
Section5.4 Construction.ThisAgreementshallbeconstruedfairlyastoallpartiesandnotinfavoroforagainstanyparty,regardlessofwhichpartypreparedthe‘Agreement.
