Dear Chairman Mendelson:
Pursuant to D. C. Official Code §2-352.02a, enclosed for consideration and approval by the
Council of the District of Columbia is proposed Modification No. 20 with Contract No. CFOPD-
15-C-003 with ICMA – Retirement Corporation. The Not-to-Exceed amount of the proposed
contract action is $2,544,771.63.
Under the proposed modification, ICMA – Retirement Corporation shall continue to provide
bundled 457 Deferred Compensation and 401(a) Defined Contribution Pension Plan management
services (i.e., recordkeeping/administration, communication/education, investments, and
custodial trustee services, etc.) on behalf of the Office of Finance and Treasury.

COUNCIL CONTRACT SUMMARY
Pursuant to Section 202(c) of the Procurement Practices Reform Act of 2010, as amended; D.C.
Official Code §2-352.02(c), the following contract summary is provided.
(1) The proposed contractor, the names of the contractor’s principals, contract amount, unit and
method of compensation, contract term, type of contract and source selection method:

May , 2025, through March 5, 2026, is in the not to exceed $2,544,771.63.

(2) The goods or services to be provided, the methods of delivering goods or services, and any
significant program changes reflected in the proposed contract:
The purpose of the contract is to allow ICMA – Retirement Corporation, the incumbent Contractor,
to continue to manage the District’s 457 Deferred Compensation and 401(a) Defined Contribution
Pension Plans. ICMA – Retirement Corporation has satisfactorily provided the required services
for the last ten (10) years under Contract CFOPD-15-C-003. The contract was awarded on March
6, 2015, with a five (5) years base period and two (2) two (2) year option periods. The District
awarded a one-year Sole Source extension to extend the contract beyond the term.
(3)(A) The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price, technical or quality, and past-performance components:
This was a competitive request for proposal procurement. There were five (5) proposals submitted
in response to the solicitation. Only three (3) companies were determined to be in the competitive
range. The companies that were determined to be in the competitive range were: ICMA±
Retirement Corporation, Great West Inc. and ING Inc. ICMA±Retirement Corporation received
the highest overall score. The Technical Proposal was worth 85 points and the Pricing Proposal
was worth 15 points for a total of 100 points. The proposals were evaluated based on the proposed
plan of work, investment services, experience of the Contractor, and price.
(3)(B) If the contract was awarded on a sole-source basis, does the Council summary include the
date on which a competitive procurement for the goods or services to be provided under the
contract was last conducted, the date of the resulting award, and a detailed explanation of why
a competitive procurement is not feasible?
A solicitation was issued for the services on April 1, 2013 and an award was made on March 6,
2015. The Office of the Chief Financial Officer has a critical need to maintain uninterrupted
benefit plan management services. The incumbent contractor, ICMA – Retirement Corporation, is
the only contractor with historic knowledge and the capacity to provide continuous and
uninterrupted benefit plan management services for the 457 Deferred Compensation and 401(a)
Defined Contribution Pension Plans at the expiration of the current contract. The proposed sole
source extension will allow sufficient time for the completion of a new procurement for these
services as well as ample time for a smooth transition to a new vendor with updated and advanced
services capabilities.
(3A) A description of any bid protest related to the award of the contract, including whether the
protest was resolved through litigation, withdrawal of the protest by the protestor, or
voluntary corrective action by the District, and the identity of the protestor, grounds alleged
in the protest and any deficiencies identified by the District as a result of the protest:
There was no protest filed related to the award of this contract.
(3B) A description of any other contracts the proposed contractor is currently seeking or holds with
the District:
The Contractor is the incumbent on the District’s 457 Deferred Compensation and 401(a) Defined
Contribution Pension Plans contract to OCFO and provides retirement plan services to WKHDC
+ousing $XWKRULW\and DC Retirement Board. The Contractor is seeking to enter into a new
contract with the OCFO to provide retirement plan services pursuant to solicitation number
CFOPD-24-R-014.
(4) The background and qualifications of the proposed contractor, including its organization,
financial stability, personnel, and performance on past or current government or private-
sector contracts with requirements similar to those of the proposed contract:
ICMA – Retirement Corporation is a non-profit corporation headquartered in Washington, DC and
is one of the leading public sector retirement plan providers in the country. ICMA – Retirement
Corporation has been providing defined contribution plan administration, investment, and
educational services for public sector employers and their employees for over 50 years. ICMA –
Retirement Corporation currently services over 4,658 public sector employers with over a million
participant accounts and total assets under administration of more than $70 billion. ICMA –
Retirement Corporation has personnel with extensive knowledge and expertise in providing
retirement plan services for the public sector. The level of expertise of the personnel is
demonstrated in resumes and technical proposals. ICMA – Retirement Corporation has
demonstrated financial stability and has received good ratings for past performances by the
District.
(4A) A summary of the subcontracting plan required under D.C. Code § 2-218.01 et seq., including
a certification by the District that the subcontracting plan meets the minimum requirements
and the dollar volume of the portion of the contract to be subcontracted, in both total dollars
and as a percentage of the total contract amount:
ICMA – Retirement Corporation will subcontract 6.72% of the total contract value to their CBE
subcontractor, PRM Consulting Group, Inc. The Department of Small and Local Business
Development (DSLBD) approved a subcontracting waiver for the remainder of the subcontracting
requirement. The subcontracting waiver is included in this Council package as Attachment E. Note
that DSLBD refers to the sole source extension period as Option Period Three.
(5) Performance standards and expected outcomes of the proposed contract:
The Contractor shall continue to perform the services defined in Section C of the contract.
(5A) The amount and date of any expenditure of funds by the District pursuant to the contract
before its submission to the Council for approval:
The Council of the District of Columbia approved the Base Year of contract CFOPD-15-C-003 via
R21-
in the amount of $34,273,174.06, Partial Exercise of Option Period One for one-year
via CA23-0464 in the amount of $8,902,418.22, exercise of the remainder of Option Period One
for one-year via CA 24-0052 in the amount of $9,778,379.70. The Office of Contracts exercised a
fraction of Option Period Two at no cost for the Period of Performance of March 6, 2022, through
July 15, 2022. The Council has approved the remainder of Option Period Two via CA24-0522 in
the amount of $7,401,023.01. The Council approved a Sole Source Extension via CA25-0608 for
the period of March 6, 2024 through March 5, 2025 in the amount of $4,465,354.00. The Office of
Contracts exercised a fraction of the second Sole Source Extension at no cost for the Period of
March 6, 2025 through May 5, 2025.
(6) A certification that the proposed contract is within the appropriated budget authority for the
agency for the fiscal year and is consistent with the financial plan and budget adopted in
accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:

(7) A certification that the proposed contract is legally sufficient, including whether the proposed
contractor has any currently pending legal claims against the District:
Legal Sufficiency is provided in this Council package.
(8) A certification that the Citywide Clean Hands Database indicates that the proposed
contractor is current with its District taxes. If the Citywide Clean Hands Database indicates
that the proposed contractor is not current with its District taxes, (1) a certification that the
contractor has worked out and is current with a payment schedule approved by the District
or (2) a certification that the contractor will be current with its District taxes after the
District recovers any outstanding amount pursuant to D.C. Official Code §2-353.01(a)(9).

(8A) A certification from the proposed contractor that it is current with its federal taxes, or has
worked out and is current with a payment schedule approved by the federal government:
