Pursuant to section 451 of the District of Columbia Home Rule Act (D.C. Official Code § 1-
204.51) and section 202 of the Procurement Practices Reform Act of 2010 (D.C. Official Code§
2-352.02), enclosed for consideration and approval by the Council of the District of Columbia is a
proposed all-risk property insurance policy with Zurich American Insurance Company in the
amount of $2,878,680. The period of performance is from May 15, 2025, through May 14, 2026.
Under the proposed insurance policy, Zurich American Insurance Company will cover all District
real property assets.
My administration is available to answer any questions you may have regarding the proposed

Source Selection Method: The Captive Insurance Agency has independent contracting authority.
D.C. Official Code §§ 1-307.92; 1-307.83(a)(1)(A) and (a)(14); 2-351.05(c)(18) and Mayor’s Order
2015-238. The District, through the Captive Insurance Agency and its broker, Alliant Insurance
Services, Inc., marketed the District’s catastrophic commercial property insurance program (the
“program”) in order to obtain the best offer for coverage.

The District’s current catastrophic commercial property insurance policy with Zurich will terminate
May 14, 2025. The current insurance market has been firming materially during 2025. The District,
through Alliant Insurance Services, Inc. marketed the program to over 60 major national and
international insurers, including Zurich, for quotes. After numerous discussions with all of these
insurers (approximately 30 declined to offer a quote) it was determined that none of them could
compete with the pricing that Zurich is offering the District. Consequently, the most favorable
terms the District would receive to maintain the insurance program’s coverage for its real property
assets without interruption is to renew the Zurich policy.

Catastrophic Commercial Property Insurance Policy.

Zurich is one of the largest insurance companies in the world. Zurich is one of only a handful of
global insurance companies that offer large limit insurance programs to public institutions.

(G) A summary of the subcontracting plan required under section 2346 of the Small, Local, and
Disadvantaged Business Enterprise Development and Assistance Act of 2005, as amended,
D.C. Official Code § 2-218.01 et seq. (“Act”), including a certification that the subcontracting
plan meets the minimum requirements of the Act and the dollar volume of the portion of the
contract to be subcontracted, expressed both in total dollars and as a percentage of the total
contract amount:

The Captive is exempt from the terms of the Small, Local, and Disadvantaged Business Enterprise
Development and Assistance Act of 2005, as amended. D.C. Official Code § 1-307.92(1).

(H) Performance standards and the expected outcome of the proposed contract:

The contract is a policy of insurance. Its liability limits and lines of coverage are clearly delineated
in the Covernote of Insurance and Policy Form that comprise the policy.

(I) The amount and date of any expenditure of funds by the District pursuant to the contract
prior to its submission to the Council for approval:

No funds have been expended pursuant to the proposed contract.

(J) A certification that the proposed contract is within the appropriated budget authority for the
agency for the fiscal year and is consistent with the financial plan and budget adopted in
accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:

A certification of funds from the Office of the Chief Financial Officer is attached.

(K) A certification that the contract is legally sufficient, including whether the proposed
contractor has any pending legal claims against the District:

recovers any outstanding debt as provided under D.C. Official Code § 2-353.01(b):

American Insurance Company. The entire premium and engineering fee totaling $2,878,680 ($2,818,030
premium plus $60,650 engineering fee) will be paid in FY 2025. The purchased insurance policy covers
the period from 5/15/2025 through 5/14/2026.

have been requested to review the Covernote of Insurance issued by Zurich American
Insurance Company (the “Zurich Binder”), attached hereto as Attachment A. The Zurich Binder
is issued to Alliant Insurance Services, Inc.., the District’s insurance broker through the Captive
Insurance Agency (“Captive”). The Zurich Binder sets forth the terms of the property insurance
coverage for District real property assets and the policy and endorsement forms that will
comprise the policy of insurance once issued, provided that the District remits $2,818,030.00
(inclusive of $60,650.00 in risk engineering service fees) within the period specified in the
binder. The proposed policy would be effective May 15, 2025, through May 14, 2026.

ased on the analysis below, I certify that the Zurich Binder is legally sufficient:
I. A
uthority to Procure Insurance for the District of Columbia
a. The Captive Insurance Agency (“Captive”) has independent procurement
authority. D.C. Official Code §§ 1-307.92; 1-307.83(a) (1)(A) and (a)(14); and
Mayor’s Order 2015-238. The Captive is exempt from the Procurement Practices
Reform Act, save for the Council contract criteria for submission of contracts.

II. Terms and Conditions of the Zurich Binder

The Zurich Binder provides an overall program limit of $500 million (55 percent quota
share to be paid by Zurich, i.e. up to $275 million, with remainder to be paid by co-
insurer under separate policy) for all-risk property damage in excess of a 1,500,000
deductible. The total insured value for buildings and personal property under the policy is
$275,000,000.00. Zurich American Insurance Company is the primary insurer and
responsible for paying 55 percent of the full $500 million program after deductible. The
Zurich Binder sets forth various sub limits for specific coverages. The Zurich Binder
includes all endorsement forms that will be incorporated into the final policy.

Once the premium is paid, Zurich American Insurance Company will
issue the policy consistent with the terms of the Zurich Binder. The policy
will include terrorism coverage, which the District carries separately
through a stand-alone policy through Lloyd’s of London.

III. Payment of Premium and Availability of Funding

The Zurich Binder would establish a policy with a premium that exceeds $1 million.
Funding is available under the Captive’s local budget. See Certification of Funding
Memorandum from the Office of the Chief Financial Officer to Jed Ross, Chief Risk
Officer (March 12, 2025).

c.d.When an Annual Aggregate Limit of Liability is shown, the company’s maximum amount payable will not exceed such Annual Aggregate Limit of Liability.The most the Company will pay in an Occurrence caused by a Described Cause of Loss is the Limit of Liability for that Described Cause of Loss. Limits of Liability in an Occurrence apply to the total loss or damage, including any insured Time Element loss, at all Locations and for all coverages involved, subject to the following provisions:(1) The Company will pay no more in any one (1) Occurrence than its proportionate share of the applicable Location Limit when a Location Limit is specified, except as provided below for loss or damage at an Insured Location listed on the Schedule of Locations-Description of Location and Location Limit. That portion of premium attributable is shown in the Schedule above. This Policy insures against direct physical loss of or damage from a
Covered Cause of Loss, meaning from any cause unless otherwise
excluded, that commences during the Policy Period, to Property Insured,
at an Insured Location all subject to the terms, conditions and
exclusions stated in the Policy.
No coverage can be provided in violation of any U.S. economic or trade
sanctions laws or regulations. Such coverage, which may be in violation
of any U.S. economic or trade sanctions laws and regulations, shall be
null and void and the Company shall not be liable to make any payments
or provide any defense under the policy.

Valuation: In the event of any claim for direct physical loss of or damage to Property
Insured, the basis of adjustment is on a Replacement Cost basis unless
a specific valuation applies. Replacement Cost shall be the cost to
repair, rebuild or replace the damaged property (without deduction for
depreciation) with materials of like kind, quality and capacity at the same
or another site, but no more than the lesser of:
The cost to repair;
The cost to rebuild or replace on the same or another site with
materials of equivalent size, kind, quality and capacity;
The necessary cost actually expended in repairing, rebuilding or
replacing on the same or another site, but not exceeding the
operating capacity that existed at the time of the loss; or
The Limits of Liability applicable to the lost or damaged property.

c. Advantages of Zurich Edge II Policy
Other Advantages of the Zurich Edge II policy:
Time Element Coverage Option provides the insured the option to receive payment under
Gross Earnings or Gross Profits.
Extra Expense includes the increased costs to purchase Finished Stock from third parties to
fulfill orders.
Lease Cancellation pays for the value of undamaged Improvements and Betterments when
the Insured's lease is cancelled by the lessor due to covered damage to the property at an
Insured Location.
Ingress/Egress and Civil or Military Authority coverages both include extra expense and have
been broadened to apply when access to an Insured Location is limited, restricted or totally
prohibited.
Tsunami is covered under Earth Movement.
Cloud Service and Communication Interruption covers physical damage and time element
loss resulting from the partial or total interruption of Cloud, voice, data and video services when
the interruption is due to physical damage to the property of the supplier of service (including
damage to the supplier's transmission and distribution lines) caused by a Covered Cause of
Loss.
Logistics Extra Cost coverage pays for the additional costs incurred by the Insured to continue
usual business activities when the normal movement of goods or materials is disrupted due to
damage to property within the Policy Territory.

Spoilage from On-Premises Service Interruption coverage pays for spoilage of property at an Insured Location that occurs when electricity, gas, fuel, steam, water, or refrigeration is interrupted by an accidental event at the Insured Location.Crisis Event pays for Crisis Event Expense attributable to a violent crime, suicide or attempted suicide that occurs at the Insured Location or within a specified distance from the Insured Location. Crisis Event Expense includes costs for public relations management as well as evacuation and relocation expenses. The Policy has many Special Coverages, including coverages not subject to a sublimit. d. A.Disclosure of PremiumIn accordance with the federal Terrorism Risk Insurance Act (“TRIA”), as amended, we are required to provide you with a notice disclosing the portion of your premium, if any, attributable to the risk of loss from terrorist acts certified under that Act for lines subject to TRIA. That portion of premium attributable is shown in the Schedule above. The premium shown in the Schedule above is subject to adjustment upon premium audit, if applicable.B.Disclosure of Federal Participation in Payment of Terrorism LossesYou should know that where coverage is provided by this policy for losses resulting from certified acts of terrorism, the United States Government may pay up to 80% of insured losses exceeding the statutorily established deductible paid by the insurance company providing the coverage.C.Disclosure of $100 Billion Cap on All Insurer and Federal Obligations If aggregate insured losses attributable to terrorist acts certified under TRIA exceed $100 billion in a calendar year (January 1 through December 31) and an insurer has met its deductible under the program, that insurer shall not be liable for the payment of any portion of the amount of such losses that exceeds $100 billion, and in such case insured losses up to that amount are subject to pro rata allocation in accordance with procedures established by the Secretary of Treasury.D.Availability As required by TRIA, we have made available to you for lines subject to TRIA coverage for losses resulting from acts of terrorism certified under TRIA with terms, amounts and limitations that do not differ materially from those for losses arising from events other than acts of terrorism.E.Definition of Act of Terrorism under TRIATRIA defines "act of terrorism" as any act that is certified by the Secretary of the Treasury, in accordance with the provisions of the federal Terrorism Risk Insurance Act (“TRIA”), to be an act of terrorism. The Terrorism Risk Insurance Act provides that the Secretary of Treasury shall certify an act of terrorism:1.To be an act of terrorism;2.To be a violent act or an act that is dangerous to human life, property or infrastructure;3.To have resulted in damage within the United States, or outside of the United States in the case of an air carrier (as defined in section 40102 of Title 49, United States Code) or a United States flag vessel (or a vessel based principally in the United States, on which United States income tax is paid and whose insurance coverage is subject to regulation in the United States), or the premises of a United States mission; and 4.To have been committed by an individual or individuals as part of an effort to coerce the civilian population of the United States or to influence the policy or affect the conduct of the United States Government by coercion.

No act may be certified as an "act of terrorism" if the act is committed as part of the course of a war declared by Congress (except for workers’ compensation) or if losses resulting from the act, in the aggregate for insurance subject to TRIA, do not exceed $5,000,000.
