Pursuant to section 451 of the District of Columbia Home Rule Act (D.C. Official Code § 1-
204.51) and section 202 of the Procurement Practices Reform Act of2010 (D.C. Official Code§
2-352.02), enclosed for consideration and approval by the Council of the District of Columbia is
proposed Contract No. CW122440 with Carahsoft Technology Corporation in the amount of
$1,305,253.15. The period of performance is from January 31, 2026, through January 30, 2027.
Under the proposed contract, Carahsoft Technology Corporation will provide a remote endpoint
security platform (Zscaler Cloud Security Platform) to enable secure access to systems and
applications residing on public cloud infrastructure and/or District-owned data centers.

The District of Columbia Office of Contracting and Procurement, on behalf of Office of the Chief
Technology Officer (OCTO), Citywide Information Security (CWITS), is seeking a contractor to
procure a remote endpoint security platform (Zscaler Cloud Security Platform) that provides a
secure connection for remote workforce to the District’s private and internet applications thereby
improving end user experience without compromising security.

(D) The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price, technical or quality, and past performance components:

On November 27, 2024, the Office of Contracting and Procurement (OCP), on behalf of (OCTO),
(CWITS), received a price schedule from Carahsoft Technology Corporation. This price schedule
was submitted against GSA Contract No. 47QSWA18D008F. The specific details of the price
schedule can be found in the proposed contract.

The price was determined to be reasonable through an evaluation process. It was compared to an
independent government estimate. This process ensured that the price was fair and reasonable.

(E) A description of any bid protest related to the award of the contract, including whether the
protest was resolved through litigation, withdrawal of the protest by the protestor, or
voluntary corrective action by the District. Include the identity of the protestor, the grounds

(G) The background and qualifications of the proposed contractor, including its organization,
financial stability, personnel, and performance on past or current government or private
sector contracts with requirements similar to those of the proposed contract:

Carahsoft Technology Corporation, established in 1999, offers a comprehensive suite of products
and services, including standard and extended warranty support, to the Government of the District
of Columbia. This established history and successful delivery of services to a government entity of
similar scale and complexity demonstrate Carahsoft's organizational capacity, relevant experience,
sound accounting practices, effective operational controls, and necessary technical expertise to
successfully fulfill the requirements of this proposed contract.

Carahsoft Technology Corporation has provided proof of their ability and authorization to resell the
requirements of the proposed task order contract in the Unites States and thus has the necessary
production, construction, technical equipment, and facilities to fulfill the requirements of the
proposed contract. Carahsoft has received a satisfactory performance during the similar previous
contract.

(H) A summary of the subcontracting plan required under section 2346 of the Small, Local, and
Disadvantaged Business Enterprise Development and Assistance Act of 2005, as amended,
D.C. Official Code § 2-218.01 et seq. (“Act”), including a certification that the subcontracting
plan meets the minimum requirements of the Act and the dollar volume of the portion of the
contract to be subcontracted, expressed both in total dollars and as a percentage of the total
contract amount:

The subcontracting plan is not required because the task order was issued against (GSA).

(I) Performance standards and the expected outcome of the proposed contract:

Carahsoft Technology Corporation performance will be regularly and routinely monitored by
OCTO. The expected outcome is to provide a remote endpoint security platform (Zscaler Cloud
Security Platform), that provides a secure connection for Remote Workforce to the District’s private
and internet applications there by improving end user experience without compromising security.

(J) The amount and date of any expenditure of funds by the District pursuant to the contract
prior to its submission to the Council for approval:

(K) A certification that the proposed contract is within the appropriate budget authority for the
agency for the fiscal year and is consistent with the financial plan and budget adopted in
accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:

A certification of funding is attached to comply with D.C. Official Code §§ 47-392.01 and 47-
392.02.

(L) A certification that the contract is legally sufficient, including whether the proposed
contractor has any pending legal claims against the District:

The contractor has no pending legal claims against the District. The proposed task order contract
has been determined to be legally sufficient by the Office of the Attorney General.

(M) A certification that the Citywide Clean Hands database indicates that the proposed contractor
is current with its District taxes. If the Citywide Clean Hands Database indicates that the
proposed contractor is not current with its District taxes, either: (1) a certification that the
contractor has worked out and is current with a payment schedule approved by the District;
or (2) a certification that the contractor will be current with its District taxes after the District
recovers any outstanding debt as provided under D.C. Official Code § 2-353.01(b):

According to the District’s Clean Hands Certification dated March 11, 2025, the contractor is
current with its District taxes.

(N) A certification from the proposed contractor that it is current with its federal taxes, or has
worked out and is current with a payment schedule approved by the federal government:

Carahsoft Technology Corporation is current with its Federal taxes according to the Bidder Offer
Form.

(O) (1) A certification that the proposed contractor has been determined not to be in violation of
section 334a of the Board of Ethics and Government Accountability Establishment and
Comprehensive Ethics Reform Amendment Act of 2011, D.C. Official Code § 1-1163.34a; and
(2) A certification from the proposed contractor that it currently is not and will not be in
violation of section 334a of the Board of Ethics and Government Accountability
Establishment and Comprehensive Ethics Reform Amendment Act of 2011, D.C. Official

A. GENERAL REQUIREMENTS. The Contractor at itssole expense shallprocure and
maintain,duringtheentireperiodofperformanceunderthiscontract,thetypesofinsurancespecifiedbelow.TheContractorshallhaveitsinsurancebrokerorinsurancecompanysubmitaCertificateofInsurancetotheCOgivingevidenceofthe
requiredcoveragepriortocommencingperformanceunderthiscontract.InnoeventshallanyworkbeperformeduntiltherequiredCertificatesofInsurancesignedbyanauthorizedrepresentativeoftheinsurer(s)havebeenprovidedto,andacceptedby.the
CO.AllinsuranceshallbewrittenwithfinanciallyresponsiblecompaniesauthorizedtodobusinessintheDistrictofColumbiaorinthejurisdictionwheretheworkistobeperformedandhaveanA.M.BestCompanyratingofA-/VIIorhigher.ShouldtheContractordecidetoengageasubcontractorforsegmentsoftheworkunderthis,
contractandwishtoproposedifferentinsurancerequirementsthanoutlinedbelow,then,priortocommencementofworkbythesubcontractor,theContractorshallsubmitinwritingthenameandbriefdescriptionofworktobeperformedbythe
subcontractorontheSubcontractorsInsuranceRequirementTemplateprovidedbytheCA,totheOfficeofRiskManagement(ORM).ORM willdeterminetheinsurancerequirementsapplicabletothesubcontractorandpromptlydeliversuchrequirements
inwritingtotheContractorandtheCA.TheContractormustprovideproofofthesubcontractor’srequiredinsurancepriortocommencementofworkby thesubcontractor.IftheContractordecidestoengageasubcontractorwithoutrequesting
fromORM specificinsurancerequirementsforthesubcontractor,suchsubcontractorshallhavethesameinsurancerequirementsastheContractor.

AllrequiredpoliciesshallcontainawaiverofsubrogationprovisioninfavoroftheernmentoftheDistrictofColumbia.

TheGovernmentoftheDistrictof ColumbiashallbeincludedinallpoliciesrequiredhereundertobemaintainedbytheContractoranditssubcontractors(exceptfor
workers’compensationandprofessionalliabilityinsurance)asanadditionalinsuredsforclaimsagainstTheGovernmentoftheDistrictofColumbiarelatingtothiscontract,withtheunderstandingthatanyaffirmativeobligationimposedupontheinsuredContractororitssubcontractors(includingwithoutlimitationtheliabilitytopaypremiums)shallbethesoleobligationoftheContractororitssubcontractors,and
nottheadditionalinsured,TheadditionalinsuredstatusundertheContraetor’sanditssubcontractors’CommercialGeneralLiabilityinsurancepoliciesshallbeaffectedusingtheISOAdditionalInsuredEndorsementformCG 20101185(orCG 20100704andCG 20370704)orsuchotherendorsementorcombinationofendorsements
providingcoverageatleastasbroadandapprovedbytheCO inwriting.AlloftheContractor'sand itssubcontractors’liabilitypolicies(exceptforworkers’compensationandprofessionalliabilityinsurance)shallbeendorsedusingISOform
CG 20010413oritsequivalentsoastoindicatethatsuchpoliciesprovideprimarycoverage(withoutanyrightofcontributionbyanyotherinsurance,reinsuranceorself-insurance,includinganydeductibleorretention,maintainedbyanAdditional
Insured)forallclaimsagainsttheadditionalinsuredarisingoutoftheperformanceofthisStatementofWorkbytheContractororitssubcontractors,oranyoneforwhomtheContractororitssubcontractorsmaybeliable.Thesepoliciesshallincludeaseparationofinsuredsclauseapplicabletotheadditionalinsured.

IftheContractorand/oritssubcontractorsmaintainbroadercoverageand/orhigherlimitsthantheminimumsshownbelow,theDistrictrequiresandshallbeentitledto
thebroadercoverageand/orthehigherlimitsmaintainedbytheContractorandsubcontractors.

1.CommercialGeneralLiabilityInsurance(*CGL”)- TheContractorshallprovide
evidencesatisfactorytotheCO withrespecttotheservicesperformedthatitcarriesaCGL policy,writtenonanoccurrence(notclaims-made)basis,on
InsuranceServicesOffice,Inc.(“ISO”)formCG 000104 13(oranotheroccurrence-basedformwithcoverageatleastasbroadandapprovedbytheCO inwriting),coveringliabilityforallongoingandcompletedoperationsofthe
Contractor,includingongoingandcompletedoperationsunderallsubcontracts,andcoveringclaimsforbodilyinjury,includingwithoutlimitationsickness,diseaseordeathofanypersons,injurytoordestructionofproperty,includingloss
ofuseresultingtherefrom,personalandadvertisinginjury,andincludingcoverageforliabilityarisingout ofanInsuredContract(includingthetortliabilityofanotherassumedinacontract)andactsofterrorism(whethercausedbyaforeignordomestic
source),Suchcoverageshallhavelimitsofliabilityofnotlessthan$1,000,000eachoccurrence.a$2,000,000generalaggregate(includingaperlocationorperprojectaggregatelimitendorsement,ifapplicable)limit,a $1,000,000personaland

AutomobileLiabilityInsurance-The ContractorshallprovideevidencesatisfactorytotheCO ofcommercial(business)automobileliabilityinsurancewrittenonISOformCA 00011013(oranotherformwithcoverageatleastas
broadandapprovedbytheCO inwriting)includingcoverageforallowned,hired,borrowedandnon-ownedvehiclesandequipmentusedbytheContractor,withminimumperaccidentlimitsequaltothegreaterof(i)thelimitssetforthinthe
Contractor'scommercialautomobileliabilitypolicyor(ii)$1,000,000peroccurrencecombinedsinglelimitforbodilyinjuryandpropertydamage.

Workers’ Compensation Insurance-The Contractor shall provide evidence
satisfactoryto the CO of Workers’ Compensation insuranceinaccordance with
thestatutorymandatesoftheDistrictofColumbiaorthejurisdictioninwhichthecontractisperformed.
mplayer’sLiabilityInsurance-The Contractorshallprovideevidence
satisfactorytotheCO ofemployer'sliabilityinsuranceasfollows:$500,000peraccidentforinjury;$500,000peremployeefordisease;and$500,000forpolicydiseaselimit

Allinsurancerequiredbyparagraph3 shallincludeawaiverofsubrogationendorsementforthebenefitoftheGovernmentoftheDistrictofColumbia,

CyberLiabilityInsurance-TheContractorshallprovideevidencesatisfactoryto
theContractingOfficerofCyberLiabilityInsurance,withlimitsnotlessthan$2,000,000peroccurrenceorclaim,$2,000,000aggregate.Coverageshallbe
sufficientlybroadtorespondtothedutiesandobligationsasisundertakenbyContractorinthisagreementandshallinclude,butnotlimitedto, claimsinvolvinginfringementofintellectualproperty,includingbutnotlimitedto infringementofcopyright,trademark,tradedress,invasionofprivacyviolations,information
theft,damagetoordestructionofclectronicinformation,releaseofprivateinformation,alterationofelectronicinformation,extortionandnetworksecurity.Thepolicyshallprovidecoverageforbreachresponsecostsaswellasregulatory
finesandpenaltiesaswellascreditmonitoringexpenseswithlimitssufficienttorespond{0theseobligations.Limitsmaynotbesharedwithotherlinesof

Sexual/PhysicalAbuse& Molestation-TheContractorshallprovideevidence
satisfactorytotheContractingOfficerwithrespecttotheservicesperformedthatitcarries$1,000,000peroccurrencelimits;$2,000,000aggregateofaffirmative
abuseandmolestationliabilitycoverage.Coverageshouldincludephysicalabuse,suchassexualorotherbodilyharmandnon-physicalabuse,suchasverbal,emotionalormentalabuse;anyactual,threatenedorallegedact;errors,omissionormisconduct.Thisinsurancerequirementwillbeconsideredifthegeneral

6. CommercialUmbrellaorExcessLiability-TheContractorshallprovideevidence
satisfactorytotheCO ofcommercialumbrellaorexcessliabilityinsurancewithminimumlimitsequaltothegreaterof(i)thelimitssetforthintheContractor'sumbrellaorexcessliabilitypolicyor(ii)$2,000,000peroccurrenceand$2,000,000intheannualaggregate,followingtheformandinexcessofall
abilitypolicies.Allliabilitycoveragemustbescheduledundertheumbrellaand/orexcesspolicy.Theinsurancerequiredunderthisparagraphshallbewritteninaformthatannuallyreinstatesallrequiredlimits,Coverageshallbeprimarytoanyinsurance,self-insuranceorreinsurancemaintainedbytheDistrictandthe
“otherinsurance”provisionmustbeamendedinaccordancewiththisrequirementandprinciplesofverticalexhaustion,

PRIMARYAND NONCONTRIBUTORYINSURANCE
‘Theinsurancerequiredhereinshallbeprimarytoandwillnotseekcontributionfromanyotherinsurance,reinsuranceorself-insuranceincludinganydeductibleor
retention,maintainedbytheGovernmentoftheDistrictofColumbia.

DURATION.TheContractorshallcarryallrequiredinsuranceuntilallcontractworkisacceptedbytheDistrictofColumbiaandshallcarrylistedcoveragesfortenyearsforconstructionprojectsfollowingfinalacceptanceoftheworkperformedunderthis
contractandtwoyearsfornon-constructionrelatedcontracts.
LIABILITY.ThesearetherequiredminimuminsurancerequirementsestablishedbytheDistrictofColumbia.However,therequiredminimuminsurancerequirements
providedabovewillnotinanywaylimitthecontractor’sliabilityunderthiscontract.
CONTRACTOR'SPROPERTY.Contractorsand subcontractorsaresolely
responsibleforanylossordamagetotheirpersonalproperty,includingbutnotlimitedtotoolsandequipment,scaffoldingandtemporarystructures,rentedmachinery,or
ownedandleasedequipment.A waiverofsubrogationshallapplyinfavoroftheDistrictofColumbia,

MEASUREOF PAYMENT.TheDistrictshallnottakeanyseparatemeasuresor
paymentforthecostofinsuranceandbonds.TheContractorshallincludeallofthecostsofinsuranceandbondsinthecontractprice.
NOTIFICATION.TheContractorshallensurethatallpoliciesprovidethattheCOshallbegiventhirty(30)dayspriorwrittennoticeintheeventofcoverageand/orlimitchangesorifthepolicyiscanceledpriortotheexpirationdateshownonthe

certificate.TheContractorshallprovidetheCO withten(10)dayspriorwrittennoticeintheeventofnon-paymentofpremium.TheContractorwillalsoprovidetheCOwithanupdatedCertificateofInsuranceshoulditsinsurancecoveragesrenewduringthecontract.
