The contractwas deemed approved by theCouncilon June 24,2024,asCA25-837, as an earlystart
agreementNo.1(“ESA1”)tocompletethepreliminaryscopeofwork,includingplayground
construction,sedimentcontrol,sitedemolition,and siteassessmentsfortheMeyer Elementary
School.ModificationNo.1tothecontractwasdeemedapprovedbytheCouncilonFebruary6,
2025, as CA26-0025, as an earlystartagreement No. 2 (“ESA 2”) to fund thefoundationtotrade
grade activities,includingstructuralconcrete,helicalpiles,sitework, demolition,and underground
siteutilities.The ESA 2 funding also includesgeneralconditions,insurance,performance and
paymentbonds,partialfundingforlongleaditems,andthebalanceamountsforphaseone
playgroundconstruction.
The Department seeks Council approvalto execute the proposed modificationto establishthe
GuaranteedMaximum Price(“GMP”). Ifapproved,ModificationNo. 2 willestablishthefinalGMP
of $15,202,059.57,therebyincreasingtheContract’svalueby $11,850,674.00(from$3,351,385.57
to $15,202,059.57),with a Not-to-Exceed(“NTE”) amount of $15,202,059.57.As the proposed
ModificationNo. 2 would increasetheContractvalueby more than$1 million,Councilapproval
isrequiredforthiscontractaction.

Section1.4 IncompleteDrawingsandSpecifications.Design-Builderandthe
DepartmentacknowledgethattheDrawingsandSpecificationsarenotcompleteand,asofthedatehereof,thatsuchDrawingsandSpecificationshavereachedthelevelofapproximately
100%completedesigndevelopmentProjectDocuments.TheDesign-Builder,however,hasbeenactivelyinvolvedinthedesignprocessandherebyrepresentsthatithasasufficientunderstandingoftheProjecttoagreetoaGMP toFullyCompletetheProject.TheDesign-BuilderherebyacknowledgesthattheGMP BasisProjectDocumentsprovidessufficientdetailandinformationtoprovideafirmGMP andthattheGMP proposedthereinisintendedtorepresenttheDesign-Builder’soffertoFullyCompletetheProject.TheDesign-BuilderandtheDepartmentagreetoworktogethertocompletetheDrawingsandSpecificationsasprovidedinthisAgreement,consistentwiththeGMP premisesandassumptionsandProjectSchedule.
Section1.5 DesignIntent;InferableWork.Design-BuilderagreesthattheGMP
isbasedonthecurrentstateofthedesign,whichrepresentsapproximately100%percentcompletedesigndevelopmentProjectDocuments.TheGMP BasisProjectDocumentswillincludevariousclarificationsandassumptionsthatareintendedtofurtherdefinethescopeofWorkthatwillberequiredtocompletedesign.TheDesign-Builderhasincludedwithinthe
GMP sufficientamountstocoveraspectsoftheWorkthatarenotshownontheGMP BasisProjectDocuments.IftheDepartmentdoesnotapproveanysuchscopeincrease,theDesign-BuildershallcausetheDesign-Builder’sArchitecttodevelopadesignthatisconsistentwiththeoriginaldesignintentandshallcompletetheWorkforanamountthatdoesnotexceedtheGMP.
Section1.6 CostOverruns.SubjecttoadditionsordeductionswhichmaybemadeinaccordancewiththeAgreement,theDesign-Buildershallbesolelyliableandresponsibleforandshallpayanyandallcosts,feesandotherexpendituresinexcessoftheGMP forand/orrelatingtotheWork,withoutentitlementtoreimbursementfromtheDepartment.Design-Buildershallnotbeentitledtoanyfee,payment,compensationorreimbursementunderthisAgreementorrelatingtotheWorkorProjectotherthanasexpresslyprovidedintheAgreement.
Section1.7 Allowances.TheGMP includesspecific“UnitPriceAllowanceAmounts”forcertainitemsasshownontheScheduleofValuesandbudgetedintheGMP("AllowanceItems").TheonlyAllowanceItemsshallbethosespecificallyidentifiedassuchintheScheduleofValuesandintheGuaranteedMaximumPrice.TheAllowanceAmounts
representallCostsoftheWorkoftheAllowanceItems,including,withoutlimitation,costsofmaterials,labor,handling,transportation,loadingandunloadingandinstallation,asdeterminedbyDesign-Builder.

Section1.8SharedSavings.IntheeventthereareGMP savings,excludinganyOwner
AllowancesandOwnerContingency,theGMP savingsshallbesplit70/30,with70%allocatedtotheDepartmentand30%allocatedtotheDesign-Builder.ThemaximumallocationtotheDesign-Buildershallbe$250,000.00.

ARTICLE 2
INTENT,INTERPRETATION AND CORRELATION
Section2.1 IntentoftheAgreement.TheintentoftheAgreementisfortheDesign-Buildertoperformandsupply,andtheDepartmentherebyengagesDesign-BuildertoandDesign-Builderherebyagreestoperformandsupply,theWork,includingallnecessarydesignservices,scheduling,procurement,supervision,construction,andconstructionmanagementservicesandsupplyallnecessarylabor,materials,equipmentandrelatedwork
andservicesnecessarytofullycompletetheWorkandobtaintheintendedresultsoftheContractProjectDocuments,including,butnotlimitedtotherequirementsoftheProjectScheduleandtheGMP requirementssetforthinArticle1above.TheenumerationofparticularitemsintheSpecificationsand/orDrawingsshallnotbeconstruedtoexcludeotheritems.TheContractProjectDocumentsarecomplementary,andwhatisrequiredbyanyoneoftheContractProjectDocuments(includingeitheraDrawingorSpecification)asbeingnecessarytoproducetheintendedresultsshallbebindingandrequiredasapartoftheWorkasifrequiredbyallContractProjectDocuments,
Section2.2.Design-Builder’sCompliancewithContractProjectDocuments.TheDesign-Builderagrees,acceptsandassumesthattheDepartment'sdecisionwillrequireimplementationofthemoststringentrequirementsamonganyconflictingprovisionsoftheContractProjectDocumentsasbeingpartoftheWork.TheDesign-Builderagreestobebound

byalldecisionsbytheDepartmenttoimplementthemoststringentofanyconflictingrequirementswithintheContractProjectDocuments.AnyfailurebyDesign-BuildertosecksuchclarificationsshallinnowaylimittheDepartment'sabilitytorequireimplementation,includingreplacementofinstalledWorkatalaterdateatDesign-Builder’ssoleexpense,toachievecompliancewiththemorestringentrequirements.Withoutlimitingthegeneralityoftheforegoing,theDesign-Builderherebyagreesasfollows:

2.2.1ThefailureoftheDepartmenttoinsistinanyoneormoreinstancesuponastrictcompliancewithanyprovisionofthisAgreement,ortoexerciseanyoptionhereinconferred,shallnotbeconstruedasawaiverorrelinquishmentoftheDepartment'srightthereaftertorequirecompliancewithsuchprovisionofthisAgreement,orasbeingawaiveroftheDepartment'srightthereaftertoexercisesuchoption,andsuchprovisionoroptionwillremaininfullforceandeffect.

2.2.2IfthereisanyinconsistencyintheDrawingsoranyconflictbetweenthe‘DrawingsandSpecifications,Design-Buildershallprovidethebetterqualityorgreaterquantityof Workormaterials,asapplicable,unlesstheDepartmentdirectsotherwiseinwriting.
2.2.3TheDesign-BuildershallberesponsiblefordividingtheWorkamongtheappropriateSubcontractorandVendors.NoclaimwillbeentertainedbytheDepartmentbasedupontheorganizationorarrangementoftheSpecificationsand/ortheDrawingsintoareas,sections,subsectionsortrade disciplines

2.2.4Detaildrawingsshalltakeprecedenceoverscaledrawings,andfigureddimensionsontheDrawingsshallgovernthesettingoutoftheWork.
2.2.5UnlesstheSpecificationsexpresslystateotherwise,referencestodocumentsandstandardsofprofessionalorganizationsshallmeanthelatesteditionspublishedpriortotheeffectiveDate.

2.2.6Technicalwords,abbreviationsandacronymsintheContractProject
Documentsshallbeusedandinterpretedinaccordancewithcustomaryusageintheconstruction industry.
2.2.7Wheneverconsent,permissionorapprovalisrequiredfromanypartypursuanttotheprovisionsoftheContractProjectDocuments,suchconsent,permissionorapprovalshall,unlessexpresslyprovidedotherwiseinthisAgreement,begivenorobtained,asapplicable,inwriting.

OTHER PROVISIONS
Section4.1 Design-Builder’sResponsibilities.TheDesign-BuilderalsoexpresslyacknowledgesthatthisProjectandtheWorkwillproceedona "fast-track"methodofconstruction,i.e.,constructionwillcommencewithoutfinalDrawingsandSpecificationsinplace.Morespecifically,whileDrawingsandSpecificationsarecompleteforcertainportionsofWork,thedesignprocesswillcontinueforotherportionsduringconstructionbasedontheGMP premisesandassumptions.TheDesign-Builderhasbeen,andwillcontinuetobe,anactiveparticipantinthedesignprocess.Givensuchparticipation,theDesign-BuilderrepresentsthatitisfamiliarwiththescopeandqualityofthoseaspectsoftheProjectthathavenotyetbeenfullydesigned,andhastakensuchscopeandqualitymattersintoconsiderationinpreparingcachcomponentoftheGuaranteedMaximumPrice.TheDesign-BuilderagreestoworkwiththeDepartmentinmanagingtheconstructionanddesignworktocompletethedesignprocess.TheDesign-BuildershallmanagetheProject,includingcoordinatingredesignorvalueengineeringnecessaryoradvisableforcertainaspectsoftheProjectatanystageofthedesignprocessinordertobringthecostofsuchWorkwithinorbelow,butnotinexcess
of,therespectiveallowancesorthebudgetedorallocatedamountsforotheritemscontainedintheGuaranteedMaximumPrice.OncetheDrawingsandSpecificationsarecomplete,itisrecognizedbytheDesign-BuilderandtheDepartmentthatthescopeoftheGMP mayincludeWorknotexpresslyindicatedontheContractProjectDocuments,butwhichisreasonablyinferablefromtheContractProjectDocuments,andsuchWorkshallbeperformedwithoutanyincreaseintheGMP orextensionofContractTime,exceptifandtotheextentotherwiseexpresslyprovidedinthisAgreement.

ARTICLE 5
MISCELLANEOUS PROVISIONS
Section5.1 PriorAgreementUnaffected.Exceptasexpresslyagreedtoherein,all
oftheterms,conditions,representationsandwarrantiessetforthintheAgreementshallremainunaffectedandinfullforceandaffect.
Section5.2 IntegratedAgreement,‘ThisAmendmentandanyattachmentheretosetforththeentireagreementandunderstandingofthepartiesregardingthetransactionscontemplatedherebyandsupersedeallpriororalandwrittenagreements,arrangementsandunderstandingsrelatingtothesubjectmatterhereof.Therearenooralorwrittenagreementsorunderstandings,representationsorwarrantiesamongthepartiesotherthanthosesetforthherein,
Section5.3 Counterparts.ThisAmendmentmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedtobeanoriginal,butallofwhichshallbeconsideredoneandthesameinstrument.
Section5.4 Construction,ThisAgreementshallbeconstruedfairlyastoallpartiesandnotinfavoroforagainstanyparty,regardlessofwhichpartypreparedtheAgreement.

INSTRUCTIONS:Allconstruction&non-constructioncontractsforgovernment-assistedprojects{agencycontracts& privateprojectswithaDistrictsubsidy)over$250,000,shallrequireatleast35%ofthetotaldollarvolumeofthecontract(ie.,thetotalamountofagencycontractortotalprivateprojectdevelopmentcosts)besubcontractedtoSmallBusinessEnterprises(SBE),andifinsufficientqualifiedSBEstoCertifiedBusinessEnterprises(CBE).TheSBESubcontractingPlanmustlistallSBEandCBEsubcontractsateverytier.OncetheSBESubcontractingPlanissubmittedforagencycontracts,options,andextension,itcanonlybeamendedbytheDirectoroftheDepartmentofSmall&LocalBusinessDevelopment

SUBCONTRACTINGCREDITPURSUANTD.C.LAW 24-39:PursuanttotheCoronavirusSupportTemporaryAmendmentActof2021andthePublicEmergencyExtensionandEvictionandUtilityMoratoriumPhasingEmergencyAmendmentActof2021,contractsawardedduringthePublicHealthEmergencyshallreceivecreditasfollows:(1)Foreverydollarexpendedbyabeneficiarywitharesident-ownedbusiness,thebeneficiaryshallreceivea creditfor$1.10againsttheCBEminimumexpenditure.(2)Foreverydollarexpendedbyabeneficiarywithadisadvantagedbusinessenterprise,the

GENERAL TERMS
Subjecttothetermsandconditionssetforthherein,DOESwillreceivetheAgreementfrom
theContractingAgencynolessthan7calendardaysinadvanceoftheProjectstartdate.NoworkassociatedwiththerelevantProjectcanbeginuntiltheAgreementhasbeenacceptedby
DOES.
‘TheBeneficiaryand/orEMPLOYERshallrequireallProjectcontractorsandsubcontractors,
underaProjectreceivinggovernmentassistanceorbenefitsvaluedat$300,000ormore,toenterintoanAgreementwithDOES.
Agreementwilltakeaffectoncebeneficiary/EmployerawardedcontractandstartworkonthegovernmentassistedProjectandnoworkcanbeginpriortoexecutionoftheAgreement
andwillbefullyeffectivethroughtheduration,anyextensionormodificationsoftheProjectanduntilsuchtimeasconstructioniscompleteandacertificateofoccupancyisissued,
IfanEMPLOYER beganworkpriortotheexecutionofa FirstSourceEmployment
Agreement,theEMPLOYER shallceaseworkontheProjectandsigna FirstSourceEmploymentAgreementtobeboundbytheapplicableFirstSourceEmploymentAgreement
requirements,retroactively,fromthestartofworkthroughoutthedurationofthecontract.
DOESwillproviderecruitment,referral,andplacementservicestotheEMPLOYER,subject
tothelimitationsinthisAgreement.
DOESandtheEMPLOYERagreethat,forpurposesofthisAgreement,newhiresandjobscreatedfortheProject(bothunionandnonunion)includeallofEMPLOYER'Sjobopenings
andvacanciesintheWashingtonMetropolitanStatisticalAreacreatedfortheProjectasaresultofinternalpromotions,terminations,andexpansionsoftheEMPLOYER'Sworkforce,
asaresultofthisProject.

DOES willmakeeveryefforttoworkwithinthetermsofallcollectivebargainingagreementstowhichtheEMPLOYERisaparty.TheEMPLOYERwillprovideDOESwithwrittendocumentationthattheEMPLOYERhasprovidedtherepresentativeofanycollective
bargainingunitinvolvedwiththisProjecta copyofthisAgreementandhasrequestedcommentsorobjections.Iftherepresentativehasanycommentsorobjections,theEMPLOYERwillpromptlyprovidethemtoDOES.
TheEMPLOYER whocontractswiththeDistrictofColumbiagovernmenttoperform
construction,renovationwork,orinformationtechnologyworkwitha singlecontract,or
cumulativecontracts,ofatleast$500,000,withina 12-monthperiodwillberequiredtoregisteranapprenticeshipprogramwiththeDistrictofColumbiaApprenticeshipCouncilas
requiredbyDC Code32-1431.
If,during the term of thisAgreement, the EMPLOYER should transferpossessionof all or a
portionofitsbusinessconcernsaffectedbythisAgreementtoanyotherpartybylease,sale,
assignment,merger,orotherwisethisFirstSourceAgreementshallremaininfullforceandeffectandtransfereeshallremainsubjecttoallprovisionsherein.Inaddition,theEMPLOYERasaconditionoftransfershall

I. TRAINING
A. DOESandtheEMPLOYERmayagreetodevelopskillstrainingandon-the-jobtrainingprogramsasapprovedbyDOES;thetrainingspecificationsandcostforsuchtrainingwillbemutuallyagreeduponbytheEMPLOYERandDOESandwillbesetforthinaseparateTrainingAgreement.
IV. RECRUITMENT
A. TheEMPLOYER shallcompletetheattachedRevisedEmploymentPlanthatwillincludethe
informationoutlinedinSectionLP.
B. TheEMPLOYERshallregisterandpostalljobvacancieswiththeJobBankServicesofDOESatwww.denetworks.orgaminimumof10days.Shouldyouneedassistancepostingjobvacancies,pleasecontactJobBankServicesat(202)698-600
C. TheEMPLOYERshallnotifyDOESofallnewjobscreatedfortheProjectwithinatleast7
businessdays(Monday-Friday)oftheEMPLOYERS?identification/creationofthenewjobs.TheNoticeofNew JobCreationshallincludethenumberofemployeesneededbyjob
title,qualificationsandspecificskillsrequiredtoperformthejob,hiringdate,rateofpay,
hoursof work,durationofemployment,andadescriptionoftheworktobeperformed.Thismustbedonebeforeusinganyotherreferralsource.
D. JobopeningstobefilledbyinternalpromotionfromtheEMPLOYER'Scurrentworkforce
shallbe reportedtoDOES forplacementandreferral,ifthejobisnewlycreated.
EMPLOYERshallprovideDOESaNoticeofNewJobCreationthatdetailssuchpromotionsinaccordancewithSectionIV.C.
E.TheEMPLOYERwillsubmittoDOES,priortocommencingworkontheProject,alistofCurrentEmployeesthatincludesthename,socialsecuritynumber,andresidencystatusofallcurrentemployees,includingapprentices,trainees,andlaid-offworkerswhowillbeemployed
ontheProject.AllEMPLOYERinformationreviewedorgathered,includingsocialsecuritynumbers,asaresultofDOES”monitoringandenforcementactivitieswillbeheldconfidentialinaccordancewithallDistrictandfederalconfidentialityandprivacylawsandusedonlyforthepurposesthatitwasreviewedorgathered.

A. DOES willscreenapplicantsthroughcarefullyplannedrecruitmentandtrainingeventsand
providetheEMPLOYER witha listofqualifiedapplicantsaccordingtothenumberofemployeesneededbyjobtitle,qualificationsandspecificskillsrequiredtoperformthejob,
hiringdate,rateofpay,hoursofwork,durationofemployment,andadescriptionofthework

A. EMPLOYERwitha singlecontractvaluedat$300,000ormoreona Projectthatreceived
governmentassistancetotalingbetween$300,000and$5,000,000,aprovisionthatatleast51%of
thenewemployeeshiredtoworkontheProjectshallbeDistrictresidents.
B.EMPLOYERshallregisterintheFirstSourceOnlineRegistrationandReportingSystemforelectronicsubmissionofallmonthlyContractCompliancedata,weeklycertifiedpayrollsandanyotherdocumentsrequiredbyDOESforreportingandmonitoring,
C. EMPLOYERshallsubmittotheDepartmentofEmploymentServiceseachmonthfollowingthe
startoftheProjectahiringcompliancereportfortheProjectthatincludesthe

ForconstructionProjectsthatarenotsubjecttoDavis-Baconlawinwhichcertifiedpayrollrecordsdonotexist,EMPLOYERshallsubmitmonthlydocumentsofworkersemployedontheProjecttoDOES,includingDC residentsandallemploymentclassificationsofhoursworked.
EMPLOYER may alsobe requiredtoprovideverificationofhoursworkedorhiring
percentagesof DC residents,suchasinternalpayrollrecordsforconstructionProjectsthatare
notsubjecttoDavis-Bacon.
‘Monthly,EMPLOYERshallsubmitweeklycertifiedpayrollsfromallsubcontractorsatanytier
workingontheProjecttotheContractingAgency.EMPLOYER isalsorequiredtomakepayrollrecordsavailabletoDOESasapartofcompliancemonitoring,uponrequestatjobsites.
FINALREPORT AND GOOD FAITH EFFORTS
A. WiththesubmissionofthefinalrequestforpaymentfromtheContractingAgency,theBeneficiaryand/orEMPLOYERshall:
1,ReporttoDOESitscompliancewiththehiringorhoursworkedpercentagerequirementsforalljobscreatedbytheProject,andreportthehoursthatDCresidentsworkedforeachtradeclassificationsineachareaoftheProject;or
SubmittoDOESarequestforawaiverofthehiringorhoursworkedpercentagerequirementsforalljobscreatedbytheProjectthatwillincludethefollowingdocumentation:
a. DocumentationsupportingEMPLOYER’S goodfaithefforttocomply;
b.ReferralsprovidedbyDOESandotherreferralsources;and©. AdvertisementofjobopeningslistedwithDOESandotherreferralsources.
B. DOESmaywaiveorpartiallywaivethehiringorhoursworkedpercentagerequirementsforjobscreatedby theProject,and/ortherequiredhoursofDC residentsforeachtrade
classifications,ifDOESfindsthattheBeneficiaryorEMPLOYER,includingitscontractorsorsubcontractors:

A. DOES istheDistrictagencyauthorizedtomonitorandenforcetherequirementsofthe
WorkforceIntermediaryEstablishmentandReformoftheFirstSourceAmendmentActof2011(D.C.OfficialCode§§2 219.01— 2.219.05),andrelevantprovisionsofthe
ApprenticeshipRequirementsAmendmentActof2004(D.C.OfficialCode§2-219.03and§ 32-1431).Asapartofmonitoringandenforcement,DOES mayrequireand
EMPLOYERshallgrantaccesstoProjectsites,employees,anddocuments.
B.EMPLOYER’SnoncompliancewiththeprovisionsofthisAgreementmayresultintheimpositionofpenalties.
C.AllEMPLOYERinformationreviewedorgathered,includingsocialsecuritynumbers,asaresult of DOES’ monitoring and enforcement activitieswill be held confidential in
accordancewithallDistrictandfederalconfidentialityandprivacylawsandusedonlyforthepurposesthatitwasreviewedorgathered

PENALTIES
A. Willful Breach of the Agreement by the EMPLOYER, failure to submit the contract
compliancereports,deliberatesubmissionoffalsifieddatamayresultinDOESimposingafineof 5% of the totalamount of the directand indirectlabor costs of the Project,in addition
tootherpenaltiesprovidedbylaw.Failuretomeettherequiredhiringrequirementsorfailure
toreceivegoodfaithwaivermayresultintheDepartmentofEmploymentServices
