Dear Chairman Mendelson:
Pursuant to D. C. Official Code § 2-352.02a, enclosed for consideration and approval by the
Council of the District of Columbia is proposed Modification No. 14 to Contract No. CFOPD-19-
C-041 with Intralot, Inc.WR partially exercise a one-year portion of Option Period One (1) in the
not to exceed amount of $15,000,000.00. The period of performance is from July 16, 2025, to
July 15, 2026.
Under the proposed modification, Intralot, Inc. sh all continue to provide lottery gaming systems
and related services on behalf of the Office of Lottery and Gaming.

COUNCIL CONTRACT SUMMARY
(OPTION)
Pursuant to Section 202(c-3) of the Procurement Practices Reform Act of 2010, as amended, D.C.
Official Code §2-352.02(c-3), the following contract option summary is provided:
(1) The proposed contractor, contract amount, contract term, and contract type:

x Contract Amount: The proposed contract amount for the one-year portion of Option
Period One (1) is $15,000,000.00.
x Unit and method of compensation: United States Dollars (USD) in accordance with
Section B, Pricing, of the contract.
x Contract Term: The contract has a base period of one (5) year term with one (1), five (5)
year option period. This proposed contract action is to exercise a second, one-year portion
of Option Period One (1) from July 16, 2025, to July 15, 2026.
x Contract Type: Requirements contract type
(2) The identifying number of the underlying contract, including the identifiers assigned to the
underlying contract by the Council for the base period of the contract and any subsequent option
periods;
The Council of the District of Columbia approved the Base Period of Contract No. CFOPD-19-C-041
via CA23-0168 in the amount of $215,000,000 for the period of July 16, 2019, to July 15, 2024. The
Council of the District of Columbia approved a one-year portion of Option Period One (1) of Contract
No. CFOPD-19-C-041 via CA25-0920 in the amount of $39,000,000 for the period of July 16, 2024, to
July 15, 2025.
(3) A statement indicating that the contracting officer determined through the Citywide Clean
Hands Database that the contractor is current with its District taxes or has worked out and is
current with a payment schedule approved by the District, or that the contracting officer will
offset any outstanding amount pursuant to D.C. Official Code §2-353.01(a)(9):
A Citywide Clean Hands check was performed on Intralot, Inc. and based on the results provided the
Contracting Officer has determined that Intralot, Inc. is current. The Clean Hands compliance
document is included in this Council package.
(4) A statement indicating that the proposed contract is within the appropriated budget
authority for the fiscal year and is consistent with the financial plan and budget adopted in
accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:

gaming system, equipment, and services for the Office of Lottery and Gaming
I hereby certify that the Office of Lottery and Gaming has $15,000,000.00 to exercise a contract
extension to provide a lottery and sports wagering gaming system, equipment, and services for the
period of July 16, 2025, through July 15, 2026: (1) $3,125,000.00 available in Fiscal Year 2025;
and (2) $11,875,000.00 is contingent upon an approved budget for Fiscal Year 2026.
The contract action is within the appropriated budget for the agency. The contract action is
consistent with the financial plan and budget adopted in accordance with D.C. Code §47-
392.01and §47-392.02.

FINDINGS
1. AUTHORIZATION:
Financial Management and C ontrol Order No. 19-02, date d February 26, 2019, Section
1003
2. MINIMUM REQUIREMENTS:
The Office of the Chief Financial Officer (“OCFO”) for the District of Columbia
(“District”) and the Office of Contracts on behalf of the Office of Lottery and Gaming has
a minimum need for continued services of a provider for Sports Wagering, Lottery Gaming
Systems and Related services for the District.
3. ESTIMATED REASONABLE PRICE AND REASONABLENESS
DETERMINATION:
The estimated contract total price is not to exceed $15,000,000.00 for the exercise of a
one-year portion of Option Period 1 for the period of July 16, 2025, through July 15,
2026.
(a) The cost of this contract is of a type generally recognized as ordinary and
necessary for the conduct of the contractor or the performance of the contract.
(b) This contract includes the restrain ts or requirements imposed by generally
accepted sound business practices, arms-length bargaining, federal and District
laws and regulations, and contract terms and specifications.
(c) This action is an action that a prudent business person would take, considering
responsibilities to the owner of the business, employees, customers, the District,
and the public at large.
(d) There are no significant deviations from the established practices of the contractor
that may unjustifiably increase the contract costs.
(e) There are no other relevant factor s that should be noted at this time.

4. JUSTIFICATION OF REASONABLENESS OF PRICE:
The Office of Lottery and Gaming has performed an analysis of the contract pricing in
comparison with other state lotteries, based on the latest available data pulled from
LaFleur’s 2025 World Almanac, to determine the reasonableness of the price and found
that the price is fair and reasonable.
The Contracting Officer has performed an analysis to determine the reasonableness of the
price and has determined the price to be fair and reasonable.
5. CERTIFICATION BY CONTRACT SPECIALIST:
I hereby certify that to the best of my knowledge and belief, the above reasonableness
findings and cost price analysis are true and complete and the proposed Contractor’s
pricing is reasonable and in the best interest of the Government.

The Contractor has:
(a) the financial resources adequate to perform the contract, evidenced by the
Contractor’s financial history as reported by its Dun and Bradstreet Business
Report dated April 14, 2025;
(b) the ability to perform the proposed schedules, taking into consideration all
existing commercial and governmental business commitments, evidenced by the

Contractor’s financial history as reported by its Dun and Bradstreet Business
Report dated April 14, 2025;
(c) a satisfactory performance record, as depicted in their past performance
evaluations provided by the Office of Lottery and Gaming on April 18, 2025, for
the Contractor’s work under CFOPD-19-C-041 for Sports Wagering, Lottery
Gaming System and Related Services; despite that within the past five years, the
Contractor has had liquidated damages assessed by a government entity, which is
routine for jurisdictions’ lottery system contracts to recoup for any and all lost
sales or revenue due to any system downtime for any reasons;
(d) a satisfactory record of integrity and business ethics, as depicted in their past
performance evaluation provided by the Office of Lottery and Gaming on April
18, 2025, for the Contractor’s work under CFOPD-19-C-041 for Sports
Wagering, Lottery Gaming System and Related Services; and based on the
Contractor’s certification in Part 3 “Business Responsibility” of the OCFO
Bidder/Offeror Certification Form dated April 22, 2025;
(e) a satisfactory record of compliance with the law, including licensing and tax laws,
labor laws, civil rights laws and First Source Employment Act as evidence by the
Affirmative Action Agreement approved by the Office of Human Rights (OHR)
on June 7, 2019, the First Source Employment Agreement approved by the
Department of Employment Services (DOES) on June 6, 2019, the active Basic
Business License issued on November 1, 2024, the Clean Hands compliance on
May 12, 2025, and the accepted SBE Subcontracting Plan; despite that the
District, by and through its Office of the Attorney General entered into a
settlement agreement with the Contractor on January 10, 2025, which the parties
agreed that nothing contained in the settlement agreement is or may be construed
to be an admission by the Contractor of any of the allegations in the Covered
Conduct, any violation of law or regulation, any other matter of fact or law, or any
liability or wrongdoing;
(f) the necessary organization, experience, accounting and operational controls, and
technical skills, or the ability to obtain them, evidenced by the Contractor’s
financial history as reported by its Dun and Bradstreet Business Report dated
April 14, 2025;
(g) the necessary production, construction, and technical equipment and facilities or
the ability to obtain evidenced by the Contractor’s financial history as reported by
its Dun and Bradstreet Business Report dated April 14, 2025;
(h) not exhibited a pattern of overcharging the District based on the past performance
evaluation provided by the Office of Lottery and Gaming on April 18, 2025, for
the Contractor’s work under CFOPD-19-C-041 for Sports Wagering, Lottery
Gaming System and Related Services;

(i) the Contractor does not ha ve an outstanding debt with the District or Federal
government in delinquent status of more than the greater of $1,000 or 1% of the
contract value, up to $25,000 based on the Contractor certifies in Part 6,
Paragraph 6.7 of its OCFO Bidder/Offeror Certification Form dated April 22,
2025 and based on the Clean Hands compliance on May 12, 2025; and
(j) the Contractor is otherw ise qualified and is eligible to receive an award under
applicable laws and rules based on the Contractor not debarred or suspended from
federal or District procurements based on a May 15, 2025, search of the federal
System of Award Management (SAM) website and an April 14, 2025, search of
the Office of Contracting and Procurement Excluded Parties List.
5. CERTIFICATION BY THE CONTRACT SPECIALIST:

Sufficient budget authority is available in the not to exceed amount of $15,000,000 forthe
exercise of a one-year portion of Option Period 1.
OPTION PERIOD
The base period of the contract was awarded for the period July 16, 2019, through July15,
2024. A one-year portion of Option Period One was exercised for the period July 16,
2024, through July 15, 202. The proposed additional, one-year portion of Option Period
1 will be for the period of July 16, 2025, through July 15, 2026.
FACTS WHICH JUSTIFY THE EXERCISE OF THE OPTION
The Contracting Officer has determined that the exercise of this Option Period is in
accordance with the terms of the contract and the above referenced authority.

ATTACHMENT A
MODIFICATION NO. 14 OF CONTRACT NO. CFOPD-19-C-041 SPORTS BETTING,
LOTTERY GAMING SYSTEMS AND RELATED SERVICES
Contract No. CFOPD-19-C-041, S ports Betting, Lottery Gaming Sy stems and Related Services
(Contract) is modified as follows:
I. Pursuant to Section F.2 – Option to Extend th e Term of the Contr act, contained in the
contract, the District hereby further partially exercises a one-year portion of Option 1 for the
period of July 16, 2025, through July 15, 2026. The funding for this period is not to exceed
$15,000,000.00. The cumulative value of the contract is increased by $15,000,000 to an
amount not to exceed $269,000,000.
II. Section H.3, Certified Business Enterprise Subcontracting Requirements, is hereby amended
to add a new section H.3.16 to incorporate pr ovisions of the settlement agreement between
the District and the Contractor as follows:
H.3.16 The terms of Section IV, Injunctiv e Terms, of the January 10, 2025, settlement
agreement between the District of Columbia, by and through its Office of the
Attorney General, and the Contractor are hereby incorporated into this Contract. As
such, the Contractor shall (i) not include in the amount that it claims that it has paid
or will pay to a subcontractor any amounts that is has or intends to recoup from that
subcontractor and (ii) refrain from using any entity to make resources available to a
District certified business enterprise (CBE) with which the Contractor has a
subcontracting relationship. A violation of this provision will be grounds for the
District to terminate the Contract for default pursuant to Section I.9.
III. Delete Section G.3, Invoice Sub mittal of Contract and replace w ith Section G.3 as follows
to incorporate the requirement of the Contract or to provide to the COTR all relevant and
necessary supporting documentation to validate each submitted invoice:
G.3 INVOICE SUBMITTAL
G.3.1 The Contractor shall create and submit payment requests in an electronic format
through the DC Vendor Portal, https://vendorportal.dc.gov
G.3.2 The Contractor shall submit proper i nvoices on a monthly basis or as otherwise
specified in Section G.4.
G.3.3 To constitute a proper invoice, the Contractor shall enter all required information into
the Portal after selecting the applicable purchase order number which is listed on the
Contractor’s profile and the Contractor shall provide to the COTR all relevant and
necessary supporting documentation, in cluding any additionally requested
documentation and evidence, to validate each submitted invoice.
IV. Except as expressly amended or modified hereby, all other terms, conditions and provisions
of the Contract are and shall remain in full force and effect and all references therein to such
Contract shall henceforth refer to the Contract as modified by this Modification. This
Modification shall be deemed incorporated into, and made a part of, the Contract.
