Dear Chairman Mendelson:
Pursuant to section 451 of the District of Columbia Home Rule Act (D.C. Official Code § 1-
204.51) and section 202 of the Procurement Practices Reform Act of 2010 (D.C. Official Code§
2-352.02), enclosed for consideration and approval by the Council of the District of Columbia is
proposed Modification No. 15 to Contract No. GAGA-2022-T-0067 with Gordon Food Service,
Inc. to exercise option year four in the amount of $1,947,064.58. The period of performance is
from October 1, 2025, through September 30, 2026.
Under the proposed modification, Gordon Food Service, Inc. will continue to provide grocery
items and other food service-related products to select District of Columbia Public Schools
("DCPS") Child Nutrition Programs.

Section 3600 the contract is hereby modified as follows:
1. In accordance with the provisions of the contract entitled “Period of Performance”, the District
hereby exercises a partial option year one period.
2. This modification extends the partial option year one period from June 1, 2023, through July
31, 2023. The total amount of the partial option shall remain $631,118.06.
3. The entire option year one period requires Council review and approval.

IEAPPLICABLE

DISTRICTRESPONSIBILITIES
DCPSwillberesponsibleforplacingandconfirmingordersfordelivery.
DCPSwillensurethatproductsarereceivedinsafemannerandconformtospecificationsasprovidedinthisContract,
DCPSwillsupplyanappropriateamountandtypesofstoragespaceforthesafeholdingofproductsuntiltheyaredistributed.
DCPSwillprovideauthorizationfortheraceiptofthetypeandquantityofproductsatthetimeof delivery.
‘CONTRACTORRESPONSIBILITIES.
ContractorshalldeliverproductsthatconformtoallspecificationsasprovidedinthisContract,
ContractorshallnotifyDCPSofanyproductrecallsimmediatelyupondiscovery.
ContractorshalldeliverproductstoonlyauthorizedDCPSpersonnel.
ContractorshellplaceitemsintheeppropristestorageplaceasdirectedbyFNSpersonnelandrotateproductstoensurea“first-in-first-out”methodiseffectivelyutilized.
Contractorshallprovideongoingfeedbackwhichanalyzesthevolumeofproductsbeingpurchasedduringarequesteddaterange.
ContractorshallparticipateinandsupportanyDCPSengagementorsatisfactioninitiativesinaccordancewiththemissionofFNSanditsintentiontobestserveDCPSstudentsandthe‘community.

ADVISORYANDASSISTANCESERVICES:
Thiscontractis@“nonpersonalservicescontract”.TheContractorandtheContractor'semployees:(1)shallperformtheservicesspecifiedhereinasindependentcontractors,notasemployeesofthegovernment;(2)shallberesponsibleforthelrownmanagementandadministrationoftheworkrequiredandbearsoleresponsibilityforcomplyingwithanyandalltechnical,schedule,financialrequirementsorconstraintsattendanttotheperformanceofthiscontract;(3)shallbefreefromsupervisionarcontro!byanygovernmentemployeewithrespecttothemannerormethodofperformanceoftheservicespecified;but(4)shall,pursuanttothegovernment'srightandobligationtoinspect,acceptorrejectwork,complywithsuchgeneralGirectionoftheCO,orthedulyauthorizedrepresentativeoftheCOasisnecessarytoensureaccomplishmentofthecontractobjectives.
‘TERMINATION
NeithertheContractornortheSFAshallberesponsibleforanylossasresultingifthefulfillment‘ofthetermsofthecontractshallbedelayedorpreventedbywars,actsofpublicenemies,strikes,fires,floods,actsofGod,orforenyactsnotwithinthecontrolofeithertheContractorortheSFA,respectively,andwhichbytheexerciseofduediligenceitsunabletoprevent.
‘TheDistrlctreservestherighttoterminatethiscontractiftheContractorfailstocomplywithanyoftherequirementsofthiscontract.TheDistrictshallnotifytheContractor,inwriting,ofspecificinstancesofnon-compliance.InInstanceswheretheContractorhasbeennotifiedonnon-compliancewiththetermsofthecontract,andhasnottakenimmediatecorrectiveaction,‘theDistrictshallhavetheright,uponwrittennotice,toimmediatelyterminatethecontractand{thecontractorshallbeliableforanydamagesincurredbytheDistrict,TheDistrictshallnegotiateare-purchasecontractoniacompetitivebas'stoarriveatafalrandreasonableprice,
