Subject: Contract No. AGR-25-20000344 with Siemens Industry, Inc. for Fire and
Life Safety Services
Dear Chairman Mendelson:
Pursuant to D.C. Code §§ 1-204.51 and 2-352.02(a), enclosed for consideration and
approval by the Council of the District of Columbia is the Base Term of the subject
contract with Siemens Industry, Inc. (“Siemens”). The proposed period of performance is
from October 1, 2025 to September 30, 2026. The dollar value of the proposed Base Term
of the contract is a not-to-exceed amount of $1,053,142.00.
The purpose of this contract is to provide routine services to the fire and life safety and
building automation systems and continue to replace the VAV units at the Walter E.
Washington Convention Center, which were manufactured by and have continued to be
maintained by Siemens through a series of GSA task orders. A full contract summary is
provided.

(C) The goods or services to be provided, the methods of delivering goods or services, and any
significant program changes reflected in the proposed contract:
• Goods and services to be provided: Siemens will continue to furnish the Washington
Convention and Sports Authority t/a Events DC with routine maintenance and emergency
repair services to the fire and life safety and building automation systems and continue to
replace the VAV units. Additionally, Siemens will conduct the software migration from
Insight (the software for the obsolete Steuler Catalyst system) to the new Desigo system at
the Walter E. Washington Convention Center (the “Convention Center”). The primary
function of the fire and life safety and building automation systems is to provide control over
the Convention Center’s heating, cooling, ventilation, lighting, and sprinkler systems, which
are critical to its operations.
• Social Impact: The contract is essential for the proper operation of essential building
automation systems at the Convention Center, including control of smoke detectors, sprinkler
flow devices, manual fire alarm pull stations, heat detectors, elevator systems, public address
systems, and fire alarm speakers, fire annunciators and fire strobes. The contract will ensure
the health and safety of the Authority’s employees, clients, attendees, and the general public
during events and shows at the Convention Center.
• Method of Delivering Goods and Services: The services will be provided in accordance with
the terms and conditions of the contract.
• Significant Program Changes: None.
(D) The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price and technical components.
• Selection process: The contract was awarded in accordance with the Authority’s
procurement rules at 19 DCMR § 301.1 under GSA Federal Supply Schedule Contract # GS-
07F-217CA. The referenced rule allows for the procurement of good or services pursuant to
a contract of the U.S. General Services Administration without utilizing a competitive
solicitation process.

(E) A description of any bid protest related to the award of the contract, including whether the
protest was resolved through litigation, withdrawal of the protest by the protestor, or

(F) The background and qualifications of the proposed contractor, including its organization,
financial stability, personnel, and prior performance on contracts with the District
government.
With over 170 years of experience, Siemens is one of the world’s largest technology companies
specializing in electrical engineering and electronics. The company provides a wide variety of
products and services, including building technology services and equipment utilized at the
Convention Center, CareFirst Arena and Carnegie Library. Siemens is also the incumbent
provider of fire and life safety and building automation system maintenance and repair services
for the Authority.
• Organization and Personnel: While headquartered in Berlin, Germany, Siemens has
offices around the world and across the United States, including in Washington, D.C.,
Maryland, and Virginia. Siemens employs approximately 320,000 employees
worldwide, of which 454 are based out of their Maryland location.
• Financial Stability: According to a Dun & Bradstreet Business Report obtained on June
21, 2025, Siemens has a clear financial history.
• Prior Performance: Siemens has received excellent ratings on past performance
evaluations and has satisfactorily provided fire and life safety and building automation
system maintenance and repair services to the Authority for the past 20 years.
(G) Performance standards and a summary of the expected subcontracting plan required
under section 2346 of the Small, Local, and Disadvantaged Business Enterprise
Development and Assistance Act of 2005, as amended, D.C. Code § 2-218.01 et seq. (“Act”),
including a certification that the subcontracting plan meets the minimum requirements of
the Act and the dollar volume of the portion of the contract to be subcontracted, expressed
both in total dollars and as a percentage of the total contract amount:
There is a subcontracting waiver exemption in place as granted by the Department of Small and
Local Business Development.
(H) Performance standards and expected outcomes of the proposed contract.
Specific performance standards for Siemens are set forth in the contract.
(I) The amount and date of any expenditures of funds by the District pursuant to the contract
prior to submission to the Council for approval:
None.
(J) A certification that the proposed contract is within the appropriated budget authority for
the agency for the fiscal year and is consistent with the financial plan and budget adopted
in accordance with D.C. Code §§ 47-392.01 and 47-392.02.
The Authority’s budget is separate from the financial plan and budget adopted by the District of
Columbia in accordance with D.C. Code §§ 47-392.01 and 47-392.02. Pursuant to Public Law
No. 105-227, Congress has exempted the Authority from the appropriation requirement set forth
in the fourth sentence of Section 446 of the Home Rule Act (Public Law No. 105-227, 112 Stat.
1515 (August 12, 1998). The Authority’s Fiscal Year 2026 budget was adopted by its Board of
Directors on May 8, 2025. By signature below, the Authority’s Chief Financial Officer certifies
that the contract is consistent with the Authority’s approved capital budget.
(K) A certification that the proposed contract is legally sufficient and has been reviewed by the
Office of the Attorney General, including whether the proposed contractor has any
currently pending legal claims against the District.
As an independent corporate authority with a legal existence separate from the District, the
Authority is represented by its own General Counsel who serves as Assistant Secretary to its
Board of Directors. See D.C. Code § 10-1202(a); see also 19 DCMR § 110.3. By signature
below, the General Counsel certifies that the contract with Siemens is legally sufficient, that
Siemens has no pending claims against the Authority, and that the Authority is unaware of any
pending claims Siemens has against the District.
(L) A certification that Citywide Clean Hands database indicates that the proposed contractor
is current with its District taxes.
Siemens is current with its District tax obligations. (See Tab 3).
(M) A certification that the proposed contractor is current with its federal taxes or has worked
out and is current with a payment schedule approved by the federal government.
Siemens is current with its Federal tax obligations. (See Tab 3).
(N) The status of the proposed contractor as a certified local, small, or disadvantaged business
enterprise.
Siemens is not a certified business enterprise (CBE).
(O) Other aspects of the proposed contract that the Chief Contracting Officer deems

SUBJECT: Certification of Legal Sufficiency for the Base Term of Contract

I. Description of Proposed Base Term
Events DC proposes to award the Base Term of Contract No. AGR-25-30000344
(“Contract”) to Siemens Industry, Inc. to provide Fire and Life Safety
Services at the Walter E. Washington Convention Center.
II. Procurement Overview
The Chief Contracting Officer has determined that: (i) the award of the Base Term
of the Contract is in the best interest of Events DC; (ii) the total amount of the Base
Term of the Contract is not-to-exceed $1,053,142.00; and (iii) the requirements

overed by the Contract fulfill an existing need for Events DC. Based on the
foregoing, the Chief Contracting Officer proposes to award the Base Term of the
Contract.
III. Legal Review
The Office of the General Counsel has reviewed the proposed Base Term Contract
and finds it to be legally sufficient.
The Contract package includes:
1. Council Transmittal Letter;
2. Contract Summary;
3. Tax Compliance Certifications;
4. Certification of Funding Availability;
5. Certification of Legal Sufficiency;
6. Events DC Board of Directors Resolution; and
7. Contract (vendor signed only).
The award of the Base Term of the Contract requires District of Columbia Council
approval.

APPROVAL OF GSA TASK ORDER AGREEMENT WITH SIEMENS INDUSTRY, INC.
FOR FIRE AND LIFE SAFETY SERVICES
WHEREAS, the Washington Authority seeks the
services of a company to provide building systems maintenance, repair and upgrade services to
the existing fire and life safety and building automation systems in the Walter E. Washington
Convention Center ; and
WHEREAS,
Authority may purchase such services through a General Services Administration (GSA) Supply
Schedule contract; and
WHEREAS, in August 2020, the Authority entered into a GSA Supply Schedule contract
for a base term, with four (4), one-year options with Siemens Industry Siemens
the required building systems maintenance, repair and upgrade services to the existing fire and
life safety and building automation systems in the Convention Center, the final Option Year of
which expires on September 30, 2025; and
WHEREAS, performance under the expiring contract has to date, been rated as
WHEREAS, the Authority has a continued need for building systems maintenance, repair
and upgrade services to the existing fire and life safety and building automation systems and
Staff has again recommended purchasing services through a new GSA Supply Schedule
contract (the Contract with a base term at the not-to-exceed amount of $1,053,142.00, and four
(4), one-year options; and
WHEREAS, the President and Chief Executive Officer and the Operations Committee of
the Board of Directors concur with Staff and have recommended approval of the funding for the
base term of the Contract; and
WHEREAS, funding for the Contract is available fiscal year
2026 operating and capital budgets.

NOW, THEREFORE, BE IT RESOLVED THAT, the Board of Directors of the
Washington Convention and Sports Authority accepts the recommendation of the President and
Chief Executive Officer, in her capacity as Chief Contracting Officer, and the Operations
Committee and approves the funding of a GSA Supply Schedule contract with Siemens Industry,
Inc. at the not-to-exceed price of $1,053,142.00, subject to the approval of the Council of the District
of Columbia in accordance with D.C. Code §§ 1-204.51 and 2-352.02.
AND BE IT FURTHER RESOLVED THAT, the President and Chief Executive Officer
shall submit the Contract to the Council for approval as required herein.
This Resolution No. 25-15 may be executed in counterparts.

servicesofSiemensIndustry,Inc.(the“Contractor”)toprovideFireandLifeSafetyServices(the“Services”)attheWalterE.WashingtonConventionCenter(the“ConventionCenter”),locatedat801AllenY.LewPlace,NW,Washington,DC 20001inaccordancewiththetermsandconditionsofGeneralServicesAdministration(“GSA”)ContractnumberGS-07F-217CA(the“GSAContract”).Together,thetermsandconditionsoftheGSAContractandthisGSATaskOrderAgreementconstitutethecompleteagreementbetweentheparties(“Agreement”).
1. SERVICES REQUIRED:
The ContractorshallprovidetheTasks below forthe ServicesattheConvention Center.
1.1 Task:QuarterlyTestsandInspectionsofSprinklerandFireAlarmSystems
a)TheContractorshallconductquarterlytestingandinspectionsofthesprinklerandfirealarmsystems.
1.2 Task2:EmergencyRepairstotheSprinklerandFireAlarmSystems
a)TheContractorshallperformroutineandemergencyrepairandmaintenanceservicesonanasneededbasisattheConventionCenterasrequestedbytheContractingOfficer'sTechnicalRepresentative(COTR)identifiedinSection5.2below.
b)TheContractorshallarriveattheConventionCentertoperformserviceswithinfour(4)hoursofnotificationforemergencyservices,andwithineight(8)hoursofnotificationforregularservicecalls.
1.3 Task3:PreventativeMaintenanceforBuildingAutomationSystems
a)TheContractorshallconductpreventativemaintenanceforbuildingautomationsystems.
1.4 Task4:EmergencyRepairstotheBuildingAutomationSystems
a)TheContractorshallperformroutineandemergencyrepairandmaintenanceservicesonanasneededbasisattheConventionCenterasrequestedbytheCOTR.
b)TheContractorshallarriveattheConventionCentertoperformserviceswithinfour(4)hoursofnotificationforemergencyservices,andwithineight(8)hoursofnotificationforregularservicecalls.

a)TheContractorshallreplaceexistingVAV unitsandfancoilsthroughouttheConventionCenter.

PRICING:
TheratesfortheServicesprovidedduringthetermoftheAgreementshallbeinaccordancewiththeGSAContract,whichisincorporatedhereinbyreference.

emailaddress:vijay.bachan@siemens.com,TheContractorshallusebesteffortstoensurethatthepersonnelproposedasmembersofitsstaffwillbeavailableforthedurationoftheAgreement.Ifforanyreasonthekeypersonmustbereplaced,thepartieswillagreeuponamutuallyacceptable“replacementtransitionperiod”whichwillbeatleastten(10)businessdaysinduration.
INVOICING AND PAYMENT:
TheAuthoritywillmakepaymentstotheContractor,uponthesubmissionofproperinvoices,atthepricesstipulatedintheAgreement,forsuppliesdeliveredandacceptedorservices
performedandaccepted,lessanydiscounts,allowancesoradjustmentsprovidedforintheAgreement.Priortosubmissionofaninvoice,theContractorwillcertifyeachinvoiceforaccuracyandcorrectness.
TheAuthoritywillpaytheContractoronorbeforethe30"dayafterreceivingaproperinvoicefromtheContractor.
Theinvoiceshallcontainthefollowinginformation:(1)thetaskordernumber/purchaseorder;(2)thename,address,andtelephonenumberoftheContractor;(3)theperiodduringwhichtheserviceswereprovided(“BillingPeriod”);(4)thecostoftheservicesandtasksduringtheBillingPeriod;(5)thesignatureofan authorizedofficialoftheContractor;and(6)thesignatureoftheCOTRverifyingthattheserviceshavebeenprovidedassetforthontheinvoiceandinaccordancewiththeAgreement.Whenapplicable,invoicesshallincludethefollowing
supportingdocumentation:
(a)ForLaborHourandTimeandMaterialsContracts,providetimesheetsoraLaborHourreportthatincludestheemployee’sname,jobcategory,laborrate,totalhoursworkedandtheBillingPeriod.
(b)ForGoodsContracts,provideapackingslipifpossibleorquote/estimate.

ForthesatisfactoryperformanceoftheservicessetforthintheAgreement,theContractorwill
bepaidasumnot-to-exceedtheamountsetforthinSection2above.

TheContractorshallsubmitfinalinvoicesnolaterthanthirty(30)daysafterexpirationoftheAgreement,
IntheeventofaninconsistencybetweentheprovisionsoftheAgreementandtheContractor’sinvoice,theprovisionsoftheAgreementwilltakeprecedence.
TERMS AND CONDITION:

TheContractorshallbeboundbytheWageDeterminationNo,2015-4281,Revision29,April11,2024,issuedbytheU.S.DepartmentofLaborinaccordancewiththeServiceContractAct(41U.S.C.351etseq.).TheContractorshallbeboundbythewageratesforthetermoftheContract.Ifan optionisexercised,theContractorshallbeboundbytheapplicablewagerateatthetimeoftheoption.
IfanoptionisexercisedandarevisedwageratedeterminationobtainedbytheChiefContractingOfficerfortheoptionperiodisapplicable,theContractormaybeentitledtoanequitableadjustment.
TheContractorshallguardtheconfidentialityofallofEventsDC’sinformationandmaterials
providedtoContractor,whetherornotsuchinformationandmaterialsareaffirmativelydesignatedasconfidentialbyEventsDC,withthesamelevelofdiligenceandcareasitguardsitsownproprietaryandconfidentialinformation.IfContractorneedstodiscloseEventsDC’sinformationtoathirdpartytoassistContractorwithperformanceofthecontract,ContractorshallfirstobtainwrittenpermissionfromEventsDC andensurethethirdpartysignsanagreementcontainingsubstantiallythesameprovisionscontainedinthissection.Contractoracknowledges
thatfailuretosafeguardanyofEventsDC’sinformationandmaterialsshallconstituteamaterialbreachoftheAgreement,and,inEventsDC’ssoleandabsolutediscretion,mayresultinterminationfordefault.Theconfidentialityrequirementscontainedinthissectionshallnotapplyto(i)informationEventsDC makespubliclyavailable;(ii)informationthatis,atthetimeofdisclosure,lawfullyknowntoContractorwithoutanyrestrictionondisclosure;(iii)informationthatisindependentlydevelopedbyContractorwithoutbreachingContractor’sobligationssetforthhereinandinthecontract;or(iv)informationthatisrequiredtobedisclosedbylaw,
regulation,orcourtorder.ThissectionshallsurviveterminationorexpirationoftheAgreement.
