Dear Chairman Mendelson:
Pursuant to D.C. Official Code § 2-352.02 and 6-227(f)(2), I have enclosed, for consideration by the Council of the
District of Columbia, the (a) Council Contract Summary for the Assignment, Assumption and Amendment of Long
Term Subsidy Contract (“Agreement”) by and among the District of Columbia Housing Authority, Jubilee Housing
Limited Partnership, and Jubilee ADMO Apartments LP, and (b) proposed Assignment, Assumption and Amendment of
Long Term Contract Subsidy Contract for the Marietta Apartments by and among the District of Columbia Housing
Authority, Jubilee Housing Limited Partnership and Jubilee ADMO Apartments LP Approval Resolution of 2025.
The District of Columbia Housing Authority proposes to consent to an assignment, assumption and amendment of
the current Long Term Subsidy Contract between DCHA and Jubilee Housing Limited Partnership (LTSC Contract
Number 0076-2007-00XXL) (the "LTSC"). The LTSC will be assigned by Jubilee Housing Limited Partnership to
Jubilee ADMO Apartments LP and will be assumed by Jubilee ADMO Apartments LP. The LTSC will be extended for
an additional twenty (20) years. With the LTSC extension, Jubilee ADMO Apartments LP will obtain long term
financing to conduct moderate rehabilitation on the Marietta Apartments.

This contract submission requests approval of an Assignment, Assumption and Amendment
Agreement that would result in a twenty (20) year extension, until February 28, 2046, of a Long
Term Subsidy Contract ("LTSC") between DCHA and Jubilee Housing Limited Partnership
("Assignor") that will be assigned to Jubilee ADMO Apartments LP ("Assignee"). The twenty
(20) year extension will allow for the continued provision of rental assistance under the existing
terms of the LTSC, ensuring ongoing support for
eligible residents and uninterrupted operation of
the program at the Marietta Apartments as well as Assignee obtaining financing for a moderate
rehabilitation of the Marietta Apartments.

financial
stability, personnel, and performance on past or current government or private
sector contracts with requirements similar to those of the proposed contract:
Jubilee Housing Inc. ("Jubilee"), a non-profit developer, manager and service provider with 50
years’
experience operating in DC’s Ward One neighborhood, formed the Assignor to obtain
ownership of several Jubilee properties (including the Marrieta Apartments) to lead a
redevelopment of the Jubilee properties. Jubilee has operated as a certified Community Housing
Development Organization (CHDO) for nearly two decades. Jubilee has developed nearly 300
units of similar deeply affordable housing working successfully with District of Columbia
agencies, and has another 280+ units of affordable housing under development
currently.
The Chief Executive Officer has 20 years’ experience leading affordable housing development
and works with a Vice President of Real Estate, Development Coordinator and a talented group of
consultants and volunteers. Jubilee partners with industry leaders on its multifamily development
efforts, including EquityPlus, a leading DC based development consultant. Its Chief Operating
Officer oversees property operations with nearly 30 years’ experience in similar work. The CFO
has twenty plus years overseeing financial activities for similar non-profits and public agencies.

(G) A summary of the subcontracting plan required under section 2346 of the Small, Local, and
Disadvantaged Business Enterprise Development and Assistance Act of 2005, as amended,
D.C. Official Code § 2-218.01 et seq. (“Act”), including a certification that the
subcontracting plan meets the minimum requirements of the Act and the dollar volume of
the portion of the contract to be subcontracted, expressed both in total dollars and as a
percentage of the total contract amount:

(H) Performance standards and the expected outcome of the proposed amount:
The performance standards for the LRSP contract include maintaining full occupancy
of assisted units, timely submission of required reports, compliance with housing quality
standards, and effective case management & supportive services. The expected
outcome of the proposed contract amount is to ensure stable, affordable housing for eligible low-
income residents, reduce housing instability and homelessness, and support long-term housing
retention through consistent subsidy administration and tenant support.

Columbia Housing Authority (“DCHA”) to be submitted to the Council for the District
of Columbia for approval pursuant to D.C. Official Code §2-352.02(a)(1) and §6-
227(f)(2), as amended.
1. Procurement Process
On February 5, 2007, DC
HA issued a “Request for Proposals Number 0076A-2007, Local Rent
Supplement Program – Project-Based Program (“2007 RFP”)” seeking proposals from property owners,
developers, and service providers for participation in DCHA’s Local Rent Supplement Program
(“LRSP”). DCHA sought to provide LRSP project-based and sponsor-based funding for units that
would combine any LRSP award with public housing subsidy received by DCHA from the United
States Department of Housing and Urban Development. The LRSP housing units are for extremely low-
income families making zero to thirty percent (30%) of the area’s median income, as well as the
chronically homeless and indivi d uals with ment a l or physic al disabilities.
Pursuant to the 2007 RFP, on December 19, 2007, DCHA and Jubilee Housing entered into a fifteen
(15) year Long Term Subsidy Contract (Contract Number 0076-2007-00XXL) for nine (9) LRSP units
at
The Marietta Apartments (“Jubilee LTSC”), located at 2418 17th Street NW, Washington, D.C.(“The
Marietta”). The Marietta is currently owned by Jubilee Housing.
The Jubilee LTSC has been subsequently amended and renewed by the parties. Under DC Code §6-
227(f)(2), a Long-Term Subsidy Contract, funded with LRSP, may be extended without the need for
competition.

Jubilee LTSC for an additional twenty (20) years. Jubilee Housing will deed its ownership interest in
The Marietta to Jubilee ADMO. Jubilee ADMO will use the extended Jubilee LTSC to obtain financing
to do a rehabilitation of The Marietta. One of the conditions to the new financing for The Marietta
is to extend the Jubilee LTSC term for twenty (20) years to February 2046.
Both Jubilee Housing and Jubilee ADMO share common ownership and management through Jubilee
Housing Inc., which is the general partner of Jubilee Housing and the general partner of the gene ral
partner of Jubilee ADMO.
2. Description of Proposed Contract
The Agreement assigns and extends the length of the Jubilee LTSC for twenty (20) years. DCHA will
fund the Jubilee LTSC with DCHA’s operating funds for Fiscal Year 2026 in compliance with the
applicable Federal and District of Columbia regulations and DCHA’s policies and procedures.
3. Legal Review
The DCHA Office of the General Counsel (OGC) has reviewed the proposed Agreement for legal
sufficiency. OGC’s review o f the Agreement indicated that it is legally sufficient. In additi on, we are
not aware of any pending legal claims of Jubilee ADMO against the District of Columbia or DCHA.

the Local Rent Subsidy Program funds and the satisfaction of all requirements of the Long
Term Subsidy Contract, DCHA will make available to Jubilee ADMO Apartments LP an initial
annual subsidy amount of up to $271,548 for the Marietta Apartments. This action is
within DCHA's apportionment and budget authority, and is within the District's Financial
Plan and Budget for FY 2026, and such funds are available for administration by DCHA to
support the action.

ASSIGNMENT, ASSUMPTION, AND AMENDMENT OF
LONG TERM SUBSIDY CONTRACT
This Assignment, Assumption and Amendment of Long-Term Subsidy Contract
(“Agreement”) is entered into and effective as ___________ ___, 2025 ( “Effective Date”), by
and among Jubilee Hou sing Limited Partners hip, a District of Columbia limited partnership
(“Jubilee Housing”), as assignor, Jubilee ADMO Apartments LP , a District of Columbia
limited partnership (“Jubilee ADMO ”), as assignee, and the District of Columbia Housing
Authority (“ DCHA”). DCHA, the Jubilee Hous ing, and Jubilee ADMO are sometimes
collectively referred to herein as the “Parties”.
WITNESSETH:
WHEREAS, on December 19, 2007, DCHA and Jubilee Housing entered into a Long-
Term Subsidy Contract for DCHA to provide rental assistance subsidies for nine (9) units to
Jubilee Housing under DCHA’s Local Rent Supplement Program (LRSP) for the property
known as “The Marietta” located at 2418-17th Street NW, Washington, D.C. (the “Marietta
LTSC”);
WHEREAS, Jubilee Housing desires to deed its ownership interest in The Marietta to
Jubilee ADMO;
WHEREAS, in connection with the sale of The Marietta to Jubilee ADMO, Jubilee
Housing desires to assign its rights and interest in the Marietta LTSC to Jubilee ADMO, subject
to DCHA’s consent to the assignment;
WHEREAS, Jubilee ADMO has agreed to assume the rights, obligations, and duties of
Jubilee Housing with respect to the Marietta LTSC, as provided in the Marietta LTSC as
amended by this Agreement;
WHEREAS, Jubilee ADMO desires to obtain long term financing to pay for a
rehabilitation of The Marietta;
WHEREAS, as a condition to the new long-term financing for the rehabilitation of The
Marietta, Jubilee ADMO wishes to extend the term of the Marietta LTSC by twenty (20) years
after its current expiration date of February 28, 2026 to February 28, 2046; and
WH
EREAS, as of the Effective Date, Jubilee Housing represents and covenants to
DCHA that Jubilee Housing is in compliance with the terms of the Marietta LTSC and all
applicable laws, rules, and regulations applicable to the LRSP.
NOW
THEREFORE, in consideration of the sum of Ten Dollars ($10.00) and the above
recitals, each o f which is hereby made a part of this Agreement, the adequacy, sufficiency and
receipt of which is hereby a cknowledged, the P arties hereto hereb y covenant and agree as
follows:

1. R ecitals .
The foregoing Recitals are incorporated herein by reference and made a part of this
Agreement
2. Assignment.
Jubilee Housing hereby grants, conveys, assigns and transfers to Jubilee ADMO all of its
rights and interests in the Marietta LTSC.
3. Assumption.
J
ubilee ADMO hereby accepts and assumes all of Jubilee Housing’s rights, interests, and
obligations in the Marietta LTSC and agrees to (i) comply with all the terms and conditions of
the Marietta LTSC as amended by this Agreement, and (ii) perform all of Jubilee Housing’s
obligations and duties set forth in the Marietta LTSC, in the place and stead of Jubilee Housing.
4. Consent to Assignment.

HA hereby approves and consents to the assignment of the Marietta LTSC by Jubilee
Housing to Jubilee ADMO and the assumption by Jubilee ADMO of all of Jubilee Housing’s
rights, interests, obligations, and duties as set forth in the Marietta LTSC, as amended by this
Agreement.
5. Exten sion of Marietta LTSC Term.
Unless sooner terminated pursuant to the terms and conditions of the Marietta LTSC, the
Marietta LTSC’s current expiration date of February 28, 2026 will be extended for twenty (20)
years to February 28, 2046.
6. C ontract Units .
Th
e Marietta LTSC’s existing Exhibit C of Contract Units and Rents is deleted and
replaced with the new Exhibit C attached hereto as Schedule 1.
7. Compliance with HQS and Other Marietta LTSC Contract Provisions.
Not
withstanding anything contained herein or in the Marietta LTSC to the contrary, no
LRSP payments will be made by DCHA to Jubilee ADMO with respect to any specific unit
unless such specific unit covered by the Marietta LTSC is in compliance with Housing Quality
Standards (“HQS”), the applicant has been deemed eligible for the LRSP, and Jubilee ADMO is
compliance with all other terms of the Marietta LTSC, as amended by this Agreement.

8. J ubilee Housing’s Certifications.
A
s a condition precedent to extend the term of the Marietta LTSC, Jubilee Housing
certifies to the following:
a. A
ll Marietta LTSC c ontract units are in good, safe, sanitary, and te nantable
conditions. Jubilee Housing is maintaining The Marietta and all Marietta LTSC contract
units in accordance with the HQS.
b. T
he amount of the R ental Subsidy set forth in the Marietta LTSC is the correct
amount due under the Marietta LTSC.
c. T
he amount of the R ental Subsidy to Jubilee Housing for ea ch Marietta LTSC
contract unit does not exceed rents charged by Jubilee Housing for other c omparable
unassisted units.
d. E
xcept for the Re ntal Subsidy and the t enant rent as provided unde r the Marietta
LTSC, Jubilee Housing has not received any payments or other considerations (from a
family, DCHA, or any other public or pri vate source) for rental of a Marietta LTSC
contract unit.
e. No
family at The Marietta owns, or has any equity interest in, the Marietta LTSC
contract unit.
f. T
he Marietta LTSC contract units and The Marietta have an automatic sprinkler
system or smoke detectors in proper condi tion in compliance w ith the Fire
Administration Authorization Act of 1992.
g. T
he Marietta LTSC cont ract units and The Marietta are in compl iance with all
applicable Lead-Based Paint regulations and Jubilee Housing ha s all appropriate licenses
and certificates to do business under applicable District of Columbia law.
h. J
ubilee Housing has complie d with a ll applicable federal and local laws,
regulations, and other requirements.
i. The Marietta LTSC contract units listed on the attached Schedule 1 are the sole
units for which Jubilee Housing is receiving Rental Subsidy.
9. Amen dment.
None of the terms or provisions of this Agreement may be changed, waived, modified,
discharged or terminated except by instrument in writing. None of the terms or provisions of this
Agreement shall have been abrogated or waived by reason of any failure or failures to enforce
the same.

10. E ntire Agreement .
This Agreement constitutes the entire understanding between the Parties and supersedes
any prior understandings and agreements between the Parties respecting the subject matter of this
Agreement. Except as exp ressly pr ovided for in this Agre ement, no changes to the Marietta
LTSC may be made except in writing, signed by the Parties.
11. Captions and Headings .
T
he captions and headi ngs contained in this Agreement are included herein for
convenience of reference only and shall not be considered a part hereof and are not in any way
intended to limit or enlarge the terms hereof.
12. S everability .
I
n the event any one or more of the prov isions of this Agreement shall for any reason b e
held to be invalid, illegal, or unenforceable, in whole or in part or in any respect, such provision
shall not affect any other provision of t his Agreement and the remainder of this Agreement shall
remain in full force and effect.
13. Enforcement.
If
Assignee fails to comply with any obligations under this Agreement or the Marietta
LTSC, including Assignee’s obligation to maintain all the LRSP units in accordance with the
HQS, DCHA may exercise any and all of its rights or remedies under the Marietta LTSC.
14. C ounter parts.
Th
is Agreement may be executed by the Parties in one or more counterparts, each of
which shall be deemed to be an original hereof and all of which counterpart originals shall be
deemed to constitute one and the same document.
15. B inding Effect .
Ex
cept as expressly provided in this Agreement, the terms of the Marietta LTSC shall
remain in full force and effect and binding upon all successors and assigns.
16. Defined Terms.
D
efined terms used in this Agreement that are not defined in this Agreement shall have
the meanings ascribed to such terms as set forth in the Marietta LTSC.
