Pursuant to section 451 of the District of Columbia Home Rule Act (D.C. Official Code § 1 -
204.51) and section 202 of the Procurement Practices Reform Act of 2010 (D.C. Official Code §
2-352.02), enclosed for consideration and approval by the Council of the District of Columbia is
proposed definitive Contract No. DCRL -2025-C-0058 with Hospital for Sick Children Pediatric
Center (HSCPC)in the $1,898,584.00. The period of performance is from August 13, 2025 through
August 12, 2026.
Under the proposed contract, The Hospital for Sick Children Pediatric Center will provide respite
care for the wards of the District.

CFSA requested pricing for the base period and all option periods during the solicitation phase of the
contract. The increase of approximately 4 % (percent) per option period reflects anticipated market
conditions such as inflation, labor cost adjustments, and potential increases in goods and services over
time. Establishing these incremental increases upfront ensures cost predictability, protects the District from
unexpected escalations, and secures the most advantageous pricing structure for the duration of the
contract.

The value of the services to date is $119,636.80.
(F) A description of any other contracts the proposed contractor is currently seeking or holds
with the District:
According to our search of OCP’s Center of Excellence database, HSCPC doesn’t hold a current
contract with the District.
(G) The goods or services to be provided, the methods of delivering goods or services, and any
significant program changes reflected in the proposed contract:
HSCPC is responsible for providing in-patient respite care placement services to medically fragile
wards of CFSA on an as-needed basis, 24 hours per day.
(H) The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price, technical or quality, and past performance components:
This contract was awarded as a Sole Source. The proposed contractor is the only hospital in the
Washington Metropolitan area that provides transitional services for children and is capable of
meeting the District’s minimum need during the proposed period of performance.
(I) A description of any bid protest related to the award of the contract, including whether the
protest was resolved through litigation, withdrawal of the protest by the protestor, or
voluntary corrective action by the District. Include the identity of the protestor, the grounds
alleged in the protest, and any deficiencies identified by the District as a result of the protest:

(J) The background and qualifications of the proposed contractor, including itsorganization,
financial stability, personnel, and performance on past or current government or private
sector contracts with requirements similar to those of the proposed contract:
HSCPC is a sub-acute children’s hospital in the District that provides medical and rehabilitation
care to children and young adults through its inpatient and outpatient programs. HSCPC has
provided respite service to the District for more than ten years and has the financial stability to
provide the services as proposed under this contract. The contractor has an acceptable performance
record based on its performance evaluation completed by the CFSA Contract Administrator on
August 19, 2025.
(K) A summary of the subcontracting plan required under section 2346 of the Small, Local, and
Disadvantaged Business Enterprise Development and Assistance Act of 2005, as amended,
D.C. Official Code § 2-218.01 et seq. (“Act”), including a certification that the subcontracting
plan meets the minimum requirements of the Act and the dollar volume of the portion of the
contract to be subcontracted, expressed both in total dollars and as a percentage of the total
contract amount:

(L) Performance standards and the expected outcome of the proposed contract:
The expected outcome of the proposed contract is for HSCPC to stabilize the youth placed at its
facility. Once the youth is medically stable the youth shall transition to a step-down placement as
appropriate.
(M) The amount and date of any expenditure of funds by the District pursuant to the contract
prior to its submission to the Council for approval:
August 13, 2025 through December 10, 2025, in the amount of $624,192.00.
(N) A certification that the proposed contract is within the appropriated budget authority for the
agency for the fiscal year and is consistent with the financial plan and budget adopted in
accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:
The Agency Fiscal Officer provided a certification of funding on September 9, 2025 that certifies the
agency, in its approved budget for fiscal year 2025 and 2026, has sufficient funds to meet the
obligations of the proposed contract.
(O) A certification that the proposed contractor has been determined not to violate section 334a
of the Board of Ethics and Government Accountability Establishment and Comprehensive
Ethics Reform Amendment Act of 2011, D.C. Official Code § 1-1163.34a; and (2) A
certification from the proposed contractor that it currently is not and will not be in violation
of section 334a of the Board of Ethics and Government Accountability Establishment and
Comprehensive Ethics Reform Amendment Act of 2011, D.C. Official Code § 1-1163.34a:

HSC has certified that it is current with the Act in accordance with the notarized Self Certification
on June 25, 2024.
(P) A certification that the contract is legally sufficient, including whether the proposed
contractor has any pending legal claims against the District:
The District of Columbia, Office of the Attorney General (OAG) has certified that the proposed
modification is legally sufficient. The contractor has no legal claims pending against the District.
(Q) A certification that Citywide Clean Hands database indicates that the proposed contractor is
current with its District taxes. If the Citywide Clean Hands Database indicates that the
proposed contractor is not current with its District taxes, either: (1) a certification that the
contractor has worked out and is current with a payment schedule approved by the District;
or (2) a certification that the contractor will be current with its District taxes after the District
recovers any outstanding debt as provided under D.C. Official Code § 2-353.01(b):
HSCPC submitted a Citywide Clean Hands Certificate, dated August 28, 2025, that confirms the
contractor is compliant with the Office of Tax and Revenue and the Department of Employment
Services.
(R) A certification from the proposed contractor that it is current with its federal taxes, or has
worked out and is current with a payment schedule approved by the federal government:
HSCPC has certified that it is current with its federal taxes in accordance with the signed
Bidder/Offeror Certification dated 04/02/2025
(S) The status of the proposed contractor as a certified local, small, or disadvantaged business
enterprise as defined in the Small, Local, and Disadvantaged Business Enterprise
Development and Assistance Act of 2005, as amended, D.C. Official Code § 2-218.01 et seq.:

(T) Other aspects of the proposed contract that the Chief Procurement Officer considers

HSCPC is not currently debarred from contracting with the District or Federal Government based
on searches on the OCP EPLS database and the System for Award Management (SAM) Search
database and HHS Office of Inspector General (OIG) website conducted on 9/5/2025.

1. The Government of the District of Columbia, Child and Family Services Agency
(
CFSA, Agency or District), is contracting with The Hospital for Sick Children
Pediatric Center (HSC), herein referred to as the Contractor, wherein Contractor
agrees to provide In-Patient Respite Care Placement Services for CFSA clients with
a wide range of medical conditions and require 24- hour monitoring, set forth in
attachment B, Scope of Work.
2. This is a S ingle Available Source contract with a firm fixed price. The District
will pay HSC for the number of clients in placements on a monthly basis, based
on the Pricing Schedule set forth in Attachment A.
3. The District intends to definitize this letter contract within 49 da ys from August
13, 2025, at which time this letter contract shall merge with the definitized
contract. Before the expiration of the 49 days, the contracting officer may
authorize an additional period in accordance with section 2425.9 of the
Procurement Regulations, 27 DCMR 2425.9. If the District does not definitize
this letter contract within 120 days from the date of award of this letter contract
or any extensions thereof, this letter contract shall expire. In the event of
expiration of this letter contract, the District shall pay Contractor for the services
performed under this letter contract in an amount not to exceed two hundred
fifty-four thousand, eight hundred seventy-eight dollars and forty cents

($254,878.40). In no event shall the amount paid under this letter contract, or
any extensions thereof, exceed 50% of the total definitized contract amount.
4. The duration of the definitized contract shall be one year from the date of award
of this letter contract. The District shall pay Contractor for the services
performed during the duration of the definitized contract in an amount not to
exceed $1,898,584.00
5. The Contractor shall perform under this letter contract pursuant to the terms of
the following documents that are hereby incorporated by reference and made a
part of this contract, which in the event of a conflict shall be resolved by giving
precedence in the order of priority listed below:
(a) This letter contract;
(b) The Pricing Schedule – Attachment A;
(c) The Scope of Work - Attachment B
(d) The Standard Contract Provisions for use with District of Columbia
Government Supplies and Services Contracts, dated July 2010,

6. This letter contract shall be subject to the following:
(a) Appropriation of funds;
(b) The District's approval of Contractor's affirmative action plan;
(c) The approval by the Council of the District of Columbia, in accordance with
D.C. Official Code, §2-352.02, if this letter contract is of a value in excess of
one million dollars. However, if this letter contract is not in excess of one
million dollars, but the value of the subsequent definitized contract, (which
includes the value of this letter contract) is in excess of one million dollars, the
definitized contract must be approved by the Council in accordance with D.C.
Official Code, §2- 352.02. If the Council disapproves, the subsequent
definitized contract, all performance under the letter contract shall terminate
and the liability of the District shall be limited to the amount set forth in
provision number 3, above, of the letter contract.

A.1 The Government of the District of Columbia, Child, and Family Agency (CFSA), on behalf
of the Office of Well Being , is entering into a contract with HSC to provide respite care
placement services for CFSA clients.
A.2 The District is contemplating the award of a Fixed Price contract.
The cost of respite care placement services shall not exceed the amount specified in the
Price Schedule.
A.3 PRICE/COST SCHEDULE/AGGREGATE GROUP AWARD
The Contractor shall provide all direct and indirect resources to provide the services in
accordance with the specifications contained in this contract and at the prices stated. This
is a Fixed -Price contract for the supplies/services to be performed at t he unit prices
specified in the Price Schedules.

B.1 SCOPE OF WORK
B.1.1 The Government of the District of Columbia, Child, and Family Services Agency (CFSA)
is seeking to utilize HSC to provide inpatient respite care placement services to CFSA
clients.
B.1.2 The respite program at HSC serves children with a wide range of medical conditions,
including heart disease, chronic lung disease, children requiring enteral feeds, and
complications of prematurity. The respite patients admitted to HSC must meet the current
admission criteria of the hospital: Respite children have special health care needs that
require medical monitoring but are currently stable. Active medical problems or illness are
exclusions for respite services. It is most commonly provided as a benefit for the parent or
caregiver of a child who requires 24-hour monitoring. Respite admissions typically last 1-
7 days. However, longer stays may be approved for extenuating circumstances. Upon
admission to HSC, there shall be a clearly defined discharge plan.
B.1.3 Children will be referred for respite services by email or telephone via a referral to the
admissions office. A preadmission assessment will be completed by the Nurse Liaison to
ensure appropriate admission. The admission process from referral to admission takes a
minimum of 2 business days. Admissions to HSC typically take place Monday through
Friday 8a-6p.
B.1.4 On admission, CFSA will identify who has authority for medical decision making for the
child during the admission. The CFSA representative will serve in this capacity since the
child is a ward of the District. Child’s legal guardian along with a CFSA representative
must be available onsite at the time of admission.
B.1.5 If the child, once admitted, is deemed not appropriate for HSC’s scope of service, CFSA
shall be contacted to find a more appropriate placement for the child.

B.2 GENERAL REQUIREMENTS
B.2.1 The Contractor shall not engage in corporal punishment or undue or unnecessary physical
restraint of any type.
B.2.2 The Contractor shall be required to provide respite care placement services for said CFSA
client(s), when requested by the designated CFSA representative as outlined in Section
C.1.3 in the Scope of Work.
B.2.3 The Contractor shall report unusual incidents (as defined in Section C.6) to the child's
Social Worker and the Contract Administrator (CA) within 24 hours by email or telephone
and in writing within three (3) calendar days of said incident. All allegations of suspected
or known child abuse or neglect shall be immediately reported to the CFSA child abuse
and neglect hotline at (202) 671-SAFE (7233).
B.2.4 Contractor shall inform the CA in writing of any disagreement regarding the need for
continued treatment services, appropriateness of certain types of treatment, concerns or
questions regarding invoicing or payment, or any other disagreement concerning the
applicability or interpretation of services to be rendered. If the Contractor determines
medical necessity at a higher level of care than respite services, the client’s health insurance
will be billed for the level of care. If the Contractor determines that the client needs timely
discharge, the District will immediately arrange for such transfer. The Contractor may
request a staffing meeting to discuss the issues and attempt to reach a mutually satisfactory
resolution. The CA will inform the Contracting Officer in writing of any such requests and
will work with the Contracting Officer to decide the most appropriate means of resolution.
B.3 LOCATION OF SERVICES/FACILITY REQUIREMENTS
B.3.1 Contractor shall provide services at the Contractor's primary facility. The Contractor's
primary facility shall be appropriately zoned and licensed for such purposes and shall
comply with all applicable laws, including but not limited to the Americans with
Disabilities Act, and all licensing, permitting and Certificate of Occupancy requirements.
The Contractor shall develop an emergency exit plan and shall develop a contingency plan
for an alternative facility, in the event the facility is deemed inappropriate for any reason.
B.4 STAFF REQUIREMENTS
B.4.1 The Contractor shall ensure that all employees have been cleared through the Child
Protection Register and the Police Department of the jurisdictions in which they have
resided for the five (5) years prior to the employment under this contract. The Contra ctor
shall provide verification of these clearances within thirty (30) days of contract execution.

B.4.2 The Contractor shall ensure that all direct staff, including but not limited to consultants, do
not have any prior criminal record of convictions for child abuse or molestation, sexual
abuse or rape, or drug use or drug involvement. Any employee found to have such a
conviction is not allowed to service CFSA clients under this contract. Verification of such
action by the Contractor is to be provided to the Agency within five (5) business days upon
discovery.
B.4.3 If this contract states that information, reporting or any other obligation of Contractor shall
be provided to "CFSA" or the "Agency" or authorization is to be obtained from "CFSA" or
the "Agency", and no specific person from CFSA is identified, either by name or position,
as the point of contact, then for purposes of this contract, the CA shall be the point of
contact. If information is to be provided by Contractor, and the means of transmitting the
information is not specified, for purposes of this contract, the information shall be required
to be provided in writing and shall be transmitted by email.
B.4.4 The Contractor shall only accept and process referrals that have been submitted to the
Contractor by a designated representative of CFSA. All referrals shall be in writing. CFSA
shall not be responsible for payment for any services rendered that are not the result of a
referral from the Office of Well Being Health Services Administration, regardless of the
identity of the referring agency or source, or the legal status of the children, youth or
families being served.
B.5 MANDATORY REPORTING
B.5.1 The Contractor shall comply with the provisions as cited in D.C. Law 22- 2 and DC Code
§4-13 21. 02.
B.5.2 The Contractor shall ensure that any staff member who receives information concerning,
or personally observes, an incident of alleged or actual child abuse or neglect, having any
other information indicating an alleged or actual risk to a client's health or safety, shall
make an immediate oral report and a written report within twenty -four (24) hours to the
Child Abuse and Neglect Unit Located at 200 I Street, S.E., Washington, D.C. 20003 or by
calling the CFSA twenty-four (24) hour Child Abuse and Neglect Hotline (202) 671-SAFE.
B.5.3 The Contractor shall ensure that any staff member who believes that a client is in serious
and immediate danger shall take immediate steps to protect the client including, as
appropriate, removing the client from the danger.
B.5.4 The Contractor shall ensure that the written report shall include, but is not limited to, the
following information if the person making the report know it: client who is the subject of
the report, person responsible for the client's care, nature and extent of the abuse or neglect,

other information that may be helpful in establishing the cause of the abuse or neglect, and
the identity of the person responsible for the abuse or neglect.
B.6 UNUSUAL INCIDENTS
B.6.1 The Contractor shall, establish, implement, and describe in writing policies and procedures
for the reporting of unusual incidents, including, but not limited to;
(a) The death of a client;
(b) The death of a staff member while on duty or at the facility;
(c) An attempted suicide by client;
(d) Any situation in which a client is the victim of alleged delinquent or criminal behavior;
(e) An injury, trauma or illness of a client requiring treatment at a hospital;
(f) Any use of restraints with the client;
(g) An outbreak of a communicable disease at Contractor;
(h) Any incident that requires the services of the fire or police departments;
(i) An automobile accident involving client;
(j) A loss of any utility, including but not limited to power, water, or sewage for a time
greater than 12 hours.; and
(k) Any other occurrence or event that substantially interferes with the client's health,
welfare, living arrangement, or well-being, in any way places the client at risk.
B.6.2 The Contractor's director or other designated staff shall complete an Unusual Incident
Report, CFSA-1243 (Attachment J.10 and ensure delivery is completed via fax (202-727-
7772) or personal delivery to the CFSA Office of Well Being Health Services
Administration within (24) hours of the occurrence of the incident, except in cases
involving abscondence.
B.6.3 Report medical emergency to the Clinical and Health Services Administration on -call
manager at 202-498-8456 or the CA.
B.6.4 Engage proper medical/emergency providers in case of a medical emergency.

seekingacontractortoprovideinpatientrespitecareplacementservicestoCFSAclients.
C12 TherespiteprogramatHospitalforSickChildrenPediatricCenter(HSCPC)serveschildrenwith a wide range of medical conditions,includingheart disease,chronic lung disease,
childrenrequiringenteralfeeds,andcomplicationsofprematurity.Therespitepatientsadmittedto HSCPC must meet the currentadmissioncriteriaof the hospital:

irenhavespecialhealthcareneedsthatrequiremedicalmonitoringbutarecurrentlystable.Activemedicalproblemsorillnessareexclusionsforrespiteservices.Itismostcommonlyprovidedasabenefitfortheparentorcaregiverofa childwhorequires24-hourmonitoring.Respiteadmissionstypicallylast1-7days.However,longerstaysmaybeapprovedforextenuatingcircumstances.UponadmissiontoHSCPC,thereshallbeaclearly
defineddischargeplan.
C13 Childrenwillbereferredforrespiteservicesbyemailortelephoneviaareferraltotheadmissionsoffice.A preadmissionassessmentwillbecompletedbytheNurseLiaisontoinsureappropriatenessofadmission.Theadmissionprocessfromreferraltoadmissiontakes

TheContractorshallberequiredtoproviderespitecareplacementservicesforsaidCFSAclient(s),whenrequestedbythedesignatedCFSArepresentativeasoutlinedinSectionC.1.3intheScopeofWork.
TheContractorshallreportunusualincidents(asdefinedinSectionC.6)tothechild'sSocialWorkerandtheContractAdministrator(CA)within24hoursbyemailortelephoneandinwritingwithinthree(3)calendardaysofsaidincident.AllallegationsofsuspectedorknownchildabuseorneglectshallbeimmediatelyreportedtotheCFSAchildabuseandneglecthotlineat(202)671-SAFE(7233).
ContractorshallinformtheCA inwritingofanydisagreementregardingtheneedfor
continuedtreatmentservices,appropriatenessofcertaintypesoftreatment,concernsor
questionsregardinginvoicingorpayment,oranyotherdisagreementconcerningtheapplicabilityorinterpretationofservicestoberendered.IftheContractordeterminesmedicalnecessityatahigherlevelofcarethanrespiteservices,theclient'shealthinsurancewillbebilledforthelevelofcare.IftheContractordeterminesthattheclientneedstimelydischarge,theDistrictwillimmediatelyarrangeforsuchtransfer.‘TheContractormayrequestastaffingmeetingtodiscusstheissuesandattempttoreachamutuallysatisfactoryresolution.TheCA willinformtheContractingOfficerinwritingofanysuchrequestsandwillworkwiththeContractingOfficertodecidethemostappropriatemeansofresolution.
LOCATION OF SERVICES/FACILITYREQUIREMENTS
ContractorshallprovideservicesattheContractor'sprimaryfacility.TheContractor'sprimaryfacilityshallbeappropriatelyzonedandlicensedforsuchpurposesand shallcomplywithallapplicablelaws,includingbut not limitedtothe Americans with DisabilitiesAct,and
alllicensing,permittingandCertificateofOccupancyrequirements.TheContractorshalldevelopanemergencyexitplanandshalldevelopacontingencyplanforanalternativefacility,intheeventthefacilityisdeemedinappropriateforanyreason.
STAFF REQUIREMENTS
TheContractorshallensurethatallemployeeshavebeenclearedthroughtheChildProtectionRegisterandthePoliceDepartmentofthejurisdictionsinwhichtheyhaveresidedforthefive(5)yearspriortotheemploymentunderthiscontract.TheContractorshallprovideverificationoftheseclearanceswithinthirty(30)daysofcontractexecution.

Ifthiscontractstatesthatinformation,reportingoranyotherobligationofContractorshallbeprovidedto"CFSA"orthe"Agency"orauthorizationistobeobtainedfrom"CFSA"orthe"Agency",andnospecificpersonfromCFSAisidentified,eitherbynameorposition,asthepointofcontact,thenforpurposesofthiscontract,theCA shallbethepointofcontact.IfinformationistobeprovidedbyContractor,andthemeansoftransmittingtheinformationisnotspecified,forpurposesofthiscontract,theinformationshallberequiredtobeprovidedinwritingandshallbetransmittedbyemail.

shallnotberesponsibleforpaymentforanyservicesrenderedthatarenottheresultofareferralfromtheOfficeofWellBeingHealthServicesAdministration,regardlessoftheidentityofthereferringagencyorsource,orthelegalstatusofthechildren,youthorfamiliesbeingserved.
MANDATORY REPORTING
‘TheContractorshallcomplywiththeprovisionsascitedinD.C.Law22-2andDC Code§4-

‘TheContractorshallensurethatanystaffmemberwhoreceivesinformationconcerning,orpersonallyobserves,anincidentofallegedoractualchildabuseorneglect,havinganyotherinformationindicatinganallegedoractualrisktoaclient'shealthorsafety,shallmakeanimmediateoralreportandawrittenreportwithintwenty-four(24)hourstotheChildAbuseand Neglect Unit Located at 200 I Street,S.E.,Washington, D.C. 20003 or by callingthe
CFSA twenty-four(24)hour Child Abuse and NeglectHotline(202)671-SAFE.
‘TheContractorshallensurethatany staffmember who believesthata clientisinseriousand
immediatedangershalltakeimmediatestepstoprotecttheclientincluding,asappropriate,removingtheclientfromthedanger.

UNUSUAL INCIDENTS
TheContractorshall,establish,implement,anddescribeinwritingpoliciesandproceduresforthereportingofunusualincidents,including,butnotlimitedto;
(a)Thedeathofa client;(b)Thedeathofastaffmemberwhileondutyoratthefacility;(©)Anattemptedsuicidebyclient;(@)Anysituationinwhichaclientisthevictimofallegeddelinquentorcriminalbehavior;(©)Aninjury,traumaorillnessofaclientrequiringtreatmentatahospital;(0)Anyuseofrestraintswiththeclient;(g)AnoutbreakofacommunicablediseaseatContractor;(h)Anyincidentthatrequirestheservicesofthefireorpolicedepartments;(i)Anautomobileaccidentinvolvingclient;()A lossofanyutility,includingbutnotlimitedtopower,water,orsewageforatimegreaterthan12hours.;and(k)Anyotheroccurrenceoreventthatsubstantiallyinterfereswiththe client'shealth,welfare,livingarrangement,orwell-being,inanywayplacestheclientatrisk.

G4 PAYMENT
G4l PAYMENTS ON PARTIAL DELIVERIESOF SERVICES

a) The amount due on thedeliverieswarrantsit;or

G51 In accordancewith 27 DCMR 3250, the Contractormay assignto a bank, trustcompany, or

BusinessAssociateagreesnottoelectronicallytransmitorpermitaccesstoPHIunlesssuchtransmissionoraccessisauthorizedbythisAddendumandtheAgreementandfurtheragreesthatitshallonlytransmitorpermitsuchaccessifsuchinformationissecuredina mannerthatisconsistentwithapplicablelaw,includingtheSecurityRule.ForpurposesofthisAddendum,“encrypted”shallmeanthereversibleconversionofreadableinformationintounreadable,protectedformsothatonlyarecipientwhohastheappropriate“key”canconverttheinformationbackintooriginalreadableform.IftheCoveredEntitystores,usesormaintainsPHIinencryptedform,orinanyothersecuredformacceptableunderthesecurityregulations,CoveredEntityshallpromptly,atrequest,providewiththekeyorkeystodecryptsuchinformationandwillotherwiseassurethatsuchPHIisaccessibleby uponreasonablerequest.
IntheeventBusinessAssociateperformsfunctionsoractivitiesinvolvingtheuseordisclosureofPHIonbehalfofCoveredEntitythatinvolvetheinstallationormaintenanceofanysoftware(asitfunctionsaloneorincombinationwithanyhardwareorothersoftware),BusinessAssociateshallensurethatallsuchsoftwarecomplieswithallapplicablestandardsandspecificationsrequiredbytheHIPAARegulationsandshallinformofanysoftwarestandardsorspecificationsnotcompliantwiththeHIPAARegulations.

‘Sanctions
BusinessAssociateagreesthatitsworkforcemembers,agentsandsubcontractorswhoviolatetheprovisionsofHIPAAorotherapplicablefederalorstateprivacylawwillbesubjecttodisciplineinaccordancewithBusinessAssociate’sPersonnelPolicyandapplicablecollectivebargainingagreements.BusinessAssociateagreestoimposesanctionsconsistentwithBusinessAssociate'spersonnelpoliciesandproceduresandapplicablecollectivebargainingagreementswithrespecttopersonsemployedbyit.MembersoftheBusinessAssociateWorkforcewhoarenotemployedbyBusinessAssociatearesubjecttothepoliciesandapplicablesanctionsforviolationofthisComplianceClauseassetforthinbusinessassociateagreements.IntheeventBusinessAssociateimposessanctionsagainstanymemberofitsworkforce,agents,andsubcontractorsforviolationoftheprovisionsofHIPAAorotherapplicablefederalorstateprivacylaws,theBusinessAssociateshallinformtheDistrictPrivacyOfficialortheagencyPrivacyOfficeroftheimpositionofsanctions.
ObligationsoftheCoveredEntityTheCoveredEntityshallnotifytheBusinessAssociateofanylimitation(s)initsNoticeofPrivacyPracticesoftheCoveredEntityinaccordancewith45C.F.R.§164.520,totheextentthatsuchlimitationmayaffecttheuseordisclosureofPHIbytheBusinessAssociate.TheCoveredEntityshallnotifytheBusinessAssociateofanychangesin,orrevocationof,permissionbytheIndividualtotheuseordisclosureofPHI,totheextentthatsuchchangesmayaffecttheuseordisclosureofPHIbytheBusinessAssociate.

TerminationforCause.UpontheCoveredEntity'sknowledgeofamaterialbreachofthisHIPAAComplianceClausebytheBusinessAssociate,theCoveredEntityshalleither:

ProvideanopportunityfortheBusinessAssociatetocurethebreachorendtheviolationandterminatetheContractiftheBusinessAssociatedoesnotcurethebreachorendtheviolationwithinthetimespecifiedbytheCoveredEntity;orImmediatelyterminatetheContractiftheBusinessAssociatebreachesamaterialtermofthisHIPAAComplianceClauseandacureisnotpossible.Ifneitherterminationnorcureisfeasible,theCoveredEntityshallreporttheviolationtotheSecretary.
EffectofTermination.
Exceptasprovidedinparagraph(ii)ofthissection,uponterminationoftheContract,foranyreason,theBusinessAssociateshallreturninamutuallyagreeduponformatorconfidentiallydestroyallPHIreceivedfromtheCoveredEntityorcreatedorreceivedbytheBusinessAssociateonbehalfoftheCoveredEntitywithinfive(5)businessdaysoftermination.ThisprovisionshallapplytoPHIthatisinthepossessionofallsubcontractors,agentsorworkforcemembersoftheBusinessAssociate.TheBusinessAssociateshallretainnocopiesofPHIinanyform.IntheeventthattheBusinessAssociatedeterminesthatreturningordestroyingthePHIisinfeasible,theBusinessAssociateshallprovidewrittennotificationtotheCoveredEntityoftheconditionsthatmakethereturnorconfidentialdestructioninfeasible.UpondeterminationbytheagencyPrivacyOfficerthatthereturnorconfidentialdestructionofthePHIisinfeasible,theBusinessAssociateshallextendtheprotectionsofthisHIPAAComplianceClausetosuchPHIandlimitfurtherusesanddisclosuresofsuchPHIforsolongastheBusinessAssociatemaintainssuchPHI.Additionally,theBusinessAssociateshall:(1) RetainonlythatPHIwhichisnecessaryforBusinessAssociatetocontinueitspropermanagementandadministrationortocarryoutitslegalresponsibilities;(2) Returntocoveredentity,or,ifagreedtoby coveredentity,destroythe
remainingPHIthatthebusinessassociatestillmaintainsinanyform;
(3) ContinuetouseappropriatesafeguardsandcomplywithSubpartC of45CFRPart164withrespecttoePHItopreventuseordisclosureofthePHI,otherthanas

TheContractorshallcomplywiththeprovisionsoftheFairCriminalRecordScreeningAmendmentActof2014,effectiveDecember17,2014(D.C.Law20-152)(the“Act”asusedinthissection).Thissectionappliestoanyemployment,includingemploymentonatemporaryorcontractualbasis,wherethephysicallocationoftheemploymentisinwholeorsubstantialpartwithintheDistrictofColumbia.

B. TitletoProjectDeliverables
TheContractoracknowledgesthatitiscommissionedbytheDistricttoperformservices
detailedinthecontract.The Districtshallhaveownershipand rightsforthedurationsetforth
inthecontracttouse,copy,modify, ‘ibute,oradaptProductsasfollows:
1. ExistingProducts:TitletoallExistingLicensedProduct(s),whetherornotembeddedin,deliveredoroperatinginconjunctionwithhardwareorCustomProducts,shallremainwithContractororthirdpartyproprietaryowner,whoretainsallrights,titleandinterest(includingpatent,trademarkorcopyrights).Effectiveuponpayment,theDistrictshallbegrantedanirrevocable,non-exclusive,worldwide,paid-uplicensetouse,execute,reproduce,display,perform,adapt(unlessContractoradvisestheDistrictaspartofContractor’sbidthatadaptationwillviolateexistingagreementsorstatutesandContractordemonstratessuchtotheDistrict’ssatisfaction),anddistributeExistingProducttoDistrictusersuptothelicensecapacitystatedinthecontractwithalllicenserightsnecessarytofullyeffectthegeneralbusinesspurposeoftheprojectorworkplanorcontract.LicensesshallbegrantedinthenameoftheDistrict.TheDistrictagreestoreproducethecopyrightnoticeandanyotherlegendofownershiponanycopiesauthorizedunderthisparagraph.

D. ‘SubcontractorRights
‘Wheneverany data,includingcomputersoftware,areto be obtainedfrom a subcontractor
underthecontract,theContractorshalluse thisclause,Rightsin Data, inthesubcontract,
withoutalteration,and no otherclauseshallbe used toenlargeor diminishtheDistrict’sor
theContractor'srightsinthatsubcontractordataor computersoftwarewhich isrequiredfor
theDistrict.
E. Source Code Escrow
1 For allcomputersoftwarefurnishedtothe DistrictwiththerightsspecifiedinsectionB.2,
theContractorshallfurnishtotheDistrict,acopyofthesourcecodewithsuchrightsofthescopeasspecifiedinsectionB.2ofthisclause.ForallcomputersoftwarefurnishedtotheDistrictwiththerestrictedrightsspecifiedinsectionB.1ofthisclause,theDistrictContractoreitherdirectlyorthrougha successororaffiliateshallceasetoprovidethemaintenanceorwarrantyservicesprovidedtheDistrictunderthecontractoranypaid-upmaintenanceagreement,oriftheContractorshouldbedeclaredinsolventbyacourtofcompetentjurisdiction,shallhavetherighttoobtain,foritsownandsoleuseonly,asinglecopyofthecurrentversionofthesourcecodesuppliedunderthecontract,anda singlecopyofthedocumentationassociatedtherewith,uponpaymenttothepersonincontrolofthesourcecodethereasonablecostofmakingeachcopy.
2. IftheContractororProductmanufacturer/developerofsoftwarefurnishedtotheDistrictwiththerightsspecifiedinsectionB.1ofthisclauseoffersthesourcecodeorsourcecodeescrowtoanyothercommercialcustomers,theContractorshalleither:(1)providetheDistrictwiththesourcecodefortheProduct;(2)placethesourcecodeinathirdpartyescrowarrangementwithadesignatedescrowagentwhoshallbenamedandidentifiedtotheDistrict,andwho

TheContractorshallupdatethesourcecode,aswellasanycorrectionsorenhancementstothesourcecode,foreachnewreleaseoftheProductinthesamemannerasprovidedabove,andcertifysuchupdatingofescrowtotheDistrictinwriting.

TheContractorshallindemnifyandsaveandholdharmlesstheDistrict,itsofficers,agentsandemployeesactingwithinthescopeoftheirofficialdutiesagainstanyliability,includingcostsandexpenses,(i)forviolationofproprietaryrights,copyrights,orrightsofprivacy,arisingoutofthepublication,translation,reproduction,delivery,performance,useordispositionofanydatafurnishedunderthiscontract,or(ii)baseduponanydatafurnishedunderthiscontract,orbaseduponlibelousorotherunlawfulmattercontainedinsuchdata.
OTHER CONTRACTORS
‘TheContractorshallnotcommitorpermitanyactthatwillinterferewiththeperformanceofworkbyanotherDistrictcontractororbyanyDistrictemployee.
SUBCONTRACTS
TheContractorhereundershallnotsubcontractanyoftheContractor'sworkorservicestoanysubcontractorwithoutthepriorwrittenconsentoftheCO.Anyworkorservicesosubcontractedshallbeperformedpursuanttoasubcontractagreement,whichtheDistrictwillhavetherighttoreviewandapprovepriortoitsexecutionbytheContractor.AnysuchsubcontractshallspecifythattheContractorandthesubcontractorshallbesubjecttoeveryprovisionofthiscontract.NotwithstandinganysuchsubcontractapprovedbytheDistrict,theContractorshallremainliabletotheDistrictforallContractor'sworkandservicesrequiredhereunder.

INSURANCE
GENERALREQUIREMENTS.TheContractoratitssoleexpenseshallprocureandmaintain,duringtheentireperiodofperformanceunderthiscontract,thetypesofinsurancespecifiedbelow.‘TheContractorshallsubmitaCertificateofInsurancetotheContractingOfficer(CO)givingevidenceoftherequiredcoveragepriortocommencingperformanceunderthiscontract.InnoeventshallanyworkbeperformeduntiltherequiredCertificatesofInsurancesignedbyanauthorizedrepresentativeoftheinsurer(s)havebeenprovidedto,andacceptedby,theCO.
TheGovernmentoftheDistrictofColumbiashallbeincludedinallpolicies,whereapplicableandallowablebylaw,requiredhereundertobemaintainedbytheContractoranditssubcontractors(exceptforworkers’compensationandprofessionalliabilityinsurance)asanadditionalinsuredsforclaimsagainstTheGovernmentofthe DistrictofColumbiarelatingtothiscontract,withtheunderstandingthatanyaffirmativeobligationimposedupontheinsuredContractororitssubcontractors(includingwithoutlimitationthe liabilitytopaypremiums)shallbethesoleobligationoftheContractororitssubcontractors,andnottheadditionalinsured.TheadditionalinsuredstatusundertheContractor'sanditssubcontractors’CommercialGeneralLiabilityinsurancepoliciesshallbeaffectedusingtheISO AdditionalInsuredEndorsement form CG 20 10 11 85 (orCG 20 10 07 04 and CG 20

ProfessionalLiabilityInsurance(Errors& Omissions)-TheContractorshallprovideProfessionalLiabilityInsurance(ErrorsandOmissions)tocoverliabilityresultingfromanyerrororomissionintheperformanceofprofessionalservicesunderthisContract.Thepolicyshailprovidelimitsof$5,000,000perclaimorperoccurrenceforeachwrongfulactand$5,000,000annualaggregate.TheContractorwarrantsthatanyapplicableretroactivedateprecedesthedatetheContractorfirstperformedanyprofessionalservicesfortheGovernmentoftheDistrictofColumbiaandthatcontinuouscoveragewillbemaintainedoranextendedreportingperiodwillbeexercisedforaperiodofatleasttenyearsafterthecompletionoftheprofessionalservices.Limitsmaynotbesharedwithotherlinesof
coverage.
6. Commercial _Umbrella_orExcess Liability- The Contractorshallprovide evidence
satisfactorytotheCO ofcommercialumbrellaorexcessliabilityinsurancewithminimumlimitsof$10,000,000peroccurrenceand$10,000,000intheannualaggregate,followingthe
formandinexcessofallliabilitypolicies.AMliabilitycoveragemustbescheduledundertheumbrellaand/orexcesspolicy.Theinsurancerequiredunderthisparagraphshallbewrittenina formthatannuallyreinstatesallrequiredlimits.Coverageshallbeprimarytoanyinsurance,self-insuranceorreinsurancemaintainedbyTheGovernmentoftheDistrictofColumbiaandthe“otherinsurance”provisionmustbeamendedinaccordancewiththisrequirementandprinciplesofverticalexhaustion.
7 EnvironmentalLiability/ContractorsPollutionLiabilityInsurance-TheContractorshallprovideevidencesatisfactorytotheCOofenvironmentalliabilityinsurancecoveringlossescausedbypollutionorotherhazardousconditionsarisingfromongoingorcompletedoperationsoftheContractor.Suchinsuranceshallapplytobodilyinjury,propertydamage(includinglossofuseofdamagedpropertyorofpropertythathasbeenphysicallyinjured),

8. MedicalProfessionalLiability-TheContractorshallprovideevidencesatisfactorytotheCOofa MedicalProfessionalLiabilitypolicywithlimitsofnotlessthan5,000,000.00eachincidentand$5,000,000intheannualaggregate.ThedefinitionofinsuredshallincludetheContractorandallContractor'semployeesandagents.The policyshallbeeither(1)written‘onanoccurrencebasisor(2)writtenonaclaims-madebasis.Ifthecoverageisonaclaims-madebasis,ContractorherebyagreesthatpriortotheexpirationdateofContractor'scurrentinsurancecoverage,Contractorshallpurchase,atContractor'ssoleexpense,eitherareplacementpolicyannuallythereafterhavingaretroactivedatenolaterthantheeffectivedateofthisContractorunlimitedtailcoverageintheabovestatedamountsforallclaimsarisingoutofthisContract.

C SUBCONTRACTOR INSURANCE REQUIREMENTS
Any andallsubcontractorsengagedbyContractorforworkunderthisagreementshallbe
requiredto have the same insuredrequiredof Contractor. Should the Contractorwish to
proposedifferentinsurancerequirementsthanoutlinedbelow,then,priortocommencement
of work by the subcontractor,the Contractorshallsubmit in writingthe name and brief
descriptionofworktobeperformedbythesubcontractorontheSubcontractorsInsuranceRequirementTemplateprovidedtotheOfficeofRiskManagement(ORM).ORM willdeterminetheinsurancerequirementsapplicabletothesubcontractorandpromptlydeliversuchrequirementsinwritingtotheContractor.Ineitherinstance,theContractormustprovideproofofthesubcontractor’srequiredinsurancepriortocommencementofworkby‘thesubcontractor.
D. PRIMARY AND NONCONTRIBUTORY INSURANCE
Theinsurancerequiredhereinshallbeprimarytoandwillnotseekcontributionfromanyotherinsurance,reinsuranceorself-insuranceincludinganydeductibleorretention,maintainedbytheGovernmentofthe DistrictofColumbia.
E. DURATION.TheContractorshallcarryallrequiredinsuranceuntilallcontractworkisacceptedbyTheGovernmentoftheDistrictofColumbiaandshallcarrylistedcoveragesfortenyearsforconstructionprojectsfollowingfinalacceptanceoftheworkperformedunderthiscontractand two years fornon-construction relatedcontracts.
F LIABILITY.ThesearetherequiredminimuminsurancerequirementsestablishedbyTheGovernmentoftheDistrictofColumbia.However,itisunderstoodthatTheGovernmentoftheDistrictofColumbiadoesnotinanywayrepresentthattheinsuranceorthe limitsofinsurancespecifiedhereinaresufficientoradequatetoprotectyourinterestsorliabilitiesandwillnotinanywaylimitthecontractor'sliabilityunderthiscontract.
G CONTRACTOR'SPROPERTY.Contractorsandsubcontractorsaresolelyresponsibleforanylossordamagetotheirpersonalproperty,includingbutnotlimitedtotoolsandequipment,scaffoldingandtemporarystructures,rentedmachinery,orownedandleasedequipment.A waiverofsubrogationshallapplyinfavorofTheGovernmentoftheDistrict

H. MEASURE OF PAYMENT. The Government of theDistrictof Columbia shallnotmake
any separatemeasureorpayment forthecostof insuranceand bonds. The Contractorshall
includeallthecostsofinsuranceand bonds inthecontractprice.
L NOTIFICATION.TheContractorshallensurethatallpoliciesprovidethattheCOshallbegiventhirty(30)dayspriorwrittennoticeintheeventofcancellation,non-renewal,or‘materialchangestotheextentsuchcancellationormaterialchangesresultsinContractornolongcomplyingwiththeaboverequirements.TheContractorshallprovidetheCO withten(10)days’priorwrittennoticeintheeventofnon-paymentofpremium.TheContractorwillalsoprovidetheCOwithanupdatedCertificateofInsuranceshoulditsinsurancecoveragesrenewduringthecontract.TheGovernmentoftheDistrictofColumbiamayreasonablychangetheaboveinsurancecoveragerequirementsduringtheTermbygivingtheContractoratleast30days’noticeofthechange.Thecontractormustcomply,atyourexpense,anddelivertotheCOevidenceofcompliancebeforethechangebecomeseffective.
L CERTIFICATESOFINSURANCE.TheContractormustsendtoCO,atleast10daysafterexecutionofthisAgreement,certificatesofinsuranceevidencingtherequiredinsurancecoverageandendorsementsrequiredherein.Contractorsmustalsoprovideuswithevidenceofrenewalbeforetheexpirationdateofeachinsurancepolicy.Thecontractorisresponsibleforprovidinguswith30daysadvancedwrittennoticeifthecertificateofinsurancebytheinsurerhasbeencanceled,reducedincoverage,orotherwisealtered.Certificatesofinsurancemustreferencethecorrespondingcontractnumber.Evidenceofinsuranceshallbe
