Currently, Chiaramonte Construction Company has various contracts with other District
agencies to include the following:

1) Design-build services of HVAC upgrades at Meyer Elementary School
2) Design-build services of Stoddert Elementary School additional classrooms
3) H.D. Cooke Elementary School playground replacement
4) Exterior security fence replacement at various schools
5) Design-build for Ketcham Elementary School modernization
6) Design-build services of HVAC upgrades at Johnson Middle School

(G) The goods or services to be provided, the methods of delivering goods or services, and
any significant program changes reflected in the proposed contract:

The awarded Design-Build Contractor shall provide design, engineering, permitting,
materials, labor, utility coordination, move services, any offsite storage, supplies, equipment,
and construction services required for the renovation of Petworth Neighborhood Library. In
2018, this library building was listed on the National Register of Historic Places.

On February 20, 2024, a Letter Contract (LC) was awarded to Chiaramonte Construction
Company for $463,204 to complete Phase 1 – Design and Preconstruction Services of the
project. Since that time, the Design Team from Chiaramonte has been working with DCPL
Capital Construction Department in completing the design and construction documents
including preparation of cost estimate and project schedule.

On April 11, 2025, contract modification no. M01 was issued to increase the LC amount by
$8,750.00 to update drawings and coordinate new layout with the electrical engineer (GES)
and FFE consultant.

On September 15, 2025, contract modification no. M02 was issued to increase the LC amount
by $519,429.00 to fund the Early Start Package in accordance with Chiaramonte
Construction Company’s proposal dated August 26, 2025. This brought the new Letter
Contract value to $991,383.00 which did not require Council approval at that time.

Based on the approved design, plans and specifications, the Contractor shall move forward
with Phase 2 – Construction Services of this project with the Guaranteed Maximum Price
(GMP) $2,854,217.00 in accordance with their GMP submission dated October 17, 2025.

Council approval is hereby sought for a total contract amount of $3,104,217.00 to fund the
completion of Phase 1 and Phase 2 of the project and the inclusion of Owner Allowance* in
the amount of $250,000.00 to be set aside for any item or service whose final details, price
or quantity are not yet determined, allowing DCPL to make final decisions later.

(H) The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price, technical or quality, and past performance
components:

Request for Proposals (RFP) No. DCPL-2024-R-0009 was issued on October 4, 2023, in a
set-aside market. DCPL intends to award a single contract from this solicitation to the
responsible contractor whose offer conforming to the solicitation shall be most advantageous
to DCPL, cost or price, technical, and other factors specified elsewhere in the RFP
considered.

A pre-proposal conference followed by a walk-through at the site was held on October 19,
2023, allowing prospective offerors to see the project location and its current condition.

Amendment No. 1 was issued to the RFP on October 27, 2023, to provide the site visit sign-
in sheet and provide responses to vendors’ questions.

On the closing date, November 13, 2023, seven (7) proposals were received in response
to the RFP. The seven (7) offerors are as follows:

On the same day, the DCPL Office of Procurement sent the Confidentiality Agreement,
Disclosure form, Evaluation Plan, Scoresheets, and the eight (7) technical proposals to
the pre-selected members of the Technical Evaluation Panel (TEP) namely Samantha
Dure (Chairperson), Jeffrey Neher and Marshella Wallace. No conflict of interest was
found among the TEP members.

The TEP was instructed to review the technical proposals in accordance with Section
M.2 of the RFP. The technical proposals shall be evaluated using a 90-point scale with
point values allocated as follows:

TEP EVALUATION SUMMARY FOR EACH OFFEROR

Atmos Solutions Inc. with Studio Laan

Factor 1: Design & Build Team Relevant Experience, Capabilities & References

The Build Team highlights high school classroom renovation (Special Education Space
Renovation), which is relevant to the Petworth project. It was a D-B project in DC with
electrical work, plumbing, structural, painting, and renovation of a historic school building.
Two out of the three build team examples were Franklin Park Renovation and Southeast
Tennis Courts Reconstruction, which is not similar to the Petworth project.

The Design Team had one relevant project, the Blue Dot Showroom retail space, although
the construction budget is not noted. The other two projects provided by the Design Team;
1000 Maine Avenue Conference Center and 8th Floor Suites corporate suite that the
evaluators did not think is relevant for the Petworth Renovation.

Atmos Solutions Inc is one of the three firms that Studio Laan has partnered with and
submitted proposals.

Factor 2: Design Lead, Build Team PM & Superintendent

The Design Lead (27+ years’ experience including 12 in the current position) and has worked
on numerous projects in DC including several schools. Design Lead experience includes
historic projects.

The Build Project Manager (PM) has 20 years of experience and 15 plus years of DB
experience although it is unclear how many years the PM has been at their current position
at Atmos. The Woody Ward Baseball Field Renovation project is not relevant. No
construction costs or dates are mentioned on the resume. It is not noted if the projects listed
were performed with the current firm or previous.

The Superintendent has 15 years of experience on his resume. It is unclear by the Evaluators
the difference between the Field Superintendent and Superintendent, as most work listed on
the resume is completed under the role of Field Superintendent.

The Build Team project personnel have worked together on the projects noted in response
to Factor 1 and this is seen as a strength.
Factor 3: Project Approach

The project approach section is extremely general and does not articulate design vision. The
project approach also does not reference any previous work. Sample schedule appears
ambitious.

Blue Skye Construction & Development with R. McGhee & Associates

Factor 1: Design & Build Team Relevant Experience, Capabilities & References

The Build Team noted two library projects: Woodridge Library delivered under the mentor
Protege program and Rosedale Recreation Center and Library delivered as the General
Contractor. It was not noted if Blue Skye was the Prime on the Downtown Day Services
Center. The Design Team’s experience is strong, with three (3) of their projects highlighted
being DC Public Library projects that were completed in the past. The delivery method for
Design Team projects is noted as CMAR or Design-Bid-Build.

The Build and Design Team have experience working together, including DCPL projects
which are seen as a strength.

Factor 2: Design Lead, Build Team PM & Superintendent

The Project Manager has 27 years’ experience, however their time with Blue Skye is unclear.
Projects listed on the PM’s resume are horizontal infrastructure projects, not comparable to
the budget or scope of the Petworth Renovation.

The Superintendent has 28 years of experience however no description or scope of work is
noted for delivered projects. It appears that the Superintendent is working at two companies
at once, so uncertain what the bandwidth of the Superintendent will be on the Petworth
project.

No experience on historic structures was noted for the PM & Superintendent. The projects
listed by the PM and Superintendent were mostly not relevant to the Petworth project,
primarily exterior work and housing projects.

The Design Lead has 30 years of experience and worked on three DC Public Library projects:
Capitol View, Tenley and Anacostia. Design Lead also has experience with dealing with
historic building projects. It is unclear if the Design PM, with limited experience relevant to
Petworth will be leading the project.

Although not impacting scoring, the project proposal includes extraneous resumes from the
Design and Build Team - more than the minimum requested in the RFP. DGS is incorrectly
added to the organizational chart in the proposal.

Factor 3: Project Approach

The Design approach noted as ‘colorful rug and whimsical mural, bold and trendy for teens’
were not perceived as insightful by the Evaluators. Images included in the proposal for
Design Approach are not contextually appropriate given the historic nature of Petworth.

Capital Construction Group with Studio Laan

Factor 1: Design & Build Team Relevant Experience, Capabilities & References

Build Team’s project example of the University of DC Law School Renovation was a DB
project. The Center City Public Charter School Renovation was not noted to be DB but was
a relevant project. The Plymouth Congregational Church Roofing project is not construed as
relevant.

The La Casina DC Pinseria Romana Restaurant project included by the Design Team has the
potential to be relevant to the Petworth project and could possibly be delivered on a larger
scale. Project images of the 1000 Maine Avenue 8th Floor Suites and Conference Center
included do not provide compelling design expertise.

Capital Construction Group is one of the three firms that Studio Laan has partnered with and
submitted proposals.

Factor 2: Design Lead, Build Team PM & Superintendent

The Design Lead has 20 plus years’ experience with 12 years in the current position and has
worked on several school and historic projects in DC that are relevant to the Petworth project.

The Build Team PM has 15 years of experience and has worked on small interior projects.
The resume does not note any DB experience. The projects listed on PM’s resume do not
include size, build year or construction costs so it is difficult to ascertain how the scope and
size of the projects relate to Petworth.

The Superintendent has more than six (6) years of experience working at CCG and is in the
process of completing CCG’s internal training program. He has worked on five (5) school
renovation projects. The Superintendent resume does lack dates and construction costs, so it
is difficult to ascertain how the scope and size of the projects relate to Petworth.

Factor 3: Project Approach

The Design Approach section does not include specifics of the proposed project and is not
compelling. The University of DC Law School does not provide compelling design
sophistication/expertise.

Chiaramonte Construction with Moya Design Partners

Factor 1: Design & Build Team Relevant Experience, Capabilities & References

Build Team provided three successful projects with similar scope to Petworth including a
historic building renovation, modernization and urban construction although none were
library projects. Build Team has explicitly noted experience with public facility construction
and local regulatory agency protocols. The Build team led a $8.3M project (Woody Ward

Recreation Center) as the Prime GC, the other two projects by the Build Team were
performed as joint ventures. Delivery processes provided were CM at risk not D-B and
Evaluators thus construe that Chiaramonte has the ability to lead the project through
completion.

The Design Team delivered two (2) DB projects. The DGS Headquarters project
demonstrates interior design expertise, showcasing strengths in FF&E selections and
neighborhood context. The other two projects; Downtown Day Services Center and Horace
Mann Elementary School showcase Design Team's ability to work on historic projects and
incorporate biophilic elements into the design where appropriate. The Downtown Day
Services Center in particular included images for spaces that demonstrate thoughtful design
which can translate to compelling spaces in the Petworth library.

The Design & Build Team have partnered in the past and delivered outcomes similar to being
sought for on Petworth renovation. The Build Team provided a list of self-performed services
which could save costs on the tight renovation budget.

Factor 2: Design Lead, Build Team PM & Superintendent

The Design Lead (Marisa King, AIA, LEED AP BD+C) has (3) three libraries in its portfolio
and a historic school in DC. There is a lack of project information on the projects listed by
the Design Lead on the resume and clarity is needed on what projects were completed during
time at Moya versus at the other companies. The Design Team also provided their workload
capacity which is key to understanding the impact of adding Petworth to workload and
providing DCPL assurance that the Design Team can handle the scale of the Petworth
project. Although there is no impact on scoring, there is concern with four Designers listed
on the Team which can lead to an increase in design costs considering a tight renovation
budget.

The Build PM has 15 years’ experience. The PM’s resume lists several projects that are
comparable to the Petworth project, including schools but do not have any library experience.

The Superintendent has experience on several projects in DC of similar scale to Petworth
including historic and interior renovations. It is not noted how long Superintendent has been
with the company and which projects were completed while at Chiaramonte.

Factor 3: Project Approach

The team’s design approach is very specific and clearly delineates, via floor plans; it includes
images of projects completed by the design team. The proposal also provides a narrative that
granularly highlights a space-by-space design approach. Approach factors minimize design
costs and upcycling specific furniture in good condition where possible. There is also an
understanding of project approach and need for careful intervention to make this renovation
successful. The proposal demonstrates a clear understanding of the needs and aspirations of
the library and the community.

If selected, Petworth will be the first project for the D-B Team to work with DCPL, however
the project proposal is described thoughtful and well-conceived.

Corenic Construction with GTM Architects

Factor 1: Design & Build Team Relevant Experience, Capabilities & References

The Build Team’s examples are corporate spaces. The project’s square footage and budget
were provided for each of their highlighted projects.

Two out of the three examples for the design team are still in progress but do include two
library projects (The Beauvoir School Library Renovation Studies and the Takoma Park
Library Renovation). There are no images of the projects provided by the Design Team.
There is limited information regarding the project details of the Takoma Park Library
Renovation where only engineering consulting services are being provided. It is unclear if
any of the projects by the Design Team were DB. There is no mention if Corenic and GTM
worked together on previous projects.

Factor 2: Design Lead, Build Team PM & Superintendent

The Build PM has 30 years of experience and has worked on projects similar to the Petworth
project, including several schools. Build Team PM has DB, estimating and VE experience,
although it is unclear whether Build PM has 15 years of DB experience. Although not
required, the PM does not list any project experience in DC.

Superintendent has 36 years of experience. Wye River Upper School provides experience
with working on historical projects. The Weapons Munitions & Storage Facility project is
not relevant to the Petworth scope of work.

The Design Lead has 30+ years of experience. The Design Lead’s resume lists 16 projects,
but no details are provided including square footage, scope, budget or completion year.
Design Lead did not work on any of the Design Team projects submitted for Factor 1. The
Design Lead is not a licensed architect, and it is unclear who at the Design Firm will sign
drawings as it is not mentioned in the proposal.

There is also no indication whether the firms have worked together, and while the three key
personnel are individually experienced, there is no clarity on their work together.

Factor 3: Project Approach

The “design solutions” cited in the design section are just the elements of the project from
the RFP and not how the Design Team would develop and build upon. The inspirational
images provided for the first floor and children’s area design do not seem contextually
appropriate for Petworth.

InterContinental Build, LLC with Studio Laan

Factor 1: Design & Build Team Relevant Experience, Capabilities & References

The Build Team listed six (6) projects, more than the three (3) required, leaving it to
evaluators to decipher between all six. Two of the projects; Richard Wright Public Charter
School and the Catholic University of America - Flather Hall Residence, while relevant are
inadequately explained. None of the project images show interior work and no square footage
is listed. Most of the project images provided were not sufficient examples to show the
quality of completed work.

The Design Team cites an example of a retail showroom that is relevant to the Petworth
project, the Blue Dot Showroom although construction budget is unknown. Project is retail
typology similar to library projects and provides a creative and finished product which can
potentially be made at a larger scale. The 1000 Main Ave Conference Center and Corporate
Suites don't provide convincing examples to showcase how success can be achieved in the
Petworth Renovation.

InterContinental Build, LLC is one of the three firms that Studio Laan has partnered with and
submitted proposals.

Factor 2: Design Lead, Build Team PM & Superintendent

The Design Lead has 27 plus years (12 in current role) experience and lists several relevant
projects, including schools, community center and some retail projects. Design Lead’s
projects are mostly interior fit outs. Projects listed are missing construction budgets which
makes it difficult for the Evaluator to understand the scale of the projects. The Design Lead
is a registered architect. Design Lead has 27 plus years’ experience with 12 years in the
current position. The projects provided in Factor 1 are on the Design Lead’s resume.

No projects mentioned in the past two years on the Build Team PM resume and none of the
projects mentioned on the resume were listed in Factor 1. There was no mention that the
Build PM has 15 plus years of design-build experience, and the PM is first labeled a Sr.
Estimator, then Sr. Project Manager.

Superintendent has seven (7) years’ experience which includes three (3) years as a Project
Coordinator/Field Superintendent in a previous firm. Superintendent joined IC Build in 2023,
but it is not noted which projects are in his current firm. The size and construction costs are
missing from the resume.

Concern that a Project Executive is billed on the project during Design and that the Project
Executive does not have bandwidth to be on this small renovation project.

Factor 3: Project Approach

The project approach is a generic project management plan, applicable to almost any project.
There are almost no details specific to Petworth in either the design or build approach
proposals. The design approach has no reference to any delivered work, aspirational images,
or specific ideas to address the scope at Petworth.

There was no proposed project schedule provided. Proposal package has errors, spelling
mistakes, formatting issues, and inherent inconsistencies. While not factored into the scoring
but concerned by Evaluators is the four to seven people on the Build Team billing to the
project at the various stages in design and construction considering the limited budget of the
project.

Kadcon with Shinberg Levinas Architects

Factor 1: Design & Build Team Relevant Experience, Capabilities & References

The Design Team has previous library experience, delivering The Bowser-Muyshondt
Library. All three examples are strong and relevant, showcasing the Design Team’s
sophistication and expertise.

The Build Team has experience renovating historic buildings. It was not noted if the Build
Team projects were DB delivery. Costs of projects were not provided.

Factor 2: Design Lead, Build Team PM & Superintendent

Build PM has 30 years’ experience and has delivered DB projects although it is unclear the
number of years with DB. PM has experience working on historical restorations. It is unclear
how long Build PM has been with Kadcon.

The Superintendent has 35 years of experience and has worked on projects that appear to be
similar to the Petworth project although no cost, square footage or year was provided for the
projects listed.

The PM and Superintendent resumes did not have project details including, size, cost,
location and construction year built. The Build PM & Superintendent resumes don't have any
projects that were highlighted in Factor 1.

The Design Lead has relevant experience to this project, including designing an entire small
public library and public-school projects. Design Lead has 42 plus years’ experience with 28
being in the current role. The other projects listed are in DC with scope modernization,
renovation and historic projects. It does not mention if the Architect is licensed or who on
the team will stamp the drawings.

Factor 3: Project Approach

The design approach briefly discusses the elements of the proposed design for the project and
the images of the Goding Elementary School proposal by the firm showcases the Design
Team’s expertise and relevant work to Petworth. The aspirational furniture images added,
including Southwest Library - were not delivered by the firm.

The proposal included a lot of information that seemed to have been copied and pasted from
other proposals, including incorrect Owner information and mis-identifying the work site as
various other locations. Project proposal was dense, included typos, blank pages and included
a lot more information than required that didn't seem to help the proposal.

Based on the TEP evaluation and assessmen t, Chiaramonte Construction with Moya
Design Partners. is the top-ranked among the seven (7) offerors, followed by Blue Skye
Construction & Development with R. McGhee & Associates and Kadcon with
Shinberg Levinas Architects.

The Procurement Office tabulated the price proposals as shown below:

Chief Procurement Officer Independent Assessment

The former Chief Procurement Officer (CPO) conducted her own review of the proposals
and examined the TEP’s individual scoresheets and evaluations, and she found that they are
in line with her Contracting Officer Independent Assessment (COIA). She concurred that
the top-ranked offeror, Chiaramonte Construction with Moya Design Partners exceeded most
of the requirements of the RFP. The former CPO reviewed the price proposal and determined
that Chiaramonte’s price was fair and reasonable compared to the other Offeror prices
submitted in response to the solicitation. Based on these findings, it was determined that the
proposed contract in the amount of $463,204.00 for Phase 1 – Design & Pre-Construction
Services shall be awarded to Chiaramonte Construction with Moya Design Partners, the
highest ranked offeror, whose offer is most advantageous to the District, based upon the
evaluation criteria specified in the solicitation.

On February 20, 2024, the CPO entered into a Letter Contract with Chiaramonte
Construction Company in the amount of $463,204.00 for Phase 1 - Design and Pre-
Construction Services of the project.

(I) A description of any bid protest related to the award of the contract, including whether
the protest was resolved through litigation, withdrawal of the protest by the protestor,
or voluntary corrective action by the District. Include the identity of the protestor, the
grounds alleged in the protest, and any deficiencies identified by the District as a result
of the protest:

(J) The background and qualifications of the proposed contractor, including its
organization, financial stability, personnel, and performance on past or current
government or private sector contracts with requirements similar to those of the
proposed contract:

Chiaramonte Construction Company is a Certified Business Enterprise, specializing in new
construction and remodeling of commercial, municipal and government buildings in the

District of Columbia since they started in 2004. They have an extensive history working
with the DC Government, successfully constructing and renovating facilities within the time
and budget restrictions of each project. Currently, they are working on various contracts
with DCPS to include design-build services for HVAC upgrades at Meyer Elementary
School and Johnson Middle School; design-build services for the additional classrooms at
Stoddert Elementary School, modernization of Ketcham Elementary School and exterior
security fence replacement at various schools, among others. Their Dun and Bradstreet
Business Information Report, dated September 17, 2025, showed that the company has more
than 100 employees, and has a clear history record with annual sales of $16M. In addition,
the Chiaramonte’s Certificate of Clean Hands dated September 17, 2025, indicates that the
Contractor has complied with all of the filing requirements of the District tax laws and there’s
no information pertaining to the company being either suspended or debarred, and DCPL has
no information to the contrary.

(K) A summary of the subcontracting plan required under section 2346 of the Small, Local,
and Disadvantaged Business Enterprise Development and Assistance Act of 2005, as
amended, D.C. Official Code § 2-218.01 et seq. (“Act”), including a certification that the
subcontracting plan meets the minimum requirements of the Act and the dollar volume
of the portion of the contract to be subcontracted, expressed both in total dollars and
as a percentage of the total contract amount:

The Contractor is a certified small business enterprise by the DSLBD and is not required to
submit a subcontracting plan.

(L) Performance standards and the expected outcome of the proposed contract:

The Contractor shall provide design-build services for the renovation of Petworth
Neighborhood Library in accordance with the terms and conditions of the contract. The
performance standard is 100% delivery of all services to the satisfaction of the DCPL.

(M) The amount and date of any expenditure of funds by the District pursuant to the
contract prior to its submission to the Council for approval:

sufficient. The proposed contractor has no pending legal claims against the District.

(Q) A certification that Citywide Clean Hands database indicates that the proposed
contractor is current with its District taxes. If the Citywide Clean Hands Database
indicates that the proposed contractor is not current with its District taxes, either: (1)
a certification that the contractor has worked out and is current with a payment
schedule approved by the District; or (2) a certification that the contractor will be
current with its District taxes after the District recovers any outstanding debt as
provided under D.C. Official Code § 2-353.01(b):

usedoremployedintheperformanceofthecontract.TheContractorshallalsorepair
orreplaceanyDistrictpropertydamaged by theContractor,theContractor’sofficers,
employees,agents,servants,subcontractors,oranyotherpersonactingfororby
permissionoftheContractorwhileperformingworkhereunder.Thedutyto
indemnifycoversanyclaimagainsttheDistrictforitsallegedfailuretomonitoror
supervisetheContractorwheretheunderlyingclaimarisesfromtheconduct,action,

10.Waiver. No Governmental waiverofany breachof any provisionof the Contractshall

actionor non-actionby theContractingOfficeror by theGovernment be construedas

Section1.1 RelationshipofParties.TheDesign-BuilderacceptstherelationshipoftrustandconfidenceestablishedwithDCPLbythisAgreement,andcovenantswithDCPLtofurnishtheDesign-Builder’sreasonableskillandjudgmentandtocooperatewiththeProjectLeadinfurtheringtheinterestsofDCPL.TheDesign-BuildershalluseitsbesteffortstoperformtheProjectinanexpeditiousandeconomicalmannerconsistentwiththeinterestsofDCPL.DCPLshallendeavortopromoteharmonyandcooperationamongDCPL,Design-Builder,ProjectLead,andotherpersonsorentitiesemployedbyDCPLfortheProject.NothingcontainedinthisAgreementisintendedtocreateafiduciaryrelationshipbetweentheParties.
InperformingitsdutiesunderthisContract,theDesign-BuildershallatalltimesusethestandardofcareusedbyDesign-Buildersthatconstructsimilarlibrariesinlarge,urbanareasbyperformingitsservicesconsistentwiththeprofessionalskillandcareordinarilyprovidedbyDesign-Builderspracticinginthesameorsimilarlocalityunderthesameorsimilarcircumstances.TheDesign-BuildershallperformitsservicesasexpeditiouslyasisconsistentwithsuchprofessionalskillandcareandtheorderlyprogressoftheProject.Whenevertheterm“competent”isusedhereintodescribetheDesign-Builder’sactionsordutiesthattermshallrefertothelevelofcompetencecustomarilypossessedbythoseDesign-Buildersthatconstructlibrariesinlarge,urbanareas.
Section1.2 ProjectDescription.TheProjectStatementofWorkandexpectationsaredescribedinRFP SectionB andasnotedinRFP SectionC, shallincludealldesign,engineering,permitting,materials,labor,utilitycoordination,moveservices,anyoffsitestorage,supplies,equipment,andotherservicesrequiredtocompletetheProject,includingbutnotlimitedtotheitemslistedinSectionC.1.
Section 1.3 Project Manager & Contract Administrator. Ms. Samantha Dure will
provideprogrammaticandtechnicaldirectionsandshallactasDCPL'sprincipalrepresentativeintheexecutionofthisproject.

However,theDesign-BuilderacknowledgesthattheProjectLeadisnotauthorizedtomodifyanyoftherightsorobligationsofDCPL,ortoissueChangeOrdersorChangeDirectives.The Design-Builderherebyacknowledgesandagreesthatonlya dulyauthorizedContractingOfficershallhavetheauthoritytoissueChangeOrdersorChangeDirectivesonDCPL’sbehalf.AsofthedatethatthisAgreementissigned,DCPL’sdulyauthorizedChiefProcurementOfficerisTorniaHarrison-Samuels.
IfDCPLchangesthedulyauthorizedContractingOfficer,itwillnotifytheDesignBuilderinwritingwithin10businessdays.
Section 1.4 Design-Builder’s Duties.
The Design-Buildershallperform the servicesdescribed inArticles2 through 4.
The services to be provided under Article2 constitutethe Design and PreconstructionServices
PhaseservicestobeperformedbytheDesign-Builder(the“Design& PreconstructionPhaseServices’).
Article3providesfortheprocessbywhichtheDesign-BuilderandDCPLshallagreetoa GMP forthe Project.

‘outthebulkoftheconstructionandthepost-constructionservices(the“Construction
Phase Services”and “Post-ConstructionPhase Services”).
Section1.5 Representations.Alldisclosures,representations,andcertificationstheDesign-BuildermadeinitsproposalinresponsetotheRFPshallremainbindingandineffectthroughoutthetermoftheContract.TheDesign-Builderreaffirmsthatallsuchdisclosures,representations,andcertificationsaretrueandcorrect.
Ifanydisclosure,representation,orcertificationtheDesign-BuilderhasmadeormakespursuanttotheRFPortheContract,including,withoutlimitation,representationsconcemingtheDesign-Builder'sconstructionordesignexperienceandqualifications,claimsorlitigationhistoryorfinancialcondition,ismateriallyinaccurate,thatshallconstituteamaterialbreachoftheContract,entitlingDCPLtoallavailableremedies.
Atalltimes and during both the Design and PreconstructionPhase and the Construction Phases,
theDesign-BuildershallberesponsibletoDCPLforanyandallactsandomissionsoftheDesign-Builder'sagents,employees,Subcontractors,Sub-Subcontractors,materialsuppliers,andlaborers,andtheagentsandemployeesoftheSubcontractors,Sub-Subcontractors,materialsuppliers,andlaborersperformingorsupplyingworkinconnectionwiththeProject.
ThetermsandconditionsofSection1.5shallapplyduringallphasesoftheProject.
Section1.6Schedule,SubjecttotheExcusableDelayprovisions(seeSection4.15)ofthisAgreement,theContractoragreestosubstantiallycompletetheProjectinaccordancewith
theProjectScheduletobedevelopedjointlybetweenDCPLandDesign-Builderandwillbeincorporatedbyamendmentafterthe100%documentsarecompleted.
SubstantialCompletion shallmean thatallofthefollowinghave occurred:
(1)ThestageorprogressoftheworkoradesignatedportionoftheworkissufficientlycompleteinaccordancewiththeapprovedcontractdocumentssoDCPLcanoccupyorusethespacesforitsintendedpurposes.Bysufficientlycompleteitmeansthatonlyminorpunchlistitemsremaintobecompleted.Minorpunchlistitemsareitemsofworkincludedintheapprovedcontractdocumentsthatareunfinishedorincompleteandrequirereplacementorrepairoradditionalattentiontoachieveanacceptablelevelofquality.Punchlistitemswillbecompletedin60calendardaysfromreceivingcertificateofoccupancy,unlesssubjecttocircumstancesoutsideofDesign-Builder’scontrol.
Note:Generally,workthatwasincludedintheapprovedcontractdocumentsthathavenotbeen installedat allare not partof a punch list.
(2)Anyandallrequiredpermitsorapprovalsrelatedtothework,oraportionoftheworkhavebeenobtained,includinga certificateofoccupancyunlesssaidpermitsandapprovalshave
notbeenobtainedforreasonsbeyondthereasonablecontroloftheDesign-Builder.
(3)Allclean-uprequiredbytheContractDocumentshasbeencompleted;and
(4) TheProjectisreadyforDCPLtouseforitsintendedpurpose.

FinalCompletionshallmeanthedateatwhich:
(1)Substantialcompletionhasbeenachieved,
(2) AllpunchlistitemsnotedinthesubstantialcompletionletterhavebeencompletedandacceptedbyDC PublicLibraryProjectLead.
(3) Finalcertificateofoccupancyandallotherrequiredpermitsandfinalapprovalshavebeenobtained,unlesssaidpermitsandapprovalshavenotbeenobtainedforreasonsbeyondthereasonablecontroloftheDesign-Builder.
(4) AllitemsanddocumentsnotedinAttachmentJ.5oftheRFPhavebeendeliveredtoDCPL.
(8) SignedReleaseofClaims.Thisconditionmustbemetinordertoreceivefinalpayment.
(6)Supplementaltrainingsessionsthatmay berequiredbytheContractforoperatingormaintenancestaffhavebeencompleted;asdiscussedinRFPSectionC.15.
ARTICLE 2
DESIGN BUILDER'SDESIGN& PRECONSTRUCTION SERVICES
Section2.1 ConsultationandAnalysis.ThroughouttheDesign& PreconstructionPhase,theDesign-BuildershallscheduleandattendregularmeetingswithrepresentativesofDCPL.IncollaborationwithDCPL,theDesign-Buildershall:
(1) Conductvalueengineering,
(2) Conductconstructabilityreviews,and
(3) Provideschedulingandcostanalysisforeachphaseofdesign
(4) Provideperiodicupdatesonpermittingissues
ThegoalofeachoftheseactivitiesistodevelopaGuaranteedMaximumPrice(GMP)proposalthatreflectstherealisticestimateofcost.ThedevelopmentoftheGMP willbediscussedmorefullyinArticle3.
Withoutlimitingthegeneralityoftheforegoing,theDesign-Buildershallperformthefollowingtasks:
(1) TheDesign-BuildershallconsultwithDCPLregardingtheselectionofmaterials,buildingsystemsandequipmentwithrespecttosuchissuesasmaintainabilityandinitialversuslife-cyclecosts.
(2)TheDesign-Buildershallproviderecommendationsonconstructability;actionsdesignedtominimizeadverseeffectsoflaborormaterialshortages;timerequirementsforprocurement,installationandconstructioncompletion;andfactorsrelatedtoconstructioncostsincludingestimatesofalternativedesignsormaterials,preliminarybudgetsandpossibleeconomies.

Section 2.2 ProjectSchedule.
DuringthePreconstructionPhase,theDesign-BuildershallmonitortheProject'sprogressandpromptlynotifyDCPLofanydelays,regardlessoftheircause,andtheDesign-Builder'sbestprojectionoftheeffectofsuchdelaysontheSubstantialCompletion,andFinalCompletionoftheProject.
DCPL'sreceiptof,andlackofobjectionto,anyscheduleupdateshowingSubstantialorFinalCompletionlaterthanthescheduledSubstantialorFinalCompletionDateshallnotberegardedasDCPL'sagreementthattheDesign-Buildermayhaveanextensionoftime,orasawaiverofanyofDCPL’srights,butmerelyastheDesign-Builder'srepresentationthat,asamatteroffact,theProjectmaynotbecompletedbytheapplicableSubstantialorFinalCompletionDate.
The writtenProjectScheduleshallbe maintainedand continuouslyupdatedduringthe
Preconstructionand ConstructionPhases.
Section2.3Permits.PermitsarediscussedinRFPSectionC.1.1.7.Inaddition,thepartiestothiscontractunderstandandagreethatitisinthesharedcommoninterestofDCPLandtheDesign-Builderthatpermitsareobtainedina timelymanner.DCPLhasmetwiththeheadsofthepermittingagenciesandhasreachedasharedunderstandingthat,asaDCAgency,itshouldreceiveamodicumofpreferenceinprocessingpermits.Hence,therecommendationtoinsertthetextboxprovidedinRFPSectionC.1.1.7toalertthepermittingagenciesthatthepartyininterestisDCPL.
AspartoftheGMP proposal,theDesign-BuildershallprovideacomprehensivelistofthepermitsnecessarytoexecutetheworkwithintheprojectscheduledescribedinSection2.2ofthisAgreemententitled“ProjectSchedule.”Thelistofpermitsshouldinclude:
(1)Permitname(2)PermittingAuthority(3)Datepermitapplicationwassubmitted(4)Theperson’snameandcontactinformationtowhomitwassent(6)TheestimatedpermittingAuthorityreviewperiod,and(6)Permitapprovalneededbydate.
IftheDesign-Builderelectstouseapermitexpediter,theexpeditershallbeidentifiedintheGMPproposal.
DCPLwillreviewthepermittingplanand,uponapprovalbyDCPL,thepermittingplanshallthenbeincludedintheprojectscheduleandtrackedbybothpartiesuntilallrequiredpermitshavebeenobtained.
ThepartiesagreethatalackofduediligencebytheDesign-Builderinpreparingandsubmittingpermitapplicationsshallnotconstituteanexcusabledelay.DelaysinpermitapprovaloccasionedbytheactionorinactionofDCPLorapermitgrantingagencyshallconstituteanexcusabledelay.
TheDesign-Buildershallberesponsibleforpayingforallpermits,governmentalfees,licensesand inspectionsrequiredforthe execution of the work.

Section 2.5 Bidding Procedures. The Design-Builder shall seek to stimulate
subcontractorandsupplierinterestintheProject.Withinfifteen(15)daysafterthecompletionofthe schematic design, the Design-Builder shall provide the Project Manager with written
submissionontheproposedbiddingprocedures.Suchproceduresshallinclude:
(1)Allistofproposedtradespackages(2)Alistofatleastthree(3)tradesubcontractorsthatwillbeinvitedtobidoneachsuch
package;
(3) Anarrativedescriptionofthebiddingprocess.
FollowingDCPL'sapprovaloftheconstructiondocuments("CD"),theDesign-Buildershalllsolicitbidsfromtradesubcontractorsandsuppliers.TheDesign-Buildershallobtainaminimumofthree(3)bidsforeachtradepackageunlesssuchpackagehasanexpectedvalueoflessthanOneHundredThousandDollars($100,000)orthatDCPLapprovesotherwise.Inadditiontotheinformationnormallyrequiredinsuchbids,theDesign-Buildershallalsorequiresubcontractorstoprovidean estimateofthepercentageoflaborhoursperformedincompletingthesubcontractedworkwhichwillbeperformedbyDistrictresidents("FirstSource”).
TheCBE utilizationrequirementsaredescribedinRFPSectionB.2.Supplyagreementswithmaterialsuppliersshallbecountedtowardmeetingthisgoal.
The Design-Buildershallsubmit a CBE UtilizationPlan which shallcomply with the terms of the
CBE UtilizationPlaninmakingpurchasesandadministeringitsSubcontractsandSupplyAgreements.
TheDesign-Buildershallprovidetabulationsofthetradebidsreceived.Suchbidtabulationsshallinclude,inadditiontopricinginformation,CBE Utilizationinformation.TheDesign-Builderrepresentsandwarrantsthatthebidtabssosubmittedshallfairlyrepresenttheresultsofthesubcontractorbiddingprocess.

FORMATION OF GMP PROPOSAL
Section3.1 Ge During the Preconstruction Phase, the Design-Builder shall
causetheArchitect/Engineertopreparea setofdrawingsandspecificationsasthebasisforGuaranteedMaximumPrice("GMP").Thesedrawingsandspecificationsarereferredtoasthe“GMPDrawings&Specifications.”

‘TheDesign-BuilderacknowledgesandunderstandsthattheGMP Drawings& Specificationswillbebasedon100%CDs(the“BidSet").Design-Builder’sGMP ProposalshallbeintendedtorepresenttheDesign-Builder'soffertofullydelivertheproject.
Section3.2 Contingency.ThePartiesagreeasnotedinRFPSectionB.2,theDesign-to-Budgetis$ 2,854,217.00andanysavingsonthefinalGMP shallberetainedasprojectcontingency.A contingencyisincludedintheDesign-Builder’sGMP Proposalandisreferredtoasthe"ConstructionContingency.”Anysavingsfromthewillbedivertedbacktofulfilldesiredprojectscope.
Thepurposeofthedesign-builder’sConstructioncontingencyistoprotectthedesign-builderfromhigherthananticipatedcostsofcontractperformancewithaparticularfocusonelementsofcostthatwereinadvertentlyomittedfromtheGMP.Thevalueofthedesign-builder’sConstructionContingencywillbeestablishedaspartoftheGMP negotiationasdescribedinSection3.3entitled“BasisofGMP.”
ThisConstructionContingencyisforthepurposeofenablingDesignBuildertobereimbursedfor:

2) Unanticipatedmarketconditionsthatresultinbudgetoverruns,includinglaborormaterialshortages

4) Buyoutoverruns,
5) Costsattributabletoschedulerecovery

Constructioncontingencywillbereducedproportionatetoprojectprogressandriskretirement.
Section 3.3 Basis of GMP. The Design-Buildershallincludewith the GMP Proposal a
writtenstatementdiscussingthebasisoftheproposal.Thestatementshallinclude:
(1)AlistoftheGMP DrawingsandSpecifications,includingalladdendathereto,whichwereusedinpreparationoftheGMP Proposal.
(2) A listofallowancesand a statementoftheirbasis;provided,however,thatonlysuch
allowancesas are agreed to by DCPL shallbe included.
(3)AlistoftheclarificationsandassumptionsmadebytheDesign-BuilderinthepreparationoftheGMP ProposaltosupplementtheinformationcontainedintheDrawingsandSpecifications,
These clarificationswill include specific reference to any exclusions from the building
components,systems,andfurniture,fixtures& equipment("FF&E")requiredbytheProjectProgram. Any such clarificationor assumption thatmateriallyaltersthe functionalityor aesthetics
of the work reflectedinthe GMP Drawings and Specificationshallbe broughtto the attentionof
theProjectLeadandDCPLpriortosubmissionoftheproposalinsufficienttimeforanydiscrepancies to be reconciled.

Section3.9 Certification.AspartoftheGMP ProposalsubmittedinaccordancewithArticle3ofthisAgreement,theDesign-BuilderagreestospecificallyacknowledgeanddeclarethattheContractDocumentsaresufficientlycompletetohaveenabledtheDesign-BuildertodeterminethecostoftheworkthereininordertoenterintotheGMP Amendmentandtoenablethe Design- Builderto agree to constructthe work outlinedthereininaccordance withapplicable
laws,statutes,buildingcodesandregulationstothebestofDesign-Builder’sknowledge,andotherwise to fulfillallitsobligationshereunder.
TheDesign-Buildershallfurtheracknowledgethatithasvisitedthesite,examinedallvisibleorknownconditionsaffectingthework,isfullyfamiliarwithallofthevisibleorknownconditionsthereonandaffectingthesame,andhascarefullyexaminedalldrawingsandspecificationsprovidedtoit.

TheDesign-BuildershallkeepdetalledrecordsdocumentingworkdonesothatDCPLmayindependentlyverifycompliancewithalllaws,thenumberofunitsactuallyremoved,treated,and/ordisposedof,andtheappropriateunitprice(s)applicabletothework.
Notwithstandinganythingcontainedhereinonthecontrary,theDesign-Builderisnotconsidered,norshallitbeinterpreted,thatitassumesthestatusofanowner,generator,oroperatorofhazardousmaterialsattheProjectsite.

TheDesign-Builder'sstorage/laydownareawillbelimitedtothelimitsofdisturbanceshownontheapproveddesigndocuments.TheDesign-Buildershallalsoberesponsibleforremovingallconstructiondebrisoffsiteinaccordancewithallapplicablerulesandregulationsofthosejurisdictionshavingauthority.
TheDesign-Buildershallberequiredtoprovidewheelwashingstationsonsitesoastopreventthe accumulation of dirtand other refuse on the streetssurrounding the projectsite.
Section4.5 Permitting.TheDesign-Buildershallberesponsibleforpayingallpermitsandfeesassociatedwithanyabatement,demolition,utilitiesabandonment,andutilityrelocation,ifnecessary.
TheDesign-Buildershallalsoberesponsibleforsecuringandpayingforallotherrequiredpermits,includingbut not limitedto trade permits anda buildingpermit,which willbe reimbursed
withintheGMP ascostofwork.
Section4.6 TradeWork,SubcontractsandSuppliers.ItiscontemplatedthatalloftheworkwillbeperformedbytradesubcontractorsunderwrittensubcontractstotheDesign-Builder.TheDesign-Builderwillnotbepermittedtoself-performworkunlessauthorizedbyDCPL.Notwithstandingtheforegoing,DCPLacknowledgesthecurrenttradelaborshortageintheWashington, DC market and as such willnot withholdauthorizationto self-performany tradeWork
whereDesign-BuilderdemonstratesthatdoingsowouldprovidebenefittotheProject.
Section4.7TemporaryPower.GMPwillincludethecostsofalltemporarypowerlutilitiesnecessarytosupporttheConsiructionPhaseof theProject.Thisincludes,butisnotlimitedtoconstructiontrailers,smalltools,temporarylightingandotheractivitiesthatdirectlysupportconstruction.

DCPL willassume allutilitycostswhen both ofthe below criteriaare fulfilled:
1) On-siteverificationtoDCPLwithbackupasphotographsofpermanentmetersinstalled;2) Actual start-update of permanent utility.
Section 4.8 Overall Management of Project. The requirements for the overall
managementofthe ProjectarediscussedinRFP SectionC.8.
Inadditionto those requirements, DCPL expects the Design-Builderto:
(1)Participateandassistinproject/planningmeetings;(2) Provide and maintain a fullyequipped officeon-siteto perform allrequired Design-Builder
duties;
(3)Maintainfull-ime,on-siteconstructionsupervisionandprovidedailyinspections,qualitycontrol,monitoringandcoordinationofvarioustrades,recorddrawings,anddailyworklog;
(4)Providegeneralsafetyandsignageandpostingfortheprojectandseethateachsubcontractorpreparesandsubmitsadequatesafetyprogramandmonitoringthroughout
theproject;(6)Managethechangeorderprocesswiththetradesubcontractorstoverifyvalidity,purpose,andcost;(6)Preparepaymentrequests,verifytheiraccuracyandsubmitthroughtheDC Portalforpaymentmonthly
(7)Maintainaccuraterecordsofthecostoftheworkandidentifyvariancesbetweenactualandestimated costs;
(8)ProvidetheKeyPersonnelidentifiedinDesign-Builder’sproposalandasupdatedinDesign-Builder'sGMP Proposal and otherwell-qualifiedand competent fieldand officestaffto meet
theDesign-Builder'scontractobligations.
IfKey Personnel becomes unavailableto perform services in connection with thisProject,the
Design-BuilderwillnominateanequallyqualifiedindividualforreplacementforDCPLapproval.
Section 4.9 Post-ConstructionServices.The overallPost-Constructionrequirements
arenotedinRFP SectionC.13;equipmentinstallationandhands-ontrainingarenotedinRFP
Section C.14,Operationsand Maintenance informationisnoted inRFP Section C.15.

Section4.10SubcontractingandAdministration.ItiscontemplatedthatallorsubstantiallyalloftheProjectconstructionwillbecarriedoutbytradeSubcontractorsandthatthosetradesubcontractswillbeawardedthroughthecompetitivebidprocessnotedinSection2.5.Thetradesubcontractorswillbe underwrittencontractwiththeDesign-Builder.AllsubcontractsandagreementsforthesupplyofequipmentormaterialsawardedbytheDesign-BuilderfortheProjectshallbefixed-pricecontractsunlessotherwiseexpresslyauthorizedbyDCPL,inwriting.
Itisunderstoodandagreed,however,thatcertaintradepackages(suchasthestructural,mechanicalandelectricalpackages)maybeawardedonadesign-assistordesign-buildbasisandthatsuchtradepackagesmaybeawardedonsuchotherbasissubjecttoDCPL'sconsentastothebiddingproceduresandeconomicstructurewithregardtothosepackages.
TheDesign-BuilderanditsaffiliatesmaycarryouttradeworkwithitsownforceswithoutDCPL'swrittenpermission,whichpermissionmaynotbeunreasonablywithheldorconditioned.

InadditiontotheopenbookreportingrequirementssetforthinSection4.14,theDesign-BuildershallprovidetoDCPLacopyofallquotesorproposalssubmittedbypotentialSubcontractors.TheDesign-BuildershalldevelopapurchasingstrategytoaddresstheexpeditedscheduleandconditionsofthisProjectandshallincludeappropriateprovisionsinthesubcontractstominimizethecostimpactassociatedwithsuchconditions.Suchstrategiesmayinclude,butarenotlimitedto:
())obtainingfromsubcontractor’sunitpricequotesfortypicalcoordinationitems;
(ii)settingasideallowancesforcoordinationwork;(ili)suchothertechniquesasmaybeemployedbytheDesign-Builder;and(iv)awardingearlydesign/assistsubcontractstokeytrades.
TheDesign-Buildershallcarefullydocumentitsproceduresformakingavailablebidpackagestopotentialbidders,thecontentsofeachbidpackage,discussionswithbiddersatanypre-bidmeetings,bidders’compliancewithbidrequirements,allbidsreceived,theDesign-Builder’sevaluationsofallbids,andthebasisfortheDesign-Builder’srecommendationastowhichbiddersshouldbechosen.DCPLshallbeaffordedaccesstoallsuchrecordsatallreasonabletimessothat,amongotherthings,itmayindependentlyconfirmtheDesign-Builder’sadherencetoallContractrequirementsincluding,withoutlimitation,affirmativeactionrequirementsandsubcontractingrequirements.TheDesign-BuilderiscautionedtotakeparticularcareinthebiddingstagetoensurefullcompliancewithallFirstSourceRequirementswhicharestatutoryandcannotbewaivedbyDCPL.
DCPLmay,initssolediscretion,rejectanyorallbidsandproposalsreceivedforanybidpackage,andmayrequiretheDesign-Buildertoobtainneworrevisedbidsorproposals.IfDCPLchoosesthisoption,itshallissuea changeordermodifyingtheGMP inanappropriateamountandextensionoftime.
DCPL may, initssole discretion,directthe Design-Builderto accept a bid from a qualifiedbidder
otherthanthebiddertowhomtheDesign-Bullderrecommendsawardofasubcontractorsupplyagreement. IfDCPL chooses thisoption,itshallissue a Change Order to the Design- Builderfor
anydifferencebetweenthecostofthesubcontractorsupplyagreementawardedandthebidpriceoftheSubcontractororsupplierrecommendedbytheDesign-Builder.
DCPLmustapproveallSubcontractorsandsuppliers,Approvalsshallnotbeunreasonablywithheldandshallbeprovidedwithinseven(7)calendardaysofContractor'swrittenrequest.
DCPLmayelecttoreviewtheformofanysubcontractoragreementwithamaterialsuppliertoensurethatsuchcontractincorporatesthecontractualprovisionsrequiredbythisAgreement.
TheDesign-BuildermustcontractforprovisionofallservicesandmaterialsfortheProject(otherthanSelf-PerformedWorkwhichmustbeauthorizedinadvanceandinwritingbyDCPL)viawrittensubcontractsor,forcontractsrequiringprovisionofmaterialsorequipmentonly,andnotlabor,viawrittensupplyagreements.Allsubcontractsandsupplyagreementsshallincludethefollowingprovisions:
(1)_ that,totheextentofthe Workorsupplywithintheagreement'sscope,theSubcontractoror

thattheSubcontractororsupplierconsentstoassignmentofitsagreementtoDCPL,atDCPL'ssoleoption,iftheDesign-Builderisterminatedfordefault;
thattheSubcontractororsuppliershallcomplyimmediatelywithawrittenorderfromDCPLtotheDesign-Buildertosuspendorstopwork;
thattheSubcontractororsuppliershallmaintainrecordsofallWorkitisrequestedorauthorizedtodoonatimeandmaterialorcost-plusbasis,orwithrespecttoclaimsthatithasassertedonatimeandmaterialsorcost-plusbasis,duringtheProjectandforaperiodoftimespecifiedintheGeneralConditionsandrequiringtheSubcontractororsuppliertomakethoserecordsavailableforrevieworauditbyDCPLduringthattime;
that the Subcontractorshall obtain and maintain,throughout the Project,workers’
compensation insuranceinaccordance withthe laws ofthe DistrictofColumbia;
that,ifDCPLterminatestheContractforconvenience,theDesign-Buildermaysimilarlyterminatethesubcontractorsupplyagreementforconvenience,uponseven(7)days’writtennoticetotheSubcontractororsupplier,andthattheSubcontractororsuppliershall,insucha case,beentitledonlytothecostssetforthintheTerminationforConvenienceprovisionsofthisAgreement;
thatDCPLshallhavetherighttoenterintoacontractwiththeSubcontractororsupplierforthesamepriceasitssubcontractorsupplyagreementpricelessamountsalreadypaid,iftheDesign-Builderfilesavoluntarypetitioninbankruptcyorhasaninvoluntarypetitioninbankrupteyfiledagainstit;
that,ifitcomestoDCPL’sattentionthataSubcontractororsupplierhasnotbeenpaidintimelyfashion (otherthan fordisputed amounts), and ifthe Design-Builderfailsto cure the
problemwithinfive(5)calendardaysafterDCPLgivesitwrittennoticeoftheproblem,DCPLmaymakepaymentstotheSubcontractororsupplierandDesign-Builderbyjointcheck;
thattheSubcontractororsuppliershallnotbeentitledtopaymentfordefectivework,materialsorequipment,andshallbeobligatedpromptlytorepairorreplacedefectivework,materialsorequipmentatitsowncost;
a provisionsubstantiallysimilartoSection4.11ofthisAgreement,requiringthatSubcontractorsandsupplierspromptlypaySubcontractorsandsuppliersatlowertiers.
aprovisionrequiringthatallSubcontractorsatalltierscomplywiththeprovisionsofArticle11 (Economic InclusionGoals); provided, however, that the Design-Builder may, in its
reasonablediscretionimposea differentCBEsubcontractinggoalonsomeorallofitsSubcontractors;provided, further,however, that nothing inthisprovisionshallbe deemed
toexcusetheDesign-BuilderfromusingitsreasonableeffortstoachievetheCBEsubcontractinggoalonanaggregatebasisfortheProject;

a provisionwhich allowsthe Design-Builderto withholdpayment from the Subcontractorif
theSubcontractordoesnotmeettherequirementsoftheSubcontract;

(14) lien and claim release and waiver provisions substantiallyidenticalto those in this
Agreement.
Section4.11PaymentstoSubcontractorsandSuppliers.Withinseven(7)daysofreceivinganypaymentfromDCPLthatincludesamountsattributabletoworkperformedormaterialsorequipmentsuppliedbyaSubcontractororsupplier,theDesign-Buildershalleither(1)paytheSubcontractororsupplierforitsproportionateshareoftheamountpaidtotheDesign-BuilderfortheSubcontractor’sorsupplier'sworkormaterialsorequipment,or(2)notifyDCPLandtheSubcontractororsupplier,inwriting,oftheDesign-Builder'sintentiontowithholdallorpartofthepaymentandstatethereasonforthewithholding.
AllmoniespaidtotheDesign-BuilderundertheAgreementshallbeusedfirsttopayamountsduetoSubcontractorsorsupplierssupplyinglaborormaterialsfortheProjectand onlymoney
remainingaftersuchpaymentsaremademaybeusedforotheritemssuchasthePreconstructionFee.
MoniespaidbyjointcheckshallbedeemedtohavebeenpaidfullytotheSubcontractororsuppliernamedasa jointpayee,unlessDCPLagreesotherwiseinwriting.AnyinterestpaidtoSubcontractorsorsuppliersbecausetheDesign-Builder,despitehavingreceivedtimelypaymentbyDCPL,hasfailedtopaythemintimelyfashionshallnotbereimbursableaspartoftheCostofthework.
TheDesign-Buildershallnotenterintoanyprofitsharing,rebate,orsimilararrangementwithanySubcontractororsupplieratanytierwithrespecttotheProjectortheworktobecarriedoutfortheProject.Earlypaymentdiscountstosuppliersandsubcontractorareexemptedfromthe‘operationofthisprovision.
TheDesign-BuildershallnotsubstituteorreplaceanySubcontractororsupplierapprovedbyDCPLwithoutDCPL'spriorwrittenconsent,whichconsentshallnotbeunreasonablywithheld.DCPLhastherighttocontactSubcontractorsorsuppliersatalltiers,ormaterialorequipmentsuppliersdirectlytoconfirmamountsdueandowingtothemoramountspaidtothemforworkontheProject,andtoascertainfromtheSubcontractorsorsuppliersatalltierstheirprojectionsofthecosttocompletetheirworkortosupplytheirmaterialorequipment,ortheexistenceofanyclaimsordisputes.IndoingsoDCPLshallnotissueanydirectionstoSubcontractorsorSuppliersatanytier.
Section4.12KeyPersonnelandOtherStaffing.InadditiontoprovidingKeyPersonneldiscussedinSection4.8(8)andasupdatedbyDesign-BuilderintheGMP Proposal,DCPLshallhavetheright,tobeexercisedinitsreasonablediscretion,toremove,replaceortoreducethescopeofservicesoftheDesign-BuilderintheeventthatamemberoftheKeyPersonnelhasbeenremovedorreplacedbytheDesign-BuilderwithoutthepriorwrittenconsentofDCPL.
In the event DCPL exercises the rightto remove, replace or to reduce the scope of servicesof
theDesign-Builder,DCPLshallhavetherighttoenforcethetermsofthisAgreementandtokeep-in-placethosemembersoftheDesign-Builder’steamnotremovedorreplacedandtheremaining
membersshallcompletetheservicesrequiredunderthisAgreementinconjunctionwiththenewmembersoftheDesign-Builder’steamapprovedbyDCPL.
InadditiontoKeyPersonnel,theDesign-BuildershallemployontheProjectonlythoseemployeesandSubcontractorswhowillworktogetherinharmonyandwhowillcooperatewith

oneanotherontheProject.TheDesign-Buildershallenforcestrictdiscipline,goodorderandharmonyamongitsemployeesanditsSubcontractorsandshallremovefromthesiteanypersonwhoisunfitfortheworkorfailstoconducthimselfinaproperandcooperativemanner.
IfDCPLrequeststheremovalofanypersonasunfitorashavingbehavedinappropriately,theDesign-Buildershallpromptlycomply.DCPLexpresslyacknowledgesthatanysuchremovalmayresultindelays.
Section4.13Warranty.TheDesign-BuilderwarrantstoDCPLthatmaterialsandequipmentfurnishedundertheContractDocumentswillbeofgoodqualityandnewunlessotherwiserequiredorpermittedbytheContractDocuments,thatfortheone(1)yearperiodfollowingtheSubstantialCompletionDatetheconstructionworkwillbefreefromdefectsnotinherentinthequalityrequiredorpermitted,andthattheworkwillconformtotherequirementsoftheContractDocuments.TheDesign-Builder'swarrantyexcludesremedyfordamageordefectscausedbyabuse,modificationsnotexecutedbytheDesign-Builder,improperorinsufficientmaintenance,improperoperation,ornormalwearandtearandnormalusage.
A representativeof the Design-Builder and a representativeof DCPL shallwalk the Project
togethereleven(11)monthsaftertheSubstantialCompletionDatetoidentifyanynecessarywarrantywork.
Inaddition,theDesign-BuildershallprovideDCPLwitha writtensummaryofanymaterials,equipmentandsuppliesprovidedunderthiscontractthathavemanufacturerorinstallerwarrantiesinexcessofoneyear.Thedesign-buildershallprovideDCPLwiththerelevantwarrantydocumentsandensurethatallthird-partywarrantydocumentsnameDCPLasthebeneficiary.
Section4.14OpenBookReporting.TheDesign-Buildershallmaintainan“openbook,”thatallowsDCPLoritsconsultantsaccesstotheDesign-Builder'sanditsSubcontractorsandmaterialsuppliersinvoices,purchaseorders,ChangeOrderestimates,recordsforSelf-Performedwork,andotherrelevantdocumentationandsourcesofinformationconcerningtheworkorcosts.DCPLshallnotuseitsaccesstotheSubcontractorstogiveinstructionsordirectionstothem.AllinstructionsordirectionsshallbegivenonlytotheDesign-Builder.
Section4.15Delay
Section4.15.1The Design-Builderwillperformthework so thatitshallachieve
SubstantialCompletion by the SubstantialCompletion Date. Unless the failureto achieve
SubstantialCompletionbytheSubstantialCompletionDateisa resultofanExcusableDelay,as
definedinSection4.20.2etseq.
Section4.15.2ThedelayshallbedeemedNon-Excusable,andtheDesign-Buildershall
notbe entitledtoan extensionof time.
Withoutlimitingthegeneralityoftheforegoing,detaysforthefollowingreasonsshallberegardedas Non-Excusable and shallnot entitlethe Design-Builderto an extension of time:
(1)Delaysduetojobsitelabordisputes,workstoppages,orsuspensionsofworkunlessdirectedorrequiredbyDCPLoranygovernmentauthority;

(2)Delaysduetoweather,unlesstheDesign-Builderestablishesthattheadverseweatherwasof a nature and durationinexcess of averages establishedby data from the U.S. Department
ofCommerce,NationalOceanicandAtmosphericAdministrationfortheProjectlocaleforthefive(6)yearsprecedingtheeffectivedateoftheContract.Forpurposesofthisclause,weathershall only be deemed “adverse” ifthe weather in question was more severe than that
encounteredattheProjectsiteoverthelastfive(5)yearsforthemonthinquestion.Suchdeterminations shallbe made based on the number of rain/snow days or the cumulative
precipitationtotalforthemonthinquestion.Notwithstandingtheforegoing,namedstormsshallconclusivelybe deemed “adverse”.
(3)DelaysduetothefailureoftheDesign-BuilderorSubcontractorsormaterialsuppliersatanytiertoperformintimelyorproperfashionarisingfromtheirownactsoromissions
Section4.15.3TheDesign-Buildershallbeentitledtoan adjustmentintheSubstantial
CompletionDate due toan Excusable Delay.The term “ExcusableDelay”shallmean:
1)DelaysduetoadverseweatherotherthanthosethatareclassifiedasaNon-Excusabledelayinaccordance with thisSection of thisAgreement;
2)DelaysduetoactsofGod,war,unavoidablecasualties,civilunrest,epidemics,pandemics,includingbutnotlimitedtoCoVID19,andothersimilarcausesofdelaythatarebeyondthereasonable controlof the Design-Builder;and
3)DelayscausedbyDCPL,theirseparatecontractors,consultants,orchangesintheworkordered by DCPL; and
4)DelayscausedbyDifferingSiteConditionsorHazardousMaterialsRemediation;and5) AnyothercausesoutsideofDesign-Builder’sreasonablecontrol
Inadditiontotheforegoing,adelayshallbedeemedtobeanExcusableDelayonlytotheextentthatsuchdelay(i)hasnotbeencausedsolelybytheDesign-Builderoranyofitsemployees,agents,Subcontractorsormaterialsuppliers;and(ii)isonProject'scriticalpath.
ForexcusabledelaystheDesign-BuilderwillbeentitledtoanadjustmenttotheContracttimeandtheGMP.IftheDesign-BuilderwishestomakeaclaimforanincreaseintheContracttimeorcost,writtennoticeshallbegivenwithin10daysafterDesign-Builder'sknowledgeoftheoccurrenceoftheeventgivingrisetosuchClaim.TheDesign-Builder’sclaimshallincludeanestimateofthecostandoftheprobableeffectofdelaysontheprogressofthework.Inthecaseofcontinuingdelay,onlyoneclaimisnecessary.
Section4,16SedimentandErosionControl,Asapplicable,theDesign-Buildershallberesponsibleforinstallingsedimentanderosioncontrolmeasures,including,butnotlimitedto,siltfencing,inletprotection,stabilizedconstructionentrances,andothercontrolmeasures.TheresponsibilitiesincludedinthisSectionshallbereimbursedintheCostofWork asagreedtointheGMP forDCPL’sapproval.

Section4.17QualityControl,QualityControlisdiscussedinRFPSectionC.10.TheDesign-Buildershallberesponsibleforallactivitiesnecessarytomanage,control,anddocumentworktoensurecompliancewiththeContractDocuments.TheDesign-Builder’sresponsibilityincludesensuringadequatequalitycontrolservicesareprovidedbytheDesign-Builder'semployeesanditssubcontractorsatalllevels.Theworkactivitiesshallincludesafety,submittalmanagement,documentreviews,reporting,andallotherfunctionsrelatedtoqualityconstruction.

TheDesign-BuildershallimplementaQualityControlPlanfortheProject.A draftofsuchplanshallbe submitted to DCPL no laterthan three (3)weeks afterNotice to Proceed, and a finalplan
shallbeagreeduponandapprovedbyDCPL’sProjectManagerpriortocommencingoftheworkinthe field.
TheQualityControlPlanshallbetailoredtothespecificproducts/typeofconstructionactivitiescontemplatedbytheGMP Documents,andingeneral,shallincludeatableofcontents,qualitycontrolteamorganization,duties/responsibilitiesofqualitycontrolpersonnel,submittalprocedures,inspectionprocedures,deficiencycorrectionprocedures,documentationprocess,andalistofanyotherspecificactionsorproceduresthatwillberequiredforkeyelementsofthework.
DCPLshallhavetherighttodirecttheDesign-BuildertorevisetheprovisionsofitsQualityControlPlan if,inthe reasonable judgment of DCPL, the craftsmanship of the work being installedfailsto
complywithgenerallyapplicableindustrystandards,requirementssetforthintheSpecifications,oranyprovisionssetforthinthisAgreement
Section4.18Acceleration,DCPLshallhavetherighttodirecttheDesign-Buildertoacceleratetheworkif,inthereasonablejudgmentofDCPL,theDesign-Builderfailsto:(1)supplya sufficiencyofworkersortodeliverthematerialsorequipmentwithsuchpromptnessastopreventthedelayintheprogressoftheworkor(2)theprogressoftheworkmateriallyfallsbehindtheprojectionscontainedinthethencurrentlyapprovedProjectSchedule
IntheeventthatDCPLdeterminesthateitheroftheeventsspecifiedintheprecedingsentencehaveoccurred,DCPLshallprovidetheDesign-BuilderwithwrittennoticeofsucheventandtheDesign-BuildershallberequiredtoprovideDCPLwitha correctiveactionplanandrecoveryschedulewithinthree(3)calendardaysthatisreasonablydesignedtoaddresstheconcernsraisedinsuchnotice.
IfDCPL and the Design-Builder are unable to agree on the terms of such correctiveaction plan
withinfive(5)calendardaysaftertheissuanceofthenotice,DCPLshalllhavetherighttodirectsuchaccelerationasDCPL,initsreasonablejudgment,deemsnecessary.
IfthenoticeprovisionsofthisSectionandtheChangesClausearecompliedwithandtheunderlyingdelayisanExcusableDelay,thecostofanyaccelerationdirectedunderthisSectionshalljustifyanadjustmenttotheGMP.

Section5.1 General,DCPLiscommittedtothetimelycompletionofthisProject.Tothatend,DCPLshallworkcollaborativelywiththeDesign-BuilderfortheRenovationofPetworthLibraryontime,withinbudgetandinaccordancewiththeContractDocumentsina goodandworkmanlikemanner.DCPLshallprovidefullinformationinatimelymanner,soasnottodelaytheWorkorDesignServices,regardingtherequirementsoftheProject,includingDCPL'sobjectives,constraintsandcriteria,includingspacerequirementsandrelationships,flexibilityandexpandabilityrequirements,specialequipmentandsystems,andsiterequirements.
Section5.2 DCPL’sDesignatedRepresentative.DCPL hasdesignatedtheChief
Procurement Officer,Tornia Harrison-Samuels,as itsrepresentativewith express authorityto

bindDCPLwithrespecttochangeordersandchangedirectivesrequiringDCPL’sapprovalorauthorization.
SamanthaDuretheDCPLProjectManager,shallhavetheauthoritytomakedecisionsonbehalfof DCPL concerning estimates and schedules, constructionbudgets, changes inwork, and shall
rendersuchdecisionspromptlyandfurnishinformationexpeditiously,so as toavoidunreasonable delay inthe servicesor work of the Design-Builder.
InorderforDCPLtoeffectivelymanagetheProjectandassurethattheDesign-Builderdoesnotreceiveconflictinginstructionsregardingthework,theDesign-BuildershallpromptlynotifytheDCPLChiefProcurementOfficeruponreceivinganyinstructionsorothercommunicationinconnectionwiththeDesign-Builder'sworkfromanyemployeeofDCPLorotherpurportedagentofDCPLotherthanDCPL'srepresentativescitedaboveastothespecificduties.
‘AnyworkrequestedthatisnotincludedinthecontractMUSTreceivewrittenapprovalfromtheDCPL Chief Procurement Officer,priorto commencing the work. In addition,any contract in
excessof$1,000,000.00shallnotbebindingorgiverisetoanyclaimordemandagainsttheDistrictuntilapproved by the Council of the Districtof Columbia and signed by the DCPL Chief
ProcurementOfficer.

Section5.3 Desian-Builder’sDesignatedRepresentative.The Design-Builderdesignatesthefollowingindividual(s)- Name,VicePresident& GeneralManager,asitsrepresentativewithexpressauthoritytobindtheDesign-BuilderwithrespecttoallmattersrequiringtheDesign-Builder’sapprovalorauthorization.

ARTICLE 6
COMPENSATION AND PAYMENTS FOR PRECONSTRUCTION AND DESIGNSERVICES
Section6.1_CompensationDCPLshallcompensateandmakepaymentstotheDesign-Builder for Preconstruction Services in accordance with Exhibit A “Compensation
Schedule”.

COMPENSATION FOR CONSTRUCTION SERVICES

Section7.2 EstimatedCostofGeneralConditions.TheDesign-BuildershalloutlineitsestimateinExhibitB “EstimatedCostofGeneralConditions"fortheCostofGeneralConditions(suchamount,the“EstimatedCostofGeneralConditions").ThepartiesacknowledgeandagreethatsuchEstimatedCostofGeneralConditionsisintendedtocovertheDesign-Builder’sGeneralConditionsCostsforthedurationoftheProjectasoutlinedintheProjectScheduleattachedinExhibitC unlesstheDesignBuildercandemonstratetothesatisfactionofDCPLthattherearefundswithintheGMP thatcanbeutilizedforanyadditionalCostofGeneralConditionsorthatanyadditionalCostofGeneralConditionsarereasonableandattributabletoachangeinthework.
Section 7.3 Not to Exceed Amount. Unless and untilthe Districtof Columbia City
Councilapprovesa higheramount,theDesign-to-BudgetamountforthisProjectis$2,854,217.00. This amount includesdeliveringthe BuildingProgram, the due diligence,design,
preconstructionservices,constructionservices,andpost-constructionservicesfortherenovationof Petworth Neighborhood Library.In no event shallthe Design-Builder be entitledto more than
such amount unless the Design- Builderisauthorized to exceed thatamount by the DCPL Chief
ProcurementOfficer.
Section7.4 ChangesintheWork,DCPLmay,withoutinvalidatingtheContract,andwithoutnoticetoorapprovalofanysurety,orderchangesinthework,includingadditions,deletionsormodifications.AnysuchchangemustbeconveyedbyDCPLtotheDesign-BuilderviawrittenChangeDirectiveorChangeOrder.
OnlyawrittenChangeDirectiveorChangeOrder,executedbyDCPLChiefProcurementOfficer,mayallowchangestotheContract.Inparticular,butwithoutlimitation,awrittenChangeDirective
‘orChangeOrderexecutedbyDCPListheonlymeansbywhichchangesmaybemadetotheSubstantialor FinalCompletion Date, the PreconstructionFee, the Design Fee, the Design-Build
Fee,theMaximumCostofGeneralConditionsortheGMP.
Section 7.5 DCPL InitiatedChanges. IfDCPL desires to make a change inthe work
ortoacceleratethework,itwillexecuteandissuetotheDesign-Bulldera writtenChangeDirective,either directingthe Design-Builder to proceed at once with the changed work or
directingittonottoproceed,buttoinformDCPL,inwriting,oftheamount,ifany,bywhichtheDesign- Builder believes thatSubstantialor FinalCompletion Date and/or the GMP should be
adjustedtotaketheChangeOrderorChangeDirectiveintoaccount.
Standardpracticeistopriceandnegotiatesuchchangesfirst.Iftimewillnotalloworanagreementcannotbemade,theDesignBuilderwillproceedonlyifprovidedwithaConstructionChangeDirective(CCD)bytheDCPLChiefProcurementOfficer.

Withinten(10)daysofreceivinga ConstructionChangeDirective,theDesign-BuildershallprovideDCPLwitha writtenstatementofallchangesandestimatedcosttotheContract,including,withoutlimitation,anychangestotheSubstantialorFinalCompletionDateortheGMPtowhichitbelievesitisentitledasaresultoftheChangeDirective.
Ifadditionaltimeissought,ascheduleanalysissupportingtherequestedextensionshouldbeincluded.Thescheduleanalysisshouldincludeawrittennarrativeexplanation.IfachangeintheGMP issought(orifDCPLhasrequestedadeductivechange),thestatementshouldincludeabreakdown,bylineitem,oftheestimatedcostchangesattributabletotheproposedchange.
DCPLmayrequest,andtheDesign-Buildershallprovidefurthercostbreakdowns,clarifications,documentationorback-upifDCPLreasonablybelievessuchadditionalinformationisneededtounderstandandevaluatetherequest.TheadditionalinformationrequiredmayincludecostandpricingdatainaccordancewithDCPL'sregulations.
IfDCPLhasnotyetdirectedtheDesign-BuildertoproceedwiththeChangedescribedbyaChange Directive,DCPL may rescind it.lfDCPL wishes to proceed, or has already directedthe
Design-Buildertoproceed,theDesign-Buildershallimmediatelyproceedwiththechangedworkand,DCPLandtheDesign-Buildershallusetheirgoodfaithbesteffortstoreachanagreementupon the modificationsto the Substantialor Final Completion Date, and/or the GMP that are
justifiedbytheChangeDirective.IfDCPLandtheDesign-Builderreachagreement,theagreement shallbe set forthin a Change Order and the Design-Builder shallalso execute it,at
whichpointitwillbecomebindingonbothparties.
Ifthepartiesfailtoreachanagreementwithinsixty(60)daysafterDCPLreceivestheDesign-Builder'sdetailedstatementandsuchotherdocumentationasDCPLmayrequest,theDesign-Buildermay assert a claim in accordance with thisAgreement. In such a case, and subjectto
adjustmentviatheclaimsanddisputesprocess,DCPLshallunilaterallygranttheDesign-Buildersuch adjustments, ifany, to the Substantialor Final Completion Date, the GMP, and/or the
PreconstructionorDesign-BuildFeeasDCPLhasjudgedtobeappropriate.
Section7.6 NoticeofChangeEvent.TheDesign-BuildermustgiveDCPLwrittennoticeofanyChangeEventwithinten(10)businessdaysofthedateonwhichtheDesign-BuilderknewoftheChangeEvent.Totheextentavailable,thenoticemuststatethenatureoftheChangeEventanddescribe,generally,allchangesintheContracttowhichtheDesign-Builderbelievesitisentitled.SuchnoticeisanexpressconditionprecedenttoanyclaimorrequestforadjustmenttotheSubstantialorFinalCompletionDate,ortheGuaranteedMaximumPricearisingfromtheChangeEventand,ifthenoticeisnotgivenwithintherequiredtime,theDesign-BuilderwillhavewaivedtherighttoanyadjustmenttotheSubstantialorFinalCompletionDate,ortheGMParisingfromtheChangeEvent.
Withinfifteen(15)businessdaysaftergivingnoticeofachangeevent,theDesign-Buildershallsubmitawrittenchangerequestdescribing,inreasonabledetail,alladjustmentsitseekstotheSubstantialorFinalCompletionDateortheGMP asaresultoftheChangeEvent.ThechangerequestshallincludethesameinformationdescribedabovewithrespecttoanyContractchangestheDesign-BuilderseeksduetotheChangeEvent.
Section7.7 ExecutedChange OrdersFinal.The Design-Builderagreesthatany
Change Order executed by DCPL and the Design-Builderconstitutesitsfulland finaladjustment
forallcosts,delays,disruptions,inefficiencies,accelerations,scheduleimpacts,or other

‘consequencesarisingfromthechangeinquestion,whetheraConstructionChangeDirective,ora ChangeEvent,orfromanyclaimedcumulativeeffectofchangesmadetothedateoftheChangeOrder,andthatnofurtheradjustmentsincompensationortimeshallbesoughtormadewithrespecttotheChangeDirectiveortheChangeEventgivingrisetotheChangeOrder.NothinginthisprovisionshallacttobartheDesign-Builderfromseekingtoreserverightstoadditionaladjustmentsincompensationortimesolongasthatreservationisincludedinthenegotiatedchangeorder(s).
IftheworkdescribedinaChangeOrderrequiresanincreaseordecreaseintheMaximumCostofGeneralConditions(i.e.becausesucha Changerequiresadditionalfieldstafforother‘equipmentthatwouldbeclassifiedasGeneralConditionsCosts),theChangeOrdershallcontainanincreasetotheMaximumCostofGeneralConditions.ThecostofprocessingaChangeOrdershallnotbeconsideredaneventthatwillrequireanincreaseintheMaximumCostofGeneralConditions.
Section 7.8 Failure to Agree. Ifthe Design-Builderclaims entitlementto a change in
theContract,andDCPLdoesnotagreethatanyactionoreventhasoccurredtojustifyanychangein time or compensation, or ifthe partiesfailto agree upon the appropriate amount of the
adjustmentintimeorcompensation,DCPLwillunilaterallymakesuchchanges,ifany,totheContract,asitreasonablydeterminesareappropriatepursuanttotheContract.
The Design-Buildershallproceed with the work and DCPL's directives,withoutinterruptionor
delay,andshallmakea claimasprovidedinArticle12.Failuretoproceedduetoa disputeover
a change requestshallconstitutea materialbreach of the Contractand entitleDCPL to all
availableremediesforsuchbreach,including,withoutlimitation,terminationfordefault.
fion7.9 _Mark-Upon TradeWork. Themaximummarkupforchangeorderwork
shallbeasfollows:
Section7.9.1ForWorkperformedbya Subcontractorwithitsownforces,theSubcontractorshallbeentitledtoa mark-upofnotmorethanfifteenpercent(15%)(coveringhomeofficeoverhead,thecostofinsuranceandbonds,fieldsupervision,generalconditionsandprofit)ontheDirectCostsoftheWork.ForWorkthattheOwnerpermitstheDesign-Buildertoself-perform,theDesign-Buildershallalsobeentitledtoamark-upofnotmorethanfifteenpercent(15%)oftheDirectCostoftheWork.WithregardtoanysuchWorkthatisself-performedbytheDesign-Builder,themarkupcontemplatedinthisSection7.9.1shallbetheDesign-Builder’sexclusivecompensationanditshallnotbeentitledtothemarkupcontemplatedinSection7.9.3;
Section 7.9.2 InterveningtierSubcontractors shallbe entitledtoa mark-up of fivepercent
(6%)(coveringhomeofficeoverhead,thecostofinsuranceandbonds,fieldsupervision,generalconditionsand profit)on Work Performed by lower-tierSubcontractors.
Section7.9.3TheDesign-BuildershallbeentitledtoanincreaseinitsDesign-BuildFeeata rateoffourandone-halfpercent(4.5%)ontheCostofWork.Suchmarkupshallcoverthe‘samecostelementsthatwereincludedintheDesign-BuildFeeexcludingbondsandinsurances.
Section 7.9.4In no event shallthe maximum mark-up on the DirectCost of the Work
‘exceedtwenty-fivepercent(25%).

COST OF THE WORK FOR CONSTRUCTION PHASE
Section 8.1 Cost of the Work. The term “Cost of the Work” shallmean the costs
incurredbytheDesign-BuilderintheperformanceoftheProjectandshallincludeonlythefollowing:

Allamounts due to the Design-Builder under the terms of DCPL's writtenauthorizationfor
theDesign-BuildertoperformanyportionoftheworkasSelf-PerformedWork.Ifanauthorizationfor the Design-Builder to engage in Self-Performed Work is not ona fixed-
pricebasis,then,astothatworkthefollowingcostsshallbewithintheCostoftheWork:
(i)Labor.Properlydocumentedwagesactuallypaidtoconstructionworkers,andotherpersonnelinthedirectemployoftheDesign-Builder,whileengagedinapprovedSelf-PerformedWork,togetherwithcontributions,assessments,payrolltaxes,orfringebenefitsrequiredbythelawsorapplicablecollectivebargainingagreements.
(i)IncorporatedMaterials.Thecost,netoftradediscounts,ofallmaterials,products,suppliesandequipmentincorporatedintotheSelf-PerformedWork,including,withoutlimitation,costs of transportationand handling.
(iii)UnincorporatedMaterials.Thecostofmaterials,products,suppliesandequipmentnotactuallyinstalledorincorporatedintotheSelf-PerformedWork,butrequiredtoprovideareasonableallowanceforwasteorspoilage,subjecttotheDesign-Builder’sagreementtoturnunusedexcessmaterialsovertoDCPLatthecompletionoftheProject.
PermitsandApprovals.Feesforobtainingallrequiredapprovalsorpermits.
Royaltyandlicensefees.Thecostspaidforuseofadesign,processorproduct,ifitsuseisrequiredbythisContractorhasbeenapprovedinadvancebyDCPL;
Bonds& Insurance.Allperformanceandpaymentbonds,builder'sriskinsuranceifnotprovidedbyDCPL,worker'scompensationinsurance,professionalliabilityinsurance,contractor'spollutionliability(CPL)insurance,subcontractordefaultinsurance,andgeneralliabilityinsurance.DeductiblesactuallypaidandnotrecoveredfromanypersonorentitybytheDesign-BuilderalsoshallbeincludedintheCostofWork.

paythecosts,withoutincreasetotheGMP; and
(7)AgencyBonds.Allbondstojurisdictionalagencies(utilities,stormwatermanagement,landdisturbance,andgrading)willbeincludedasanallowanceinthecostofwork.
(8) Costsfornon-conformingwork.Costsof repairingor correctingdamagedornonconformingworkexecutedby theArchitect/Engineer,orDesignBuilder'sotherconsultants,Subcontractorsorsuppliers,providedthatsuchdamagedornonconformingWorkwas notcausedbygrossnegligenceorintentionalfailuretofulfilla specificresponsibilityoftheDesign-Builder,andonlytotheextentthatthecostofrepairorcorrectionisnotrecoverablebytheDesign-Builderfrominsurance,sureties,Subcontractorsorsuppliers.Itisunderstoodthatthecostofrepairing,correctingdamagedornonconformingWorkthatwasSelf-Performedshallnotbereimbursableinanyevent.

qualifyastax-exemptunderapplicablelaws.DCPLwillprovidetheDesign-Builderwiththenecessaryinformationrelatingtothetaxexemption.Intheeventanysavingsareattributabletothe tax-exempt status of the Project,the Design-Builder shallnot be entitledto share in such
savings.
Section8.6 AccountingRecords.TheDesign-BuildershallkeepfullanddetailedaccountsandexercisesuchcontrolsasmaybenecessaryforproperfinancialmanagementundertheContract;theaccountingandcontrolsystemsshallbereasonablysatisfactorytoDCPL.DCPL,itsrepresentatives,andDCPL’saccountantsshallbeaffordedaccesstotheDesign-Builder'srecords,books,correspondence,instruction,drawings,receipts,subcontracts,purchaseorders,vouchers,memorandaandotherdatarelatingtothisProject,andtheDesign-Buildershallpreservetheseforaperiodofthreeyearsafterfinalpayment,orforsuchlongerperiodasmayberequiredbylaw.Thepartiesfurtheragreethatcertainancillarycoststhatarepricedonaformulaicbasis;staff/personnel,insurance,andbondingrates(includingthosesetforthinExhibitD),unitprices,andfixedpricesubcontractsandchangesshallbenegotiatedaspartoftheguaranteedmaximumpriceandshallnotbesubjecttosubsequentrenegotiationexceptincasesoffraud,materialmisrepresentationorotherbadactsthatDCPLreasonablydetermineshasimpairedtheintegrityofthepricenegotiations.NothingintheprecedingsentenceshallacttorelievetheDesign-Builderofthedutytoprovidefullanddetailedaccountingrecords,provided,however,thattotheextenttheContractDocumentsestablishanyratesorunitprices,DCPLacknowledgesthatsuchratesandunitpricesmaynotbereflectiveoftheDesign-Builder’sactualcosts,butsuchratesorunitpricesshallbedeemedtheDesign-Builder’sactualcostsandshallbeusedasthebasisforestablishingtheCostoftheWork.Accordingly,anysuchratesandunitpricesshallnotbesubjecttoaudit,excepttoconfirmthatanysuchrateorunitpricehasbeenproperlyapplied.Fixed-pricesubcontractsandchangeordersshallnotbesubjecttoaudit.
ARTICLE 9
CONSTRUCTION PHASE PAYMENTS
Section9.1ProgressPayments.TheDesign-Buildershallbepaidina seriesofprogresspaymentsandafinalpayment,forworkcompletedinaccordancewiththeContract,andforwhichproperApplicationsforPaymenthavebeensubmittedandapproved,
Section9.2 Retention.DCPLshallwithholdfromeachprogresspaymentanamount‘equaltotenpercent(10%)ofthepaymentrelatedto:(1)eachSubcontractandsupplyagreement,and(2)theCostoftheWorkrelatedtoeachitemofSelf-Performedwork,untilsuchtimeasfiftypercent(50%)ofthethencurrentlybudgetedcostassociatedwitheachsuchitemhasbeeninvoicedatwhichpointDCPLmayceaseretainingagainstsuchitem.
DCPL shall,uponDesign-Builder’sreasonablerequest,reducetheretainagerelatingtoaParticulartradeSubcontractor,ortheCostoftheWorkrelatedtoaspecificitemofSelf-Performedworktozeroupon:
(1)satisfactorycompletionofsuchwork;
(2)submissionofallrequiredwarranties,certifications,andoperatingormaintenanceinstructionswith respect to thatwork; and

(3)executionofappropriatewaiversoflienandreleasesofclaims.
However,innoeventshallthetotalretainageheldbyDCPLbereducedtoanamountthatislessthantwoandone-halfpercent(2.5%)oftheGMP.
Throughoutthedesignperiod,usingitsbestjudgment,DCPLwillconsideratitssolediscretionthereleaseofretainagesonintermediatedesignphases(concepts,SD,DD,CD,etc.)aseachofthosephasesarecompletedtothereasonablesatisfactionofDCPL.
Section9.3 mentsRequiredwithAy jonforPayment,EachApplicationforPaymentshallbeaccompaniedbytheDesign-Builder'sApplicationsforPaymentonAIADocumentsG702andG703orotherformsatisfactorytoDCPL,theSubcontractors’andSuppliers’ApplicationsforPaymentonAIADocumentsG702andG703orotherformacceptabletoDCPL,andsuchothersupportingdocumentationasDCPLmayreasonablyrequest.
EachApplicationforPaymentshallalsoincludedetaileddocumentationofcostsasaconditionforapprovingprogresspayments,buttheDesign-Buildershallneverthelessmaintaincompletedocumentationofthecosts.
Section9.4 StoredMaterials.DCPLshallnotberequiredtopayformaterialsstoredatlocationsotherthantheProjectsite,absentitswrittenagreementtodoso,whichmaybewithheldatDCPL'ssolediscretion.IfDCPLexpresslyagreesinwritingtopayformaterialsstoredoffsiteandnotyetincorporatedintothework,theApplicationforPaymentmayalsoincludearequestforpaymentofthecostofsuchmaterials,suchrequestsshallbedocumentedbyappropriateinvoicesandbillsofsale.PaymentforstoredmaterialsshallbeconditionedalsoontheDesign-Builder’srepresentationthatithasinspectedthematerialandfoundittobefreefromdefectandotherwiseinconformitywiththisContract,andonsatisfactoryevidencethatthematerialsareinsuredunderthebuilder'sriskpolicy.

Further,ifheDesign-BuilderrequestsDCPLtoapprovepaymentsforstorageofmaterialsoffsite,theDesign-BuildershallberequiredtoagreetotheexecutionofproperdocumentationtoaffordDCPLasecuredinterestinthematerialsuponpayment.TheDesign-BuildershallprovideDCPLwithalistingofallsuchmaterials,includingpricesandtotalvalue,aspartoftherecurringmonthlyprojectreviews.

Section9.5 _Design-Builder’sCertification,EachApplicationforPaymentshallbeaccompaniedbytheDesign-Builder’ssignedcertificationthat(1)allamountspaidtotheDesign-BuilderonthepreviousApplicationforPaymentthatwereattributabletoSubcontractorworkortomaterialsorequipmentbeingsuppliedbyanysupplierhasbeenpaidovertotheappropriateSubcontractorsandsuppliers,(2)thatallamountscurrentlysoughtforSubcontractorworkorsupplyofmaterialsorequipmentarecurrentlydueandowingtotheSubcontractorsandmaterialorequipmentsuppliers,(3)andthatallwork,materialsorequipmentforwhichpaymentissoughtis,tothebestoftheDesign-Builder’sknowledge,freefromdefectandmeetsalloftheContractrequirements.TheDesign-BuildershallnotincludeinanApplicationPaymentamountsforworkforwhichtheDesign-Builderdoesnotintendtopay
Section9.6LienWaivers.EachApplicationforPaymentshallbeaccompaniedbywrittenwaiversoftherighttofileamechanic'slienandallotherclaimsfortheDesign-BuilderandallSubcontractorsandmaterialsuppliersatalltierswhohavesuppliedlaborormaterialorbothforwhichpaymentisrequested,subjectonlytoreceiptofpayment.IfDCPLsorequests,the

Design-BuildershallalsosubmitunconditionalwaiversofliensforitselfandallSubcontractorsandmaterialsuppliersatalltierswithrespecttoworkormaterialsorequipmentforwhichpaymenthasbeenpreviouslymade,andadditionalformsofwaiveracknowledgingreceiptoffinalpaymentundertheContractandprovidingfinalreleaseofsuchliens.
Section9.7_WarrantyofTitle.BysubmittinganApplicationforPayment,theDesign-Builderwarrants to DCPL thattitleto allwork forwhich payment is sought willpass to DCPL,
withoutliens,claims,orotherencumbrances,uponthereceiptofpaymentbytheDesign-Builder.DCPL may requireexecutionofappropriatedocumentstoconfirmpassageofcleartitle.Passage
oftitleshallnotoperatetopasstheriskoflosswithrespecttotheworkinquestion.Riskoflossremains with the Design-BuilderuntilSubstantialCompletion, unless otherwise agreed by DCPL,
inwriting.
Section9.8 InvoiceSubmission.Onthetwenty-fifthdayofeachmonththeDesign-BuildershallsubmittoDCPL(withacopytotheProjectManager)aDraftApplicationforPayment,whichApplicationforPaymentshallcovertheentiremonthduringwhichtheApplicationforPaymentissubmitted.AmountswillbeagreeduponbyDCPLwithin5days,andDesign-BuilderwillsubmitthroughtheDCPortalforpaymentnotlaterthanthe7thofeachmonth,
AllamountsformallysubmittedviaApplicationforPaymentandnotdisputedbyDCPLshallbedueandpayablewithin30daysofsubmission.
IftheDesign-BuilderandDCPLareunabletoagreeontheamountsproperlydueandowing,DCPLshallpayinaccordancewithitsgoodfaithdetermination.TheDesign-Buildermayprotestandpursuea claimasprovidedinthisAgreement.
Unlessotherwiseagreed,paymentforserviceswillbemadeonamonthlybasis.TheContractorshallcreateandsubmitpaymentrequests/invoicesinanelectronicformatthroughtheDCVendorPortal,withaconcurrentcopyandnecessarybackupsubmittedviaemailtotheDCPLProjectManager.To registeron theDC VendorPortalandtocreatea vendoraccountgo tohttps://vendorportal.de.govandfollowtheinstructions.
To constitutea validinvoice,the Design Buildershallenterallrequiredinformationintothe Portal
afterselectingthe applicablePurchase Order (PO) Number listedon the Design Builder'sprofile.
ClickthePO Numberandfollowtheinstructionsforcreatingan invoice.Invoicesshallbe paid
within30 days from the date receivedintheVendor Portal.
Invoicesnotpaidwithin30 days willbear interestinaccordance withtheQuick Payment Act.The
DesignBuildercanalsocheckpaymentstatusviatheDC VendorPortal.
Forassistance,theDesign-BuildershallcontacttheDC VendorPortalhelpdeskat(202)741-5200betweenthehoursof9:00am and5:00pm EDTMondaythroughFriday.
Section9.9 RighttoWithholdPayments.DCPLwillnotifytheDesign-Builderwithinfive(6)daysafterreceivinganyApplicationforPaymentofanydefectintheApplicationforPaymentortheDesign-Builder'sperformancewhichmayresultinDCPL'sdecliningtopayallorapartoftherequestedamount.DCPLmaywithholdpaymentfromtheDesign-Builder,inwholeorpart,asappropriate,if:
(1) The work isdefectiveand such defectshave not been remedied;or

(2)DCPLhasdeterminedthattheDesign-Builder’sprogresshasfallenbehindtheProjectSchedule, and the Design-Builder fails,withinten (10) calendar days of DCPL's written
demand,toprovideDCPLwitha realisticandacceptableplantorecoverthedelays;or
(3) TheDesign-Builder’smonthlyscheduleupdatereflectsthattheDesign-BuilderhasfallenbehindtheProjectSchedule,andtheDesign-Builderfailstoinclude,inthesamemonthlyreport,arealisticandacceptableplantorecoverthedelays;or
(4) TheDesign-BuilderhasfailedtoprovidereportsinfullcompliancewithSection4.14ofthisAgreement;or
(8) TheDesign-BuilderhasfailedtopaySubcontractorsorsupplierspromptlyorhasmadefalseorinaccuratecertificationsthatpaymentstoSubcontractorsorsuppliersaredueorhavebeenmade;or
(6)Anymechanic'slienhasbeenfiledagainstDCPL,thesiteoranyportionthereoforinteresttherein,oranyimprovementsonthesite,eventhoughDCPLhaspaidallundisputedamountsduetotheDesign-Builder,andtheDesign-Builder,uponnotice,hasfailedtoremovethelien,bybondingitofforotherwise,withinten(10)calendardays;or
(7) DCPLhasreasonableevidencethattheworkwillnotbecompletedbytheSubstantialCompletionDate,asrequired,thattheunpaidbalanceoftheGuaranteedMaximumPricewouldnotbeadequatetocoverliquidateddamagesarisingfromtheanticipateddelay;or
(8) DCPL hasreasonableevidencethattheworkcannotbecompletedfortheunpaidbalance
ofthe GMP; or
(9)TheDesign-BuilderisotherwiseinsubstantialbreachofthisContract(including,withoutlimitation,failurestocomplywithCBEUtilizationrequirementsinArticle11).
Section9.10PaymentNotAcceptance.Paymentofanyprogresspaymentorfinalpayment shallnot constituteacceptance of work thatisdefectiveor otherwise failsto conform to
theContract,orawaiverofanyrightsorremediesDCPLmayhavewithrespecttodefectiveornonconformingwork.
Section9.11DepartmentNotObligatedtoOthers.DCPLhasnoobligationtopayorberesponsibleinanywayforpaymentsdirectlytoa consultantorsubcontractorperformingPortionsofthework.DCPLhavenoobligation,afterassignmentoftheDesignContracttotheDesign-Builder,topayorberesponsibleinanywayforpaymentstotheArchitec/Engineer.
Section9.12FinalPayment,FinalpaymentshallbemadebyDCPLtotheDesign-Builderwhen(1)FinalCompletionhasbeenachieved;and(2)acertificationbytheDesignBuilderthat,exceptforrequestedfinalpayment,allsubcontractorsandsuppliershavebeenpaidinfullandthatappropriatelienreleaseshavebeenobtainedfromsuchsubcontractorsandsuppliersdocumentingsuchpaymentsorotherwisebondedoff,and(3)allclose-outdocumentshavebeencompleted,(4)aconditionalReleaseofClaimseffectiveonlyuponreceiptofsuchfinalpaymenthasbeensubmitted,(5)acompleteandfinalApplicationforPaymentandafinalaccountingfortheCostoftheWorkhavebeensubmittedbytheDesign-BuilderandreviewedbyDCPL’saccountants.

DCPLshallmakesuchafinalpaymentnotmorethanthirty(30)daysafterDCPLreceivessuchreportfromtheDesignBuilderandverifiestheamountofthefinalpaymentsetforthinacompletefinalApplicationforPayment.DCPLmay,ifitsoelects,requirethatcopiesofalllienreleasesbeprovidedasaconditionprecedenttomakingfinalpayment.
Section9.13LiquidatedDamages.IftheDesign-BuilderfailstoachieveSubstantialCompletionbytheSubstantialCompletionDate,thepartiesacknowledgeandagreethattheactualdamagetoDCPLforthedelaywillbeimpossibletodetermine,andinlieuthereof,theDesign-BuildershallpaytoDCPL,asfixed,agreedandliquidateddelaydamagesintheamountofFiveHundredDollars($500.00)perday(nottoexceedOneHundredThousandDollars)foreachcalendardayofdelayforfailuretomeettheSubstantialCompletionDate.
TheDesign-BuilderandDCPLagreethattheliquidateddamagessetforthinthisSection9.13doNotconstitute,andshallnotbedeemed,apenaltybutrepresentareasonableapproximationofthedamagestoDCPLassociatedwithadelayintheProject.NotwithstandinganythingtothecontraryinthisAgreement,innoeventshalltheliquidateddamages,ortheamountbeassessedagainsttheDesign-Builderforlatedelivery,exceedOneHundredThousandDollars($100,000).LiquidateddamagesshallbeDCPL’sexclusiveremedyfordelay.
ARTICLE10
INSURANCE AND BONDS
Section 10.1 Insurance Required by the Project.The Design-Builderwillbe requiredto
maintainthefollowingtypesofinsurancethroughoutthelifeoftheProjectunlessotherwiseindicatedbelow.
Section10.1.1Commercialgeneralpublicliabilityinsurance(“LiabilityInsurance")againstliabilityforbodilyinjuryanddeathandpropertydamage,suchLiabilityInsurancetobeinanamountnotlessthanOneMillionDollars($1,000,000)forliabilityforbodilyinjury,deathandpropertydamagearisingfromanyoneoccurrenceandTwoMillionDollars($2,000,000)fromtheaggregateofalloccurrenceswithineachpolicyyear.ThepolicyshallincludecompletedoperationscoverageandshallbecarriedforthedurationoftheProjectaswellasthree(3)yearsbeyondSubstantialCompletion.Allprimarylimitsmaybemetinconjunctionwithexcesslimits.
Intheeventofaninsuredlossduringtheperformanceofthiscontract,anydeductiblepaidbytheDesign-Buildershallbebilledasa costofcontractperformancesolongasthelosswasnotcausedbythenegligenceoftheDesign-Builder.
Section10.1.2Workers’CompensationandEmployersLiabilitycoverageprovidingstatutorybenefitsforallpersonsemployedbytheDesign-Builder,oritscontractorsandsubcontractorsatorinconnectionwiththework.
Section10.1.3AutomobileLiability,includingHiredandNon-OwnedAutoLiabilityintheamountofatleastOneMillionDollars($1,000,000.)foreachoccurrenceforbodilyinjuryandpropertydamage.
Section10.1.4Excessumbrellaliabilitycoverage(onatleastafollowformbasis)havinganaggregatelimitofatleastTenMilliondollars($10,000,000.).
Section10.1.5ProfessionalLiabilityInsurance(Errors&Omissions).TheDesign-Builder'sdesignsubconsultantshallprovide,payforandmaintainprofessionalliabilityinsurancefor

protectionfromclaimsarisingoutoftheperformanceofprofessionalservicescausedbynegligenterror,omission or act for which the Design-Builder islegallyliable.Such liabilityinsurance will
providecoverageof$2,000,000.00perclaimforeachnegligentact,errororomissionand$2,000,000.00annualaggregate.TheDesign-Builder'sdesignsubconsultantshallmaintainthiscoveragefora periodofthree(3)yearsafterSubstantialCompletionoftheProjectisachieved
Section10.1.6Design-Builder’sContractorPollutionLiabilityinsurancecoverageintheamountofatleastTwoMillionDollars($2,000,000)foreachoccurrence.SuchcoverageshallbemaintainedforthedurationoftheProjectaswellasthree(3)yearsafterSubstantialCompletionoftheProjectisachieved.
Section10.1.7DesignBuildershallprovideRailroadprotectiveinsuranceifProjectiswithin50feetofanyraillineinamountsdeemednecessarybytheDesign-BuilderandacceptabletotheDistrict.
Inaddition,theDesign-Buildershallensurethatanysubcontractorsinvolvedintheabatementand/ordisposalofhazardousmaterialsmaintainacontractor'spollutionliabilityinsurancepolicyofatleastTwoMillionDollars($2,000,000)forthedurationoftheProjectanda periodofthree(3)yearsafterSubstantialCompletionoftheProject,andthatanydisposalsitetowhichhazardousmaterialsaretakencarriesenvironmentalimpairmentliabilityinsuranceforthedurationoftheProjectandaperiodofthree(3)yearsafterSubstantialCompletionoftheProject.
Section10.2Eachinsurancepolicy,exceptWorker'sCompensationandProfessionalLiability,shallbeissuedinthenameoftheDesign-BuilderandshallnameasadditionalinsuredpartiesDCPLandtheDistrictofColumbia,andtheofficers,agentsandemployeesofeach.Suchinsuranceshallnotbecancelableorreducedwithoutthirty(30)dayspriorwrittennoticetoDCPL.
Section10.3AllsuchinsuranceshallcontainawaiverofsubrogationagainstDCPL and
the DistrictofColumbia,and theirrespectiveagents.
Section10.4AllsuchinsurancepoliciesshallbewrittenbyacompanythatisratedatleastA-byA.M.BestandhavingasurplussizeratingofatleastXV.
Section10.5PerformanceBond andPaymentBond.The Design-Buildershall,within14daysaftertheexecutionofthefirstGMP providetoDCPLapaymentbondandperformancebond,eachwitha penalsumequaltothefullvalueofthatGMP andtheDesign-Buildershallwithin14daysaftertheexecutionofthesecondGMP provideabondriderforthevalueofthatGMP.SuchbondshallremaininfullforceandeffectuntilFinalCompletionisachieved.InaccordancewiththeAIAA312bondformtheSuretyliabilityistheamountofthebondregardlessoftheamountpaidbyDCPLtotheDesign-Builder.UnlessotherwisedirectedbyDCPL,theDesign-BuildershallrequireallSubcontractorswhoseSubcontractpricesexceedOneHundredThousandDollars($100,000)toprovidepaymentandperformancebonds,withapenalsumequaltoonehundredpercent(100%)ofthesubcontractprice.AllbondsmustbeinaformacceptabletoDCPL,itslendersorbondtrustee,andissuedbya suretyauthorizedtodobusinessintheDistrictofColumbiaandbondingcompanylistedontheUnitedStateDepartmentofTreasury'sListingofApprovedSureties.Allsubcontractors’bondsmustincludeadualobligeerider,namingtheDesign-BuilderandDCPLasdualobligees.IftheGMP isincreasedpursuanttothetermsoftheContract,DCPLmayrequirethattheamountofthebondsbeincreasedintheamountofonehundredpercent(100%)oftheincrease,andtheDesign-Buildershallpromptlycomply.TheDesign-Buildershallfurnishacopyofitsbondstoanypotentialbeneficiaryofthebondsorpermitthatpersonorcompanytomakea copy.Ifthebondsprovidedbecomereasonablyunacceptable

toDCPL,theDesign-BuildershallpromptlyprovidesubstitutesecurityacceptabletoDCPL. Inlieuof Subcontractor bonds as set forthabove, the Design-Builder in itssole discretionhas the
optionofacquiringsubcontractordefaultinsurance(SDI).
ARTICLE41
ECONOMIC INCLUSIONREQUIREMENTS
Section 11.1 CBE Utilization.
Section11.1.1TheDesign-BuildershallensurethatLocal,SmallandDisadvantagedBusinessEnterpriseswillparticipateintheproject.Atleastthirty-fivepercent(35%)oftheContractworkmustbeawardedtoentitiesthatarecertifiedaseitherSmallBusinessEnterprisesbytheDistrictofColumbiaDepartmentofSmallandLocalBusinessDevelopment.TheCBEcertificationshallbe,ineachcase,asoftheeffectivedateofthesubcontract.Supplyagreementswithmaterialsuppliersshallbecountedtowardmeetingthisgoal.
Section11.1.2TheDesign-Builderhasdevelopeda preliminaryCBEUtilizationPlanthatshallcomply withthe terms of the CBE UtilizationPlan inmaking purchases and administeringits
SubcontractorsandSupplyAgreements.
Section11.1.3NeithertheDesign-Builderor a Subcontractormay removeaSubcontractorortier-SubcontractorifsuchSubcontractorortier-SubcontractoriscertifiedasaCBEcompanyunlessDCPLapprovesofsuchremoval,whichshallnotbeunreasonablywithheld.DCPLmayconditionitsapprovalupontheDesign-Builderdevelopinga planthatis,inDCPL’'ssolebutreasonablejudgment,adequatetomaintainthelevelofCBEparticipationontheProject.CostsassociatedwithreplacingaremovedCBEfirmshallbeinvoicedandpaidasacostofthework.
Section 11.2 Equal Employment Opportunity and Hiringof DistrictResidents
Section11.2.1TheDesign-Buildershallcomplywithapplicablelaws,regulationsandspecialrequirementsoftheContractDocumentsregardingequalemploymentopportunityandaffirmativeactionprograms.
Section11.2.2TheDesign-Buildershallensurethatatleastfifty-onepercent(51%)oftheDesign-Builder'steamandeverySubconsultant'sandsubcontractor’semployeeshiredaftertheeffectivedateoftheContract,oraftersuchsubconsultantorsubcontractorentersintoacontractwiththeDesign-Builder,toworkontheProjectshallberesidentsoftheDistrictofColumbia.
Thispercentageshallbeappliedintheaggregateandnottradebytrade.Inaddition,theContractorshallusecommerciallyreasonablebesteffortstocomplywiththeworkforcepercentagegoalsestablishedbytherecentlyadoptedamendmentstotheFirstSourceEmploymentAgreementActof1984(D.C.Code§§2-219.01etseq.)andanyimplementingregulations,including,butnotlimitedtothefollowingrequirements:
(i) Atleast20%ofjourneyworkerhoursbytradeshallbeperformedbyDistrictresidents;(ii)Atleast60%ofapprenticehoursbytradeshallbeperformedbyDistrictresidents;(ii)Atleast51%oftheskilledlaborerhoursbytradeshallbeperformedbyDistrictresidents;and(iv)Atleast70%ofcommonlaborerhoursshallbeperformedbyDistrictresidents.

Section11.3.4TheDesign-Buildershallberesponsiblefor:(i)includingtheprovisionsofSection11.3inallsubcontracts;(ii)collectingtheinformationrequiredinSection11.3fromitsSubcontractors;and(ii)providingtheinformationcollectedfromitsSubcontractorsinthereportsrequiredtobesubmittedbytheDesign-BuilderpursuanttoSection11.3.
Section 11.4 Compliance with the Apprenticeship Act. The Design-Builderagrees to
complywiththerequirementsoftheApprenticeshipActof1946,D.C.Code§§32-1401,etseq.
ARTICLE 12
CLAIMS & DISPUTERESOLUTION
Section12.1NoticeofClaim,IftheDesign-BuilderhascompliedwithallprovisionsinSection7.6regardingchanges,andDCPLhasdeniedthechangesrequestedinawrittenChangeProposal,orhasfailedtorespondtoawrittenChangeProposalwithinthirty(30)days,andtheBuilderwishestopursueaclaimoverthedisputeditem,oriftheBuilderwishestoassertaclaimovera contractdisputenotarisingfrommattersrelatedtoa ChangeEvent,ChangeOrderorChangeDirective,thenthewrittennoticeofclaimmustbesubmittedtoDCPLpursuanttoproceduressetforthinSection4380ofDCPL'sprocurementrules.

Section 12.2 Contents of Notice of CI ..The noticeof claim shallstatethe nature of
theclaim,theeventsorcircumstancesgivingrisetotheclaim,thetypeofreliefrequested,andthe amount of time or additionalcompensation, or other damages sought. Ifthe amount of time,
compensation,orotherdamagessoughtisnotreasonablyascertainableatthetime,theDesign-Buildershallso state,explain why, and provide whatever estimates itcan reasonably provide.
ThenoticeshallstateclearlythattheBuilderintendstoasserta claimagainstDCPL.

Section12.3AppealProcedures,AllclaimsarisingunderorinconnectionwiththeAgreementoritsbreach,orrelatingtotheProject,whetherframedincontract,tortorotherwise,andwhicharenotresolvedviatheclaimsprocessmayberesolvedbyfilinganappealwiththeDistrictofColumbiaBoardofContractAppealsinaccordancewithSection4380oftheDCPL'sProcurementRegulations(19DCMR4380).However,ifathirdpartybringsanyclaimagainstDCPL,including,withoutlimitation,claimsofinfringementofpatents,copyrightsorotherintellectualpropertyrights,DCPLmaybringanactionfordefenseorindemnificationagainstthe

MISCELLANEOUS PROVISIONS
Section13.1.ExtentofContract,TheContract,whichincludesthisAgreement,andtheotherdocumentsincorporatedhereinby reference,representstheentireandintegratedagreementbetweenDCPL and Design-Builderand supersedesallpriornegotiationsrepresentationsoragreements,eitherwrittenororal.TheContractmaybeamendedonlybywritteninstrumentsignedbybothDCPLandDesign-Builder.IfanythinginanydocumentincorporatedintothisAgreementisinconsistentwiththisAgreement,thisAgreementshallgovern.
Section13.2OwnershipAndUseofDocuments.TheDrawings,SpecificationsandotherdocumentspreparedbytheArchitect/EngineershallbecomethesolepropertyofDCPLuponcompletionoftheservicesandpaymentinfullofallmoniesduetotheDesignBuilderandArchitect/Engineer,exceptfortheArchitect'sstandarddetailsandspecificationsusedonmultipleprojects.Thedrawings,specificationsandotherdocumentsshouldbeprovidedtoDCPLfromtheDesign-Builderinbothhardcopyandelectronically.TheDrawings,SpecificationsandotherdocumentspreparedbytheArchitecl/EngineerandcopiesthereoffurnishedtotheDesign-Builder,areforusesolelywithrespecttothisProject.TheyarenottobeusedbytheDesign-Builder,Subcontractors,Sub-subcontractorsorsuppliersonotherprojects,orforadditionstothisProjectoutsidethescopeofthework,withoutthespecificwrittenconsentofDCPL,andtheArchitect/Engineer.The designdocumentsand otherdocumentspreparedby theArchitecEngineershallbecomethepropertyof theDCPL.DCPL shallholdtheArchitect/EngineerandDesignBuilderharmlessagainstclaimsarisingoutofDCPL’suseofthedesigndocuments.TheDrawings,SpecificationsandotherdocumentspreparedbytheArchitect/EngineerandcopiesthereoffurnishedtotheDesign-Builder,areforusesolelywithrespecttothisProject.TheyarenottobeusedbytheDesign-Builder,Subcontractors,Sub-subcontractorsorsuppliersonotherprojects,orforadditionstothisProjectoutsidethescopeofthework,withoutthespecificwrittenconsentofDCPL,andtheArchitect/Engineer.ThedesigndocumentsandotherdocumentspreparedbytheArchitect/EngineershallbecomethepropertyoftheDCPL.DCPLshallholdtheArchitect/EngineerandDesignBuilderharmlessagainstclaimsarisingoutofDCPL’suseofthedesigndocuments.
Section13.3GoverningLaw.TheContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheDistrictofColumbia,withoutregardtoitsconflictoflawsprinciples.
Section13.4ConformancewithLaws.ItshallbetheresponsibilityoftheDesign-BuildertoperformtheContractinconformancewithDCPL’sProcurementRegulations(19DOMR§4300etseq.)andallstatutes,laws,codes,ordinances,regulations,rules,requirementsandordersofgovernmentalbodies,including,withoutlimitation,theU.S.GovernmentandtheDistrictofColumbiagovernment;anditisthesoleresponsibilityoftheDesign-BuildertodeterminetheProcurementRegulations,statutes,laws,codes,ordinances,regulations,rules,requirementsandordersthatapplyandtheireffectontheDesign-Builder'sobligationsthereunder.ThisSection13.4shallapplyduringboththeDesignandPreconstructionPhaseandtheConstructionPhase

Section13.5Assignment.DCPL andDesign-Builderrespectivelybindthemselves,theirpartners,members,jointventures,constituententities,successors,assignsandlegalrepresentativestotheotherpartyheretoandtopartners,members,jointventures,constituent

entities,successors,assignsandlegalrepresentativesofsuchotherpartyinrespecttocovenants,agreementsandobligationscontainedintheContract.NeitherpartytotheContractshallassigntheContractasawholewithoutwrittenconsentoftheother.Ifeitherpartyattemptstomakesuchanassignmentwithoutsuchconsent,thatpartyshallneverthelessremainlegallyresponsibleforallobligationsundertheContract.
Section13.6RetentionofRecordsandInspectionsandAudits
Section 13.6.1 The Design-Buildershallmaintain books, records,documents and other
evidencedirectlypertinenttoperformanceundertheContractinaccordancewithgenerallyacceptedprofessionalpracticeandappropriateaccountingproceduresandpracticesconsistentlyapplied ineffecton the date of execution of the Contract.
Section 13.6.2 The Design-Buildershallalso maintain the financialinformationand data
usedinthepreparationandsupportofthecostingandcostsummarysubmittedtoDCPLandtherequiredcost submissions ineffecton the date of execution of DCPL.
Section13.6.3DCPL,theDistrictofColumbiagovernment,theDistrictofColumbiaFinancialResponsibilityandManagementAssistanceOffice,theComptrollerGeneraloftheUnitedStates,theU.S.DepartmentofLaborandanyoftheirauthorizedrepresentativesshallhaveaccesstothebooks,records,documentsandotherevidenceheld,ownedormaintainedbytheDesign-Builderforthepurposeofinspection,auditandcopyingduringnormalbusinesshoursanduponadvancewrittennoticetotheDesign-Builder.TheDesign-Buildershallprovideproperfacilitiesforsuchaccessandinspection.
Section 13.6.4The Design-Builderagrees to includethe wording ofthisSectioninallits
‘subcontractsinexcessoffive thousand dollars($5,000)thatdirectlyrelatetoProjectperformance
Section13.6.5AuditsconductedpursuanttothisSectionwillbeinaccordancewithgenerallyacceptableauditingprinciplesandestablishedproceduresandguidelinesoftheapplicablereviewingorauditagency.
Section13.6.6TheDesign-Builderagreestothedisclosureofallinformationandreports,resultingfromaccesstorecords,toanyauthorizedrepresentativeofDCPL.WheretheauditconcernstheDesign-Builder,theauditingagencywillaffordtheDesign-Builderanopportunityforanauditexitconferenceandanopportunitytocommentonthepertinentportionsofthedraftauditreport.Thefinalauditreportwillincludethewrittencomments,ifany,oftheauditedparties.
Section13.6.7TheDesign-BuildershallpreserveallrecordsdescribedhereinfromtheeffectivedateoftheContractcompletionandfora periodofthree(3)yearsaftera finalsettlement.Inaddition,thoserecordswhichrelatetoanydispute,appealorlitigation,orthesettlementofclaimsarisingoutofsuchperformance,orcostsoritemstowhichanauditexceptionhasbeentaken,shallbemaintainedandmadeavailableuntilthree(3)yearsafterthedateofresolutionofsuchdispute,appeal,litigation,claimorexception.

Section13.7InspectionforSuppliesandServices
Section13.7.1Totheextentapplicableorappropriate,DCPLmay,uponreasonableadvancewrittennotice,entertheplaceofbusinessoftheDesign-BuilderortheplaceofbusinessofanySubcontractorinordertoinspectortestsuppliesorservicesforacceptancebyDCPL.IfinspectionsandtestsareperformedattheplaceofbusinessoftheDesign-Builderorany

Subcontractor,theinspectionsandtestsshallbeperformedinamannersoastonotundulydelaythe work. Inspectionsand testsby DCPL shallnot relievethe Design-Builderor any Subcontractor
ofresponsibilityfordefectsorotherfailurestomeetContractrequirementsandshallnotconstituteorimplyacceptance.
Section13.7.2NotwithstandingDCPL’sacceptanceoforpaymentforanyproductorservice delivered by Design-Builder,the Design-Builder shallremain liablefor latentdefects,
fraud,grossmistakesamountingtofraudandDCPL’srightsunderanywarrantyorguarantee.
Section13.7.3DCPLshallhavetheright,uponreasonableadvancewrittennotice,toentertheplaceofbusinessoftheDesign-BuilderortheplaceofbusinessofanySubcontractorinordertoinvestigateanycontractororofferorwithrespecttoadebarmentorsuspensionoftheDesign-BuilderoranysuchSubcontractor.
Section13.8LawsandRegulationsIncorporatedby Reference.AllDistrictofColumbia laws and regulations,and allDepartment procedures now orhereafterin effect,whether
ornotexpresslyprovidedfororreferredtointheContract,areincorporatedbyreferencehereinand shallbe binding upon the Design-Builder and DCPL. Itshallbe the responsibilityof the
Design-BuildertoperformtheContractinconformancewithDCPL'sprocurementregulationsandallstatutes,laws,codes,ordinances,regulations,rules,requirements,andordersofgovernmental bodies, including,without limitation,the U.S. Government and the Districtof
Columbiagovernment.However,iftheapplicationofa futurelaworregulationrequirestheDesign-Builderto undertake additionalwork thatismateriallydifferentinscope than thatpresently
contemplatedorrequired,theDesign-Buildershallbeentitledtoanequitableadjustmentforsuchadditionalwork.ThepartiesfurtheragreethattheprovisionsoftheFederalAcquisitionRegulation
arenotapplicabletothiscontract.ExclusionoftheFederalAcquisitionRegulationfromthiscontractshallnotimpairtheoperationofotherfederallawsbroadlyapplicabletoconstruction,i.e.Davis Bacon, Service Contract Act,Contract Work Hours & Safety,etc.
Section13.9TaxExemptionProvision.AnytaxexemptionsapplicabletotheDistrictofColumbia,includingthegrossreceiptssalestaxexemptionforthesaleoftangiblepersonalpropertytotheDistrict,codifiedinD.C.Code§47-2005,shallapplytotheperformanceoftheContract.
Section13.10Anti-CompetitivePracticesandAnti-kickbackProvisions
Section13.10.1TheDesign-Builderrecognizestheneedformarketstooperatecompetitivelyandshallobserveandshallcomplywithallapplicablelaw,rules,andregulationsprohibitinganti-competitivepractices.TheDesign-Buildershallnotengage,directlyorindirectly,incollusionorotheranti-competitivepracticesthatreduceoreliminatecompetitionorrestraintrade.DCPLshallreporttotheappropriateauthorityanyactivitythatevidencesaviolationoftheantitrustlawsandtakesuchotherfurtheractiontowhichitisentitledorobligatedunderthelaw.
Section13.10.2TheDesign-Buildershallobserveandcomplywithallapplicablelaws,rules,andregulationsprohibitingkickbacksand,withoutlimitingtheforegoing,Design-Buildershallnot:(i) Provideorattempttoprovideoroffertoprovideanykickback;(ii)Solicit,accept,orattempttoacceptanykickback;or(iii)Include,directlyorindirectly,theamountofanykickbackinthecontractpricechargedbyDesign-BuilderoraSubcontractoroftheDesign-BuildertoDCPL.

TheDesign-Buildershallhaveinplaceandfollowreasonableproceduresdesignedtopreventanddetectpossibleviolationsdescribedinthissubparagraphinitsownoperationsanddirectbusinessrelationships.DCPLmaytakeanyrecourseavailabletoitunderthelawforviolationsofthisanti-kickbackprovision.

Section13.10.3TheDesign-Builderrepresentsandwarrantsthatitdidnot,directlyorindirectly,engageinanycollusiveorotheranti-competitivebehaviorinconnectionwiththebid,negotiationorawardoftheContract.
Section13.11EthicalStandardsforDepartment'sEmployeesand FormerEmployees.DCPLexpectstheDesign-Buildertoobservethehighestethicalstandardsandtocomplywithallapplicablelaws,rules,andregulationsgoverningethicalconductorconflictsofinterest.NeithertheDesign-Builder,noranypersonassociatedwiththeDesign-Builder,shallprovide(orseekreimbursementfor)anygift,gratuity,favor,entertainment,loanorotherthingof
valuetoanyemployeeoftheDistrictorDCPLnotinconformitywithapplicablelaw,rulesorregulations.
TheDesign-BuildershallnotengagetheservicesofanypersonorpersonsintheemploymentofDCPLortheDistrictforanyworkrequired,contemplatedorperformedundertheContract.TheDesign-BuildermaynotassignanyformerDepartmentorDistrictemployeeoragentwhohasjoinedtheDesign-Builder’sfirmanymatteronwhichtheformeremployee,whileintheemployofDCPL,hadmaterialorsubstantialinvolvementinthematter.TheDesign-BuildermayrequestawaivertopermittheassignmentofsuchmatterstoformerDepartmentpersonnelonacase-by-casebasis.TheDesign-BuildershallincludeineverysubcontractaprovisionsubstantiallysimilartothissectionsothatsuchprovisionsshallbebindinguponeachSubcontractororvendor
Section13.12

Benefit Provision:
Section13.12.1Ifitisfound,afternoticeandhearing,byDCPLthatgratuities(intheformofentertainment,gifts,payment,offersofemploymentorotherwise)wereofferedorgivenbythe
Design-Builder,oranyagentorrepresentativeoftheDesign-Builder,toanyofficial,employeeoragent of DCPL or the Districtwith a view toward securing the Contract or any other contractor
securingfavorabletreatmentwithrespecttotheawardingoramending,orthemakingofanydeterminationswithrespecttotheperformanceoftheContract,DCPLmay,bywrittennoticetothe Design-Builder,terminate the rightof the Design-Builderto proceed under the Contract and
maypursuesuchotherrightsandremediesprovidedbylawandundertheContract.
Section 13.12.2Inthe event the Contractisterminatedas providedinSection13.12.1,
DCPL shallbeentitled:
Section 13.12.2.1to pursue the same remedies againstthe Design-Builderas itcould
pursueintheeventofa breachoftheContractbytheDesign-Builder;and
Section13.12.3Nomemberof,nordelegatetoCongress,MayororCityCouncilMember,norofficernoremployeeoftheDistrict,norofficernoremployeeofDCPLshallbeadmittedtoanyshareorpartoftheContractortoanybenefitthatmayarisetherefrom,andallagreementsenteredintobytheauthorizedrepresentativeofDCPLinwhichheoranyofficeroremployeeofDCPLshallbepersonallyinterestedaswellasallagreementsmadebyDCPLinwhichtheMayororCityCouncilMemberorofficeroremployeeoftheDistrictshallbepersonallyinterestedshallbevoidandnopaymentsshallbemadeonanysuchcontractsbyDCPLorbyanyofficerthereof;butthisprovisionshallnotbeconstruedorextendtotheagreementiftheshareoforbenefitto

thememberof,ordelegatetoCongress,MayororCityCouncilMember,orofficeroremployeeof the Districtisde minimus.
Section13.13 CovenantAgainstContingentFeesProvisions.TheDesign-BuilderwarrantsthatnopersonorsellingagencyhasbeenemployedorretainedtosolicitorsecuretheContractuponanagreementorunderstandingfora Commission,percentage,brokerage,orcontingentfee,exceptingbonafideemployeesorbonafideestablishedcommercialorsellingagenciesmaintainedbytheDesign-Builderforthepurposeofsecuringbusiness.Forbreachorviolationofthiswarranty,DCPLshallhavetherighttoterminatetheContractwithoutliabilityorinitsdiscretiontodeductfromthecontractpriceorconsideration,orotherwiserecover,thefullamountofDCPL,percentage,brokerageofcontingentfee.
Section 13.14 Non-Discriminationin Employment Provisions
Section13.14.1TheDesign-Builderagreestotakeaffirmativeactiontoensurethatapplicantsareemployed,andthatemployeesaretreatedduringemployment,withoutregardtotheirrace,color,religion,nationalorigin,sex,age,maritalstatus,personalappearance,sexualorientation,familyresponsibilities,matriculation,politicalaffiliation,orphysicalhandicap.Theaffirmativeactionshallinclude,butnotbelimitedto,thefollowing:

Section13.14.1.2Recruitmentorrecruitmentadvertising:
Section13.14.1.3Demotion,layoff,ortermination;

Section13.14.3TheDesign-Buildershall,inallsolicitationsoradvertisementsforemployeesplacedbyoronbehalfoftheDesign-Builder,statethatallqualifiedapplicantswillreceiveconsiderationforemploymentpursuanttothenon-discriminationrequirementssetforthinthisSection.
Section13.14.4TheDesign-Builderagreestosendtoeachlaborunionorrepresentativeofworkerswithwhichithasacollectivebargainingagreement,orothercontractorunderstanding,a noticetobeprovidedbyDCPL,advisingeachlaborunionorworkers’representativeoftheDesign-Builder’scommitmentsunderthisSection,andshallpostcopiesofthenoticeinconspicuousplacesavailabletoemployeesandapplicantsforemployment.
Section13.14.5TheDesign-BuilderagreestopermitaccessbyDCPLtoallbooks,recordsandaccountspertainingtoitsemploymentpracticesforpurposesofinvestigationtoascertaincompliancewiththisSectionandshallpostcopiesofthenoticesinconspicuousplacesavailabletoemployeesandapplicantsforemployment.

Section13.14.6The Design-Buildershallincludeineverysubcontracttheequal‘opportunityclausesofthisSectionso thatsuchprovisionsshallbe bindinguponeachSubcontractororvendor]
Section 13.14.7 The Design-Builder shall take such action with respect to any
SubcontractorastheContractingOfficermaydirectasa meansofenforcingtheseprovisions,includingsanctionsfornon-compliance.
Section 13.15 Buy American Act Provision. The Design-Buildershallcomply with the
provisionsoftheBuyAmericanAct(41U.S.C.§10a),including,butnotlimitedto,thepurchaseof steel.
Section 13.16ContractWork Hours and SafetyStandards Act Provision.The Design-
BuilderagreesthattheconstructionworkperformedunderthisContractshallbesubjecttothe
ContractWork Hours and SafetyStandardsAct (40 U.S.C.§§ 327-333).
Section13.17Davis-BaconActProvision,TheDesign-BullderagreesthattheconstructionworkperformedunderthisContractshallbesubjecttothecurrentversionoftheDavis-BaconAct(40U.S.C.§§276a-276a-7).TheDesign-BuilderfurtheragreesthatitandallofitssubcontractorsshallcomplywiththeregulationsimplementingtheDavis-BaconActandsuchregulationsareherebyincorporatedbyreference.
Section 13.18 False Claims Act. Design-Builder shall be governed by alllaws and
regulationsprohibitingfalseorfraudulentstatementsandclaimsmadetothegovernment,includingthe prescriptionsset forthinDistrictof Columbia Code § 2-381.02.
Section13.19Interpretationof Contract._IfthereisanyinconsistencyamongthedocumentscomprisingtheContract,theorderofprecedenceamongthemisasfollows,withthe
firstlisteddocumenthavingthehighestpriority:theGMP includingtheDesign-Builder'sAssumptions and Qualifications;Modificationsor changes to the Contract; the Contract; the
Drawingsincludinganyaddendaissuedthereto;theSpecificationsincludinganyaddendaissuedthereto;and the Basis of Design.
Section13.20IndependentContractor.IncarryingoutallitsobligationsundertheContract, the Design-Builder shall be acting as an independent contractor,and not as an
‘employeeoragentofDCPL,orjointventurerorpartnerwithDCPL.TheDesign-Buildershallhaveexclusive authorityto manage, direct,and controlthe work, and shall be responsible for all
constructionmeans,methods,techniques,sequences,andprocedures,aswellasforProjectsafety.

Section13.21ConfidentialInformation.InthecourseoftheDesign-Builder'sperformanceofthework,DCPLmaymakeavailabletotheDesign-BuilderinformationthatDCPLdesignatesastradesecretsorotherconfidentialengineering,technicalandbusinessinformation.Aslongas,andtotheextentthat,suchinformationremainsconfidentialandavailabletoothersonlywiththeconsentofDCPL,orisnotgenerallyavailabletothepublicfromothersources,theDesign-Buildershallmaintainsuchinformationinstrictconfidenceandshallnotdiscloseanysuchinformationtoothers(includingitsemployeesorSubcontractors),excepttotheextentnecessarytoenabletheDesign-BuildertocarryouttheProject.TheDesign-Buildershallsimilarlyobligateanyandallpersonstowhomsuchinformationisnecessarilydisclosedtomaintaintheinformationinstrictconfidence.TheDesignBuildersobligationsindicatedinthissectionarelimitedtotangibleinformationthatisclearlymarkedas“confidential”byDCPL.

Section 13.22 No Third-Party Beneficiary Rights. Nothing in thisAgreement shallbe
construedascreatingthird-partybeneficiaryrightsinanypersonorentity.
Section13.23MediaReleases.NeithertheDesign-Builder,itsemployees,agentsorSubcontractorsormaterialsuppliersshallmakeanypressreleaseorsimilarmediareleaserelatedtotheProjectunlesssuchpressreleasehavebeendiscussedandapprovedbyDCPL.
Section 13.24 Construction. This Agreement shallbe construed fairlyas to allparties
andnotinfavoroforagainstanyparty,regardlessofwhichpartypreparedtheAgreement.
Section 13.25 Notices.Allnoticesor communications requiredor permittedunder the
Contractshallbe inwriting.The Design-Buildermay electto use email to providenoticesand
communications,thereforeallsuchcommunicationsmay besenttothefollowing:

Section13.27BindingEffect;Assignment.TheContractshallinsuretothebenefitof,andbebindinguponandenforceableby,thepartiesandtheirrespectivesuccessorsandpermittedassigns.TheDesign-Bullderacknowledgesthat,inenteringintotheContract,DCPLisrelyingontheparticularqualificationsoftheDesign-Builder,andtheDesign-BuilderthereforeshallnotdelegateorassignanyofitsdutiesorobligationsundertheContract,exceptinaccordancewiththeContract'sprovisionsrelatingtosubcontracting,orpursuanttoDCPL'spriorwrittenconsent.TheDesign-BuildershallnotassignitsrightsundertheContract,includingtheTighttoalloraportionofitscompensation,withoutDCPL'spriorwrittenconsent.AnydelegationorassignmentmadecontrarytotheprovisionsofthisParagraphshallbenullandvoid.
Section13.28Survival,Allagreementswarranties,andrepresentationsoftheDesign-Builder contained in the Contract or in any certificateor document furnished pursuant to the
ContractshallsurviveterminationorexpirationoftheContract.
Section13.29NoWaiver.ifDCPLortheDesignBuilderwaiveanypower,right,orremedyarisingfromtheContractoranyapplicablelaw,thewaivershallnotbedeemedtobeawaiverofthepower,right,orremedyonthelaterrecurrenceofanysimilarevents.Noact,delay,orcourseofconductbyDCPLortheDesignBuildershallbedeemedtoconstituteeitherparty'swaiver,whichmay beeffectedonlybyanexpresswrittenwaiversignedbytheapplicableparty.

Section13.30RemediesCumulative.UnlessspecificallyprovidedtothecontraryintheContract,allremediessetforthintheContractarecumulativeandnotexclusiveofanyotherremedyDCPLorDesignBuildermayhave,including,withoutlimitation,atlaworinequity.DCPL’sandDesign-Builder’srightsandremedieswillbeexercisedatitssolediscretionandshallnotberegardedasconferringanyobligationoneitherpartytoexercisethoserightsorremediesforthebenefitoftheotherpartyoranyotherpersonorentity.

Section13.31Headings/Captions.TheheadingsorcaptionsusedinthisAgreementor
itstableofcontentsare forconvenience onlyand shallnot be deemed toconstitutea partofthe
Contract,nor shallthey be used ininterpretingthe Contract.
Section13.32EntireAgreement;Modification.The Contractsupersedesallcontemporaneousorpriornegotiations,representations,courseofdealing,oragreements,eitherwrittenororal.NomodificationstotheContractshallbeeffectiveunlessmadeinwritingsignedbybothDCPLandtheDesign-Builder,unlessotherwiseexpresslyprovidedtothecontraryintheContract.
Section13.33Severability.IntheeventanyoneormoreoftheprovisionscontainedinthisAgreementshallforanyreasonbeheldtobeinvalid,illegalorunenforceableinanyrespect,suchinvalidity,illegalityorunenforceabilityshallnotaffectanyotherprovisionofthisAgreement,andinlieuofeachsuchinvalid,illegalorunenforceableprovision,thereshallbe addedautomaticallyasapartofthisAgreementaprovisionassimilarintermstosuchinvalid,illegalorunenforceableprovisionasmaybepossibleandbevalid,legalandenforceable;eachpartofthisAgreementisintendedtobeseverable,
Section13.34Anti-DeficiencyAct.DCPL'sobligationsandresponsibilitiesunderthetermsoftheContractandtheContractDocumentsareandshallremainsubjecttotheprovisionsof(j)thefederalAnti-DeficiencyAct,31U.S.C.§§1341,1342,1349,1350,1351,(i)theD.C.Code47-105,(il)theDistrictofColumbiaAnti-DeficiencyAct,D.C.Code§§47-355.01-355.08,astheforegoingstatutesmaybeamendedfromtimetotime,and(iv)Section446oftheDistrictofColumbiaHomeRuleAct.NeithertheContractnoranyoftheContractDocumentsshallconstituteanindebtednessofDCPL,norshallitconstituteanobligationforwhichDCPLisobligatedtolevyorpledgeanyformoftaxation,orforwhichDCPLhasleviedorpledgedanyformoftaxation.INACCORDANCEWITH§446OFTHEHOME RULEACT,D.C.CODE§ 1-204.46,NO DISTRICTOFCOLUMBIAOFFICIALISAUTHORIZEDTOOBLIGATEOR EXPENDANY AMOUNT UNDERTHE CONTRACTOR CONTRACTDOCUMENTSUNLESSSUCHAMOUNTHASBEENAPPROVED,ISLAWFULLYAVAILABLEANDAPPROPRIATEDBYACTOFCONGRESS.

Section13.35Indemnification,Tothefullestextentpermittedbylaw,theDesign-Buildershalldefend,indemnifyandholdharmlessDCPLandDCPL'sconsultantsandagentsand‘employeesfromandagainstthird-partyclaimsfordamages,lossesandexpenses,includingbutNotlimitedtoattorneys’fees,toarisingoutoforresultingfromperformanceoftheworkprovidedthatsuchclaim,damage,lossorexpenseisattributabletobodilyinjury,sickness,diseaseordeath,ortoinjurytoordestructionoftangibleproperty(otherthantheworkitself),butonlytotheextentcausedbythenegligentactsoromissionsoftheDesign-Builder,asubcontractor,anyonedirectlyorindirectlyemployedbythemoranyoneforwhoseactstheymaybeliable,regardlessofwhetherornotsuchclaim,damage,lossorexpenseiscausedinpartbyapartyindemnifiedhereunder.

Section 13.36 General Prohibitionsof Gender Identityor Expression. Itisunlawful
foranypersonorentity,includingagenciesoftheDistrictofColumbiagovernmentanditscontractors,todiscriminateagainstapersoninemployment,housing,publicaccommodations,oreducationalinstitutionsonthebasisofthatperson'sactualorperceivedgenderidentityorexpression,pursuantto4DCMR§§801(e)—808,899.1.
Section13.37ClaimsforConsequentialDamages.
Section 13.37.1 The Design-Builder and DCPL waive Claims against each other for
consequentialdamagesarisingoutoforrelatingtothisContract.Thismutualwaiverincludes:
Section13.37.1.1damagesincurredbytheDCPLforrentalexpenses,forlossesofuse,income,profit,financing,businessandreputation,andforlossofmanagementoremployeeproductivityoroftheservicesofsuchpersons;and
Section13.37.1.2damagesincurredbytheDesign-BuilderforprincipalofficeexpensesincludingthecompensationofpersonnelstationedthereexceptasotherwisepermittedunderthisContract,forlossesoffinancing,businessandreputation,andforlossofprofitexceptearedbutunpaidprofitarisingdirectlyfromtheworkperformed.
Section13.37.2Thismutualwaiverisapplicable,withoutlimitation,toallconsequentialdamageduetoeitherparty'sterminationinaccordancewithSection14.NothingcontainedinthisSection13.37shallbedeemedtoprecludeanawardofliquidateddamages,whenapplicable,inaccordancewiththerequirementsoftheDesign-BuildDocuments.
ARTICLE14TERMINATIONOR SUSPENSION
Section14.1.CancellationBeforeNoticetoProceed.DCPLmaycanceltheContractatanytimebeforeissuanceofa NoticetoProceed,inDCPL’ssolediscretion.Suchacancellationshallnotbea breachoftheContract,andtheDesign-Buildershallnotbeentitledtoanycompensationordamagesifcancellationoccursexceptforpaymentofservicesprovidedthroughthedateoftermination.
Section14.2TerminationforDefault.DCPL may terminatetheContractfordefaultif
the Design-Builderfailsmateriallyto perform any of itsmaterialdutiesor materialobligations
undertheContract.Inparticular,butwithoutlimitation,DCPL mayterminatetheContractif:

Section 14.2.1 the Design-Builder failsto prosecute the work diligently,in accordance
withtheProjectScheduleortomakesuchprogressintheworkasDCPLreasonablybelievesisnecessary to complete the Projectwithinthe time requiredby the Contract;or
Section14.2.2theDesign-BuilderfailstoperformtheworkinagoodandworkmanlikemannerortocorrectdefectsintheworkpromptlyuponnoticebyDCPL;or
Section 14.2.3 DCPL reasonably determines thatthe Design-Builderhas abandoned the
work,orhasfailedtopaylaborers,mechanics,materialmen,Subcontractorsorsupplierswhenpaymentisdue;or
Section14.2.4theDesign-Builderbecomesinsolvent,makesanassignmentforthebenefitofcreditors,filesavoluntarypetitionunderanychapteroftheBankruptcyCodeorhasan

involuntarypetitionfiledagainstitunderanychapteroftheBankruptcyCode,orhasareceiverappointed, or filesfordissolutionor otherwise isdissolved;or
Section 14.2.5 The Design-Builderfailsto pay itsdebts ina timely manner or becomes
insolvent,or DCPL reasonably determines thatthe Design-Builder does not have the financial
abilitytocarryoutitsobligationsundertheContractandtheDesign-BuilderfailstogiveDCPLpromptandreasonableassurancesofitsabilitytoperform.
Section 14.2.6 DCPL must provide the Design-Builder with writtennoticeof itsintentto
terminatetheContractunderthisprovisionseven(7)daysbeforeactuallyputtingtheterminationintoeffect.Ifthe Design-Builderhas begun itscurativeactionand has made progress satisfactory
to DCPL withinthe seven days, DCPL may so notifythe Design-Builderand the terminationwill
nottakeeffect.Otherwise,theterminationshalltakeeffectaftersevendayswithoutfurthernotice‘oropportunitytocure.
Section 14.2.7 IfDCPL terminates the Contract for default,DCPL willhave the rightto
takeoverthework,toacceptassignmentofsomeorallSubcontractsoragreementsconvenient
withmaterialsuppliers,totakepossessionoftheProject,andtofinishtheProjectbywhatevermethoditdeemsexpedient,includingacceptingassignmentofalloutstandingSubcontractsandSupplyAgreements.
Section 14.3 Termination forConvenience
Section14.3.1DCPLmay,uponseven(7)dayswrittennoticetotheDesign-Builder,terminate the Contract inwhole or specifiedpart,foritsconvenience, whether the Design-Builder
isinbreachofContractornot.Thenoticeofterminationshallstatetheeffectivedateoftermination,theextentofthetermination,andanyspecificinstructions.
Section14.3.2Afterreceivingnoticeofterminationforconvenience,theDesign-Buildershall(1)stopworkontheterminatedportionoftheProjectasoftheeffectivedateoftheterminationandstopplacingsubcontractsorsupplyagreementsthereunder;(2)consultwithDCPLregardingthedispositionofexistingordersandsubcontracts,anduseitsbesteffortstoterminatethemontermsfavorabletoDCPL;(3)consultwithDCPLtodecidewhatactionsshouldbetakentoprotectworkinplaceandequipmentthathasbeendeliveredandnotyetinstalled,andtorenderthesitesafe,andproceedtotakesuchactionsasmaybeagreeduponor,absentagreement,asmaybereasonable;and(4)takenecessaryordirectedactiontoprotectandpreservepropertyintheDesign-Builder'spossessioninwhichDCPLhasormayacquireaninterestand,asdirectedbytheterminationnoticeorotherorderfromDCPL,deliverthepropertytoDCPL;allcontractdocuments.TheDesign-BuildershallalsopromptlynotifyDCPL,inwriting,ofanylegalproceedingarisingfromanysubcontractorsupplyagreementrelatedtotheterminatedportionoftheProject,and,inconsultationwithDCPL,settleoutstandingliabilitiesarisingoutoftheterminatedportionoftheProjectonthebesttermsreasonablypossible.

Section 14.3.3 The Design-Builder shall be entitledto receive only the followingwith
respecttotheterminatedportionoftheProject:(1)CostofWorkperformeduptothedateoftermination;(2)reasonablecostsofterminatingoutstandingsubcontractsandsupplyagreements
andothersimilarwind-upcostsinareasonableamount;(3)afairandreasonableportionoftheDesign-BuildFeeattributabletotheworkperformedontheterminatedportionoftheProject,upto the time of terminationand reasonable demobilizationcosts.The Design-Builder shallnot be
entitledtorecoveroverheadsorprofitsonunperformedportionsofthework.Further,ifitappearsto DCPL thatthe Cost of Work, added to the Construction and Design Management Fee and

PreconstructionFee,wouldhaveexceededtheGMP,asadjusted.DCPLshallhavetherighttoadjustthesettlementfiguredownwardinanappropriateamountbutshallincludeappropriatedemobilizationandwinddowncosts.InnocaseshalltheDesign-BuilderbeentitledtoreceiveanamountinsettlementforterminationforconveniencethatwouldexceedthepercentagevalueoftheworkactuallyperformedinaccordancewiththeContract,multipliedbytheGMP,andreducedbyanydamages,liquidatedorotherwise,theDesign-BuildermayoweDCPL.
Section 14.3.4Payment of such amounts shallbe the Design-Builder’ssole remedy for
terminationforconvenience.
Section14.3.5TheDesign-Buildershall,promptlyaftertermination,submitaproposalforsettlementoftheamountsduetoitasaresultoftheterminationforconvenience.TheproposalshallbeconsistentwiththerequirementsofSections14.3.2through14.3.4andshallbeaccompaniedbysuchdocumentationofcostsas DCPL may reasonablyrequire.SuchdocumentationmayincludecostandpricedatainaccordancewithDCPL’sRegulations.
Section14.4EffectofWrongfulTermination.AnyterminationforcausewhichislaterdeterminedtohavebeenimproperlyeffectedshallbedeemedtohavebeenaterminationforconveniencepursuanttoParagraph14.3andshallbegovernedbythatParagraph.
Section14.5ContinuedResponsibilityAfterTermination.IftheDesign-Builderisterminated,eitherfordefaultorotherwise,theDesign-Buildershallremainresponsiblefordefectsornon-conformitiesinallworkperformedpriortothedateoftheterminationfora periodofnomorethanone(1)yearfromtheeffectivedateoftermination.Intheeventofa terminationforconvenienceatanytime,DCPLshallreleaseDesign-BuilderofliabilityforthedesignandtheContractDocumentsandshallholdtheDesignBuilderharmlessforanyclaims,losses,ordamagesincurredasaresultofDCPLsuseofthedesignandContractDocumentsforthisProjectoranyotherProjectwithoutDesign-Builder’sinvolvement.

Section14.6Suspension
Section14.6.1SuspensionattheConvenienceofDCPL.DCPLmayatanytime,withorwithoutcause,suspend,delay,reduceorinterruptperformanceofalloranyportionoftheworkforsuchperiodorperiodsasDCPLelectsbygivingtheDesign-Builderwrittennoticespecifyingwhichportionoftheworkistobesuspendedandtheeffectivedateofsuchsuspension.Suchsuspension,delayorinterruptionshallcontinueuntilDCPLterminatessuchsuspension,delayorinterruptionbywrittennoticetotheDesign-Builder.Nosuchsuspension,delay,interruptionorreductionbyDCPLshallconstituteabreachordefaultbyDCPLundertheContractDocuments.TheDesign-Buildershallcontinuetodiligentlyperformanyremainingworkthatisnotsuspended,delayed,reducedorinterruptedandshalltakeallactionsnecessarytomaintainandsafeguardallmaterials,equipment,suppliesandworkinprogressaffectedbythesuspension,delay,reductionorinterruption.
Section14.6.2PaymentUpon SuspensionforConvenience.Intheeventofsuspension,delay,reductionorinterruptionforconveniencebyDCPL,orforsuspensionsduetogovernmentshutdownsorothercausesbeyondDesign-Builder’scontrol,DCPLshallpaytheDesign-BuilderandtheGuaranteedMaximumPriceshallbeincreasedbysuchamountsandtheProjectScheduleshallbeextended(subjecttothepaymentandrelatedrequirementsoftheContractDocuments)asfollows:

Section14.6.2.1AdditionalCostsoftheWorkandnumberofdaysdelayed,ifany,whichareincurredbytheDesign-Builder,itsSubcontractorsandVendorsasaresultofcontinuingtomaintaindedicatedpersonnel,materialsandequipmentattheSiteatDCPL'srequestduringanysuspension,delayorinterruptionperiod,includingforthepurposeofsafeguardingallmaterial,‘equipment,suppliesandtheDesign-Builder'sworkinprogresscausedsolelybysuchsuspension,delayorinterruptionorderedbyDCPLforconvenience,;and
Section14.6.2.2OtherreasonableandunavoidableCostsoftheWorkandnumberofdaysdelayed,ifany,whicharedirectlyrelatedtoanysubsequentre-mobilizationofthesuspended,delayedorinterruptedtheDesign-Builder’sworkcausedsolelybysuchsuspension,delayorinterruptionorderedbyDCPLforconvenience.Forsuspensionsinexcessof90days,DesignBuildershallbeentitledtorequestDCPL'sapproval,whichshallnotbeunreasonablydenied,forearlyreleaseofretentionforanysubcontractorswhoseworkissubstantiallycompleteandforanyotherretentionforwhichDesignBuilderhasagoodfaithbasisforrequestingearlyreleasedependinguponthelengthofthesuspension.
Section14.6.2.3Provided,however,thatnoadjustmentshallbemadetotheextentthatperformancewasotherwisesubjecttosuspension,delayorinterruptionbyanothercauseforWhichtheDesign-Builderisresponsible.
ARTICLE15
OTHER CONDITIONS AND SERVICES
This Contractand the rightsand obligationsof DCPL and Design-Builderhereinare subjectto
theapprovaloftheDistrictofColumbiaCityCouncil.
ARTICLE16
DEFINITIONS
Section16.1Agreement.ThetermAgreementshallmeanthisAgreement.
Section 16.2 Change Directive.Awritten directionsigned and issued by DCPL ordering
theDesign-Buildereithertoprovidepricingandscheduleimpactinformationfora describedchangetotheworkortoproceedwithadescribedchangeandprovidepricingandscheduleimpactinformationafterbeginningthechangedwork.
Section16.3ChangeEvent.Anycondition,event,act,omissionorbreach,otherthan
the issuanceof a Change Directive,which the Design-Builderbelievesentitlesitto a change in
theGuaranteedMaximum Price,theCostofGeneralConditions,thePreconstructionFee,
Design-BuildFee, or the Substantialor FinalCompletion Date.
Section16.4ChangeOrder.A writtendocument,executedbyDCPL andtheDesign-
Builder,settingforththeagreed terms upon which a change totheContracthas been made.
Section16.5ConstructionDocuments.ThefinalDrawingsandSpecifications,asprepared,sealedbytheArchitecU/Engineer’sdesignprofessionalinaccordancewiththelaw,andissuedbytheDesign-BuilderforthepurposeofobtainingbidsfrompotentialtradeSubcontractorsandmaterialsuppliersforuseinconstructingtheProject.
Section 16.6 Cost of General Conditions.The Cost of General Conditionsshallhave
themeaningsetforthinSection8.2ofthisAgreement.

Section16.7Contract.Theentire,integratedagreementbetweenDCPL andtheDesign-BuilderwithrespecttotheProject,consistingofthisAgreementandtheExhibitstothe‘Agreement,theConstructionDocumentsreleasedfortheDesign-Builder'suse,theGMP withAssumptionsandClarifications,andanyChangeDirectivesorChangeOrdersthathavebeenexecutedbyDCPL.

Section16.8ContractDocuments.TheContractDocumentsconsistofthosedocuments identifiedin Section 16.7, including any modifications or changes thereof, the
DrawingsandSpecifications,andanyaddendaissuedthereto.
Section16.9DifferingSiteConditions.DuringthePreconstructionPhase,theDesign-BuildershallberequiredtoconductathoroughreviewoftheProjectsiteandshalldocumentitsfindings.IntheeventtheDesign-Builderfailstoundertakeanddocumentsuchathoroughreview,theDesign-Buildershallbedeemedtohaveknownofthoseconditionswhichathoroughreviewwould have detected and DCPL shallnot be liableforany additionalcost afterGMP approval.
Section16.10Drawings.TheDrawingsarethegraphicandpictorialportionsoftheContractDocuments,whereverlocatedandwhereverissued,showingthedesign,locationsanddimensionsofthework,generallyincludingplans,elevations,sections,details,schedulesanddiagrams.
Section 16.11 Final Completion. The pointat which SubstantialCompletion has been
achieved,allpunchlistitemsnotedatSubstantialCompletionhavebeencompletedandalldocuments the Design-Builder is required to deliverto DCPL as a condition to receivingfinal
paymenthavebeendeliveredtoDCPL.
Section16.12FinalCompletionDate.ThedateestablishedintheGMP AmendmentbywhichtheDesign-BuildershallachieveFinalCompletion.TheFinalCompletionDatemaybemodifiedonlybyChangeOrderorChangeDirectiveinaccordancewiththeAgreement.
Section 16.13 Fully Complete. To undertake allof the work necessary to fullyconstruct
andcompletetheProjectandexecutealltasksnecessarytoobtainthefinalCertificateofOccupancy (“C of 0") forthe Projectfrom the Districtof Columbia; submitfinal lienreleases from
theDesign-BuilderandSubcontractorsandmaterialsuppliers;completeallpunchlistitemstoDCPL'sapprovalandsign-off;andcauseallrepresentations,warrantiesandguaranteestobehonored and otherwise fulfillallof the requirements set forthinthe Contract.
Section 16.14 Guaranteed Maximum Price or GMP. The maximum amount,
including,butnotlimitedto,thePreconstructionFee,theDesign-BuildFeeandtheCostoftheWork thatwillbe paid to the Design-Builderto FullyComplete the Project.The Construction and
DesignContingenciesshallbeestablishedintheGMP Amendment.TheGMP maybemodifiedonlybyChangeOrderorChangeDirectiveinaccordancewiththeAgreement.
Section16.15HazardousMaterial.Anytoxicsubstanceorhazardouschemicaldefinedorregulatedpursuanttofederal,stateorlocallawsrelatingtopollution,treatment,storageor

disposalofwaste,orprotectionofhumanhealthortheenvironment.Suchlawsinclude,withoutlimitation,theComprehensiveEnvironmentalResponse,CompensationandLiabilityAct,theResourceConservationandRecoveryAct,theCleanWaterAct,theCleanAirActandlawsrelatingtoemission,spills,leaks,discharges,releasesorthreatenedreleasesoftoxicmaterial.ThetermHazardousMaterialsshallalsoincludepetroleumandpetroleumbi-products.
Section16.16NoticetoProceed.Awrittennoticetoproceed,signedbyDCPL,directingtheDesign-BuildertoproceedwiththeProjectoranyportionoftheProject.

Section16.17ProjectSchedule.TheschedulefortheprojectagreedtobyDCPLandthe Design-Builderas partof the GMP Amendment. Such schedule shallnot be changed except
byaChangeOrderorChangeDirectiveissuedbyDCPL.Thescheduleshallbeinaformandcontainsuchdetailsasmaybeagreeduponbytheparties.
Section16.18Self-PerformedWork.Tradeworkperformedbyemployeesof(1)theDesign-Builder;(2)anyentitythatisapartnerormemberoftheentitycomprisingtheDesign-Builder;(3)anyentitythatcontrols,iscontrolledby,orisundercommoncontrolwiththeDesign-Builder;or(4)anyentitythatcontrols,iscontrolledby,orisundercommoncontrolwithanyentitythatispartoftheDesign-Builder.Self-PerformedworkisdistinguishedfromtradeworkperformedbySubcontractorsunaffiliatedwiththeDesign-BuilderortheentitiesofwhichtheDesign-Builderiscomprised.
