Dear Chairman Mendelson:

Pursuant to section 451 of the District of Columbia Home Rule Act (D.C. Official Code § 1 -
204.51) and section 202 of the Procurement Practices Reform Act of 2010 (D.C. Official Code §
2-352.02), enclosed for consideration and approval by the Council of the District of Columbia is
proposed definitive Contract No. CW126079 with Genuine Parts Company in the not -to-exceed
amount of $2,500,000. The period of performance is from August 8, 2025, through August 7, 2026.

Under the proposed contract, Genuine Parts Company will supply vehicle parts and provide
operational and logistical management assistance for the Fire and Emergency Medical Services
Department's fleet and apparatus vehicles, including the essential personnel required to operate the
designated facility provided by the Apparatus Division effectively and efficiently.

Genuine Parts Company will assist the Department in acquiring vehicle parts, as well as operational
and logistical management assistance for the District of Columbia Department of Fire and
Emergency Medical Services (FEMS) fleet and apparatus vehicles, including the essential
personnel required to operate the designated facility provided by the Apparatus Division effectively
and efficiently. The contractor shall provide the necessary personnel, funding, logistics, and
additional resources to guarantee the procurement and delivery of thorough management of the
parts operation, which includes all expenses related to sustaining sufficient inventory to support
FEMS.

(H) The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price, technical or quality, and past performance components:

CW126079 is a task order against Sourcewell cooperative agreement #090624-GPC.

(I) A description of any bid protest related to the award of the contract, including whether the
protest was resolved through litigation, withdrawal of the protest by the protestor, or
voluntary corrective action by the District. Include the identity of the protestor, the grounds

Genuine Parts Company is a global service provider of automotive and industrial replacement
parts and value-added solutions with a vast network of over 10,700 locations spanning 17
countries, supported by more than 63,000 teammates. Expanding purchasing with Genuine Parts
Company will ensure continuity of FEMS’ fleet and apparatus vehicles, including the essential
personnel required to operate the designated facility provided by the Apparatus Division across the
District. A review of a Dun & Bradstreet report indicates that Genuine Parts Company possesses
sufficient financial resources, solvency, and reserves to fulfill the services and deliver the products
stipulated in the contract.

(K) A summary of the subcontracting plan required under section 2346 of the Small, Local, and
Disadvantaged Business Enterprise Development and Assistance Act of 2005, as amended,
D.C. Official Code § 2-218.01 et seq. (“Act”), including a certification that the subcontracting
plan meets the minimum requirements of the Act and the dollar volume of the portion of the
contract to be subcontracted, expressed both in total dollars and as a percentage of the total
contract amount:

The District intends and expects that Genuine Parts Company will provide operational and
logistical management support to FEMS for their fleet and apparatus vehicles, in line with the
contract terms.

agency for the fiscal year and is consistent with the financial plan and budget adopted in

The Agency Chief Financial Officer has provided a certification of the availability of funding for
the proposed contract.

(O) A certification that (1) the proposed contractor has been determined not to violate section

(2) A certification from the proposed contractor that it currently is not and will not be in

The Genuine Parts Company has certified, via the Bidder/Offeror Certification form, that it is (1)

2. CONTRACT TYPE

2.1 REQUIREMENTS CONTRACT
TheDistrictwillpurchaseitsrequirementsofthearticlesorservicesincludedhereinfromtheContractor.Theestimatedquantitiesstatedhereinreflectthebestestimatesavailable.The
estimateshallnotbeconstruedasarepresentationthattheestimatedquantitywillberequiredorordered,orthatconditionsaffectingrequirementswillbestable.TheestimatedquantitiesshallnotbeconstruedtolimitthequantitieswhichmaybeorderedfromtheContractorbytheDistrictortorelievetheContractorofitsobligationtofillallsuchorders.

4.1SCOPE
TheDistrictofColumbiaOfficeofContractingandProcurement,onbehalfoftheFireandMedicalServicesDepartment(FEMS)isseekingacontractortoassisttheDepartmentinacquiringvehicleparts,aswellasoperationalandlogisticalmanagementassistanceforthe
FEM fleetandapparatusvehicles,includingtheessentialpersonnelrequiredtooperatethedesignatedfacilityprovidedbytheApparatusDivisioneffectivelyandefficiently.

4.4BACKGROUND
‘TheDistrictofColumbiaFireandMedicalServicesDepartment'smissionistopreservelifeandpromotehealthandsafetythroughexcellentpre-hospitaltreatmentandtransportation,fireprevention,firesuppressionandrescueactivitiesandhomelandsecurityawareness.TheDepartmentdeliverstheseservicesthroughthestaffingof33 enginecompanies,16ladder
trucks,26basiclifesupport(BLS)ambulancesand17advancedlifesupport(ALS)ambulances,or“medicunits.”Twenty-oneoftheDepartment'senginecompaniesareparamedicenginecompaniesstaffedwithoneparamedic.Itsmedicalunitsarestaffedwith
oneparamedicandoneEmergencyMedicalTechnician.

Overthepastfiveyears,theDistricthasexperiencedanotableincreaseinFEMScall
volume,withmorethan270,000callsinFY24,reflectingasustainedupwardtrajectorysinceFY18.Specifically,theDepartmentseeksacontractorwiththecapabilityandcapacitytosupplyvehicleparts,aswellasoperationalandlogisticalmanagementassistancefor
FEMSfleetandapparatusvehicles,includingtheessentialpersonnelrequiredtooperatethedesignatedfacilityprovidedbytheApparatusDivisioneffectivelyandefficiently.Asaresult,FEMSisrequestingoperationalandlogisticalmanagementsupportfortheirfleetand
apparatusvehiclesatthespecifiedApparatusDivisionsiteandrequestingprocurementapprovaltoexpandpurchasingwithGenuinePartsCompany.

GenuinePartsCompanyisaglobalserviceproviderofautomotiveandindustrialreplacementpartsandvalue-addedsolutionswithavastnetworkofover10,700locationsspanning17countries,supportedbymorethan63,000teammates.Expandingpurchasing
withGenuinePartsCompanywillensurecontinuityof FEMS’fleetandapparatusvehicles,includingtheessentialpersonnelrequiredtooperatethedesignatedfacilityprovidedbytheApparatusDivisionacrosstheDistrict.

4.5TechnicalRequirementSpecifications
4.5.1Thecontractorshallensurethatthenecessarytechnicalpersonnelareutilizedto
managepartsoperationattheFEMSApparatusDivisionsite.FEMSwillpermittheContractortoutilizeaspecifiedareawithinthefacilityforthestorageandimplementationofthisservice.

4.5.2Thecontractorshallassumefullresponsibilityforthecomprehensivemanagementofthe
partsoperation,encompassingallcostsassociatedwithmaintaininganadequateinventory.Bothpartieswillcollaboratetodeterminetheessentialnumberofstaffneededtooverseethepartsoperationand/orscheduling,

4.5.3Thecontractorshallbecapableofdelivering,ataminimum,thefollowingservicesand/or
items:
4.5.3.1TheContractorshallberesponsibleforallcostsassociatedwithprovidingadequateinventory,pick-upanddeliverypartsservice,personnel,andadministrativeoverhead,andanyothernecessaryitemsforthepartsoperation,withtheexceptionofthe
spacethattheDepartmentpermitthecontracttouseaspartofthiscontract.

4.6TrainingRequirementSpecifications
4.6.1Thecontractorshallpossesstheabilityandcapacitytodelivertraining,whichwillbe
conductedthroughbothclassroominstructionandpracticalhands-onexperiencesfacilitatedbymanufacturerrepresentativesandfactorytraininginstructors.

4.6.2Additionally,thecontractorshallpossessthetechnicalat
toll-freetechnicalsupportnumbers. itytosupplytrainingvideosand
4.6.3ThecontractorshallensurethatuponrequestfromFEMS,theappropriatefactoryrepresentativesareaccessibletoofferpersonalserviceandassistanceasneeded.
4.7OrderingSystemSpecifications
4.7.1ThecontractorshallconfirmitsabilityandcapacitytosupplyFEMSwithacomputer
systemthatiscompatiblewiththeexistingFEMScomputersystem,whichmustbeprovidedalongwiththecapabilitiesoutlinedbelow.Thiscomputersystemshallbeutilizedexclusivelybycontractor’spersonnel,andownershipwill
remainwiththecontractorforthedurationofanyresultingcontract.Thecapabilitiesofthecomputersystemshallencompass:

9.DailyuploadingofdataintotheDepartment'sFasterdatabasesystem,

4.7.2ThecontractorshallgeneratedailyandmonthlyreportsuponrequestbyauthorizedFEMSpersonnelwhichmatchdataintheFEMSFasterdatabaseinordertobeacceptable.
4.7.3Thecontractorshallhavetheabilitytosecuremanufacturers’pricesheets,uponrequestfromauthorizedFEMSpersonnel.
4.7.4Thecontractorshallensurethatitsinternalinfrastructureiscapableofmaintainingwarranty recordsforitemssoldto FEMS and issuingany credits,which includelaborand parts,
owedtoFEMSthatfallunderthesewarranties.Furthermore,thecontractorshalltakeresponsibilityformanagingallwarrantyclaimsandconcernsarisingfromFEMS.
4.8StaffingRequirementandInventoryRequirementSpecifications
4.8.1Thecontractorshallensureadequatestaffingtooverseethedailyoperationsoftheparts
department.Staffmembersmustpossesstraining,expertise,andacustomer-focusedattitude.Dutieswillencompasstheacquisitionofbothstockandnon-stockitems;producingweeklydetailedreportsonpartsactivities,whichincludecostsandinventorylevelsbothinstockandonorder;respondingtophoneinquiries;dataentry;partsreplacementasnecessary;andanyothertasksessentialformaintaininganefficientandeffectivepartsoperation.
4.8.2.TheContractorshallmaintainsufficientinventorytobeabletoprovideatleast85%oftherequestedpartsandotheritemsatthetimeoftherequest.Furthermore,anadditional5%ofanyrequestedpartmustbemadeavailablewithinonehourofsuchrequest.The remaining 10% of requestedpartsand itemsshould be made availablewithin72
hoursoftherequestforsuchpart.

4.8.3AllcomponentsprovidedshalllbeexclusivelyforFEMSoperations.Atnopointwill
componentsanditemsbeofferedforsaletoDepartmentemployeesoranyotherindividualsforpersonaloralternativeuse.TheContractorshallimplementasystemthatguaranteessuch
restrictedusageandmustinformthedesignatedContractingOfficerifsuchrequestsaremade,
4.8.4TheContractorshallprovideFEMS withverifiablecostschedulesuponawardof any
contract.
4.8.5TheContractor'sstaffshallhaveatleastonememberwhoisAutomotiveServiceExcellence(ASE)certifiedinbothheavyequipmentpartsandautoparts.

4.8.6Thepartsoperationshallbeabletomakechangestoitshoursofoperation,asmaybedirectedbytheFEMSFleetManager,onbehalfofFEMS,andasmaybeneededtoprovideservicetoFEMSduringemergencies,holidays,andweatherevents(snow,ice,etc.).Theparts
operationshallalsobeabletoprovidesufficientpersonneltomaintaintheoperationandhandlevacation,sickleave,andotherunforeseenevents.

4.8.7TheDepartmentreservestherighttoamendanyresultantcontracttoincludeanyauditingproceduresthatFEMSconsidersprudenttoprotectitsinterests.
5. TERM OF TASK ORDER
‘ThetermofthecontractincludesthelettercontractawardedonAugust8,2025,whichwillmergeintothisdefinitivecontractuponthecontractingofficer’ssigning.Thetermofthe
definitivetaskordercontractshallbeoneyearfromdateofawardofthelettercontract.
6. OPTION TO EXTEND THE TERM OF THE TASK ORDER
6.1TheDistrictmayextendthetermofthistaskorderfortwooneyearoptionperiodsandathirdthree-monthoptionperiod,orsuccessivefractionsthereof,bywrittennoticetothecontractorbeforetheexpirationofthecontract;providedthattheDistrictwillgivethe
contractorpreliminarywrittennoticeofitsintenttoextendatleastthirty(30)daysbeforethetaskorderexpires.ThepreliminarynoticedoesnotcommittheDistricttoanextension.Theexerciseofthisoptionissubjecttotheavailabilityoffundsatthetimeoftheexerciseofthisoption.TheContractormaywaivethethirty(30)daypreliminarynoticerequirementby
providingawrittenwaivertotheContractingOfficerpriortoexpirationofthetaskorder.

policycoverageshallincludetheDistrictofColumbiaasanadditionalinsured,shallbeprimaryandnon-contributorywithanyotherinsurancemaintainedbytheDistrictofColumbia,andshallcontainawaiverofsubrogation.TheContractorshallmaintainCompletedOperationscoverage
forfive(5)yearsfollowingfinalacceptanceoftheworkperformedunderthistaskorder.

2.AutomobileLiabilityInsurance.TheContractorshallprovideautomobileliabilityinsurancetocoverallowned,hiredornon-ownedmotorvehiclesusedinconjunctionwiththeperformanceofthistaskorder.Thepolicyshallprovidea$1,000,000peroccurrencecombinedsinglelimitforbodilyinjury
andpropertydamage.

3.Workers’CompensationInsurance.TheContractorshallprovideWorkers”
Compensationinsuranceinaccordancewiththestatutorymandatesofthe
DistrictofColumbiaorthejurisdictioninwhichthecontractisperformed.
4,Employer’sLiabilityInsurance.TheContractorshallprovideemployer'sliabilityinsuranceasfollows:$500,000peraccidentforinjury;$500,000peremployeefordisease;and$500,000forpolicydiseaselimit.
5.UmbrellaorExcessLiabilityInsurance.TheContractorshallprovideumbrella
orexcess ity(whichisexcessovertheemployer'sliability,general
liability,andautomobileliability)insuranceasfollows:$10,000,000per
occurrence,includingtheDistrictofColumbiaasadditionalinsured.

6.CyberLiabilityInsurance-TheContractorshalllprovideevidencesatisfactorytotheContractingOfficerofCyberLiabilityInsurance,withlimitsnotlessthan$2,000,000peroccurrenceorclaim,$2,000,000aggregate.Coverageshallbesufficientlybroadtorespondtothedutiesandobligationsasis
undertakenbyContractorinthisagreementandshallinclude,butnotlimitedto,claimsinvolvinginfringementofintellectualproperty,includingbutnotlimitedtoinfringementofcopyright,trademark,tradedress,invasionof
privacyviolations,informationtheft,damagetoordestructionofelectronicinformation,releaseofprivateinformation,alterationofelectronicinformation,extortionandnetworksecurity.Thepolicyshallprovide
coverageforbreachresponsecostsaswellasregulatoryfinesandpenaltiesaswellascreditmonitoringexpenseswithlimitssufficienttorespondtotheseobligations.Thisinsurancerequirementwillbeconsideredmetifthegeneral
liabilityinsuranceincludesanaffirmativecyberendorsementfortherequiredamountsandcoverages.

B.DURATION.TheContractorshallcarryallrequiredinsuranceuntilallcontractworkisacceptedbytheDistrict,andshallcarrytherequiredGeneralLiability;anyrequiredProfessionalLiability;andanyrequiredEmploymentPracticesLiabilityinsurancefor

C. LIABILITY.Thesearetherequiredminimuminsurancerequirementsestablishedbythe
DistrictofColumbia.HOWEVER, THE REQUIRED MINIMUM INSURANCE
REQUIREMENTS PROVIDED ABOVE WILL NOT INANY WAY LIMITTHE
CONTRACTOR’S LIABILITYUNDER thistaskorder.
D.CONTRACTOR’SPROPERTY.Contractorandsubcontractorsaresolelyresponsible
foranylossordamagetotheirpersonalproperty,includingbutnotlimitedtotoolsandequipment,scaffoldingandtemporarystructures,rentedmachinery,orownedandleasedequipment.A waiverofsubrogationshallapplyinfavoroftheDistrictofColumbia.
MEASUREOFPAYMENT.TheDistrictshallnotmakeanyseparatemeasureorpaymentforthecostofinsuranceandbonds.TheContractorshalllincludeallofthecostsofinsuranceandbondsinthecontractprice.

F.NOTIFICATION.TheContractorshallimmediatelyprovidetheCOwithwrittennoticeintheeventthatitsinsurancecoveragehasorwillbesubstantiallychanged,canceledor
notrenewed,andprovideanupdatedcertificateofinsurancetotheCO.
G.CERTIFICATESOFINSURANCE.TheContractorshallsubmitcertificatesofinsurancegivingevidenceoftherequiredcoverageasspecifiedinthissectionpriorto
award.EvidenceofinsuranceshallbesubmittedtotheContractingOfficer.
H.DISCLOSUREOFINFORMATION.TheContractoragreesthattheDistrictmay
disclosethenameandcontactinformationofitsinsurerstoanythirdpartywhichpresentsaclaimagainsttheDistrictforanydamagesorclaimsresultingfromorarisingoutofworkperformedbytheContractor,itsagents,employees,servantsorsubcontractorsintheperformanceofthistaskorder.

18.ORDER OF PRECEDENCE
A conflictinlanguageshallberesolvedbygivingprecedencetothedocumentinthehighestorderof prioritythatcontainslanguageaddressingtheissueinquestion.Thefollowingdocumentsareincorporatedintothecontractbyreferenceandmadeapartofthecontractin

1.CovenantAgainstContingentFees:‘TheContractorwarrantsthatnopersonorsellingagencyhasbeenemployedor
retainedtosolicitorsecurethecontractuponanagreementorunderstandingforacommission,percentage,brokerage,orcontingentfee,exceptingbonafideemployeesorbonafideestablishedcommercialorsellingagenciesmaintainedbytheContractor
forthepurposeofsecuringbusiness.Forbreachorviolationofthiswarranty,theDistrictwillhavetherighttoterminatethecontractwithoutliabilityorinitsdiscretiontodeductfromthecontractpriceorconsiderationorotherwiserecoverthefullamountofthecommission,percentage,brokerage,orcontingentfee.

2.ShippingInstructions-Consignment:
UnlessotherwisespecifiedintheInvitationforBids/RequestforProposals,each
case,crate,barrel,package,etc.,deliveredunderthiscontractmustbeplainlystencilmarkedorsecurelytagged,statingtheContractor'sname,contractnumberanddeliveryaddressasnotedinthecontract.Incaseofcarloadlots,theContractor
shalltagthecar,statingContractor'snameandcontractnumber.AnyfailuretocomplywiththeseinstructionswillplacethematerialattheContractor'srisk.Deliveriesbyrail,water,truckorotherwise,mustbewithintheworkinghoursandinampletimetoallowforunloadingandifnecessary,thestoringofthematerials
orsuppliesbeforeclosingtime.Deliveriesatanyothertimewillnotbeacceptedunlessspecificarrangementshavebeenpreviouslymadewiththecontactpersonidentifiedinthecontractatthedeliverypoint.

3.Patents:‘TheContractorshallusecommerciallyreasonableeffortstoassisttheDistrict,its
officers,agents,servants,andemployeesinprocessinganyclaimsfororonaccountofanypatentedorunpatentedinvention,article,process,orappliance,manufacturedorusedintheperformanceofthiscontract,includingtheirusebythe
District,againsttheapplicablemanufacturerofsuchitems.
4.Quality:
Allitemssuppliedpursuanttothiscontractshallbenewandaresubjecttothetermsofwrittenwarrantiesprovidedbythemanufacturerofeachpart.ContractorshallusereasonablecommercialeffortstoassisttheDistrictinprocessingall
warrantyclaimsthattheDistrictmayhaveagainstamanufacturer.Themanufacturer'swarrantywillbethesoleandexclusiveremedyoftheDistrictinconnectionwithanywarrantyclaimsconcerningthepartssuppliedtotheDistrict
pursuanttothiscontract.ALLOTHERWARRANTIES,BOTHEXPRESSAND.IMPLIED,INCLUDINGANY IMPLIEDWARRANTIESOFMERCHANTABILITYOR FITNESSFORA PARTICULARPURPOSE,ARE

"'Services”asusedinthisclauseincludesservicesperformedandworkmanshipintheperformanceofservices.Forpurposesofclarity,“services”shallnotincludetheproducts,materialsorotheritemsthat
SupplierprovidestotheDistrict.‘TheContractorshallprovideandmaintainaninspectionsystemacceptabletotheDistrictcoveringtheservicesunderthiscontract.Completerecordsofall

TheDistricthastherighttoinspectandtestallservicescalledforbythecontract,totheextentpracticableatalltimesandplacesduringthetermofthecontract.TheDistrictwillperforminspectionsandtestsinamannerthat
notundulydelaythework.IftheDistrictperformsinspectionsortestsonthepremisesoftheContractororsubcontractor,theContractorshallfurnish,withoutadditionalcharge,allreasonablefacilitiesandassistanceforthesafetyandconvenient
performanceoftheseduties.Ifanyoftheservicesdonotconformtothecontractrequirements,theDistrictmayrequiretheContractortoperformtheseservicesagaininconformitywith
contractrequirements,atnoincreaseincontractamount.Whenthedefectsinservicescannotbecorrectedbyperformance,theDistrictmayrequiretheContractortotakenecessaryactiontoensurethatfutureperformanceconforms
tocontractrequirementsandreducethecontractpricetoreflectvalueofservicesperformed.IftheContractorfailstopromptlyperformtheservicesagainortakethe
necessaryactiontoensurefutureperformanceinconformitytocontractrequirements,theDistrictmay(1)bycontractorotherwise,performtheservicesandchargetheContractoranycostincurredbytheDistrictthatisdirectlyrelatedtotheperformanceofsuchservices,or(2)terminatethe
contractfordefault.

(2) IftheContractorfailstoperformanyoftheotherprovisionsofthiscontract,orsofailstomakeprogressastoendangerperformanceofthiscontractinaccordancewithitsterms,andineitherofthesetwo
circumstancesdoesnotcuresuchfailurewithinaperiodoften(10)days(orsuchlongerperiodastheContractingOfficermayauthorizeinwriting)afterreceiptofnoticefromtheContractingOfficerspecifying
suchfailure.IntheeventtheDistrictterminatesthiscontractinwholeorinpartasprovidedinparagraph(a)ofthisclause,theDistrictmayprocure,uponsuchtermsand
insuchmannerastheContractingOfficermaydeemappropriate,suppliesorservicesimilartothosesoterminated,andtheContractorshallbeliabletotheDistrictforanyexcesscostsforsimilarsuppliesorservices;provided,thattheContractorshallcontinuetheperformanceofthiscontracttotheextentnot
terminatedundertheprovisionsofthisclause.Exceptwithrespecttodefaultsofsubcontractors,theContractorshallnotbeliableforanyexcesscostsifthefailuretoperformthecontractarisesoutof
causesbeyondthecontrolandwithoutthefaultornegligenceoftheContractor.Suchcausesmayinclude,butarenotrestrictedto,actsofGodorofthepublicenemy,actsoftheDistrictorfederalgovernmentineithertheirsovereignorcontractualcapacity,fires,floods,epidemics,quarantinerestrictions,strikes,
freightembargoes,andunusuallysevereweather;butineverycasethefailuretoperformmustbebeyondthecontrolandwithoutfaultornegligenceoftheContractor.Ifthefailuretoperformiscausedbythedefaultofthe
subcontractor,andifsuchdefaultarisesoutofcausesbeyondthecontrolofboththeContractorandthesubcontractor,andwithoutthefaultornegligenceofeitherofthem,theContractorshallnotbeliableforanyexcesscostfor
failuretoperform,unlessthesuppliesorservicestobefurnishedbythesubcontractorwereobtainablefromothersourcesinsufficienttimetopermittheContractortomeettherequireddeliveryschedule,
Ifthiscontractisterminatedasprovidedinparagraph8(a)ofthisclause,theDistrictisrequiredtopurchasenon-NAPAinventorythenonhandatContractor'scurrentproductacquisitioncost,whichinthiscontractmeansthe
pricethatContractorlastpaidfortheproduct,thetotalpriceforthepurchase
ofnon-NAPAinventoryshallnotexceed$950,000.Inaddition,theDistrictshallhavetheoptiontoacquireNAPAinventorythenonhandatNAPA’s
currentproductacquisitioncost.InadditiontoanyotherrightsprovidedinthisclausetheContractingOfficermayrequiretheContractortotransfertitleanddelivertotheDistrict,inthemannerandtotheextentdirectedbytheCO,(i)
NAPAinventorywhichtheDistrictelectstopurchaseandcompletedsupplies,and(ii)suchpartiallycompletedsuppliesandmaterials,parts,tools,dies,jigs,fixturesplans,drawinginformation,andcontractrights(hereinaftercalled
“manufacturingmaterials")astheContractorhasspecificallyproducedorspecificallyacquiredforthe

performanceofsuchpartofthiscontractashasbeenterminated;andtheContractorshall,upondirectionoftheCO,protectandpreservepropertyin
possessionoftheContractorinwhichtheDistricthasaninterest.PaymentforcompletedsuppliesdeliveredtoandacceptedbytheDistrictwillbeatthecontractprice.PaymentformanufacturingmaterialsdeliveredtoandacceptedbytheDistrictwillbeatthecontractprice.Paymentformanufacturing
materialsdeliveredtoandacceptedbytheDistrictandfortheprotectionandpreservationofpropertyshallbeinanamountagreeduponbytheContractorandCO;failuretoagreetosuchamountshallbeadisputeconcerninga
questionoffactwithinthemeaningoftheclauseofthiscontractentitled"Disputes".TheDistrictmaywithholdfromamountsotherwiseduetheContractorforsuchcompletedsuppliesormanufacturingmaterialssuchsum
astheCO determinestobenecessarytoprotecttheDistrictagainstlossbecauseofoutstandingliensorclaimsofformerlienholders.(©) If,afternoticeofterminationofthiscontractundertheprovisionsofthisclause,itisdeterminedforanyreasonthattheContractorwasnotindefault
undertheprovisionsofthisclause,orthatthedefaultwasexcusableundertheprovisionsofthisclause,therightsandobligationsofthepartiesshall,ifthecontractcontainsaclauseprovidingforterminationofconvenienceofthe
District,bethesameasifthenoticeofterminationhadbeenissuedpursuanttosuchclause.Seeclause16TerminationforConvenienceoftheDistrict.(f) TherightsandremediesoftheDistrictprovidedinthisclauseshallnotbe
exclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaworunderthiscontract.

9.Indemnification:
‘TheContractoragreestodefend,indemnifyandholdharmlesstheDistrict,itsofficers,
agencies,departments,agents,andemployees(collectivelythe"District")fromandagainstanyandallclaims,losses,liabilities,penalties,fines,forfeitures,demands,causesofaction,suits,costsandexpensesincidentalthereto(includingcostofdefense
andattorneys’fees),resultingfrom,arisingoutof,orinanywayconnectedtothenegligentactionsoromissionsoftheContractor,Contractor'sofficers,employees,agents,servants,subcontractors,oranyotherpersonactingfororbypermissionoftheContractorinperformanceofthisContract;providedthattherightofcontributionof
suchobligationshallapplytoanysuchclaims,losses,liabilities,penalties,fines,forfeitures,demands,causesof action,suits,costsorexpenseswhichresultfrom,at
outof,orareinanywayconnectedtothenegligentactionsoromissionsoftheDistrict.‘TheContractorassumesallrisksfordirectandindirectdamageorinjurytothepropertyorpersonsusedoremployedinperformanceofthisContract.TheContractorshallalso

anyinsurancepolicyorbyanylimitationontheamountortypeofdamages,compensation.orbenefitspayablebyorforContractororanysubcontractorandshallsurvivetheterminationofthisContract.TheDistrictagreestogiveContractorwrittennoticeofany
claimofindemnityunderthissection.Additionally,Contractorshallhavetherightandsoleauthoritytocontrolthedefenseorsettlementofsuchclaim,providedthatnocontributionoractionbytheDistrictisrequiredinconnectionwiththesettlement.Moniesdueorto
becomeduetheContractorunderthecontractmayberetainedbytheDistrictasnecessarytosatisfyanyoutstandingclaimwhichtheDistrictmayhaveagainsttheContractor.10.Transfer:Nocontractoranyinterestthereinshallbetransferredbythepartiestowhomtheaward
ismadeunlessapprovedinwritingbythecontractingofficer.Anytransfermadewithoutthecontractingofficer'swrittenapprovalwillbenullandvoidandwillbecausetoannulthecontract.11.Taxes:

principlesandpracticeswhichsufficientlyandproperlyreflectallrevenuesandexpendituresoffundsprovidedbytheDistrictunderthecontract.‘TheContractorshallretainallrecords,financialrecords,supportingdocuments,
statisticalrecords,andanyotherdocuments(includingelectronicstoragemedia)pertinenttothecontractfora periodofthree(3)yearsafterterminationorexpirationofthecontract,orif'anaudithasbeeninitiatedandauditfindingshavenotbeenresolvedattheendofthree(3)years,therecordsshallberetaineduntilresolutionoftheaudit

Notificationtoemployees:TheContractorshalllnotifyeachserviceemployeecommencingworkonthiscontractofaminimumwageand

Inadditiontotherightsgrantedinsection42(f)ofthisclause,theContractorherebygrantstothe Districtanonexclusive,paid-uplicensethroughouttheworldduringthetermoftheparties’agreement,ofthesamescopeasrestrictedrightssetforthinsection42(f)ofthisclause,underanycopyrightownedbytheContractor,inanyworkofauthorshippreparedfororacquiredbytheDistrictunderthiscontract.UnlesswrittenapprovaloftheContractingOfficerisobtained,theContractorshallnotincludeintechnicaldataorcomputersoftwarepreparedfororacquiredbytheDistrictunderthiscontractanyworksofauthorshipinwhichcopyrightisnotownedbytheContractorwithoutacquiringfortheDistrictanyrightsnecessarytoperfectacopyrightlicenseofthescopespecifiedinthefirstsentenceofthisparagraph.

Wheneveranydata,includingcomputersoftware,aretobeobtainedfromasubcontractorunderthiscontract,theContractorshallusethisclause42,RightsinData,inthesubcontract,withoutalteration,andnootherclauseshallbeusedtoenlargeordiminishtheDistrict'sortheContractor'srightsinthatsubcontractordataorcomputersoftwarewhichisrequiredfortheDistrict.
ForallcomputersoftwarefurnishedtotheDistrictwiththerightsspecifiedinsection42(e),theContractorshallfurnishtotheDistrict,acopyofthesourcecodewithsuchrightsofthescopespecifiedinsection42(e)ofthisclause.ForallcomputersoftwarefurnishedtotheDistrictwiththerestrictedrightsspecifiedinsection42({),theDistrict,iftheContractor,eitherdirectlyorthroughasuccessororaffiliateshallceasetoprovidethemaintenanceorwarrantyservicesprovidedtheDistrictunderthiscontractoranypaid-upmaintenanceagreement,orifContractorshouldbedeclaredbankruptorinsolventbyacourtofcompetentjurisdiction,shallhavetherighttoobtain,foritsownandsoleuseonly,asinglecopyofthethencurrentversionofthesourcecodesuppliedunderthiscontract,andasinglecopyofthedocumentationassociatedtherewith,uponpaymenttothepersonincontrolofthesourcecodethereasonablecostofmakingeachcopy.
