Dear Chairman Mendelson:
Pursuant to D. C. Official Code §2-352.02a, enclosed for consideration and approval by the
Council of the District of Columbia is proposed Modification No. Nine to Contract No. CFOPD-
22-C-004 with Taoti Enterprises, Inc. d/b/a Taoti Creative to exercise Option Year Four in the
not to exceed amount of $9,000,000.00. The period of performance is from January 4, 2026 to
January 3, 2027.
Under the proposed modification, Taoti Enterprises, Inc. d/b/a Taoti Creative shall continue to
provide a full range of advertising and marketing services to support overall brand awareness and
the sale of game tickets across the DC Lottery’s existing portfolio of games of traditional lottery,
and iLottery, as well as any new gaming categories and product offerings on behalf of Office of
Lottery and Gaming.

COUNCIL CONTRACT SUMMARY
(OPTION)
Pursuant to Section 202(c-3) of the Procurement Practices Reform Act of 2010, as amended, D.C.
Official Code §2-352.02(c-3), the following contract option summary is provided:
(1) The proposed contractor, contract amount, contract term, and contract type:
• Prime Contractor: Taoti Enterprises, Inc. d/b/a Taoti Creative (Taoti)
• Contract Amount: The Option Year Four not to exceed amount is $9,000,000.00.
• Unit and method of compensation: United States Dollars (USD) in accordance with
Section B, Pricing, of the contract.
• Contract Term: The contract has a base period of one (1) year with four (4), one (1) year
options.
• Contract Type: Cost Reimbursement with Requirements components
(2) The identifying number of the underlying contract, including the identifiers assigned to the
underlying contract by the Council for the base period of the contract and any subsequent option
periods;
The Council of the District of Columbia approved the Base Year of Contract No. CFOPD-22-C-004
via CA24-0331 in the amount of $13,859,400.00. The Council of the District of Columbia approved
the Option Year One of Contract No. CFOPD-22-C-004 via CA25-0001 in the amount of
$13,904.382.44. The Council of the District of Columbia approved the Option Year Two of Contract
No. CFOPD-22-C-004 via CA25-0551 in the amount of 13,950,763.44. The Council of the District of
Columbia approved the Option Year Three of Contract No. CFOPD-22-C-004 via CA25-1138 in the
amount of $13,998,444.36.
(3) A statement indicating that the contracting officer determined through the Citywide Clean
Hands Database that the contractor is current with its District taxes or has worked out and is
current with a payment schedule approved by the District, or that the contracting officer will
offset any outstanding amount pursuant to D.C. Official Code §2-353.01(a)(9):
A Citywide Clean Hands check was performed on Taoti and based on the results provided the
Contracting Officer has determined that Taoti is current. The Clean Hands compliance document is
included in this Council package.
(4) A statement indicating that the proposed contract is within the appropriated budget
authority for the fiscal year and is consistent with the financial plan and budget adopted in
accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:

FINDINGS
1. AUTHORIZATION:
D.C. Municipal Regulations Title 27 §3307 and D.C. Code §2-354.19
2. MINIMUM REQUIREMENTS:
The District of Columbia Office of the Chief Financial Officer (OCFO) has a requirement
for a Contractor to provide advertising and marketing services for the District of Columbia
Office of Lottery and Gaming (Lottery).
3. ESTIMATED REASONABLE PRICE AND REASONABLENESS
DETERMINATION:
The estimated contract total price is not to exceed $9,000,000.00.
(a) The cost of this contract is of a type generally recognized as ordinary and
necessary for the conduct of the contractor or the performance of the contract.
(b) This contract includes the restrain ts or requirements imposed by generally
accepted sound business practices, arms-length bargaining, federal and District
laws and regulations, and contract terms and specifications.
(c) This action is an action that a prudent business person would take, considering
responsibilities to the owner of the business, employees, customers, the District,
and the public at large.
(d) There are no significant deviations from the established practices of the contractor
that may unjustifiably increase the contract costs.
(e) There are no other rele vant factors that should be noted at this time.

4. JUSTIFICATION OF REASONABLENESS OF PRICE:
The Contracting Officer has performed an analysis to determine the reasonableness of the
price and the Contracting Officer has found that the price is fair and reasonable.
The Contracting Officer has compared prices of this contract with the competing pricing
and has determined the price to be fair and reasonable.
5. CERTIFICATION BY CONTRACT SPECIALIST:
I hereby certify that to the best of my knowledge and belief, the above reasonableness
findings and cost price analysis are true and complete and the proposed Contractor’s
pricing is reasonable and in the best interest of the Government.

4. FACTS WHICH JUSTIFY CONTRACTOR’S RESPONSIBILITY:
The contractor has:
(a) the financial resources adequate to perform the contract or the ability to obtain
those resources;
(b) the ability to comply with the requi red or proposed delivery or performance
schedule, taking into consideration all of its existing commercial and government
contract commitments;
(c) a satisfactory performance record, as depicted in their past performance
references;
(d) a satisfactory record of integrity and business ethics, as depicted in their past
performance references;
(e) a satisfactory record of compliance with the law, including labor and civil rights
laws and rules, the First Source Employment Agreement Act of 1984, effective
June 29, 1984 (D.C. Law 5-9; D.C. Official Code §§ 2-218.01 et seq.), the Small

(1%) of the contract value, up to twenty-five thousand dollars ($25,000); and
(j) the contractor is otherwise qualified and is eligible to receive an award under
applicable laws and regulations.

2. MINIMUM REQUIREMENTS:
The District of Columbia Office of the Chief Financial Officer (OCFO) has a requirement
for a Contractor to provide advertising and marketing services for the District of Columbia
Office of Lottery and Gaming (Lottery).
3. ESTIMATED FAIR AND REASONABLE COST:
The estimated fair and reasonable cost for Option Year 4 of the contract is $9,000,000.00.
4. FACTS WHICH JUSTIFY COST REIMBURSEMENT CONTRACT:
In accordance with the Contract, Taoti is re sponsible for placement of all Media Buys. A
Media Buy is defined as the Contractor’s direct purchase cost of advertising placements
from a media outlet such as a radio, television, digital, social media, print, transit signage,
and billboards, as well as sponsorships a nd other advertising me diums approved by the
Lottery.
Because the Media Buys are dictated by the Lottery, direct purchases between Taoti and
the media outlet are pass-through costs for the District,
The District will compensate Taoti for act ual costs, a pass-through, with no markup for
Media Buys as well as Point of Sale (POS ) items, merchandise, displays, consumer
research, commercial pr oduction, local courier and deliver y services, web and internet
services, translation services, and other marketing and event related services, approved in

advance by the Lottery and not otherwise cove red by the Retainer Fee, per the Contract.
Therefore,:
(a) Uncertainties involved in contract performance either do not permit costs to
be estimated with sufficient accuracy to use any type of fixed-price contract;
or
(b) Circumstances prevent requirement s from being sufficiently defined to
allow for a fixed-price contract.
The following circumstances apply:
(a) The contractor’s accounting system is or will be adequate for determining
costs applicable to the contract;
(b) Appropriate District surveillance during performance will provide
reasonable assurance that efficient met hods and effective cost controls are
used; and
(c) The use of a cost-reimbursement contract is likely to be less costly than any
other type of contract, or it is impractical to obtain goods or services of the
kind or quality required without the use of a cost-reimbursement contract.
The cost-reimbursement contract will contain a clause that:
(a) Indicates that only those costs deter mined by the contracting officer to be
reasonable, allowable, and allocable in accordance with Chapter 33
(Contract Cost Principles) of 27 Title of the DCMR, will be reimbursable;
and
(b) Establishes a stated price ceiling.
