Dear Chairman Mendelson:
Pursuant to D.C. Official Code §2-352.02a, enclosed for consideration and approval by the
Council of the District of Columbia, is the proposed contract extension, Modification No. 29, for
Contract No. CFOPD-11-C-024 with Wells Fargo Bank, N.A. (Wells Fargo). The Not-to-
Exceed amount of the proposed contract action is $2,300,000 for the period of January 16, 2026,
through December 15, 2026.

Under the proposed modification, Wells Fargo shall continue to provide comprehensive banking
services on behalf of the Office of the Chief Financial Officer, Office of Finance and Treasury.

COUNCIL CONTRACT SUMMARY

Pursuant to Section 202(c) of the Procurement Practices Reform Act of 2010, as amended; D.C.
Official Code §2-352.02(c), the following contract summary is provided.

(1) The proposed contractor, the names of the contractor’s principals, contract amount, unit and
method of compensation, contract term, type of contract and source selection method:

x Proposed Prime Contractor: Wells Fargo Bank, N.A. (Wells Fargo)
x Proposed Contractor’s Principal(s): Charlie Scharf, President/CEO; Scott Powell, COO;
Mike Santomassimo, CFO; and Andre Cole, Treasurer.
x Subcontractor: N/A
x Contract Amount: The proposed contract action amount is not to exceed $2,300,000.00.
x Unit and method of compensation: United States Dollars (USD) in accordance with
Section B, Pricing, of the contract.
x Contract Term: The contract has a base period of five (5) years with two (2), five (5) year
option periods. The OCFO extended the contract, beyond the term, from December 16,
2025, through January15, 2026, at no cost. This proposed contract action will extend the
contract beyond the original term to continue services for the period of January 16, 2026,
through December 15, 2026.

(2) The goods or services to be provided, the methods of delivering goods or services, and any
significant program changes reflected in the proposed contract:

The purpose of the contract is to allow Wells Fargo to continue providing comprehensive banking
services for the District of Columbia. Wells Fargo has satisfactorily provided the required services
for the last fifteen (15) years under Contract No. CFOPD-11-C-024. The contract was awarded on
December 16, 2010, with a five (5) year base period and two (2) five (5) year option periods. The
District exercised the final term of the contract. The District has extended the contract, beyond the
term, through January15, 2026, at no cost. Proposed Modification 29 will extend the contract
beyond the original term for the period of January 16, 2026, through December 15, 2026.

(3)(A) The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price, technical or quality, and past-performance components:

This was a competitively bid procurement. There were twelve (12) proposals submitted in
response to the solicitation. Four (4) of the proposals were determined to be in competitive range.
The Technical was worth seventy-five (75) points, the Cost was worth twenty-five (25) points, the
Community Development Score was worth one-hundred (100) points, and, under the provisions of
the “Small, Local, and Disadvantaged Business Enterprise Development and Assistance Act of
2005”, as amended, D.C. Official Code §2-218.01 et seq., the maximum total preference points for
certified business enterprises was worth up to twelve (12) points. Therefore, the maximum total
score available was two-hundred twelve (212) points. Wells Fargo Bank, N.A., received the
highest score.

(3)(B) If the contract was awarded on a sole-source basis, include the date on which a
competitive procurement for the goods or services to be provided under the contract was last
conducted, the date of the resulting award, and a detailed explanation of why a competitive
procurement is not feasible.

Wells Fargo has satisfactorily provided comprehensive banking services for the District of
Columbia for the last fifteen (15) years under Contract No. CFOPD-11-C-024. The contract was
awarded on December 16, 2010, with a five (5) year base period and two (2) five (5) year option
periods. The District exercised the final term of the contract. The District has extended the contract,
beyond the term, through January15, 2026, at no cost.

For the replacement contract, the OCFO has issued a solicitation for banking and lockbox services.
The anticipated new contract awards are estimated for the end of calendar year 2026.

Sufficient time is required to allow for the completion of the solicitation process, execution of a
new contract award and the transition of services if needed. It is imperative that the current
contract be extended as Wells Fargo Bank, N.A., has the historical knowledge and capacity to
provide continuous, uninterrupted services and, pursuant to D.C. Official Code § 47–351.03(a),
must retain currently held assets of the District, on behalf of the OCFO, until a new contract is
awarded.

As a result of the foregoing, it is necessary and prudent to extend the contract with Wells Fargo
Bank, N.A., to December 15, 2026.

(3A) A description of any bid protest related to the award of the contract, including whether the
protest was resolved through litigation, withdrawal of the protest by the protestor, or
voluntary corrective action by the District, and the identity of the protestor, grounds alleged
in the protest and any deficiencies identified by the District as a result of the protest:

There was no protest filed related to the award of this contract.

(3B) A description of any other contracts the proposed contractor is currently seeking or holds
with the District:

The Contractor currently provides comprehensive banking services to the District of Columbia
under OCFO contract number CFOPD-11-C-024. The Contractor has indicated that it intends to
submit a bid pursuant to OCFO solicitation number CFOPD-25-R-013 for Banking and Lockbox
Services.

(4) The background and qualifications of the proposed contractor, including its organization,
financial stability, personnel, and performance on past or current government or private-
sector contracts with requirements similar to those of the proposed contract:

Wells Fargo Bank, N.A. (Wells Fargo) is a large full-service bank offering consumer and business
products through its domestic branches and other means of access. Wells Fargo was founded in
1852 and is one of the oldest and largest national banks. Recognized as one of the most highly
capitalized and well-managed banks in the industry. Wells Fargo is a federally chartered banking
institution and a member of the Federal Reserve System. Wells Fargo parent is Wells Fargo &
Company (NYSE:WFC), a diversified financial services company – providing banking, insurance,
investments, mortgage, and consumer finance. Wells Fargo Bank, N.A. has been providing
comprehensive banking services to the District of Columbia since 2011.

(4A) A summary of the subcontracting plan required under D.C. Code § 2-218.01 et seq.,
including a certification by the District that the subcontracting plan meets the minimum
requirements and the dollar volume of the portion of the contract to be subcontracted, in
both total dollars and as a percentage of the total contract amount:

The Department of Small and Local Business Development (DSLBD) waived the subcontracting
requirement for this service under Solicitation No. CFOPD-10-R-013 and applies to the total term
of the contract (CFOPD-11-C-024). The DSLBD approved waiver is included in this Council
package.

(5) Performance standards and expected outcomes of the proposed contract:

The contract shall be performed as defined in Section C of the contract.

(5A) The amount and date of any expenditure of funds by the District pursuant to the contract
before its submission to the Council for approval:

x On December 16, 2010, the OCFO executed a letter contract from December 16, 2010,
through March 15, 2011, in the amount of $990,000.00, an amount less than $1 million; thus,
Council approval was not required.
x On March 15, 2011, the OCFO executed a modification to extend the letter contract from
March 16, 2011, through June 15, 2011, at no cost, an amount less than $1 million; thus,
Council approval was not required.
x On June 7, 2011, the Council of the District of Columbia approved the definitized contract for
the Base Period from December 16, 2010, through December 15, 2015, via Legislation
Number B19-0304 in the amount of $12,408,397.00.
x On March 21, 2012, the OCFO executed Modification No. 1 for real property billing services
in the amount of $115,720.00, an amount less than $1 million; thus, Council approval was not
required.
x On April 2, 2012, the OCFO executed Modification No. 3 for additional real property billing
services in the amount of $115,720.00, an amount less than $1 million; thus, Council approval
was not required.
x On December 9, 2015, the OCFO executed Modification No. 8 to extend the contract, for a
partial extension of Option Period One, from December 16, 2015, through January 31, 2016,
in the amount of $400,000.00, an amount less than $1 million; thus, Council approval was not
required.
x On January 5, 2016, the Council of the District of Columbia retroactively approved the
contract, for the full Option Period One, from December 16, 2015, through December 15,
2020, via Legislation Number CA21-0272 in the amount of $12,408,397.00.
x On July 12, 2018, the Council of the District of Columbia approved Modification No. 15 to
increase the contract ceiling via Legislation Number CA22-0558 in the amount of
$2,000,000.00.
x On October 19, 2020, the Council of the District of Columbia approved Modification No. 20
to increase the contract ceiling via Legislation Number CA23-0707 in the amount of
$3,000,000.00.
x On December 1, 2020, the Council of the District of Columbia approved the contract, for
Option Period Two, from December 16, 2020, through December 15, 2025, via Legislation
Number CA23-0727 in the amount of $17,500,000.00.
x On December 11, 2025, the OCFO executed Modification No. 28 to extend the contract,
beyond the term, from December 16, 2025, through January15, 2026, at no cost, an amount
less than $1 million; thus, Council approval was not required.

(6) A certification that the proposed contract is within the appropriated budget authority for the
agency for the fiscal year and is consistent with the financial plan and budget adopted in
accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:

The funding certification is included in this Council package.

(7) A certification that the proposed contract is legally sufficient, including whether the proposed
contractor has any currently pending legal claims against the District:

Legal Sufficiency is provided in this Council package.

(8) A certification that the Citywide Clean Hands Database indicates that the proposed
contractor is current with its District taxes. If the Citywide Clean Hands Database indicates
that the proposed contractor is not current with its District taxes, (1) a certification that the
contractor has worked out and is current with a payment schedule approved by the District
or (2) a certification that the contractor will be current with its District taxes after the
District recovers any outstanding amount pursuant to D.C. Official Code §2-353.01(a)(9).

(8A) A certification from the proposed contractor that it is current with its federal taxes, or has
worked out and is current with a payment schedule approved by the federal government:

D.C. Official Code § 1-1163.34a, and a certification from the proposed contractor that it
currently is not and will not be in violation of D.C. Official Code § 1-1163.34a:

(9) The status of the proposed contractor as a certified local, small, or disadvantaged business
enterprise, as defined in the Small, Local, and Disadvantaged Business Enterprise
Development and Assistance Act of 2005, effective October 20, 2005 (D.C. Law 16-33; D.C.
Official Code § 2-218.01 et seq.):

Wells Fargo Bank, N.A., is not a Certified Business Enterprise (CBE).

(10) Other aspects of the proposed contract that the CPO considers significant:

(11) A statement indicating whether the proposed contractor is currently debarred from
providing services or goods to the District or federal government, the dates of the
debarment, and the reasons for debarment:
Wells Fargo Bank, N.A., does not appear on the Federal Excluded Parties List System (EPLS) or
the District Excluded Parties List.

This memorandum is to certify that funding is avail able within the Office of the Chief Financial
Officer (OCFO) annual operating budget in th e amount of $2,300,000 for extending the current
contract. New RFP issued on September 30, 2025, will require time beyond the current contract’s
expiration, for consideration of competitive proposals and potential transition to a different bank.
The vendor will provide Banking and Lockbox services for the District of Columbia.
The proposed contract will cross fiscal year s. The FY2026 portion of the contract amounting
$1,150,000 will be funded from FY2026 Budget. The FY2027 portion of $1,150,000 is contingent
upon the approval of the FY2027 Appropriated Budget.
The proposed contract is within the appropriated budget authority for the agency for the fiscal
year referenced. The proposed contract is consistent with the financial plan and budget that is
proposed for adoption in accordance with D.C. Code §47-392.01and §47-392.02.

FINDINGS
1. AUTHORIZATION:
D.C. Municipal Regulations Title 27 §3307 and PPRA §419
2. MINIMUM REQUIREMENTS:
The District of Columbia has a continued need for the Contractor to provide
comprehensive banking services beyond the term of the contract pending the completion
of the procurement for a new contract.

3. ESTIMATED REASONABLE PRICE AND REASONABLENESS
DETERMINATION:
The estimated fair and reasonable price for the one-year extension is not-to-exceed
amount of $2,300,000.00.
Contract Specialist Reasonableness Determination:
(a) The cost of this contract is of a type generally recognized as ordinary and
necessary for the conduct of the contractor or the performance of the contract.
(b) This contract includes the restrain ts or requirements imposed by generally
accepted sound business practices, arm’s length bargaining, federal and District
laws and regulations, and contract terms and specifications.
(c) This action is an action that a prude nt business person would take, considering
responsibilities to the owner of the business, employees, customers, the District,
and the public at large.
(d) There are no significant de viations from the established practices of the contractor
that may unjustifiably increase the contract costs.
(e) There are no other rele vant factors that should be noted at this time.

The Contracting Officer has compared prices of this contract with the independent District
cost estimate and has determined the price to be fair and reasonable.

FINDINGS

2. MINIMUM REQUIREMENTS:
The District of Columbia has a continued need for the Contractor to provide
comprehensive banking services beyond the term of the contract pending the completion
of the procurement for a new contract.

4. FACTS WHICH JUSTIFY CONTRACTOR’S RESPONSIBILITY:

The Contracting Officer has determined that the Contractor has:

(a) the financial resources ade quate to perform the contract;
(b) the ability to perform the proposed schedules, taking into consideration all
existing commercial and governmental business commitments;
(c) a satisfactory performance record, as depicted in their past performance
references;
(d) a satisfactory record of integrity and business ethics, as depicted in their past
performance references, despite the Contractor’s certification in Part 3
“Business Responsibility” of the OCFO Bidder/Offeror Certification Form
dated November 26, 2025, because the Contractor has not been debarred, or

otherwise had its legal authorization to conduct its operations suspended, by
any local, state, or federal authority, within the past five years;
(e) a satisfactory record of compliance with the law, including licensing and tax
laws, labor laws, civil rights laws and First Source Employment Act;
(f) the necessary organization, experience, accounting and operational controls,
and technical skills, or the ability to obtain them;
(g) the necessary production, constructi on, and technical equipment and facilities
or the ability to obtain them;
(h) not exhibited a pattern of overcharging the District;
(i) the contractor does not have an outstanding debt with the District or Federal
government in delinquent status of more than the greater of $1,000 or 1% of
the contract value, up to $25,000; and
(j) the contractor is otherwise qualified and is eligible to receive an award under
applicable laws and rules despite the Contractor’s certification in Part 5
“Legal Proceedings” of the OCFO Bidder/Offeror Certification Form dated
November 26, 2025, because the Contractor has not been involved in any
regulatory reviews or any legal actions that would have a material adverse
effect on its ability to provide the services requested in the contract.

SOLE SOURCE EXTENSION OF CONTRACT

1. AUTHORIZATION

D.C. Official Code §2-354.04; 27 DCMR 1304, 1700, 1701 and 2005.2(b)

2. MINIMUM NEED

The District of Columbia has a conti nued need for the Contractor to provide
comprehensive banking services beyond the term of the contract pending the completion
of the procurement for a new contract.

3. ESTIMATED REASONABLE PRICE

The estimated fair and reasonable price budgeted for the contract extension is
$2,300,000.00 from December 16, 2025, through December 15, 2026. The estimated
price is based on projected expenditures for the period of performance and the
contractor’s price schedule.

4. FACTS WHICH JUSTIFY SOLE SOURCE EXTENSION OF CONTRACT

The Office of the Chief Financial Officer (OCFO) has a critical need to maintain
uninterrupted comprehensive banking services for the District of Columbia Government.
Wells Fargo Bank, N.A., currently provides comprehensive banking services and has
satisfactorily provided these services for fifteen (15) years under contract number
CFOPD-11-C-024. The contract was awarded on December 16, 2010, with a five (5)
year base period and two (2) five-year option periods and currently expires on December
15, 2025.

On September 30, 2025, the OCFO Office of Contracts issued solicitation number
CFOPD-25-R-013 for Banking and Lockbox Services. The contract awards resulting
from CFOPD-25-R-013 will replace the current comprehensive banking services

contracts. According to the procurement milestones the anticipated new contract awards
are estimated for the end of calendar year 2026.
Sufficient time is required to allow for the completion of the solicitation process,
execution of new contract award and the potential transition of services to a new vendor.
To facilitate the acquisition process and to maintain uninterrupted comprehensive
banking services, it is imperative that the current contract be extended. Wells Fargo
Bank, N.A., has the historic knowledge and the capacity to provide continuous and
uninterrupted services for the necessary comprehensive banking services as well as they
are currently holding assets of the District that cannot be transferred until a new contract
is awarded.
As a result of the foregoing, it is necessary and prudent to extend contract number
CFOPD-11-C-024 with Wells Fargo Bank, N.A. through to December 15, 2026.

Accordingly, I determine that it is in the best interest of the District, and the District is
justified in using the sole source method of procurement to extend the contract term
beyond the total term specified in the contract, pursuant to 27 DCMR § 2005.2(b).
