Based upon thefindingsofthe technicalevaluationpaneland thecontractingofficer’sindependent
review of theproposalsinaccordancewith theevaluationfactors,thecontractingofficer
determinedthattheproposalfrom HMA was themost advantageousofferto theDistrictand thatit
isin thebestinterestof the Districtthataward be made to HMA.

residents.

DHCFisseekingconsultantservicesfortechnicalassistanceandtraining/coachingtosupportpracticeimprovementamongMedicaidprovidersoraspiringMedicaidproviderspursuinganintegratedandwhole-personapproachtocaredelivery.The

DHCFdevelopedanddirectlysupportsasuiteofcarecoordinationandpractice
transformationeffortsdesignedtoimproveMedicaidproviders’abilitytotreatmedicallycomplexbeneficiariesinvalue-basedandwhole-personcareprograms.Forexample,theMyHealthGPSprogram—DC’sHealthHomeStatePlanbenefitforMedicaidbeneficiarieswiththreeormorechronicconditionswasthefirst
programtoreceivethistypeof assistance,beginninginFY18.Throughtechnicalassistanceefforts,My HealthGPSentitiesreceivedsupportdesigningworkflowsandadaptingnewtechnologytocoordinatepatient-centeredandpopulationfocusedcareforbeneficiarieswithmultiplechronicconditions.Buildingofftheseefforts,
DHCFlaunchedIntegratedCareDC in2020toprovideano-costtrainingandtechnicalassistancehubforDistrictofColumbiaMedicaidprovidersseekingtoimprovetheirpracticeandmaximizetheirimpact.ThegoalsofDHCF’svalue-basedprogramsaretosupportDHCF’sstrategicprioritiesto:

detaileddescriptionoftheprocesstoensureallmaterials,suchasawebsite,willbetransferredtoDHCForafutureContractor.
TheContractorshallprovidetotheDistricta draftexitplanthatwillbe finalizedby

Contract.

MandatorySubcontractingRequirements

1.ForallcomputersoftwarefurnishedtotheDistrictwiththerightsspecific.sectionB.2,theContractorshallfurnishtotheDistrict,acopyofthesourcecodewithsuchrightsofthescopeasspecifiedinsectionB.2ofthisclause.ForallcomputersoftwarefurnishedtotheDistrictwiththerestrictedrights

3.TheContractorshallupdatethesourcecode,aswellasanycorrectionsor
enhancementstothesourcecode,foreachnewreleaseoftheProductinthesamemannerasprovidedabove,andcertifysuchupdatingofescrowtotheDistrictinwriting.
F. IndemnificationandLimitationofLiability
‘TheContractorshallindemnifyandsaveandholdharmlesstheDistrict,itsofficers,agentsandemployeesactingwithinthescopeoftheirofficialdutiesagainstany
liability,includingcostsandexpenses,(i)forviolationofproprietaryrights,copyrights,orrightsofprivacy,arisingoutofthepublication,translation,reproduction,delivery,performance,useordispositionofanydatafurnishedunderthiscontract,or(ii)baseduponanydatafurnishedunderthiscontract,orbased
uponlibelousorotherunlawfulmattercontainedinsuchdata.
OTHER CONTRACTORS
‘TheContractorshallnotcommitorpermitanyactthatwillinterferewiththeperformanceofworkbyanotherDistrictcontractororbyanyDistrictemployee.
SUBCONTRACTS
TheContractorhereundershallnotsubcontractanyoftheContractor’sworkorservicestoanysubcontractorwithoutthepriorwrittenconsentoftheCO.Anyworkorservicesosubcontractedshallbeperformedpursuanttoasubcontract
agreement,whichtheDistrictwillhavetherighttoreviewandapprovepriortoitsexecutionbytheContractor.AnysuchsubcontractshallspecifythattheContractor
andthesubcontractorshallbesubjecttoeveryprovisionofthiscontract.NotwithstandinganysuchsubcontractapprovedbytheDistrict,theContractor

18. INSURANCE
.GENERAL REQUIREMENTS. TheContractorat itssoleexpenseshallprocure
andmaintain,duringtheentireperiodofperformanceunderthiscontract,thetypes
ofinsurancespecifiedbelow.TheContractorshallsubmitaCertificateof
InsurancetotheContractingOfficer(CO)givingevidenceoftherequiredcoverage
priortocommencingperformanceunderthiscontract.Innoeventshallanywork
beperformeduntiltherequiredCertificatesofInsurancesignedbyanauthorized
representativeoftheinsurer(s)havebeenprovidedto,andacceptedby,theCO.

IftheContractorand/oritssubcontractorsmaintainbroadercoverageand/orhigherlimitsthantheminimumsshownbelow,theDistrictrequiresandshallbeentitledtothebroadercoverageand/orthehigherlimitsmaintainedbytheContractorand

anypersons,broadformpropertydamage,includinglossofuseresulting
therefrom,personalandadvertisinginjury,andincludingcoverageforliability
arisingoutofanInsuredContract(includingthetortliabilityofanotherassumed
inacontract)andactsofterrorism(whethercausedbyaforeignordomestic
source).Suchcoverageshallhavelimitsofliabilityofnotlessthan$1,000,000
foreachoccurrence,a $2,000,000generalaggregate,productsandcompleted

(exceptpatent),negligenceorbreachofdutytousereasonablecare,breachof
anydutyofconfidentiality,invasionofprivacy,orviolationsofanyotherlegal
protectionsforpersonalinformation,defamation,libel,slander,commercial
disparagement,negligenttransmissionofcomputervirus,oruseofcomputer
networksinconnectionwithdenialofserviceattacks.Suchcoverageshall
cluderegulatorydefenseandfines/penaltiesinanyjurisdictionanywherein
theworld,Suchcoverageshallincludecontractualprivacycoveragefordata
breachresponseandcrisismanagementcoststhatwouldbeincurredby
ContractoronbehalfofTheGovernmentoftheDistrictofColumbiainthe
eventofa databreachincludinglegalandforensicexpenses,notificationcosts,

5.ProfessionalLiabilityInsurance(Errors& Omissions)-TheContractorshall
provideProfessionalLiabilityInsurance(ErrorsandOmissions)tocover
liabilityresultingfromanyerrororomissionintheperformanceofprofessional
servicesunderthisContract.Thepolicyshallprovidelimitsof$1,000,000per
claimorperoccurrenceforeachwrongfulactand$2,000,000annual
aggregate.TheContractorwarrantsthatanyapplicableretroactivedate
precedesthedatetheContractorfirstperformedanyprofessionalservicesfor
theGovernmentoftheDistrictofColumbiaandthatcontinuouscoveragewill
bemaintainedoranextendedreportingperiodwillbeexercisedforaperiodof
atleasttenyearsafterthecompletionoftheprofessionalservices.Limitsmay
notbesharedwithotherlinesofcoverage.
6.CommercialUmbrellaorExcessLiability- TheContractorshallprovideevidence
satisfactorytotheCOofcommercialumbrellawithminimumlimitsof$5,000,000per
occurrenceand$5,000,000intheannualaggregate.Coveragemustexcessofrequired
commercialgeneralliability,commercialautoliability,andemployers’liability.‘The
insurancerequiredunderthisparagraphshallbewritteninaformthatannually
reinstatesallrequiredlimits.Coverageshallbeprimarytoanyinsurance,self
insuranceorreinsurancemaintainedbyTheGovernmentoftheDistrictofColumbia
andthe“otherinsurance”provisionmustbeamendedinaccordancewiththis
requirementandprinciplesofverticalexhaustion.
7.CrimeInsurance(3rdPartyIndemnity)-TheContractorshallprovideaCrime
policyincluding3"partyfidelitytocoverthedishonestactsofContractors,its
employeesand/orvolunteerswhichresultinalosstotheDistrict.The
GovernmentoftheDistrictofColumbiashallbeincludedaslosspayee.‘The
policyshallprovidealimitof$10,000peroccurrence.
C, SUBCONTRACTOR INSURANCE REQUIREMENTS
AnyandallsubcontractorsengagedbyContractorforworkunderthisagreement
shallberequiredtohavethesameinsuredrequiredofContractor.ShouldtheContractorwishtoproposedifferentinsurancerequirementsforthesubcontractorthantheonesoutlinedintheContract,then,priortocommencementofworkbythesubcontractor,theContractorshallsubmitinwritingthenameandbriefdescription
ofworktobeperformedbythesubcontractortotheCO.TheCO willpromptly

Theinsurancerequiredhereinshallbeprimarytoandwillnotseekcontributionfromanyotherinsurance,reinsuranceorself-insuranceincludinganydeductibleorretention,maintainedbytheGovernmentoftheDistrictofColumbia.
DURATION.TheContractorshallcarryallrequiredinsuranceuntilallcontract
workisacceptedbyTheGovernmentoftheDistrictofColumbiaandshallcarry
listedcoveragesfortenyearsforconstructionprojectsfollowingfinalacceptance
ofthe work performed under thiscontractand two years fornon-construction
relatedcontracts.
LIABILITY.‘Thesearetherequiredminimuminsurancerequirementsestablished
byTheGovernmentoftheDistrictofColumbia.However,itisunderstoodthatThe
Governmentofthe DistrictofColumbiadoesnotinanyway representthatthe
insuranceorthelimitsofinsurancespecifiedhereinaresufficientoradequateto
protectyourinterestsorliabilitiesandwillnotinanywaylimitthecontractor's
liabilityunderthiscontract.
-CONTRACTOR'S PROPERTY.Contractorandsubcontractorsaresolely
responsibleforanylossordamagetotheirpersonalproperty,includingbutnot
limitedtotoolsandequipment,scaffolding,andtemporarystructures,rented
machinery,orownedandleasedequipment.Awaiverofsubrogationshallapplyin
favorofTheGovernmentoftheDistrictofColumbia.
MEASURE OF PAYMENT. The Government of the Districtof Columbia shall
notmakeanyseparatemeasureorpaymentforthecostofinsuranceandbonds.
The Contractorshallincludeallthe costsof insuranceand bonds inthe contract
price.
NOTIFICATION.TheContractorshallensurethatallpoliciesprovidethatthe
CO shallbegiventhirty(30)dayspriorwrittennoticeintheeventofcancellation,
non-renewal,ormaterialchangestotheextentsuchcancellationormaterial
changesresultsinContractornolongcomplyingwiththeaboverequirements.The
ContractorshallprovidetheCOwithten(10)days’priorwrittennoticeintheevent
of non-paymentofpremium.TheContractorwillalsoprovidetheCO withan
updatedCertificateofInsuranceshoulditsinsurancecoveragesrenewduringthe
contract.TheGovernmentoftheDistrictofColumbiamayreasonablychangethe
aboveinsurancecoveragerequirementsduringtheTermbygivingContractorat
