Pursuant to section 451 of the District of Columbia Home Rule Act (D.C. Official Code § 1 -
204.51) and section 202 of the Procurement Practices Reform Act of 2010 (D.C. Official Code §
2-352.02), enclosed for consideration and approval by the Council of the District of Columbia is
Modification No. 4 to Contract No. DCAM -22-CS-RFQ-0001D with Consys, Inc., to exercise
option year four of the contract in the not -to-exceed amount of $20,000,000. The modification’s
period of performance is from May 2, 2026, through May 1, 2027.
Under the proposed modification, Consys, Inc., will continue to provide construction services at
schools, parks, recreation facilities, municipal buildings, fire and police stations, short-term family
housing units, and other public locations under its con tract with the Department of General
Services (“DGS”).

(C) A statement that Citywide Clean Hands database indicates that the proposed contractor
is current with its District taxes. If the Citywide Clean Hands Database indicates that the
proposed contractor is not current with its District taxes, either: (1) a certification that
the contractor has worked out and is current with a payment schedule approved by the
District; or (2) a certification that the contractor will be current with its District taxes
after the District recovers any outstanding debt as provided under D.C. Official Code § 2-
353.01(b):
The Citywide Clean Hands database indicates that the Contractor is current with its District
taxes. The relevant certification is attached.
(D) A statement that the proposed contract is within the appropriated budget authority for
the agency for the fiscal year and is consistent with the financial plan and budget adopted
in accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:
The Office of the Chief Financial Officer has certified that the guaranteed minimum value of
$50 of proposed Modification No. 4 is within the appropriated budget authority for the agency
and is consistent with the financial plan and budget adopted in accordance with D.C. Official
Code §§ 47-392.01 and 47-392.02; sufficient funds will be included in the budget proposal for
FY 27 for task orders issued after September 30, 2026, and no task orders will be issued or work
performed in FY 27 unless the financial plan adopted by the Council includes such funds. The
applicable Fiscal Sufficiency certification accompanies this Council Package.
(E) (1) A certification that the proposed contractor has been determined not to be in violation
of section 334a of the Board of Ethics and Government Accountability Establishment and
Comprehensive Ethics Reform Amendment Act of 2011, D.C. Official Code § 1-1163.34a;
and (2) A certification from the proposed contractor that it currently is not and will not
be in violation of section 334a of the Board of Ethics and Government Accountability
Establishment and Comprehensive Ethics Reform Amendment Act of 2011, D.C. Official
Code § 1-1163.34a:
Based upon a certification from the Contractor, the Contractor has been determined not to be in
violation of D.C. Official Code § 1-1163.34a; and will not be in violation of D.C. Official Code
§ 1-1163.34a.

1. Description of Proposed Contract
The Department of General Services (“DGS” or the “Department”) seeks approval of the above -
referenced modification for the Basic Ordering Agreement for Construction Projects (DCAM -22-
CS-RFQ-0001D) (the “Contract”) between the Department and Consys, Inc. (t he “Contractor”). If
approved, proposed Modification No. 4 to the Contract, which is Indefinite Delivery/Indefinite
Quantity (“IDIQ”) contract, would authorize the Contractor to continue providing construction
projects as awarded via competitively awarded task orders at various public schools, parks,
recreation facilities, and certain other municipal facilities (the “Project”).
The Contract, as awarded, contains a base term (“Base Year”) and four (4) one -year option periods
(“Option Years”), with a guaranteed minimum amount of $50.
The Department now seeks Council approval for Modification No. 4 to exercise Option Year 004
through May 1, 2027, with a guaranteed minimum amount of $50 and a not -to-exceed (“NTE”)
amount of $20,000,000 , and authorize the Contractor to continue providing construction projects.
The proposed Modification No. 4, like the underlying Contract, does not authorize any specific work
or guarantee that any work will be assigned to the Contractor. As the NTE amount of proposed
Modification No. 4 exceeds $1 million, Council approval is required for this contract action.
2. Procurement Process
The underlying Contract was competitively bid and previously submitted to and approved by the
Council as CA24-0472. Modification No. 1, approved by Council as CA25-0128, exercised Option
Year 001, with a guaranteed minimum amount of $50.00 and NTE amount of $20,000,000.00,
through May 1, 2024. Modification No. 2, approved by Council as CA25 -0657, exercised Option
Year 002, with a guaranteed minimum amount of $50.00 and NTE amount of $20,000,000.00,
through May 1, 2025. Modification No. 3, approved by Counc il as CA26 -0099, exercised Option
Year 003, with a guaranteed minimum amount of $50.00 and NTE amount of $20,000,000.00,
through May 1, 2026.
The proposed Modification No. 4, if approved, would exercise Option Year 004 in the guaranteed
minimum amount of $50 and an NTE amount of $20,000,000 and extend the term of the Contract
through May 1, 2027.
3. Legal Review
Congress amended §451 of the District of Columbia Home Rule Act by requiring that no contract
involving the expenditure of funds in excess of $1 million in a 12-month period be made “unless the
Mayor submits the contract to Council for its approval and the Council approves the contract.”
District of Columbia Financial Responsibility and Management Assistance Act of 1995 §304(a), 109
Stat. 151 Pub. L. 104-8 (April 17, 1995) (codified at D.C. Official Code §1-204.51(b) (2001).
Proposed Modification No. 4 is in excess of $1 million and is subject to the §451 requirement of the
District of Columbia Home Rule Act. Thus, Council review and approval of proposed Modification
No. 4 to the Contract is required under the District of Columbia Home Rule Act.
This office was asked to review proposed Modification No. 4 to the Contract for legal sufficiency.
I have reviewed and approved proposed Modification No. 4 to the Contract for legal sufficiency.
Please be advised that my finding that proposed Modificatio n No. 4 to the Contract is legally
sufficient, is premised on its submission to and approval by the Council of the District of Columbia,
as required by §§1-204.51(b) and 2-352.02 of the District of Columbia Official Code for contracts
valued over $1 million, and the issuance of a Fiscal Certification by the Department’s Agency Fiscal
Officer.

1. Exercise of Option Year 004. In accordance with Section 1.6 of the BOA, the Department hereby exercises Option Year 004 and
extends the term of the BOA through May 1, 2027. The full term of Option Year 004 is from May 2, 2026, through May 1, 2027. The
continuation of services beyond September 30, 2026, is subject to the availability of appropriated FY27 budget funding.

waives, settles, and holds the Department harmless from any and all actual or potential claims or demands for delays, disruptions,
additional work, additional time, additional cost, contract extensions, compensations or liability under any theory, whether known or
unknown, that the Contractor may have now or in the future against the Department arising from or out of, as a consequence or result
of, relating to or in any manner connected with this Modification, the above-referenced Project, and the Contract Work.
