Dear Chairman Mendelson:
Pursuant to section 451 of the District of Columbia Home Rule Act (D.C. Official Code § 1-
204.51) and section 202 of the Procurement Practices Reform Act of 2010 (D.C. Official Code
§ 2-352.02), enclosed for consideration and approval by the Council of the District of Columbia is
an emergency bill, the "Modification No. 4 to Multiyear Contract No. CW91301 with Thales DIS
USA, Inc. Approval and Payment Authorization Emergency Act of 2026," and the accompanying
emergency declaration resolution in the amount not to exceed $13,707,400.
This legislation will approve Modification No. 4 to multiyear Contract No. CW91301 with Thales
DIS USA, Inc. for a digitized driver's license and identification centralized security credentialing
system. In addition, the legislation will approve payment for the goods and services received and
to be received under the modification.

The contractor shall provide a digitized driver's license and identification centralized security
credentialing system for the updating and production of secure digitized driver's licenses and
identification cards.

(D) The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price, technical or quality, and past performance components:
The Office of Contracting and Procurement, on behalf of DMV, issued a Request for Proposals
DOC544255 on February 5, 2021. The solicitation sought a contractor to provide a digitized
driver’s license and identification centralized security credentialing system. One proposal was
received on March 5, 2021, from Thales DIS USA, Inc.
The original contract, CA24-0293, was approved in the amount of $13,707,400 on a not-to-exceed
basis. It has a seven-year term beginning on the date of award, running from October 6, 2021,
through October 5, 2028.
The proposed modification does not change the contract amount. It extends the contract term so that
it now expires on June 30, 2030. Under the modification, the contract period will run from July 1,
2023, through June 30, 2030.
(E) A description of any bid protest related to the award of the contract, including whether the
protest was resolved through litigation, withdrawal of the protest by the protestor, or
voluntary corrective action by the District. Include the identity of the protestor, the grounds
alleged in the protest, and any deficiencies identified by the District as a result of the protest:

(F) A description of any other contracts the proposed contractor is currently seeking or holds
with the District:
None
(G) The background and qualifications of the proposed contractor, including its organization,
financial stability, personnel, and performance on past or current government or private
sector contracts with requirements similar to those of the proposed contract:
Thales DIS USA, Inc. has adequate financial resources to perform the contract and the ability to
obtain those resources as identified in the Dun and Bradstreet Report. Thales has maintained a
record of compliance with the law, including labor and civil rights laws and rules and the First
Source Employment Agreement Act of 1984, effective June 29, 1984 (D.C. Law 5-93; D.C. Official
Code § 2-219.01 et seq.)
Pursuant to District's standards of responsibility, the contractor maintains the financial resources
and operational controls to fulfill the District's requirements. Thales has performed the required
driver's license credentialing services satisfactorily and continuously on earlier, similar contracts
over a period of eight years.
The contractor has been determined to be responsible based on the District's standards of
responsibility as prescribed in the 27 DCMR §2200.4.

(H) A summary of the subcontracting plan required under section 2346 of the Small, Local, and
Disadvantaged Business Enterprise Development and Assistance Act of 2005, as amended,
D.C. Official Code § 2-218.01 et seq. (“Act”), including a certification that the subcontracting
plan meets the minimum requirements of the Act and the dollar volume of the portion of the
contract to be subcontracted, expressed both in total dollars and as a percentage of the total
contract amount:
The solicitation required 35% certified business enterprise subcontracting. Thales DIS USA, Inc.
submitted a compliant subcontracting plan meeting the 35% requirement for a total subcontracting
amount of $4,797,590.00.
(I) Performance standards and the expected outcome of the proposed contract:
The contractor’s performance will be regularly and routinely monitored by the Department of
Motor Vehicles. The expected outcome of the contract is to have the contractor perform services to
the District in an efficient and cost-effective manner in accordance with the contract.
(J) The amount and date of any expenditure of funds by the District pursuant to the contract
prior to its submission to the Council for approval:
None
(K) A certification that the proposed contract is within the appropriated budget authority for the
agency for the fiscal year and is consistent with the financial plan and budget adopted in
accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:
The Agency Chief Financial Officer has provided a certification of the availability of funding for
the proposed contract modification.
(L) A certification that the contract is legally sufficient, including whether the proposed
contractor has any pending legal claims against the District:
The proposed modification was reviewed by the Office of the Attorney General and found to be
legally sufficient. There are no legal claims pending against the District.
(M) A certification that the Citywide Clean Hands database indicates that the proposed contractor
is current with its District taxes. If the Citywide Clean Hands Database indicates that the
proposed contractor is not current with its District taxes, either: (1) a certification that the
contractor has worked out and is current with a payment schedule approved by the District;
or (2) a certification that the contractor will be current with its District taxes after the District
recovers any outstanding debt as provided under D.C. Official Code § 2-353.01(b):
The Citywide Clean Hands database indicates that Thales DIS USA, Inc.is compliant with its
District taxes.

(N) A certification from the proposed contractor that it is current with its federal taxes, or has
worked out and is current with a payment schedule approved by the federal government:
Thales DIS USA, Inc. has certified that it is current with its federal taxes.
(O) A certification that the proposed contractor has been determined not to violate section 334a of
the Board of Ethics and Government Accountability Establishment and Comprehensive
Ethics Reform Amendment Act of 2011, D.C. Official Code § 1-1163.34a; and (2) A
certification from the proposed contractor that it currently is not and will not be in violation
of section 334a of the Board of Ethics and Government Accountability Establishment and
Comprehensive Ethics Reform Amendment Act of 2011, D.C. Official Code § 1-1163.34a:
Thales DIS USA, Inc. has certified, via the Bidder/Offeror Certification form, that it is (1) not in
violation of section 334a of the Board of Ethics and Government Accountability Establishment and
Comprehensive Ethics Reform Amendment Act of 2011, D.C. Official Code § 1-1163.34a; and (2)
