Dear Chairman Mendelson:
Pursuant to D. C. Official Code §2-352.02a, enclosed for consideration and approval by the Council
of the District of Columbia is proposed Modification No. 1 to Contract No. CFOPD-25-C-031 with
Harris & Harris, Ltd. to exercise option year one in the not to exceed amount of
$3,982,613.93. The period of performance is from August 21, 2026, to August 20, 2027.
Under the proposed modification, Harris & Harris, Ltd. shall continue to provide primary
collection services and an accounts receivable system for delinquent debt collections of non-tax
debts owed to the Government of the District of Columbia on behalf of Office of Finance and
Treasury (OFT).

COUNCIL CONTRACT SUMMARY
(OPTION)
Pursuant to Section 202(c-3) of the Procurement Practices Reform Act of 2010, as amended, D.C.
Official Code §2-352.02(c-3), the following contract option summary is provided:
(1) The proposed contractor, contract amount, contract term, and contract type:
x Prime Contractor: Harris & Harris, Ltd.
x Subcontractors: Toucan Printing & Promotional Products, Inc. and Trusted Solution
Group, Inc.
x Contract Amount: $3,982,613.93.
x Unit and method of compensation: United States Dollars (USD) in accordance with

x Contract Term: The contract has a base period of one (1) year with six (6) one (1) year
x option periods
x Contract Type: This is a Requirements Contract
(2) The identifying number of the underlying contract, including the identifiers assigned to the
underlying contract by the Council for the base period of the contract and any subsequent option
periods;
The Council of the District of Columbia approved the Base Year of Contract No. CFOPD-25-C-031
via CA26-0207 in the amount of $3,794,822.81.
(3) A statement indicating that the contracting officer determined through the Citywide Clean
Hands Database that the contractor is current with its District taxes or has worked out and is
current with a payment schedule approved by the District, or that the contracting officer will
offset any outstanding amount pursuant to D.C. Official Code §2-353.01(a)(9):
A Citywide Clean Hands check was performed on Harris & Harris, Ltd. and based on the results
provided the Contracting Officer has determined that Harris & Harris, Ltd. is current. The Clean
Hands compliance document is included in this Council package.
(4) A statement indicating that the proposed contract is within the appropriated budget
authority for the fiscal year and is consistent with the financial plan and budget adopted in
accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:

This memorandum is to certify that funding is ava ilable within the Office of the Chief Financial
Officer (OCFO) annual operating budget in the amount of $3,982,614 for Option Year 1. The vendor
will provide delinquent debt collection service s. The period of performance is August 21, 2026
through August 20, 2027.
The proposed contract will cross fiscal years. The FY2026 portion of 436,450.00 is within
the FY2026 Appropriated Budget. The FY2027 portion of 3,546,164.00 is contingent
upon the approval of the FY2027 Appropriated B udget.
The proposed contract is within the appropriated budget authority for the agency for the fiscal
year referenced. The proposed contract is consistent with the financial plan and budget that is
proposed for adoption in accordance with D.C. Code §47-392.01and §47-392.02.

FINDINGS

1. AUTHORIZATION:

D.C. Municipal Regulations Title 27 §3307 and D.C. Code §2-354.19

2. MINIMUM REQUIREMENTS:

The District of Columbia Office of the Chief Financial Officer, Office of Contracts, on
behalf of Office of Finance & Treasury (OFT) (the “District”) has a minimum requirement
for primary collection services and an accounts receivable system for delinquent debt
collection of non-tax debts owed to the Government of the District of Columbia (Scope A).
The District will ultimately convert to secondary collection services only (Scope B).

3. ESTIMATED REASONABLE PRICE AND REASONABLENESS
DETERMINATION:

The estimated contract total price is not to exceed $3,982,613.93.

(a) The cost of this contract is of a type generally recognized as ordinary and
necessary for the conduct of the contractor or the performance of the contract.
(b) This contract includes the restrain ts or requirements imposed by generally
accepted sound business practices, arms-length bargaining, federal and District
laws and regulations, and contract terms and specifications.
(c) This action is an action that a prude nt business person would take, considering
responsibilities to the owner of the business, employees, customers, the District,
and the public at large.
(d) There are no significant deviations from th e established practices of the contractor
that may unjustifiably increase the contract costs.
(e) There are no other relevant factor s that should be noted at this time.

4. JUSTIFICATION OF REASONABLENESS OF PRICE:
The Contracting Officer has performed an analysis to determine the reasonableness of the
price and the Contracting Officer has found that the price is fair and reasonable.
The Contracting Officer has compared prices of this contract with the independent
District cost estimate and competing prices and has determined the price to be fair and
reasonable.
5. CERTIFICATION BY CONTRACT SPECIALIST:
I hereby certify that to the best of my knowledge and belief, the above reasonableness
findings and cost price analysis are true and complete and the proposed Contractor’s
pricing is reasonable and in the best interest of the Government.

(b) the ability to comply with the required or proposed delivery or performance
schedule, taking into consideration all of its existing commercial and
government contract commitments, evidenced by the Contractor’s financial
history as reported by its financial statement prepared in accordance with
Generally Accepted Auditing Standards (GAAS) by a certified public
accountant dated April 14, 2026;

for Delinquent Debt Collection Services;
(d) a satisfactory record of integrity and business ethics, as depicted in their past
performance evaluation provided by the Office of Finance and Treasury
(OFT) on May 20, 2026, for the Contractor’s work under CFOPD-25-C-031
for Delinquent Debt Collection Services; and based on the Contractor’s
certification in Part 3 “Business Responsibility” of the OCFO Bidder/Offeror
Certification Form dated May 20, 2026;
(e) a satisfactory record of compliance with the law, including labor and civil
rights laws and rules, the First Source Employment Agreement Act of 1984,
effective June 29, 1984 (D.C. Law 5-9; D.C. Official Code §§ 2-218.01 et
seq.), the Small and Certified Business Enterprise Development and
Assistance Act of 2005, as amended (D.C. Official Code §§ 2-218.01 et seq.),
licensing, and tax laws as evidence by the Affirmative Action Agreement
approved by the Office of Human Rights (OHR) on April 25, 2025, the First
Source Employment Agreement approved by the Department of Employment
Services (DOES) on April 10, 2025, the active Basic Business License issued
on July 1, 2022, the Clean Hands compliance on May 20, 2026, and the
accepted SBE Subcontracting Plan dated May 14, 2026; despite two pending
actions: one filed on March 19, 2026 in the Superior Court of the District of
Columbia by a District resident alleging violations of consumer protection
law, and another filed on April 21, 2026 in the United States District Court for
the District of Columbia asserting similar claims as both matters remain
unresolved at this time.
(f) the necessary organization, experience, accounting, operational control, and
technical skills, or the ability to obtain them, evidenced by the Contractor’s
financial history as reported by its financial statement prepared in accordance
with Generally Accepted Auditing Standards (GAAS) by a certified public
accountant dated April 14, 2026;
(g) the necessary production equipment, construction equipment, technical
equipment and facilities or the ability to obtain them, evidenced by the
Contractor’s financial history as reported by its financial statement prepared in
accordance with Generally Accepted Auditing Standards (GAAS) by a
certified public accountant dated April 14, 2026;
(h) not exhibited a pattern of overcharging the District based on the past
performance evaluation provided by the Office of Finance and Treasury
(OFT) on May 20, 2026, for the Contractor’s work under CFOPD-25-C-031
for Delinquent Debt Collection Services;
(i) no outstanding debt with the District or the federal government in a delinquent
status of more than the greater of one thousand ($1,000) or one percent (1%)
of the contract value, up to twenty-five thousand dollars ($25,000) based on
the Contractor certifies in Part 6, Paragraph 6.7 of its OCFO Bidder/Offeror
Certification Form dated May 20, 2026 and based on the Clean Hands
compliance on May 20, 2026; and
