Dear Chairman Mendelson:
Pursuant to D.C. Official Code §1-204.51(b) (2) (A) and enclosed for consideration by
the Council of the District of Columbia is proposed firm fixed-price contract for
$6,965,450.00 with Chiaramonte Construction Company to provide construction services
for the renovation of Shaw/Watha T. Daniels Library in the Shaw neighborhood in
Northwest. This contract will enable the DC Public Library (DCPL) to better align library
services to the needs of the community and streamline patron experience for all age
groups by reconfiguring the entrance, staff service points, children’s and teens spaces.
The contract period of performance will be from the award date through October 31,
2026.

Chiaramonte is currently seeking three (3) contracts with the District of Columbia
Department of General Services for Construction Service and Design-Build.
Chiaramonte Construction Company currently has twenty-five (25) active contracts with
various District agencies to provide Design-Build and renovation services to District owned
and operated facilities. The contracts’ awards range from $995,000 to $72,000,000.
(G) The goods or services to be provided, the me thods of delivering goods or services, and
any significant program changes reflected in the proposed contract:
Chiaramonte Construction Company shall provide Renovation Services for the Shaw/Watha
T. Daniels Library. In accordance with th e contract, the Contractor shall provide all
submittals, permitting, materials, labor, util ity coordination, move services including any
offsite storage, supplies, equipment, and other services required to complete the Project.
(H) The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price, technical or quality, and past performance
components:
Request for Proposals (RFP) No. DCPL-2025- R-0042 was issued on August 18, 2025, in a
set-aside market. DCPL intended to award a si ngle contract from this solicitation to the
responsible contractor whose offer conforming to the solicitation was most advantageous to
DCPL, cost or price, technical, and other factors specified elsewhere in the RFP considered.
A pre-proposal conference followed by a walk-through at the site was held on August 28,
2025 allowing prospective offerors to see the project location and its current condition.
There were four (4) amendments issued:
1. Amendment No. A01 issued on August 22, 2025 to revise Section L.2; Mandatory Pre-
Proposal Conference and Site Walk.
2. Amendment No. A02 issued on August 29, 2025 to provide prospective Offerors with
sign-in sheets, pre-proposal presentation and 2009 Shaw Library As-Builts.
3. Amendment No. A03 issued on September 15, 2025 to provide responses to the questions
received and extend the closing date to October 6, 2025.; and

4. Amendment No. A04 issued on October 2, 2025 to provide responses to additional
questions received, provide Partition Types and Details and to extend the closing date to
October 10, 2025.
On the RFP closing date of October 10, 2025, five proposals were received in response to the
RFP.
1. CAP16 Construction
2. Bennet Group
3. Winmar, Inc.
4. Chiaramonte Construction Company
5. WKM Solutions
Two (2) of the five (5) proposals were deemed responsive:
1. Chiaramonte Construction Company; and
2. Winmar, Inc
The Office of Procurement sent the Conf identiality Agreement, Disclosure form,
Evaluation Plan, Scoresheets, and the two prop osals to the pre-selected members of the
Technical Evaluation Panel (TEP). No c onflict of interest was found among the TEP
members.
The TEP was instructed to review the technical proposals in accordance with Section M.2
of the RFP. The technical proposals shall be evaluated using a 60-point scale with point
values allocated as follows:

Factor 3 - Resumes: PM & Superintendent 20 points
The TEP consensus meeting was held on November 12, 2025. At the conclusion of the
consensus meeting, the TEP agreed on the following technical scores for the two offerors. See
Table 1 below which summarizes the outcome of TEP scoring without price points (maximum
60).

TEP EVALUATION SUMMARY FOR EACH OFFEROR
Chiaramonte Construction Company
Factor 1: Past Performance and Reference
Schools (Ballou Senior and Smothers Elementa ry) and the Woody Ward Recreation Center
are relevant and similar typology of projects to Libraries. The photos of the construction work
(both interior and exterior – although not relevant to Shaw as there is no exterior scope)
demonstrate high construction quality. The Re c Center size (24,000SF) and cost ($8.3M) is
similar in scale to the Shaw Renovation project. All projects were completed within the past
five (5) years.
The school projects mentioned were both Joint Venture projects with other construction
firms, but those projects were in $150M & $56.5 M, much larger projects and unclear what
portion of that cost was allocated for CCC to perform.
The Past Performance Evaluation Forms (PPEF) for the projects CCC performed are
generally categorized as 'Excellent' & 'Good'. Projects show experience with managing
construction management projects both Design-Build and CMAR, which inform their ability
to coordinate well with the Design Team which will be crucial on this project as it needs to
operate and coordinate as a Design-Build Team set up from the start, and have a strong
working relationship. PPEFs also show experience in the local subcontracting market, historic
building renovation, modernization and building systems.
Regarding the PPEFs provided, although three were submitted, only one, Woody Ward
Rec Center was submitted for Factor 1. The projects submitted were generally fulfilled scope
and delivered on time, unless there were Owner directed change orders.
Factor 2: Project Approach
Project schedule is reasonable and logi cal. The Team included a thorough schedule
seeming to demonstrate a high level of unde rstanding regarding the project documents.
Project schedule was very thorough and organized by floor and construction sequencing; the
approach demonstrates an understanding of ho w DCPL functions and is responsive to the
need for minimizing disruption. The schedule pro vided also aligns with an end of October
substantial completion crucial for the project funding requirements. Project approach section
includes a thorough & credible approach to Construction Quality, Bidding &
Permits/Schedule. Overall, the Team has submitted a strong technical proposal, that is also
visually robust with the key information presented in an easy-to-read
format.
Factor 3: Resumes: PM & Superintendent
Ahmad Darwish, the listed Project Manager, has 15+ years of experience (4 years at
CCC) and has worked on projects comparable, in the size and scope to the Shaw renovation

including the Center City Makerspace ($9M and 12,000 SF) and Stratford Middle School
($27.2M & 30,000 SF). The performance evaluation for the Makerspace Renovation noted
that the project was delivered on time and within budget with an excellent overall
evaluation. The PM has experience with all phases of construction from initiation to
completion; is a certified PM for Procore to track progress, document project progression
and keep all project information updated and readily available with the Owner.
The PM did not work on any of the projects that were submitted in response to the first
Factor. Out of the xx PPEFs submitted, Ahmad was listed as the PM on only one project -
the Center City Makerspace. This evaluation from the Owner showed excellent scores in
each of the five categories which demonstrates PM could have the ability to lead the Shaw
project. The project was completed on time and within budget.
The Superintendent, Paul Chiaramonte has 27+ years' experience (18+ years at CCC).
Superintendent’s experience includes providing high-quality commercial, federal and
government construction projects with many projects in DC. Projects listed are mainly DB
projects and range in costs from $9.5M to $24M. Although the resume includes a
Superintendent role on the Old Miner Early Learning Center Renovation project, the PPEF
submitted by the Owner listed two project managers and no Superintendents were listed.
The project was completed on time and received four excellent ratings by the Owner. The
Superintendent did not work on any of the projects that were submitted in Factor 1.
Winmar Inc.
Factor 1: Past Performance and Reference
A total of five projects were submitted for this factor.
The project photos submitted for both Hitchcock Hall & MGA were not compelling. It is
very difficult to decipher the construction qua lity from the photos for these two of the
projects.
The Hitchcock Hall project is relevant to the Shaw renovation project with interior
millwork, architectural finishes, structura l repairs and MEP scopes of work. The project
doubled in duration and change orders added to the cost of the project but the PPEFs
confirmed they were due to Owner reques ted changes & unforeseen conditions. On the
PPEFs, the Owner rated it generally as ‘excellent’ & ‘good’. This HH project was completed
more than five years ago (August 2017 – March 2020).
The MGA project increased in cost but due to Owner requested changes as stated in the
PPEF. This project took 5 months longer than the original duration (as stated in project page,
discrepancy with PPEF) but unclear if directly related to the Owner requested change. This
project is not relevant or compelling. This project shows two photos both of exterior work
and ground up construction which Shaw library has no civil nor exterior building work and
is a renovation project. Unclear why this proj ect was chosen to showcase this Teams
portfolio. The PPEF for this project does have excellent ratings from the Owner.

The Crossvines project is not relevant but very compelling and the completed work looks
of high quality. Project showcases more exterior work and does not highlight the similarities
to the Shaw renovation project. Project also took longer than originally anticipated. The
PPEF had mainly excellent ratings from the Owner. Project costs increased but due to Owner
requested changes as per the PPEF.
The Paralyzed Veterans of America is relevant and has pictures that showcase the quality
of work on conference rooms, lobby, acoustic ceilings, millwork and flooring. This project
was a full interior tenant fit out. Project was completed within original schedule but
overbudget, but as per the PPEF, this was due to Owner requested changes. The PPEF ratings
for this project were all excellent.
The American Express Centurion Lounge is rele vant and has pictures that showcase the
quality of work on stairs, millwork and flooring. Project scope of work included conference
room, restrooms, and acoustic workspaces. Project duration increased by almost 12 months
and the cost of work increased by roughly $3M but unclear if this was due to Owner requested
changes. No PPEF was submitted for this project.
Generally, most of the projects had a delay in schedule and an increase in cost of work,
although the accompanying PPEFs stated they were all due to Owner requested changes. It
is unclear what the delivery methods of each of the projects were.
Factor 2: Project Approach
The project schedule shows that the project ca n be completed within the substantial
completion deadline. The project schedule provi ded was only one page. Project schedule
lumped all three levels of work into one and didn’t convey an unde rstanding of the project
complexities or demonstrated any effort to in translating the project documents into a realistic
project schedule. Project approach did include budget discipline, cost control and QA/QC
information regarding Winmar’s approach.
Factor 3: Resumes: PM & Superintendent
Robert Dawkins, listed as the Project Manager, has 17+ years' experience but unclear how
many years he has been with Winmar. The PM’s bio on the resume lists more experience
with horizontal infrastructure than vertic al, which mentions experience in site work,
roadway, asphalt and trail construction, and recreational amenities which are not relevant to
the scope of work to the Shaw renovation project. It is unclear if the PM has the experience
to lead and deliver this renovation project to completion. Most of the projects listed on the
resume were projects in Factor 1 with an addition of two schools which were relevant
renovation projects. Robert Dawkins is listed as the Superintendent on all the PPEFs
submitted in Factor 1 alongside the Steve To wnsend which could lead to project synergies
during construction.
Steve Townsend is listed as the Superintendent with over 30+ years' experience but unclear
how many have been with the current company. Project experience includes projects in DC

with extensive experience interior build-out and renovation experience relevant to the Shaw
project. Most of the projects listed on the resume were submitted projects in Factor 1 with
an addition of two schools which were relevant renovation projects. Steve Townsend is listed
as the Superintendent on all of the PPEFs subm itted in Factor 1 alongside Robert Dawkins
which could lead to project synergies during construction.
The selected resumes for the PM, Project Engineer and Field Superintendent had the same
exact projects listed in the selected relevant experience as well as the Project Executive in all
but one project. Cassandra White, Edwin Villeg as and Ranga Peruri were not evaluated for
this Factor.
Based on the TEP evaluation and assessment, Chiaramonte Construction Company is
the top-ranked among the two (2) offerors.
Procurement Officer Independent Assessment
The Contracting Officer (CO) conducted a review of the proposals and examined the TEP’s
individual scoresheets and evaluations and found that they are in line with the Contracting
Officer Independent Assessment (COIA).

With the addition of the Technical Score (Table 2), Price Score (Table 3), and CBE Preference
Points, Chiaramonte Construction Company recei ved the highest score of 95. See Table 4
below.

The CO concluded that the top-ranked off eror, Chiaramonte Construction Company,
exceeded the requirements of the RFP. The CO reviewed the price proposal and determined
that Chiaramonte’s price was fair and reasonable comp ared to the other Offeror price
submitted in response to the solicitation. Based on these findings, it was determined that the
proposed contract in the amount of $5,340,500.00 for Construction Renovation Services shall
be awarded to Chiaramonte Construction Company, the highest ranked offeror, whose offer
is most advantageous to the District, base d upon the evaluation criteria specified in the
solicitation.
Letter Contract
On March 4, 2026, the DCPL CPO entered into a Letter Contract (LC) with Chiaramonte
Construction Company in the amount of $990,337. That amount allowed the Contractor to
proceed with a portion of the construction service s to get the project started to allow DCPL
and the Contractor to adhere the schedule propo sed and established. For these services, the
Letter Contract was less than $1M and did not require Council approval.
(I) A description of any bid protest related to the award of the contract, including whether
the protest was resolved through litigation, withdrawal of the protest by the protestor,
or voluntary corrective action by the District. Include the identity of the protestor, the
grounds alleged in the protest, and any deficiencies identified by the District as a result
of the protest:

(J) The background and qualifications of th e proposed contractor, including its
organization, financial stability, personnel, and performance on past or current
government or private sector contracts wi th requirements similar to those of the
proposed contract:

Chiaramonte Construction Company based in Washington, DC, a Certified Business
Enterprise (CBE) has over twenty-five years of experience in the construction industry;
specializing in new construction and remodeling of commercial, municipal, and government
building in the District of Columbia. Chiaramont e personnel are well qualified with over 15
years of experience successfully delivering comparable projects on time and within budget
with excellent evaluations. Chiaramonte has a bonding capacity on individual projects of over
$75,000,000, and a total program capacity of over $250,000,000.
Chiaramonte Construction Company past and current contracts include: 1) Petworth Library;
2) Smothers Elementary School; and 3) Center City Makerspace renovation. In addition,
Chiaramonte’s Certificate of Clean Hands dated April 1, 2026 indicates that the Contractor
has complied with all of the filing requirements of the District tax laws and there’s no
information pertaining to the company being either suspended or debarred, and DCPL has no
information to the contrary.
(K) A summary of the subcontracting plan required under section 2346 of the Small, Local,
and Disadvantaged Business Enterprise Deve lopment and Assistance Act of 2005, as
amended, D.C. Official Code § 2-218.01 et seq. (“Act”), including a certification that the
subcontracting plan meets the minimum requirements of the Act and the dollar volume
of the portion of the contract to be subcontracted, expressed both in total dollars and as
a percentage of the total contract amount:
Chiaramonte Construction Company is a small business enterprise certified by the
Department of Small and Local Busi ness Development. Chiaramonte s ubmitted a
subcontracting plan with a 35% SBE set-aside with a total dollar amount of $1,665,915.00
(Chiaramonte will be self-performing 13% of the total dollar amount ($686,900.00). The
Contractor Officer has determined that the plan meets the Department of Small and Local
Business Development subcontracting requirement.
(L) Performance standards and the expected outcome of the proposed contract:
Chiaramonte Construction Company shall provide renovation services to the Shaw/Watha T.
Daniels Library in accordance with the terms and conditions of the contract. The performance
standard is 100% delivery of all gods and services to the satisfaction of the DCPL.
(M) The amount and date of any expenditure of funds by the District pursuant to the
contract prior to its submission to the Council for approval:

Chiaramonte Construction Company has certified, via the Bidder/Offeror Certification form,

The contract action has been determined by the DCPL General Counsel’s Office to be legally
sufficient. Chiaramonte Construction Company has no pending legal claims against the
District.

contractor is current with its District taxe s. If the Citywide Clean Hands Database
indicates that the proposed contractor is not current with its District taxes, either: (1) a
certification that the contractor has worked out and is current with a payment schedule

Of this certification for $6,965,450:
x $990,337 has been obligated on PO738269, as part of a letter contract; and

This certification is fully funded under Proj ect 100347 – General Improvement – Libraries,
under the ARPA Capital Project Funds (CPF) Award (Fund 3035361).

NOTICE TO PROCEED AND LETTER CONTRACT
Dear Mr. Chiaramonte:
We refer to the proposal submitted by Chiaramonte Construction Company (“CCC”) in response
to Request for Proposals (RFP)/Solicitation No. DCPL-2025-R-0042 for Construction
Services for the Renovation of Shaw/Watha T. Daniels Library. This Letter Contract will serve
as a notice to proceed with the work described herein upon acknowledgment by CCC and
execution by the DC Public Library’s Contracting Officer. This notice to proceed is subject to
the following terms:
1. Letter Contract. This is a Letter Contract between CCC and the District of Columbia
government, acting by and through the District of Columbia Public Library (“DCPL” and
collectively with CCC, the “Parties”) and shall govern our relationship until a final
contract is entered into for the work described in the above referenced RFP (the
“Definitized Contract”), provided, however, that to the extent an issue is not covered in
this Letter Contract, the RFP, as amended shall govern. Once the Definitized Contract is
signed, this Letter Contract shall automatically merge into the Definitized Contract.

2. Scope of Work - Following issuance of the Notice to Proceed, CCC is hereby authorized
to proceed with all work necessary within ninety (90) calendar days of contract award as
described in the RFP and all subsequently issued Amendments noted in Section 12 of this
letter contract, to include:

3. Not-to-Exceed Amount. In no event shall CCC be entitled to receive more than
$990,337.00.00 (Nine Hundred Ninety Thousand Three Hundred and Thirty-Seven
Dollars) under this Letter Contract in accordance with the Contractor’s proposal dated
September 18, 2025, Response to Request for Proposal and Form of Offer Letter dated
October 10, 2025. In no event shall the Contractor be paid more than this amount unless
the Contractor is authorized to exceed this limit in advance and writing by the DCPL’s
Contracting Officer.

4. Insurance. While working under this Letter Contract, CCC shall maintain the insurance
specified in Section I.8 of the RFP, as amended. All such policies shall be endorsed to
add the Government of the District of Columbia as an additional insured.
5. Duration. This Letter Contract shall become effective on the date signed by the DCPL
Contracting Officer and expire on the date the Definitized Contract becomes
effective. DCPL reserves the right to terminate this Letter Contract, in whole or specified
part, for convenience in accordance with the DCPL Standard Contract Provisions issued
with the RFP, as amended.
6. Contract Administrator (CA)/Project Manager (PM)

The above-listed DCPL employee is appointed as the CA/PM for this Letter
Contract. The CA/PM shall serve as the day-to-day point of contact and be responsible
for matters of a technical nature. Please note, however, that the CA/PM has no authority
to alter the terms of this Letter Contract, authorize additional expenditures, or extend
schedule dates. Only a duly authorized Chief Procurement/Contracting Officer for DCPL
has the authority to take such action. As of the date this Letter Contract is executed,
DCPL’s duly authorizing Contracting Officer is Tornia Harrison-Samuels. If DCPL
changes the duly authorized Contracting Officer, the Contractor will be notified within
ten (10) business days.
7. Billing/Payment. Unless otherwise agreed, payment for services will be made monthly
or as specified in the contract. The Contractor shall create and submit payment
requests/invoices electronically through the DC Vendor Portal, with a concurrent copy
with the necessary backup submitted via email to the CA/PM listed in Section 6.

7.1 To constitute a proper invoice, the Contractor shall enter all required information
into the Portal after selecting the applicable Purchase Order Number listed on the
Contractor’s profile. Click on the Purchase Order Number and follow the
instructions for creating an invoice. Invoices shall be paid within thirty (3) days
from the date received in the DC Vendor Portal. Invoices not paid within thirty
(30) days will bear interest in accordance with the Quick Payment Act. The content
of the Quick Payment Act can be found in the DC Vendor Portal. The Contractor
can also check the payment status of their invoices via the DC Vendor Portal.
7.2 For assistance with the above procedures, the Contractor shall contact the DC
Vendor Portal help desk at (202) 741-5200 between 9:00 a.m. and 5:00 p.m. EDT
(Monday through Friday).
8. Purchase Order. The DCPL Office of Procurement will issue a purchase order with this
Letter Contract and forward a copy of that purchase order for your records. All future
invoices and accounting records should include the purchase order number.
9. Indemnification.
9.1 The Contractor shall indemnify and sa ve harmless the Government and all of its
officers, agents, and servants against any and all claims or liability arising from or
based on, or as a consequence or result of, any act, omission or default of the
Contractor, his employees, or his subc ontractors, in the performance of, or in
connection with, any work required, con templated or performed under the Contract
provided that such claim or liability is attributable to bodily injury, sickness, disease
or death, or to injury to or destruction of tangible property (other than the Work
itself), but only to the extent caused by the negligent acts and/or omissions of the
Contractor, a Subcontractor, anyone directly or indirectly employed by them or
anyone for whose acts they may be liable.
9.2 Disputes between the Contractor and any subcontractors, material suppliers, or any
other third parties over payments allegedl y owed by the Contractor to a third party
shall be resolved exclusively between the Contractor and the third party; the
Contractor shall permit no pass-through su its to be brought against the Government
by a third party in the Contractor’s name. However, nothing herein shall be construed
to prevent the Contractor from paying a subcontractor’s claim and seeking a timely
equitable adjustment hereunder.
10. Waiver. No Governmental waiver of any breach of any provision of the Contract shall
operate as a waiver of such provision or the Contract or as a waiver of subsequent or other
breaches of the same or any other provision of the Contract, nor shall any action or non-
action by the Contracting Officer or by the Government be construed as a waiver of any
provision of the Contract or any breach thereof unless the same has been expressly declared
or recognized as a waiver by the Contracting Officer or the Government in writing.

11. Entire Agreement; Modification. This Letter Contract supersedes all contemporaneous
or prior negotiations, representations, course of dealing, or written or oral agreements. No
modifications to this Letter Contract shal l be effective against DCPL unless made in
writing and signed by a duly authorized Cont racting Officer for DCPL. Nothing herein
shall limit DCPL’s ability to unilaterally modi fy this Letter Contract in accordance with
the changes clause in the Standard Contract Provisions.
12. Order of Precedence: The following documents are hereby incorporated and made a part
of this Letter Contract in the following order of precedence.

contract and that the Offeror will not be permitted to exceed the General Conditions Budget for General

The Offeror’s Proposal is based on and subject to the following conditions:
1. The Offeror agrees to hold its proposal open for a period of at least one-hundred and twenty calendar days
after the date of proposal submission.
2. Assuming the Offeror is selected by DCPL and subject only to the changes requested in paragraph 5, the
Offeror agrees to enter into a contract with DCPL on the terms and conditions described in the Bid
Documents within ten (10) business days of the notice of the award.
3. Both the Offeror and the undersigned represent and warrant that the undersigned has the full legal authority
to submit this bid form and bind the Offeror to the terms of the Offeror’s Proposal. The Offeror further
represents and warrants that no further action of approval must be obtained by the Offeror in order to
authorize the terms of the Offeror’s Proposal.
4. The Offeror and its principal team members hereby represent and warrant that they have not:
(i) colluded with any other group or person that is submitting a proposal in response to the RFP in order to
fix or set prices;

3. Allowance of $50,000.00 carried for Building Permit Fees, including permit expeditor.
4. Reference specification section 015200, 3.13 Temporary Utilities. Temporary power will be tapped off the
existing electrical service and equipment. DCPL has a current account with Pepco that will remain active. As
such, we do NOT include any temporary power consumption charges for the construction project. We will
provide necessary temporary lighting, power distribution, etc as required, from the existing service.
5. Wall Protection/corner guards were not found on the drawings and are NOT included.
6. Reference Addn #3, Question and Answer #13- Access Control, CCTV and Intrusion Alarm stated by RFI to be
provided by others (JCI); including to systems, cable, devices, and raceways.
7. Existing cable to be re-adjusted/relocated are assumed to be working, if they are not there will be an additional
cost to replace.
8. Based on the answers to Addn #3, QA #8 and Addn #4, QA #14, we assume that the move management work,
including packing/crating of items to be moved, transport to storage location, storage location rental costs,
transport back to jobsite, depacking, and installation, are all covered by the Owner Specified $800,000.00

9. We include an Allowance of $40,000 for HVAC system controls work. Reference the response to Addn 4,
question 15, RSC Mechanical has informed us that they are NOT the Controls vendor for the project. The
requirements will be coordinated and priced once the name of the existing controls vender is known.
10. First sprinkler modifications included as required to provide code compliance system, and not necessarily per the
Addendum 4, QA #2 response that requires temporary turned up heads during construction and demolishing of
existing branch piping back to the mains.
11. We have included an Allowance of $10,000 for miscellaneous roof repairs, including sealing of any new roof
penetrations required for the scope of work.

Section1.1.RelationshipofParties,TheContractoracceptstherelationshipoftrustand confidence establishedwith DCPL by thisAgreement, and covenants with DCPL to furnish
theContractor'sreasonableskillandjudgmentandtocooperatewiththeProjectLeadinfurtheringtheinterestsofDCPL.TheContractorshalluseitsbesteffortstoperformtheProjectinanexpeditiousandeconomicalmannerconsistentwiththeinterestsofDCPL.DCPLshallendeavortopromoteharmonyandcooperationamongDCPL,Contractor,ProjectLead,andotherpersonsorentitiesemployedbyDCPLfortheProject.NothingcontainedinthisAgreementisintendedtocreatea fiduciaryrelationshipbetweentheParties.

Section 1.3Project Manager & Contract Administrator.Mr.DanielChapman will
provideprogrammaticandtechnicaldirectionsandshallactasDCPL'sprincipalrepresentativeintheexecutionofthisproject.
However,theContractoracknowledgesthattheProjectLeadisnotauthorizedtomodifyanyoftherightsorobligationsofDCPL,ortoissueChangeOrdersorChangeDirectives.TheContractorherebyacknowledgesandagreesthatonlyadulyauthorizedContractingOfficershallhavetheauthoritytoissueChangeOrdersorChangeDirectivesonDCPL'sbehalf.As of the date that this Agreement is signed, DCPL's duly authorized Contracting
OfficerisTorniaHarrison-Samuels.
IfDCPL changes the dulyauthorizedContractingOfficer,itwillnotifythe Contractorinwritingwithin

Section 1.5 Representations. Alldisclosures,representations,and certificationsthe
Contractormade initsproposalinresponsetotheRFP shallremainbindingand ineffect
throughout the term of the Contract.The Contractorreaffirmsthat allsuch disclosures,
representations,and certificationsare trueand correct.
Ifanydisclosure,representation,orcertificationtheContractorhasmadeormakespursuanttotheRFPortheContract,including,withoutlimitation,representationsconcerningtheContractor's

AtalltimesandduringtheConstructionPhases,theContractorshallberesponsibletoDCPLforanyandallactsandomissionsoftheContractor'sagents,employees,Subcontractors,Sub-Subcontractors,materialsuppliers,and laborers,andtheagentsandemployeesoftheSubcontractors,Sub-Subcontractors,materialsuppliers,andlaborersperformingorsupplyingworkinconnectionwiththeProject.
ThetermsandconditionsofSection1.5shallapplyduringallphasesoftheProject.
Section1.6Schedule,SubjecttotheExcusableDelayprovisions(seeSection4.15)ofthisAgreement,theContractoragreestosubstantiallycompletetheProjectinaccordancewiththeProjectScheduletobedevelopedjointlybetweenDCPLandContractor.
SubstantialCompletion shallmean thatalofthefollowinghave occurred:
(1)ThestageorprogressoftheworkoradesignatedportionoftheworkissufficientlycompleteinaccordancewiththeapprovedcontractdocumentssoDCPLcanoccupyorusethespacesforitsintendedpurposes.Bysufficientlycompleteitmeansthatonlyminorpunchlistitems remain to be completed. Minor punch listitems are itemsof work included inthe
approvedcontractdocumentsthatareunfinishedorincompleteandrequirereplacementorrepairor additionalattentionto achieve an acceptable levelof quality.Punch listitems will
becompletedin60calendardaysfromreceivingcertificateofoccupancy,unlesssubjecttocircumstances outsideof Contractor'scontrol.
Note:Generally,workthatwasincludedintheapprovedcontractdocumentsthathavenotbeen installedat allare not partofa punch list.
(2)Anyandallrequiredpermitsorapprovalsrelatedtothework,oraportionoftheworkhavebeenobtained,includingacertificateofoccupancyunlesssaidpermitsandapprovalshave
notbeenobtainedforreasonsbeyondthereasonablecontroloftheContractor.
(3)Allclean-uprequiredbytheContractDocumentshasbeencompleted;and

Section4.10SubcontractingandAdministration,ItiscontemplatedthatallorsubstantiallyalloftheProjectconstructionwillbecarriedoutbytradeSubcontractors.ThetradesubcontractorswillbeunderwrittencontractwiththeContractor.AllsubcontractsandagreementsforthesupplyofequipmentormaterialsawardedbytheContractorfortheProjectshallbefixed-pricecontractsunlessotherwiseexpresslyauthorizedbyDCPL,inwriting.
TheContractoranditsaffiliatesmaycarryouttradeworkwithitsownforceswithoutDCPL'swrittenpermission,whichpermissionmaynotbeunreasonablywithheldorconditioned.
InadditiontotheopenbookreportingrequirementsetforthinSection4.14,theContractorshallprovidetoDCPLacopyofallquotesorproposalssubmittedbypotentialSubcontractors.TheContractorshalldevelopa purchasingstrategytoaddresstheexpeditedscheduleandconditionsofthisProjectandshallincludeappropriateprovisionsinthesubcontractstominimizethecostimpactassociatedwithsuchconditions.Such‘strategiesmay include,but are not limitedto:
(i)_ obtainingfromsubcontractor’sunitpricequotesfortypicalcoordinationitems;
(ii)settingasideallowancesforcoordinationwork;(ii)suchothertechniquesasmaybeemployedbytheContractor;and(iv)awardingearlydesign/assistsubcontractstokeytrades.
The Contractorshallcarefullydocumentitsproceduresformakingavailablebidpackagesto
potentialbidders,thecontentsofeachbidpackage,discussionswithbiddersatanypre-bidmeetings, bidders' compliance with bid requirements, all bids received, the Contractor's
evaluationsofallbids,andthebasisfortheContractor'srecommendationastowhichbiddersshould be chosen. DCPL shallbe afforded access to allsuch records at allreasonable times so
that,amongotherthings,itmayindependentlyconfirmtheContractor'sadherencetoallContractrequirementsincluding,withoutlimitation,affirmativeactionrequirementsandsubcontractingrequirements.TheContractoriscautionedtotakeparticularcareinthebiddingstagetoensurefullcompliancewithallFirstSourceRequirementswhicharestatutoryandcannotbewaivedbyDCPL.
DCPLmay,initssolediscretion,rejectanyorallbidsandproposalsreceivedforanybidpackage,andmayrequiretheContractortoobtainneworrevisedbidsorproposals.IfDCPLchoosesthisoption,itshallissueachangeordermodifyingtheGMP inanappropriateamountandextensionoftime.
DCPLmay,initssolediscretion,directtheContractortoacceptabidfroma qualifiedbidderotherthanthebiddertowhomtheContractorrecommendsawardofasubcontractorsupplyagreement.IfDCPLchoosesthisoption,itshallissueaChangeOrdertotheContractorforanydifferencebetweenthecostofthesubcontractorsupplyagreementawardedandthebidpriceoftheSubcontractororsupplierrecommendedbytheContractor.
DCPLmustapproveallSubcontractorsandsuppliers,approvalsshallnotbeunreasonablywithheldandshallbeprovidedwithinseven(7)calendardaysofContractor'swrittenrequest.
DCPLmayelecttoreviewtheformofanysubcontractoragreementwithamaterialsuppliertoensurethatsuchcontractincorporatesthecontractualprovisionsrequiredbythisAgreement.

Section4.11Payments toSubcontractors and Suppliers.Within seven (7)days of
receivinganypaymentfromDCPLthatincludesamountsattributabletoworkperformedormaterialsorequipmentsuppliedbyaSubcontractororsupplier,theContractorshalleither(1)paytheSubcontractororsupplierforitsproportionateshareoftheamountpaidtotheContractorfortheSubcontractor’sorsupplier'sworkormaterialsorequipment,or(2)notifyDCPLandtheSubcontractororsupplier,inwriting,oftheContractor'sintentiontowithholdallorpartofthepaymentandstatethereasonforthewithholding.
AllmoniespaidtotheContractorundertheAgreementshallbeusedfirsttopayamountsdueto.SubcontractorsorsupplierssupplyinglaborormaterialsfortheProjectandonlymoneyremainingaftersuchpaymentsaremademaybeusedforotheritemssuchastherequiredfeefortheinspectionrequirementsofthepermit.
MoniespaidbyjointcheckshallbedeemedtohavebeenpaidfullytotheSubcontractororsuppliernamedasa jointpayee,unlessDCPLagreesotherwiseinwriting.Anyinterestpaidto‘SubcontractorsorsuppliersbecausetheContractor,despitehavingreceivedtimelypaymentbyDCPL,hasfailedtopaythemintimelyfashionshallnotbereimbursableaspartoftheCostofthework.
TheContractorshallnotenterintoanyprofitsharing,rebate,orsimilararrangementwithany‘SubcontractororsupplieratanytierwithrespecttotheProjectortheworktobecarriedoutfortheProject.Earlypaymentdiscountstosuppliersandsubcontractorareexemptedfromtheoperationofthisprovision.
TheContractorshallnotsubstituteorreplaceanySubcontractororsupplierapprovedbyDCPLwithoutDCPL'spriorwrittenconsent,whichconsentshallnotbeunreasonablywithheld.DCPLhastherighttocontactSubcontractorsorsuppliersatalltiers,ormaterialorequipmentsuppliersdirectlytoconfirmamountsdueandowingtothemoramountspaidtothemforworkontheProject,andtoascertainfromtheSubcontractorsorsuppliersatalltierstheirprojectionsofthecosttocompletetheirworkortosupplytheirmaterialorequipment,ortheexistenceofanyclaimsordisputes.IndoingsoDCPLshallnotissueanydirectionstoSubcontractorsorSuppliersatanytier.
Section4.12KeyPersonnelandOtherStaffing,InadditiontoprovidingKeyPersonneldiscussedinSection4.8(8)andasupdatedbyContractorintheproposal,DCPLshallhavetheright,tobeexercisedinitsreasonablediscretion,toremove,replaceortoreducethescopeofservicesoftheContractorintheeventthatamemberoftheKeyPersonnelhasbeenremovedorreplacedbytheContractorwithoutthepriorwrittenconsentofDCPL.
IntheeventDCPLexercisestherighttoremove,replaceortoreducethescopeofservicesoftheContractor,DCPL shallhave the righttoenforce the terms ofthisAgreement and tokeep-in-place
thosemembersoftheContractor'steamnotremovedorreplacedandtheremainingmembersshallcomplete the services required under thisAgreement inconjunctionwiththe new members

oftheContractor'steamapprovedbyDCPL.
InadditiontoKeyPersonnel,theContractorshallemployontheProjectonlythoseemployeesandSubcontractorswhowillworktogetherinharmonyandwhowillcooperatewithoneanotherontheProject.TheContractorshalllenforcestrictdiscipline,goodorderandharmonyamongitsemployeesanditsSubcontractorsandshallremovefromthesiteanypersonwhoisunfitfortheworkorfailstoconductthemselfinaproperandcooperativemanner.
IfDCPLrequeststheremovalofanypersonasunfitorashavingbehavedinappropriately,theContractorshallpromptlycomply.DCPLexpresslyacknowledgesthatanysuchremovalmayresultindelays.
Section4.13Warranty.TheContractorwarrantstoDCPLthatmaterialsandequipmentfurnishedundertheContractDocumentswillbeofgoodqualityandnewunlessotherwiserequiredorpermittedbytheContractDocuments,thatfortheone(1)yearperiodfollowingtheSubstantialCompletionDatetheconstructionworkwillbefreefromdefectsnotinherentinthequalityrequiredorpermitted,andthattheworkwillconformtotherequirementsoftheContractDocuments.TheContractor'swarrantyexcludesremedyfordamageordefectscausedbyabuse,modificationsnotexecutedbytheContractor,improperorinsufficientmaintenance,improperoperation,ornormalwearandtearandnormalusage.
A representativeoftheContractorandarepresentativeofDCPLshallwalktheProjecttogethereleven(11)monthsaftertheSubstantialCompletionDatetoidentifyanynecessarywarrantywork.
Inaddition,theContractorshallprovideDCPLwithawrittensummaryofanymaterials,equipmentandsuppliesprovidedunderthiscontractthathavemanufacturerorinstallerwarrantiesinexcessofoneyear.TheContractorshallprovideDCPLwiththerelevantwarrantydocumentsandensurethatallthird-partywarrantydocumentsname DCPL asthebeneficiary.
Section4.14OpenBookReporting,TheContractorshallmaintainan“openbook,"thatallowsDCPLoritsconsultantsaccesstotheContractor'sanditsSubcontractorsandmaterialsuppliersinvoices,purchaseorders,ChangeOrderestimates,recordsforSelf-Performedwork,andotherrelevantdocumentationandsourcesofinformationconcerningtheworkorcosts.DCPLshallnotuseitsaccesstotheSubcontractorstogiveinstructionsordirectionstothem.AllinstructionsordirectionsshallbegivenonlytotheContractor.
Section4.15 Delay
Section4.15.1TheContractorwillperformtheworksothatitshallachieveSubstantialCompletion by the Substantial Completion Date. Unless the failureto achieve Substantial
CompletionbytheSubstantialCompletionDateisaresultofanExcusableDelay,asdefinedinSection4.20.2etseg.
Section 4.15.2The delayshallbe deemed Non-Excusable,and the Contractorshallnot
be entitledtoan extensionoftime.
Withoutlimitingthegeneralityoftheforegoing,delaysforthefollowingreasonsshallberegardedasNon-ExcusableandshallnotentitletheContractortoanextensionoftime:
(1)Delaysduetoobsitelabordisputes,workstoppages,orsuspensionsofworkunlessdirectedorrequiredbyDCPLoranygovernmentauthority;Page10of48
(2)Delaysduetoweather,unlesstheContractorestablishesthattheadverseweatherwasofanatureanddurationinexcessofaveragesestablishedbydatafromtheU.S.DepartmentofCommerce, NationalOceanic and Atmospheric Administrationforthe Projectlocaleforthe
five(5)yearsprecedingtheeffectivedateoftheContract.Forpurposesofthisclause,weathershallonlybedeemed"adverse"iftheweatherinquestionwasmoreseverethanthatencountered atthe Projectsiteover the lastfive(5)years forthe month inquestion.Such
determinationsshallbemadebasedonthenumberofrain/snowdaysorthecumulativeprecipitationtotalforthemonthinquestion.Notwithstandingtheforegoing,namedstormsshallconclusivelybe deemed "adverse".
(3)DelaysduetothefailureoftheContractororSubcontractorsormaterialsuppliersatanytiertoperformintimelyorproperfashionarisingfromtheirownactsoromissions
Section 4.15.3 The Contractorshallbe entitledto an adjustment in the Substantial
CompletionDateduetoanExcusableDelay.Theterm"ExcusableDelay"shallmean:
1)DelaysduetoadverseweatherotherthanthosethatareclassifiedasaNon-ExcusabledelayinaccordancewiththisSectionofthisAgreement;2)DelaysduetoactsofGod,war,unavoidablecasualties,civilunrest,epidemics,pandemics,includingbutnotlimitedtoCoVID19,andothersimilarcausesofdelaythatarebeyondthereasonablecontroloftheContractor;and3)DelayscausedbyDCPL,theirseparatecontractors,consultants,orchangesintheworkorderedbyDCPL;and4) DelayscausedbyDifferingSiteConditionsorHazardousMaterialsRemediation;and5)AnyothercausesoutsideofContractor'sreasonablecontrol
Inadditiontotheforegoing,adelayshallbedeemedtobeanExcusableDelayonlytotheextentthatsuchdelay(i)hasnotbeencausedsolelybytheContractororanyofitsemployees,agents,Subcontractorsormaterialsuppliers;and(ji)isonProject'scriticalpath.
ForexcusabledelaystheContractorwillbeentitledtoanadjustmenttotheContracttimeandthebudget. Ifthe Contractor wishes to make a claim for an increase in the Contract time or cost,
writtennoticeshallbegivenwithin10daysafterContractor'sknowledgeoftheoccurrenceoftheevent givingriseto such Claim. The Contractor'sclaim shallincludean estimate of the cost and
oftheprobableeffectofdelaysontheprogressofthework.Inthecaseofcontinuingdelay,onlyoneclaimisnecessary.
Section4.16 Sediment and Erosion Control,As applicable,theContractorshallbe
responsibleforinstallingsedimentanderosioncontrolmeasures,including,butnotlimitedto,siftfencing,inletprotection,stabilizedconstructionentrances,andothercontrolmeasures.TheresponsibilitiesincludedinthisSectionshallbereimbursedintheCostofWorkas agreedtointheGMP forDCPL'sapproval.
Section4.17QualityControl,QualityControlisdiscussedinRFPSectionC.11.TheContractorshallberesponsibleforallactivitiesnecessarytomanage,control,anddocumentworktoensurecompliancewiththeContractDocuments.TheContractor'sresponsibilityincludesensuringadequatequalitycontrolservicesareprovidedbytheContractors’employeesanditssubcontractorsatalllevels.Theworkactivitiesshallincludesafety,submittalmanagement,documentreviews,reporting,andallotherfunctionsrelatedtoqualityconstruction
The Contractor shallimplement a QualityControl Plan forthe Project.A draftof such plan shall
besubmittedtoDCPLnolaterthanthree(3)weeksafterNoticetoProceed,andafinalplanshallbeagreeduponandapprovedbyDCPL'sProjectManagerpriortocommencingoftheworkinthe

TheQualityControlPlanshallbetailoredtothespecificproducts/typeofconstructionactivitiescontemplatedbytheGMP Documents,andingeneral,shallincludeatableofcontents,qualitycontrolteamorganization,duties/responsibilitiesofqualitycontrolpersonnel,submittalprocedures,inspectionprocedures,deficiencycorrectionprocedures,documentationprocess,andalistofanyotherspecificactionsorproceduresthatwillberequiredforkeyelementsofthework.
DCPLshallhavetherighttodirecttheContractortorevisetheprovisionsofitsQualityControlPlanif,inthereasonablejudgmentofDCPL,thecraftsmanshipoftheworkbeinginstalledfailstocomplywithgenerallyapplicableindustrystandards,requirementssetforthintheSpecifications,oranyprovisionssetforthinthisAgreement
Section4.18Acceleration,DCPLshallhavetherighttodirecttheContractortoacceleratetheworkif,inthereasonablejudgmentofDCPL,theContractorfailsto:(1)supplyasufficiencyofworkersortodeliverthematerialsorequipmentwithsuchpromptnessastopreventthedelayintheprogressoftheworkor(2)theprogressoftheworkmateriallyfallsbehindtheProjectionscontainedinthethencurrentlyapprovedProjectSchedule.
Inthe event thatDCPL determines thateitherof the events specifiedinthe preceding sentence
haveoccurred,DCPLshallprovidetheContractorwithwrittennoticeofsucheventandtheContractorshallbe requiredto provide DCPL with a correctiveactionplan and recovery schedule
withinthree(3)calendardaysthatisreasonablydesignedtoaddresstheconcemsraisedinsuchnotice.
IfDCPL and the Contractorare unable to agree on the terms of such correctiveactionplan within
five(5)calendardaysaftertheissuanceofthenotice,DCPLshallhavetherighttodirectsuchaccelerationasDCPL,initsreasonablejudgment,deemsnecessary.
IfthenoticeprovisionsofthisSectionandtheChangesClausearecompliedwithandtheunderlyingdelayisanExcusableDelay,thecostofanyaccelerationdirectedunderthisSectionshalljustifyanadjustmenttotheBudget.
ARTICLE5DCPL'SRESPONSIBILITIES
Section5.1General,DCPLiscommittedtothetimelycompletionofthisProject.Tothatend,DCPLshallworkcollaborativelywiththeContractorfortheRenovationofShaw/WathaT.DanielNeighborhoodLibraryon time,withinbudgetandinaccordancewiththeContractDocumentsinagoodandworkmanlikemanner.DCPLshallprovidefullinformationinatimelymanner,soasnottodelaytheWorkorDesignServices,regardingtherequirementsoftheProject,includingDCPL'sobjectives,constraintsandcriteria,includingspacerequirementsandrelationships,flexibilityandexpandabilityrequirements,specialequipmentandsystems,andsiterequirements.
Section5.2DCPL'sDesignatedRepresentative,DCPLhasdesignatedtheContractingOfficer,TorniaHarrison-Samuels,asitsrepresentativewithexpressauthoritytobindDCPLwithrespecttochangeordersandchangedirectivesrequiringDCPL'sapprovalorauthorization.

InorderforDCPLtoeffectivelymanagetheProjectandassurethattheContractordoesnotreceiveconflictinginstructionsregardingthework,theContractorshallpromptlynotifytheDCPLContractingOfficeruponreceivinganyinstructionsorothercommunicationinconnectionwiththeContractor'sworkfromanyemployeeofDCPLorotherpurportedagentofDCPLotherthanDCPL'srepresentativescitedaboveastothespecificduties.

Section7.5DCPLInitiatedChanges.IfDCPL desirestomake a changeintheworkor
toacceleratethework,itwillexecuteandissuetotheContractorawrittenChangeDirective,eitherdirectingtheContractortoproceedatoncewiththechangedworkordirectingittonottoproceed,buttoinformDCPL,inwriting,oftheamount,ifany,bywhichtheContractorbelievesthatSubstantialorFinalCompletionDateandlortheGMP shouldbeadjustedtotaketheChangeOrderorChangeDirectiveintoaccount.
Standardpracticeistopriceandnegotiatesuchchangesfirst.Iftimewillnotalloworanagreementcannotbemade,theContractorwillproceedonlyifprovidedwitha ConstructionChangeDirective(CCD)bytheDCPLChiefProcurementOfficer.
Withinten(10)daysofreceivingaConstructionChangeDirective,theContractorshallprovideDCPLwithawrittenstatementofallchangesandestimatedcosttotheContract,including,withoutlimitation,anychangestotheSubstantialorFinalCompletionDateortheGMP towhichitbelievesitsentitledasaresultoftheChangeDirective.
Ifadditionaltimeissought,a scheduleanalysissupportingtherequestedextensionshouldbeincluded.Thescheduleanalysisshouldincludeawrittennarrativeexplanation.IfachangeintheGMP issought(orifDCPLhasrequestedadeductivechange),thestatementshouldincludeabreakdown,bylineitem,oftheestimatedcostchangesattributabletotheproposedchange.
DCPLmayrequest,andtheContractorshallprovidefurthercostbreakdowns,clarifications,documentationorback-upifDCPLreasonablybelievessuchaddtionalinformationisneededtounderstandandevaluatetherequest.TheadditionalinformationrequiredmayincludecostandpricingdatainaccordancewithDCPL'sregulations.
IfDCPLhasnotyetdirectedtheContractortoproceedwiththeChangedescribedbyaChangeDirective,DCPL may rescindit.IfDCPL wishes to proceed, or has alreadydirectedthe Contractor
toproceed,theContractorshallimmediatelyproceedwiththechangedworkand,DCPLandtheContractor shalluse theirgood faithbest effortsto reach an agreement upon the modificationsto
theSubstantialorFinalCompletionDate,and/ortheGMP thatarejustifiedbytheChangeDirective.ifDCPLandtheContractorreachagreement,theagreementshallbesetforthina‘Change Order and the Contractor shallalso execute it,at which pointitwillbecome binding on
bothparties.
Ifthepartiesfailtoreachanagreementwithinsixty(60)daysafterDCPLreceivestheContractor's

detailedstatementandsuchotherdocumentationasDCPLmayrequest,theContractormayassertaclaiminaccordancewiththisAgreement.Insuchacase,andsubjecttoadjustmentviatheclaimsanddisputesprocess,DCPLshallunilaterallygranttheContractorsuchadjustments,ifany,totheSubstantialorFinalCompletionDateasDCPLhasjudgedtobeappropriate.
Section7.6NoticeofChangeEvent,TheContractormustgiveDCPLwrittennoticeofanyChangeEventwithinten(10)businessdaysofthedateonwhichtheContractorknewoftheChangeEvent.Totheextentavailable,thenoticemuststatethenatureoftheChangeEventanddescribe,generally,allchangesintheContracttowhichtheContractorbelievesitisentitled.SuchnoticeisanexpressconditionprecedenttoanyclaimorrequestforadjustmenttotheSubstantialorFinalCompletionDate,ortheGuaranteedMaximumPricearisingfromtheChangeEventand,ifthenoticeisnotgivenwithintherequiredtime,theContractorwillhavewaivedtherighttoanyadjustmenttotheSubstantialorFinalCompletionDate,ortheGMParisingfromtheChangeEvent.
Withinfifteen(15)businessdaysaftergivingnoticeofachangeevent,theContractorshallsubmita writtenchangerequestdescribing,inreasonabledetail,alladjustmentsitseekstotheSubstantialorFinalCompletionDateortheGMP asaresultoftheChangeEvent.ThechangerequestshallincludethesameinformationdescribedabovewithrespecttoanyContractchangestheContractorseeksduetotheChangeEvent.
Section7.7ExecutedChangeOrdersFinal,TheContractoragreesthatanyChangeOrder executed by DCPL and the Contractorconstitutesits fulland finaladjustment for all costs,
delays,disruptions,inefficiencies,accelerations,scheduleimpacts,orotherconsequencesarisingfromthechangeinquestion,whethera ConstructionChangeDirective,oraChangeEvent,orfromanyclaimedcumulativeeffectofchangesmadetothedateoftheChangeOrder,andthatno furtheradjustments in compensation or time shall be sought or made with respect to the
ChangeDirectiveortheChangeEventgivingrisetotheChangeOrder.NothinginthisprovisionshallacttobartheContractorfromseekingtoreserverightstoadditionaladjustmentsincompensationortimesolongas thatreservationisincludedinthenegotiatedchangeorder(s).
IftheworkdescribedinaChangeOrderrequiresanincreaseordecreaseintheMaximumCostofGeneralConditions(ie.becausesucha ChangerequiresadditionalfieldstafforotherequipmentthatwouldbeclassifiedasGeneralConditionsCosts),theChangeOrdershallcontainanincreasetotheMaximumCostofGeneralConditions.ThecostofprocessingaChangeOrdershallnotbeconsideredaneventthatwillrequireanincreaseintheMaximumCostofGeneralConditions.
Section7.8 FailuretoAgree,IftheContractorclaimsentitlementtoachangeintheContract,andDCPLdoesnotagreethatanyactionoreventhasoccurredtojustifyanychangeintimeorcompensation,orifthepartiesfailtoagreeupontheappropriateamountoftheadjustmentintime or compensation, DCPL willunilaterallymake such changes, ifany, to the Contract,as it
reasonablydeterminesareappropriatepursuanttotheContract.
The Contractor shallproceed withthe work and DCPL's directives,without interruptionor delay,
andshallmakea claimasprovidedinArticle12.Failuretoproceedduetoadisputeovera changerequest shall constitutea material breach of the Contract and entitleDCPL to allavailable
remediesforsuchbreach,including,withoutlimitation,terminationfordefault.
Section7.9Mark-Upon TradeWork. Themaximum markupforchangeorderworkshall

(2) AllamountsduetotheContractorunderthetermsofDCPL'swrittenauthorizationfortheContractortoperformanyportionoftheworkasSelf-PerformedWork.IfanauthorizationfortheContractortoengageinSelf-PerformedWorkisnotonafixed-pricebasis,then,astothatworkthefollowingcostsshallbewithintheCostoftheWork:
())Labor.Properlydocumentedwagesactuallypaidtoconstructionworkers,andotherpersonnelinthedirectemployoftheContractor,whileengagedinapprovedSelf-PerformedWork,togetherwithcontributions,assessments,payrolltaxes,orfringebenefitsrequiredbythelawsorapplicablecollectivebargainingagreements.

(5) Bonds& Insurance.Allperformanceandpaymentbonds,builder'sriskinsuranceifnotprovidedbyDCPL,worker'scompensationinsurance,professionalliabilityinsurance,contractor'spollutionliability(CPL)insurance,subcontractordefaultinsurance,andgeneralliabilityinsurance.DeductiblesactuallypaidandnotrecoveredfromanypersonorentitybytheContractoralsoshallbeincludedintheCostofWork.
(a)TheDistrict'sOfficeofRiskManagementwillbebuyingtheBuilder'sRiskInsurancewhilethebuildingisinconstruction.
(6) TestingandInspection.ThecoststheContractorincurstoscheduleandcoordinateanyadditionaltestingandinspectionsDCPLmaydecidetoconductitselfshallbewithinCostoftheWorkunlesstheadditionaltestingestablishesthattheWorktestedwasdefectiveorotherwisefailedtosatisfyContractrequirements,inwhichcasetheContractorshallpaythecosts,withoutincreasetotheGMP;and
(7)AgencyBonds.Allbondstojurisdictionalagencies(utilities,stormwatermanagement,landdisturbance,and grading)willbe includedas an allowance inthe cost of work.
(8) Costsfornon-conformingwork.Costsofrepairingorcorrectingdamagedor
nonconformingworkexecutedbytheContractor'sotherconsultants,Subcontractorsor
suppliers,providedthatsuchdamagedornonconformingWorkwasnotcausedbygrossnegligenceorintentionalfailuretofulfilaspecificresponsibilityoftheContractor,andonlytotheextentthatthecostofrepairorcorrectionisnotrecoverablebytheContractorfrominsurance,sureties,Subcontractorsorsuppliers.Itisunderstoodthatthecostofrepairing,correctingdamagedornonconformingWorkthatwasSelf-Performedshallnotbereimbursableinanyevent.

Section8.6AccountingRecords,TheContractorshallkeepfullanddetailedaccountsandexercisesuchcontrolsasmaybenecessaryforproperfinancialmanagementundertheContract;theaccountingandcontrolsystemsshallbereasonablysatisfactorytoDCPL.DCPL,its,representatives,andDCPL'saccountantsshallbeaffordedaccesstotheContractor'srecords,books,correspondence,instruction,drawings,receipts,subcontracts,purchaseorders,vouchers,memorandaandotherdatarelatingtothisProject,andtheContractorshallpreservetheseforaperiodofthreeyearsafterfinalpayment,orforsuchlongerperiodasmayberequiredbylaw.Thepartiesfurtheragreethatcertainancillarycoststhatarepricedona formulaicbasis;staff/personnel,insurance,andbondingrates,unitprices,andfixedpricesubcontractsandchangesshallbenegotiatedaspartoftheguaranteedmaximumpriceandshallnotbesubjecttosubsequentrenegotiationexceptincasesoffraud,materialmisrepresentationorotherbadactsthatDCPLreasonablydetermineshasimpairedtheintegrityofthepricenegotiations.NothingintheprecedingsentenceshallacttorelievetheContractorofthedutytoprovidefullanddetailedaccountingrecords,provided,however,thattotheextenttheContractDocumentsestablishanyratesorunitprices,DCPLacknowledgesthatsuchratesandunitpricesmaynotbereflectiveoftheContractor'sactualcosts,butsuchratesorunitpricesshallbedeemedtheContractor'sactualcostsandshallbeusedasthebasisforestablishingtheCostoftheWork.Accordingly,anysuchratesandunitpricesshallnotbesubjecttoaudit,excepttoconfirmthatanysuchrateorunitpricehasbeenproperlyapplied.Fixed-pricesubcontractsandchangeordersshallnotbesubjecttoaudit.
ARTICLE9CONSTRUCTION PHASE PAYMENTS
Section9.1ProgressPayments,TheContractorshallbepaidina seriesofprogresspaymentsandafinalpayment,forworkcompletedinaccordancewiththeContract,andforwhichproperApplicationsforPaymenthavebeensubmittedandapproved.
Section9.2Retention,DCPLshallwithholdfromeachprogresspaymentanamountequaltotenpercent(10%)ofthepaymentrelatedto:(1)eachSubcontractandsupplyagreement,

and(2)theCostoftheWorkrelatedtoeachitemofSelf-Performedwork,untilsuchtimeasfiftypercent(50%)ofthethencurrentlybudgetedcostassociatedwitheachsuchitemhasbeeninvoicedatwhichpointDCPLmayceaseretainingagainstsuchitem
DCPLshall,uponContractor'sreasonablerequest,reducetheretainagerelatingtoaparticulartradeSubcontractor,ortheCostoftheWorkrelatedtoaspecificitemofSelf-Performedworktozeroupon
(1)satisfactorycompletionofsuchwork;
(2)submissionofallrequiredwarranties,certifications,andoperatingormaintenanceinstructionswithrespecttothatwork;andexecutionofappropriatewaiversoflienandreleasesofclaims.
However,innoeventshallthetotalretainageheldbyDCPLbereducedtoanamountthatislessthantwoandone-halfpercent(2.5%)oftheGMP.
Section9.3Documents RequiredwithApplicationforPayment,EachApplicationforPaymentshallbeaccompaniedbytheContractor'sApplicationsforPaymentonAIADocumentsG702andG703orotherformsatisfactorytoDCPL,theSubcontractors’andSuppliers’ApplicationsforPaymentonAIADocumentsG702andG703orotherformacceptabletoDCPL,andsuchothersupportingdocumentationasDCPLmayreasonablyrequest.
Each Applicationfor Payment shallalso includedetaileddocumentation of costs as a condition
forapprovingprogresspayments,buttheContractorshallneverthelessmaintaincompletedocumentation of the costs.
Section9.4StoredMaterials,DCPLshallnotberequiredtopayformaterialsstoredatlocationsotherthan the Projectsite,absent itswrittenagreement to do so,which may be withheld
atDCPL'ssolediscretion.IfDCPLexpresslyagreesinwritingtopayformaterialsstoredoffsiteand not yet incorporated intothe work, the Applicationfor Payment may also includea request
forpaymentofthecostofsuchmaterials,suchrequestsshallbedocumentedbyappropriateinvoices and billsof sale. Payment for stored materials shall be conditioned also on the
Contractor'srepresentationthatithasinspectedthematerialandfoundittobefreefromdefectandotherwiseinconformitywiththisContract,andonsatisfactoryevidencethatthematerialsareinsured under the builder'sriskpolicy.
Further,iftheContractorrequestsDCPL toapprovepaymentsforstorageofmaterialsoffsite,the
ContractorshallberequiredtoagreetotheexecutionofproperdocumentationtoaffordDCPLa‘securedinterestinthe materialsupon payment. The Contractor shallprovide DCPL withalisting
ofallsuchmaterials,includingpricesandtotalvalue,aspartoftherecurringmonthlyprojectreviews
Section9.5Contractor'sCertification,EachApplicationforPaymentshallbe‘accompaniedbytheContractor'ssignedcertificationthat(1)allamountspaidtotheContractoronthepreviousApplicationforPaymentthatwereattributabletoSubcontractorworkortomaterialsorequipmentbeingsuppliedbyanysupplierhasbeenpaidovertotheappropriateSubcontractorsandsuppliers,(2)thatallamountscurrentlysoughtforSubcontractorworkorsupplyofmaterialsorequipmentarecurrentlydueandowingtotheSubcontractorsandmaterialorequipmentsuppliers,(3)andthatallwork,materialsorequipmentforwhichpaymentissoughtis,tothebestoftheContractor'sknowledge,freefromdefectandmeetsalloftheContractrequirements.TheContractorshallnotincludeinanApplicationPaymentamountsforworkforwhichtheContractor

Section9.6Lien Waivers, Each ApplicationforPayment shallbe accompanied by
writtenwaiversoftherighttofileamechanic'slienandallotherclaimsfortheContractorandallSubcontractorsandmaterialsuppliersatalltierswhohavesuppliedlaborormaterialorbothforwhichpaymentisrequested,subjectonlytoreceiptofpayment.IfDCPLsorequests,theContractorshallalsosubmitunconditionalwaiversofliensforitselfandallSubcontractorsandmaterialsuppliersatalltierswithrespecttoworkormaterialsorequipmentforwhichpaymenthasbeenpreviouslymade,andadditionalformsofwaiveracknowledgingreceiptoffinalpaymentundertheContractandprovidingfinalreleaseofsuchliens.
Section9.7 WarrantyofTitle,BysubmittinganApplicationforPayment,theContractorwarrantstoDCPLthattitletoallworkforwhichpaymentissoughtwillpasstoDCPL,withoutliens,claims,orotherencumbrances,uponthereceiptofpaymentbytheDesign-Builder.DCPLmayrequireexecutionofappropriatedocumentstoconfirmpassageofcleartitle.Passageoftitleshallnotoperatetopasstheriskoflosswithrespecttotheworkinquestion.RiskoflossremainswiththeContractoruntilSubstantialCompletion,unlessotherwiseagreedbyDCPL,inwriting
Section9.8InvoiceSubmission,On thetwenty-fifthdayofeachmonththeContractorshallsubmittoDCPL(withacopytotheProjectManager)aDraftApplicationfor
Payment,whichApplicationforPaymentshallcovertheentiremonthduringwhichtheApplicationforPaymentissubmitted.AmountswillbeagreeduponbyDCPLwithin5days,andDesign-BuilderwillsubmitthroughtheDC Portalforpaymentnotlaterthanthe7thof
eachmonth.
AllamountsformallysubmittedviaApplicationforPaymentandnotdisputedbyDCPLshallbedueandpayablewithin30daysofsubmission.
IftheContractorandDCPLareunabletoagreeontheamountsproperlydueandowing,DCPLshallpayinaccordancewithitsgoodfaithdetermination.TheContractormayprotestandpursueaclaimasprovidedinthisAgreement.
Unlessotherwiseagreed,paymentforserviceswillbe madeona monthlybasis.TheContractorshallcreateandsubmitpaymentrequests/invoicesinanelectronicformatthroughtheDC VendorPortal,withaconcurrentcopyandnecessarybackupsubmittedviaemailto.

Section9.9Right to WithholdPayments, DCPL willnotifytheContractorwithinfive
(5)daysafterreceivinganyApplicationforPaymentofanydefectintheApplicationfor
PaymentortheContractor'sperformancewhichmayresultinDCPL'sdecliningtopayallora partoftherequestedamount.DCPLmaywithholdpaymentfromtheContractor,inwhole
orpart,asappropriate,if:
(1) The work isdefectiveand such defectshave not been remedied; or
(2)DCPLhasdeterminedthattheContractor'sprogresshasfallenbehindtheProjectSchedule, and the Contractorfails,withinten (10)calendar days of DCPL's written
demand,toprovideDCPLwitharealisticandacceptableplantorecoverthedelays;or
(3) TheContractor'smonthlyscheduleupdatereflectsthattheContractorhasfallenbehindtheProjectSchedule,andtheContractorfailstoinclude,inthesamemonthlyreport,arealisticandacceptableplantorecoverthedelays;or
(4) The Contractorhas failedto provide reportsinfullcompliance with Section 4.14 ofthis
Agreement;or
(5)TheContractorhasfailedtopaySubcontractorsorsupplierspromptlyorhasmadefalseorinaccuratecertificationsthatpaymentstoSubcontractorsorsuppliersaredueorhave
been made; or
(6) Anymechanic'slienhasbeenfiledagainstDCPL,thesiteoranyportionthereoforinteresttherein,oranyimprovementsonthesite,eventhoughDCPLhaspaidallundisputedamountsduetotheContractor,andtheContractor,uponnotice,hasfailedtoremovethelien,bybondingitofforotherwise,withinten(10)calendardays;or
(7)DCPLhasreasonableevidencethattheworkwillnotbecompletedbytheSubstantialCompletionDate,asrequired,thattheunpaidbalanceof theGuaranteedMaximumPricewouldnotbeadequatetocoverliquidateddamagesarisingfromtheanticipateddelay;or
(8)DCPLhasreasonableevidencethattheworkcannotbecompletedfortheunpaidbalanceof theGMP;or
(9)TheContractorisotherwiseinsubstantialbreachofthisContract(including,withoutlimitation,failurestocomplywithCBEUtilizationrequirementsinArticle11).
Section9.10PaymentNotAcceptance,Paymentofanyprogresspaymentorfinalpayment shallnot constituteacceptance of work thatisdefectiveor otherwise failsto conform to
theContract,orawaiverofanyrightsorremediesDCPLmayhavewithrespecttodefectiveornonconformingwork.
Section9.11DepartmentNotObligatedtoOthers.DCPLhasnoobligationtopayorberesponsibleinanywayforpaymentsdirectlytoa consultantorsubcontractorperformingportionsof the work.
Section9.12FinalPayment,FinalpaymentshallbemadebyDCPLtotheContractorwhen(1)FinalCompletionhasbeenachieved;and(2)acertificationbytheContractorthat,exceptforrequestedfinalpayment,allsubcontractorsandsuppliershavebeenpaidinfullandthatappropriatelienreleaseshavebeenobtainedfromsuchsubcontractorsand suppliers

documentingsuchpaymentsorotherwisebondedoff,and(3)allclose-outdocumentshavebeencompleted,(4)aconditionalReleaseofClaimseffectiveonlyuponreceiptofsuchfinalpaymenthasbeensubmitted,(5)acompleteandfinalApplicationforPaymentanda finalaccountingfortheCostoftheWorkhavebeensubmittedbytheContractorandreviewedbyDCPL'saccountants.
DCPLshallmakesucha finalpaymentnotmorethanthirty(30)daysafterDCPLreceivessuchreportfromtheDesignBuilderandverifiestheamountofthefinalpaymentsetforthinacompletefinalApplicationforPayment.DCPLmay,ifitsoelects,requirethatcopiesofalllienreleasesbeprovidedasaconditionprecedenttomakingfinalpayment.
Section 9.13Liquidated Damages, Ifthe Contractorfailsto achieve Substantial
CompletionbytheSubstantialCompletionDate,thepartiesacknowledgeandagreethattheactualdamagetoDCPLforthedelaywillbeimpossibletodetermine,andinlieuthereof,theContractorshallpaytoDCPL,asfixed,agreedandliquidateddelaydamagesintheamountofFiveHundredDollars($500.00)perday(nottoexceedOneHundredThousandDollars)foreachcalendardayofdelayforfailuretomeettheSubstantialCompletionDate
TheContractorandDCPLagreethattheliquidateddamagessetforthinthisSection9.13donotconstitute,andshallnotbedeemed,a penaltybutrepresenta reasonableapproximationofthe
damagestoDCPLassociatedwithadelayintheProject.NotwithstandinganythingtothecontraryinthisAgreement,innoeventshalltheliquidateddamages,ortheamountbeassessedagainsttheContractorforlatedelivery,exceedOneHundredThousandDollars($100,000).LiquidateddamagesshallbeDCPL'sexclusiveremedyfordelay.
ARTICLE10INSURANCE AND BONDS
Section10.1InsuranceRequiredby the Project,The Contractorwillbe requiredto
maintaintheinsurancereferenceintheRFP Section|.8asfollowsthroughoutthelifeoftheProjectunlessotherwiseindicatedbelow.
Section10.1.1Commercialgeneralpublicliabilityinsurance("LiabilityInsurance")againstliabilityforbodilyinjuryanddeathandpropertydamage,suchLiabilityInsurancetobeinanamountnotlessthanOneMillionDollars($1,000,000)forliabilityforbodilyinjury,deathandpropertydamagearisingfromanyoneoccurrenceandTwoMillionDollars($2,000,000)fromtheaggregateofalloccurrenceswithineachpolicyyear.ThepolicyshallincludecompletedoperationscoverageandshallbecarriedforthedurationoftheProjectaswellasthree(3)yearsbeyondSubstantialCompletion.Allprimarylimitsmaybemetinconjunctionwithexcesslimits.
Intheeventofaninsuredlossduringtheperformanceof thiscontract,anydeductiblepaidbytheContractor shallbe billedas a cost of contractperformance so long as the loss was not caused
bythenegligenceoftheContractor.
Section10.1.2Workers'CompensationandEmployersLiabilitycoverageprovidingstatutorybenefitsforallpersonsemployedbytheContractor,oritscontractorsandsubcontractorsatorinconnectionwiththework.
Section 10.1.3 Automobile Liability,includingHired and Non-Owned Auto Liabilityinthe
amountofatleastOneMillionDollars(§1,000,000.)foreachoccurrenceforbodilyinjuryandpropertydamage.
Section10.1.4Excessumbrellaliabilitycoverage(onatleastafollowformbasis)having

Section10.1.5ProfessionalLiabilityInsurance(Errors& Omissions).TheContractor'sdesignsubconsultantshallprovide,payforandmaintainprofessionalliabilityinsuranceforprotectionfromclaimsarisingoutoftheperformanceofprofessionalservicescausedbynegligenterror,omissionoractforwhichtheContractorislegallyliable.Suchliabilityinsurancewillprovidecoverageof$2,000,000.00perclaimforeachnegligentact,errororomissionand$2,000,000.00annualaggregate
Section10.1.6Contractor'sContractorPollutionLiabilityinsurancecoverageintheamountofatleastTwoMillionDollars($2,000,000)foreachoccurrence.SuchcoverageshallbemaintainedforthedurationoftheProjectaswellasthree(3)yearsafterSubstantialCompletionoftheProjectisachieved
Section 10.1.7 Contractor shallprovide Railroad protectiveinsurance ifProjectiswithin
50feetofanyraillineinamountsdeemednecessarybytheContractorandacceptabletotheDistrict.
Inaddition,theContractorshallensurethatanysubcontractorsinvolvedintheabatementand/ordisposalofhazardousmaterialsmaintainacontractor'spollutionliabilityinsurancepolicyofatleastTwoMillionDollars($2,000,000)forthedurationoftheProjectandaperiodofthree(3)yearsafterSubstantialCompletionoftheProject,andthatanydisposalsitetowhichhazardousmaterialsaretakencarriesenvironmentalimpairmentliabilityinsuranceforthedurationoftheProjectandaperiodofthree(3)yearsafterSubstantialCompletionoftheProject.
Section10.2Eachinsurancepolicy,exceptWorker'sCompensationandProfessionalLiability,shallbeissuedinthenameoftheContractorandshallnameasadditionalinsuredpartiesDCPLandtheDistrictofColumbia,andtheofficers,agentsandemployeesofeach.Suchinsuranceshallnotbecancelableorreducedwithoutthirty(30)dayspriorwrittennoticetoDCPL.
Section10.3.AllsuchinsuranceshallcontainawaiverofsubrogationagainstDCPLandtheDistrictofColumbia,andtheirrespectiveagents
Section10.4AllsuchinsurancepoliciesshallbewrittenbyacompanythatisratedatleastA-byA.M.BestandhavingasurplussizeratingofatleastXV.
Section10.5 PerformanceBond and Payment Bond, InaccordancewiththeAIA A312
bondformtheSuretyliabilityistheamountofthebondregardlessoftheamountpaidbyDCPLtotheContractor.Unlessotherwisedirectedby DCPL,theContractorshallrequireallSubcontractorswhoseSubcontractpricesexceedOneHundredThousandDollars($100,000)toprovidepaymentandperformancebonds,withapenalsumequaltoonehundredpercent(100%)ofthesubcontractprice.AllbondsmustbeinaformacceptabletoDCPL,itslendersorbondtrustee,andissuedbyasuretyauthorizedtodobusinessintheDistrictofColumbiaandbondingcompanylistedontheUnitedStateDepartmentofTreasury'sListingofApprovedSureties.Allsubcontractors’bondsmustincludeadualobligeerider,namingtheContractorandDCPLasdualobligees.IftheGMP isincreasedpursuanttothetermsoftheContract,DCPLmayrequirethattheamountofthebondsbeincreasedintheamountofonehundredpercent(100%)oftheincrease,andtheContractorshallpromptlycomply.TheContractorshallfurnishacopyofitsbondstoanypotentialbeneficiaryofthebondsorpermitthatpersonorcompanytomakeacopy.IfthebondsprovidedbecomereasonablyunacceptabletoDCPL,theContractorshallpromptlyprovidesubstitutesecurityacceptabletoDCPL.InlieuofSubcontractorbondsassetforthabove,theContractorinitssolediscretionhastheoptionofacquiringsubcontractordefaultinsurance

ARTICLE11ECONOMIC INCLUSION REQUIREMENTS
Section11.1CBEUtilization,
Section11.1.1TheContractorshallensurethatLocal,SmallandDisadvantagedBusinessEnterpriseswillparticipateintheproject.Atleastthirty-fivepercent(35%)oftheContract,workmustbeawardedtoentitiesthatarecertifiedaseitherSmallBusinessEnterprisesbytheDistrictofColumbiaDepartmentofSmallandLocalBusinessDevelopment.TheCBEcertificationshallbe,ineachcase,asoftheeffectivedateofthesubcontract.Supplyagreementswithmaterialsuppliersshallbecountedtowardmeetingthisgoal.
Section11.1.2TheContractorhasdevelopedaCBEPlanthatshallcomplywiththetermsoftheCBEUtilizationPlaninmakingpurchasesandadministeringitsSubcontractorsandSupplyAgreements.
Section11.1.3NeithertheContractororaSubcontractormayremoveaSubcontractorortier-SubcontractorifsuchSubcontractorortier-Subcontractoriscertifiedasa CBEcompanyunlessDCPLapprovesofsuchremoval,whichshallnotbeunreasonablywithheld.DCPLmayconditionitsapprovalupontheContractordevelopingaplanthatis,inDCPL'ssolebutreasonablejudgment,adequatetomaintainthelevelofCBEparticipationontheProject.CostsassociatedwithreplacingaremovedCBEfirmshallbeinvoicedandpaidasacostofthework.
Section 11.2Equal Employment Opportunityand Hiringof DistrictResidents
Section11.2.1TheContractorshallcomplywithapplicablelaws,regulationsandspecialrequirementsoftheContractDocumentsregardingequalemploymentopportunityandaffirmativeactionprograms
Section11.2.2TheContractorshallensurethatatleastfifty-onepercent(51%)oftheContractor'steamandeverySubconsultant’sandsubcontractor'semployeeshiredaftertheeffectivedateoftheContract,oraftersuchsubconsultantorsubcontractorentersintoacontractwiththeContractor,toworkontheProjectshallberesidentsoftheDistrictofColumbia

Section 11.4 Compliancewith the ApprenticeshipAct. The Contractoragreesto
complywiththerequirementsoftheApprenticeshipActof1946,D.C.Code§§32-1401,efseq.
ARTICLE12CLAIMS& DISPUTERESOLUTION
Section 12.1 Noticeof Claim, Ifthe Contractorhas complied withallprovisionsinSection
7.6regardingchanges,andDCPLhasdeniedthechangesrequestedinawrittenChangeProposal,orhasfailedtorespondtoawrittenChangeProposalwithinthirty(30)days,andtheContractorwishes to pursue a claim over the disputed item,or ifthe Contractorwishes to assert a claim over
contractdisputenotarisingfrommattersrelatedtoaChangeEvent,ChangeOrderorChangeDirective,then the writtennoticeof claim must be submitted to DCPL pursuant to procedures set
forthinSection4380ofDCPL'sprocurementrules.

ARTICLE13MISCELLANEOUS PROVISIONS
Section13.1.ExtentofContract,TheContract,whichincludesthisAgreement,andtheotherdocumentsincorporatedhereinby reference,representstheentireand integratedagreementbetweenDCPLandContractorandsupersedesallpriornegotiationsrepresentationsoragreements,eitherwrittenororal.TheContractmaybeamendedonlybywritteninstrumentsignedby bothDCPL andContractor.IfanythinginanydocumentincorporatedintothisAgreementsinconsistentwiththisAgreement,thisAgreementshallgovern.
Section13.2Ownership And Use of Documents. [Reserved]
Section13.3GoverningLaw,TheContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheDistrictofColumbia,withoutregardtoitsconflictoflawsprinciples.
Section13.4ConformancewithLaws,ItshallbetheresponsibilityoftheContractortoperformtheContractinconformancewithDCPL'sProcurementRegulations(19DCMR§4300etseq.)andallstatutes,laws,codes,ordinances,regulations,rules,requirementsandordersofgovernmentalbodies,including,withoutlimitation,theU.S.GovernmentandtheDistrict,ofColumbiagovernment;anditisthesoleresponsibilityoftheContractortodeterminetheProcurementRegulations,statutes,laws,codes,ordinances,regulations,rules,requirementsandordersthatapplyandtheireffectontheContractor'sobligationsthereunder.ThisSection13.4shallapplyduringtheConstructionPhase

entities,successors,assignsandlegalrepresentativesofsuchotherpartyinrespecttocovenants,agreementsandobligationscontainedintheContract.NeitherpartytotheContractshallassigntheContractasawholewithoutwrittenconsentoftheother.Ifeitherpartyattemptstomakesuchanassignmentwithoutsuchconsent,thatpartyshallneverthelessremainlegallyresponsibleforallobligationsundertheContract.
Section13.6Retentionof Recordsand Inspectionsand Audits
Section13.6.1TheContractorshallmaintainbooks,records,documentsandotherevidencedirectlypertinenttoperformanceundertheContractinaccordancewithgenerallyacceptedprofessionalpracticeandappropriateaccountingproceduresandpracticesconsistentlyappliedineffectonthedateofexecutionoftheContract.
Section13.6.2TheContractorshallalsomaintainthefinancialinformationanddatausedinthepreparationandsupportofthecostingandcostsummarysubmittedtoDCPLandtherequiredcostsubmissionsineffectonthedateofexecutionofDCPL.
Section 13.6.3 DCPL, the Districtof Columbia government, the Districtof Columbia
FinancialResponsibilityandManagementAssistanceOffice,theComptrollerGeneraloftheUnited States,the U.S. Department of Labor and any of theirauthorized representativesshall
haveaccesstothebooks,records,documentsandotherevidenceheld,ownedormaintainedbytheContractorforthepurposeofinspection,auditandcopyingduringnormalbusinesshoursand
uponadvancewrittennoticetotheContractor.TheContractorshallprovideproperfacilitiesforsuchaccessandinspection
Section13.6.4TheContractoragreestoincludethewordingofthisSectioninallitssubcontractsinexcessoffivethousanddollars($5,000)thatdirectlyrelatetoProjectperformance.
Section 13.6.5 Audits conducted pursuant to thisSection willbe in accordance with
generallyacceptableauditingprinciplesandestablishedproceduresandguidelinesoftheapplicablereviewingorauditagency.
Section13.6.6TheContractoragreestothedisclosureofallinformationandreports,resultingfrom access to records, to any authorized representativeof DCPL. Where the audit
concernstheContractor,theauditingagencywillaffordtheContractoranopportunityforanauditexitconferenceandanopportunitytocommentonthepertinentportionsofthedraftauditreport.Thefinalauditreportwillincludethewrittencomments,ifany,oftheauditedparties.
Section 13.6.7 The Contractor shall preserve all records described herein from the
effectivedateoftheContractcompletionandfora periodofthree(3)yearsaftera finalsettlement.In addition,those records which relateto any dispute,appeal or litigation,or the settlement of
claimsarisingoutofsuchperformance,orcostsoritemstowhichanauditexceptionhasbeentaken,shallbemaintainedandmadeavailableuntilthree(3)yearsafterthedateofresolutionofsuchdispute,appeal,litigation,claimorexception.
Section13.7 Inspectionfor Suppliesand Services
Section13.7.1Totheextentapplicableorappropriate,DCPLmay,uponreasonableadvance writtennotice,enter the place of business of the Contractor or the place of business of
anySubcontractorinordertoinspectortestsuppliesorservicesforacceptancebyDCPL.IfinspectionsandtestsareperformedattheplaceofbusinessoftheContractororany

Subcontractor,theinspectionsandtestsshallbeperformedinamannersoastonotundulydelaythe work. Inspectionsand testsby DCPL shallnot relievethe Contractor or any Subcontractor of
responsibilityfordefectsor otherfailurestomeet Contract requirements and shallnot constituteor
implyacceptance.
Section13.7.2NotwithstandingDCPL'sacceptanceoforpaymentforanyproductorservicedeliveredbyContractor,theContractorshallremainliableforlatentdefects,fraud,grossmistakesamountingtofraudandDCPL'srightsunderanywarrantyorguarantee.
Section 13.7.3 DCPL shallhave the right,upon reasonable advance writtennotice,to
entertheplaceofbusinessoftheContractorortheplaceofbusinessofanySubcontractorinordertoinvestigateanycontractororoffererwithrespecttoadebarmentorsuspensionoftheContractororanysuchSubcontractor.
Section13.8Laws and RegulationsIncorporatedby Reference,AllDistrictof
Columbialawsandregulations,andallDepartmentproceduresnoworhereafferineffect,whetherornotexpresslyprovidedfororreferredtointheContract,areincorporatedbyreferenceherein
andshallbebindingupontheContractorandDCPL.ItshallbetheresponsibilityoftheContractorto perform the Contract in conformance with DCPL's procurement regulationsand allstatutes,
laws,codes,ordinances,regulations,rules,requirements,andordersofgovernmentalbodies,
including,withoutlimitation,theU.S.GovernmentandtheDistrictofColumbiagovernment.However,iftheapplicationofa futurelaworregulationrequirestheContractortoundertakeadditionalworkthatismateriallydifferentinscopethanthatpresentlycontemplatedorrequired,the Contractor shallbe entitledto an equitable adjustment for such additionalwork. The parties
furtheragreethattheprovisionsoftheFederalAcquisitionRegulationarenotapplicabletothiscontract.Exclusion of the Federal AcquisitionRegulation from thiscontractshallnot impair the
operationofotherfederallawsbroadlyapplicabletoconstruction,i.e.DavisBacon,ServiceContractAct,ContractWorkHours& Safety,etc.
Section13.9TaxExemptionProvision,AnytaxexemptionsapplicabletotheDistrictofColumbia,includingthegrossreceiptssalestaxexemptionforthesaleoftangiblepersonalpropertytotheDistrict,codifiedinD.C.Code§47-2005,shallapplytotheperformanceoftheContract.
Section13.10Anti-CompetitivePracticesand Anti-kickbackProvisions
Section13.10.1TheContractorrecognizestheneedformarketstooperatecompetitivelyandshallobserveandshallcomplywithallapplicablelaw,rules,andregulationsprohibitinganti-competitivepractices.TheContractorshallnotengage,directlyorindirectly,incollusionorotheranti-competitivepracticesthatreduceoreliminatecompetitionorrestraintrade.DCPLshallreporttotheappropriateauthorityanyactivitythatevidencesaviolationoftheantitrustlawsandtakesuchotherfurtheractiontowhichitisentitledorobligatedunderthelaw.
Section13.10.2TheContractorshallobserveandcomplywithallapplicablelaws,rules,andregulationsprohibitingkickbacksand,withoutlimitingtheforegoing,Contractorshallnot:())Provideorattempttoprovideoroffertoprovideanykickback;Solicit,accept,orattempttoacceptanykickback;orInclude,directlyorindirectly,theamountofanykickbackinthecontractpricechargedbyContractor or a Subcontractor of the Contractorto DCPL.

TheContractorshallhaveinplaceandfollowreasonableproceduresdesignedtopreventanddetectpossibleviolationsdescribedinthissubparagraphinitsownoperationsanddirect
businessrelationships.DCPLmaytakeanyrecourseavailabletoitunderthelawforviolationsofthisanti-kickbackprovision.
Section 13.10.3 The Contractor represents and warrants that itdid not, directlyor
directly,engageinanycollusiveorotheranti-competitivebehaviorinconnectionwiththebid,negotiation or award of the Contract.
Section13.11EthicalStandardsforDepartment'sEmployeesand FormerEmployees,DCPLexpectstheContractortoobservethehighestethicalstandardsandtocomplywithallapplicablelaws,rules,andregulationsgoverningethicalconductorconflicts
ofinterest.NeithertheContractor,noranypersonassociatedwiththeContractor,shallprovide(orseekreimbursementfor)anygift,gratuity,favor,entertainment,loanorotherthingofvaluetoanyemployeeoftheDistrictorDCPLnotinconformitywithapplicablelaw,rulesorregulations.
TheContractorshallnotengagetheservicesofanypersonorpersonsintheemploymentofDCPLortheDistrictforanyworkrequired,contemplatedorperformedundertheContract.TheContractormaynotassignanyformerDepartmentorDistrictemployeeoragentwhohasjoinedtheContractor'sfirmanymatteronwhichtheformeremployee,whileintheemployofDCPL,hadmaterialorsubstantialinvolvementinthematter.TheContractormayrequestawaivertopermittheassignmentofsuchmatterstoformerDepartmentpersonnelonacase-by-casebasis,TheContractorshallincludeineverysubcontracta provisionsubstantiallysimilartothissectionsothatsuchprovisionsshallbebindinguponeachSubcontractororvendor
Section13.12GratuitiesandOfficersNottoBenefitProvisions
Section13.12.1Ifitisfound,afternoticeandhearing,byDCPLthatgratuities(intheformofentertainment,gifts,payment,offersofemploymentorotherwise)wereofferedor
givenbytheContractor,oranyagentorrepresentativeoftheContractor,toanyofficial,employeeoragentofDCPLortheDistrictwithaviewtowardsecuringtheContractorany
othercontractorsecuringfavorabletreatmentwithrespecttotheawardingoramending,orthemakingofany determinationswithrespecttotheperformanceoftheContract,DCPLmay,
bywrittennoticetotheContractor,terminatetherightoftheContractortoproceedundertheContractandmay pursuesuchotherrightsandremediesprovidedbylawandundertheContract.
Section13.12.2IntheeventtheContractisterminatedas providedinSection
13.12.1,DCPL shallbeentitled:
Section 13.12.2.1to pursue the same remedies againstthe Contractoras itcould
pursue inthe event of a breach ofthe Contractby the Contractor;and
Section13.12.3No memberof,nordelegatetoCongress,MayororCityCouncilMember, nor officernor employee of the District,nor officernor employee of DCPL shallbe
admittedtoanyshareorpartoftheContractortoanybenefitthatmayarisetherefrom,andallagreements entered into by the authorized representative of DCPL in which he or any

CouncilMember,orofficeroremployeeoftheDistrictisdeminimus.
Section 13.13Covenant AgainstContingent Fees Provisions, The Contractor
warrantsthatnopersonorsellingagencyhasbeenemployedorretainedtosolicitorsecuretheContractuponanagreementorunderstandingfora Commission,percentage,brokerage,orcontingentfee,exceptingbonafideemployeesorbonafideestablishedcommercialorsellingagenciesmaintainedbytheContractorforthepurposeofsecuringbusiness.Forbreachorviolationofthiswarranty,DCPLshallhavetherighttoterminatetheContractwithoutliabilityorinitsdiscretiontodeductfromthecontractpriceorconsideration,orotherwiserecover,thefullamountofDCPL,percentage,brokerageofcontingentfee.
Section13.14Non-DiscriminationinEmploymentProvisions
Section 13.14.1 The Contractoragrees to take affirmativeactionto ensure thatapplicants
areemployed,andthatemployeesaretreatedduringemployment,withoutregardtotheirrace,color,religion,nationalorigin,sex,age,maritalstatus,personalappearance,sexualorientation,
familyresponsibilities,matriculation,politicalaffiliation,orphysicalhandicap.Theaffirmativeactionshallinclude,but not be limitedto,the following:
Section13.14.1.1Employment,upgrading,ortransfer;
Section13.14.1.2Recruitmentorrecruitmentadvertising;
Section13.14.1.3Demotion,layoff,ortermination;
Section 13.14.1.4 Rates of pay, or other forms ofcompensation; and

Section13.14.3TheContractorshall,inallsolicitationsoradvertisementsforemployeesplacedbyoron behalfoftheContractor,statethatallqualifiedapplicantswillreceiveconsiderationforemploymentpursuanttothenon-discriminationrequirementssetforthinthisSection.
Section13.14.4TheContractoragreestosendtoeachlaborunionorrepresentativeofworkerswithwhichithasacollectivebargainingagreement,orothercontractorunderstanding,aNoticetobeprovidedbyDCPL,advisingeachlaborunionorworkers’representativeoftheContractor’scommitmentsunderthisSection,andshallpostcopiesofthenoticeinconspicuousplacesavailabletoemployeesandapplicantsforemployment.

Section13.19InterpretationofContract,IfthereisanyinconsistencyamongthedocumentscomprisingtheContract,theorderofprecedenceamongthemisasfollows,withthefirstlisteddocumenthavingthehighestpriority:theGMP includingtheContractor'sAssumptionsandQualifications;ModificationsorchangestotheContract;theContract;theDrawingsincludinganyaddendaissuedthereto;theSpecificationsincludinganyaddendaissuedthereto;andtheBasisofDesign.
Section13.20IndependentContractor,IncarryingoutallitsobligationsundertheContract,theContractorshallbeactingasanindependentcontractor,andnotasanemployeeoragentofDCPL,orjointventurerorpartnerwithDCPL.TheContractorshallhaveexclusiveauthoritytomanage,direct,andcontrolthework,andshallberesponsibleforallconstructionmeans,methods,techniques,sequences,andprocedures,aswellasforProjectsafely,

ofthework,DCPLmaymakeavailabletotheContractorinformationthatDCPLdesignatesastradesecretsorotherconfidentialengineering,technicalandbusinessinformation.Aslongas,andtotheextentthat,suchinformationremainsconfidentialandavailabletoothersonlywiththeconsentofDCPL,orisnotgenerallyavailabletothepublicfromothersources,theContractorshallmaintainsuchinformationinstrictconfidenceandshallnotdiscloseanysuchinformationtoothers(includingitsemployeesorSubcontractors),excepttotheextentnecessarytoenabletheContractortocarryouttheProject.TheContractorshallsimilarlyobligateanyandallpersonstowhomsuchinformationisnecessarilydisclosedtomaintaintheinformationinstrictconfidence.TheContractorsobligationsindicatedinthissectionarelimitedtotangibleinformationthatisclearlymarkedas“confidential”byDCPL.

Section13.33Severability,Intheeventanyone ormore oftheprovisionscontained
inthisAgreementshallforanyreasonbeheldtobeinvalid,illegalorunenforceableinanyrespect,suchinvalidity,illegalityorunenforceabilityshallnotaffectanyotherprovisionofthis
Agreement,andinlieuofeachsuchinvalid,illegalorunenforceableprovision,thereshallbeaddedautomaticallyasapartofthisAgreementaprovisionassimilarintermstosuchinvalid,
illegalorunenforceableprovisionasmaybepossibleandbevalid,legalandenforceable;eachpartofthisAgreementisintendedtobeseverable.
Section13.34Anti-DeficiencyAct.DCPL'sobligationsandresponsibilitiesunderthetermsoftheContractandtheContractDocumentsareandshallremainsubjecttotheprovisionsof(i)thefederalAnti-DeficiencyAct,31U.S.C.§§1341,1342,1349,1350,1351,

Section13.35Indemnification,Tothefullestextentpermittedbylaw,theContractorshall
defend,indemnifyand holdharmlessDCPL andDCPL'sconsultantsandagentsandemployeesfromandagainstthird-partyclaimsfordamages,lossesandexpenses,including
butnotlimitedtoattorneys’fees,toarisingoutoforresultingfromperformanceoftheworkprovidedthatsuchclaim,damage,lossorexpenseisattributabletobodilyinjury,sickness,
diseaseordeath,ortoinjurytoordestructionoftangibleproperty(otherthantheworkitself),butonlytotheextentcausedbythenegligentactsoromissionsoftheContractor,asubcontractor,anyonedirectlyorindirectlyemployedbythemoranyoneforwhoseactsthey
maybeliable,regardlessofwhetherornotsuchclaim,damage,lossorexpenseiscausedinpartbyapartyindemnifiedhereunder.
Section13.36GeneralProhibitionsof GenderIdentityor Expression,Itisunlawfulfor
anypersonorentity,includingagenciesoftheDistrictofColumbiagovernmentanditscontractors,todiscriminateagainstapersoninemployment,housing,publicaccommodations,oreducationalinstitutionsonthebasisofthatperson'sactualorperceivedgenderidentityorexpression,pursuantto4 DCMR§§801(e)-808,899.1.
Section13.37ClaimsforConsequential Damages.
Section 13.37.1 The Contractor and DCPL waive Claims against each other for
consequentialdamagesarisingoutoforrelatingtothisContract.Thismutualwaiverincludes:
Section13.37.1.1damagesincurredbytheDCPLforrentalexpenses,forlossesofuse,income,profit,financing,businessand reputation,andforlossofmanagementoremployee
productivityoroftheservicesofsuchpersons;and
Section13.37.1.2damagesincurredbytheContractorforprincipalofficeexpensesincludingthecompensationofpersonnelstationedthereexceptasotherwisepermittedunderthisContract,forlossesoffinancing,businessandreputation,andforlossofprofitexceptearnedbutunpaidprofitarisingdirectlyfromtheworkperformed.
Section13.37.2Thismutualwaiverisapplicable,withoutlimitation,toallconsequentialdamage due to eitherparty'sterminationinaccordance with Section 14. Nothing contained inthis
Section13.37shallbedeemedtoprecludeanawardofliquidateddamages,whenapplicable,inaccordancewiththerequirementsoftheDesign-BuildDocuments.
ARTICLE 14TERMINATION OR SUSPENSION
Section14.1 CancellationBefore Noticeto Proceed, DCPL may canceltheContract
atanytimebeforeissuanceofaNoticetoProceed,inDCPL'ssolediscretion.SuchacancellationshallnotbeabreachoftheContract,andtheContractorshallnotbeentitledtoanycompensationordamagesifcancellationoccursexceptforpaymentofservicesprovidedthroughthedateoftermination.
Section14.2TerminationforDefault,DCPLmayterminatetheContractfordefaultiftheContractorfailsmateriallytoperformanyofitsmaterialdutiesormaterialobligationsundertheContract.Inparticular,butwithoutlimitation,DCPLmayterminatetheContractif:
Section14.2.1theContractorfailstoprosecutetheworkdiligently,inaccordancewiththeProjectScheduleortomakesuchprogressintheworkasDCPLreasonablybelievesisnecessarytocompletetheProjectwithinthetimerequiredbytheContract;or
Section14,2.2theContractorfailstoperformtheworkinagoodandworkmanlikemannerortocorrectdefectsintheworkpromptlyuponnoticebyDCPL;or
Section14,2.3DCPLreasonablydeterminesthattheContractorhasabandonedthework,orhasfailedtopaylaborers,mechanics,materialmen,Subcontractorsorsupplierswhenpaymentisdue;or
Section14.2.4theContractorbecomesinsolvent,makesanassignmentforthebenefitofcreditors,filesavoluntarypetitionunderanychapteroftheBankruptcyCodeorhasaninvoluntarypetitionfiledagainstitunderanychapteroftheBankruptcyCode,orhasareceiverappointed,orfilesfordissolutionorotherwiseisdissolved;or
Section14.2.5TheContractorfailstopayitsdebtsina timelymannerorbecomesinsolvent,orDCPLreasonablydeterminesthattheContractordoesnothavethefinancialabilitytocarryoutitsobligationsundertheContractandtheContractorfailstogiveDCPLpromptandreasonableassurancesofitsabilitytoperform.
Section14.2.6DCPLmustprovidetheContractorwithwrittennoticeofitsintenttoterminatetheContractunderthisprovisionseven(7)daysbeforeactuallyputtingtheterminationintoeffect.IftheContractorhasbegunitscurativeactionandhasmadeprogresssatisfactorytoDCPLwithinthesevendays,DCPLmaysonotifytheContractorandtheterminationwillnottakeeffect.Otherwise,theterminationshalltakeeffectaftersevendayswithoutfurthernoticeoropportunitytocure.
Section14.2.7IfDCPLterminatestheContractfordefault,DCPLwillhavetherighttotakeoverthework,toacceptassignmentofsomeorallSubcontractsoragreementsconvenientwithmaterialsuppliers,totakepossessionoftheProject,andtofinishtheProjectbywhatevermethoditdeemsexpedient,includingacceptingassignmentofalloutstandingSubcontractsandSupplyAgreements.
Section14.3TerminationforConvenience
Section14.3.1DCPLmay,uponseven(7)dayswrittennoticetotheContractor,terminatethe Contract inwhole or specifiedpart,foritsconvenience, whether the Contractor isin breach of
Contract or not.The noticeof terminationshallstatethe effectivedate of termination,the extent
of the termination,and any specificinstructions.
Section14.3.2Afterreceivingnoticeofterminationforconvenience,theContractorshall(1)stopworkontheterminatedportionoftheProjectasoftheeffectivedateoftheterminationandstopplacingsubcontractsorsupplyagreementsthereunder;(2)consultwithDCPLregardingthedispositionofexistingordersandsubcontracts,anduseitsbesteffortstoterminatethemontermsfavorabletoDCPL;(3)consultwithDCPLtodecidewhatactionsshouldbetakentoprotectworkinplaceandequipmentthathasbeendeliveredandnotyetinstalled,andtorenderthesitesafe,andproceedtotakesuchactionsasmaybeagreeduponor,absentagreement,asmaybereasonable;and(4)takenecessaryordirectedactiontoprotectandpreservepropertyintheContractor'spossessioninwhichDCPLhasormayacquireaninterestand,asdirectedbytheterminationnoticeorotherorderfromDCPL,deliverthepropertytoDCPL;allcontractdocuments.TheContractorshallalsopromptlynotifyDCPL,inwriting,ofanylegalproceedingarisingfromanysubcontractorsupplyagreementrelatedtotheterminatedportionoftheProject,and,in
consultationwith DCPL, settleoutstanding liabilitiesarisingout of the terminated portionof the
Projectonthebesttermsreasonablypossible.
Section14.3.3TheContractorshallbeentitledtoreceiveonlythefollowingwithrespecttotheterminatedportionoftheProject:(1)CostofWorkperformeduptothedateoftermination;(2)reasonablecostsofterminatingoutstandingsubcontractsandsupplyagreementsandothersimilarwind-upcostsina reasonableamount;(3)a fairandreasonableportionoftheFeeattributabletotheworkperformedontheterminatedportionoftheProject,uptothetimeofterminationandreasonabledemobilizationcosts.TheContractorshallnotbeentitledtorecover‘overheadsorprofitsonunperformedportionsofthework.Further,ifitappearstoDCPLthattheCostofWorkwouldhaveexceededtheGMP,asadjusted,DCPLshallhavetherighttoadjustthesettlementfiguredownwardinan appropriateamountbutshallincludeappropriatedemobilizationandwinddowncosts.InnocaseshalltheContractorbeentitledtoreceiveanamountinsettlementforterminationforconveniencethatwouldexceedthepercentagevalueoftheworkactuallyperformedinaccordancewiththeContract,multipliedbytheGMP,andreducedbyanydamages,liquidatedorotherwise,theContractormayoweDCPL.
Section 14.3.4 Payment of such amounts shallbe the Contractor'ssole remedy for
terminationforconvenience.
Section14.3.5TheContractorshall,promptlyaftertermination,submitaproposalfor‘settlementof the amounts due to itas a resultof the terminationforconvenience. The proposal
shallbeconsistentwiththerequirementsofSections14.3.2through14.3.4andshallbeaccompaniedby suchdocumentationofcostsas DCPL may reasonablyrequire.Suchdocumentation may includecost and pricedata inaccordance with DCPL's Regulations.
Section14.4Effectof WrongfulTermination,Anyterminationforcausewhichislater
determined to have been improperly effectedshallbe deemed to have been a terminationfor
conveniencepursuanttoParagraph14.3andshallbegovernedbythatParagraph.
Section 14.5ContinuedResponsibility After Termination. Ifthe Contractoris
terminated,eitherfordefaultorotherwise,theContractorshallremainresponsiblefordefectsornon-conformitiesinallworkperformedpriortothedateoftheterminationforaperiodofnomorethan one (1) year from the effectivedate of termination.In the event of a termination for
convenience at any time, DCPL shallrelease Contractor of liabilityforthe Contract Documents.
andshallholdtheContractorharmlessforanyclaims,losses,ordamagesincurredasaresultofDCPL's use ofthe Contract Documents for this Projector any other Projectwithout Contractor's
involvement.
Section14.6Suspension
Section14.6.1SuspensionattheConvenienceofDGPL.DCPLmayatanytime,withorwithoutcause,suspend,delay,reduceorinterruptperformanceofalloranyportionoftheworkforsuchperiodorperiodsasDCPLelectsbygivingtheContractorwrittennoticespecifyingwhichportionoftheworkistobe suspendedandtheeffectivedateofsuchsuspension.Suchsuspension,delayorinterruptionshallcontinueuntilDCPLterminatessuchsuspension,delayorinterruptionbywrittennoticetotheContractor.No suchsuspension,delay,interruptionorreductionbyDCPLshallconstituteabreachordefaultbyDCPLundertheContractDocuments.TheContractorshallcontinuetodiligentlyperformanyremainingworkthatisnotsuspended,delayed,reducedorinterruptedandshalltakeallactionsnecessarytomaintainandsafeguardallmaterials,equipment,suppliesandworkinprogressaffectedbythesuspension,delay,reductionorinterruption.
Section 14.6.2Payment UponSuspension for Convenience, In the event of
suspension,delay,reductionorinterruptionforconveniencebyDCPL,orforsuspensionsdueto.governmentshutdownsorothercausesbeyondContractor'scontrol,DCPL shallpaytheContractorandtheGuaranteedMaximumPriceshallbeincreasedbysuchamountsandthe
ProjectScheduleshallbeextended(subjecttothepaymentandrelatedrequirementsoftheContractDocuments)asfollows:
Section14.6.2.1AdditionalCostsoftheWorkandnumberofdaysdelayed,ifany,whichareincurredbytheContractor,itsSubcontractorsandVendorsasaresultofcontinuingtomaintaindedicatedpersonnel,materialsandequipmentattheSiteatDCPL'srequestduringanysuspension,delayorinterruptionperiod,includingforthepurposeofsafeguardingallmaterial,equipment,suppliesandtheContractor'sworkinprogresscausedsolelybysuchsuspension,delayorinterruptionorderedbyDCPLforconvenience,;and
Section14.6.2.2OtherreasonableandunavoidableCostsoftheWorkandnumberofdaysdelayed,ifany,whicharedirectlyrelatedtoanysubsequentre-mobilizationofthesuspended,delayedorinterruptedtheContractor'sworkcausedsolelybysuchsuspension,delayorinterruptionorderedbyDCPLforconvenience.Forsuspensionsinexcessof90days,ContractorshallbeentitledtorequestDCPL'sapproval,whichshallnotbeunreasonablydenied,forearlyreleaseofretentionforanysubcontractorswhoseworkissubstantiallycompleteandforanyotherretentionforwhichContractorhasa goodfaithbasisforrequestingearlyreleasedependinguponthelengthofthesuspension.
Section14.6.2.3Provided,however,thatnoadjustmentshallbemadetotheextentthatperformancewasotherwisesubjecttosuspension,delayorinterruptionbyanothercauseforwhichtheContractorisresponsible.
ARTICLE15OTHER CONDITIONS AND SERVICES
This Contract and the rightsand obligationsof DCPL and Contractor herein are subjectto the
approvaloftheDistrictofColumbiaCityCouncil.
ARTICLE 16
DEFINITIONS
Section16.1Agreement,ThetermAgreementshallmeanthisAgreement.
Section16.2ChangeDirective,AwrittendirectionsignedandissuedbyDCPLorderingtheContractoreithertoprovidepricingandscheduleimpactinformationforadescribedchangetotheworkortoproceedwitha describedchangeandprovidepricingandscheduleimpactinformationafterbeginningthechangedwork.
Section16.3ChangeEvent,Anycondition,event,act,omissionorbreach,otherthantheissuanceofaChangeDirective,whichtheContractorbelievesentitlesittoachangeintheGuaranteedMaximumPrice,theCostofGeneralConditions,thePreconstructionFeeortheSubstantialorFinalCompletionDate.
Section16.4Change Order,Awrittendocument,executedby DCPL and theContractor,
settingforththeagreedtermsuponwhichachangetotheContracthasbeenmade.
Section16.5ConstructionDocuments,ThefinalDrawingsandSpecifications,asprepared,sealedbytheArchitect/Engineer'sdesignprofessionalinaccordancewiththelaw,andissuedbytheContractorforthepurposeofobtainingbidsfrompotentialtradeSubcontractorsandmaterialsuppliersforuseinconstructingtheProject.
Section16.6Costof GeneralConditions.TheCostofGeneralConditionsshallhave
themeaningsetforthinSection8.2ofthisAgreement.
Section16.7Contract,Theentire,integratedagreementbetweenDCPL andtheContractorwithrespecttotheProject,consistingofthisAgreementandtheExhibitstotheAgreement,theConstructionDocumentsreleasedfortheContractor'suse,theGMP withAssumptionsandClarifications,andanyChangeDirectivesorChangeOrdersthathavebeenexecutedbyDCPL.

approvalandsign-off;andcauseallrepresentations,warrantiesandguaranteestobehonoredand otherwise fulfillallof the requirements set forthinthe Contract.
Section16.14GuaranteedMaximumPriceorGMP.Themaximumamount,including,butnotlimitedtotheCostoftheWorkthatwillbepaidtotheContractortoFullyCompletetheProject.TheGMP maybemodifiedonlybyChangeOrderorChangeDirectiveinaccordancewiththeAgreement.
Section16.15HazardousMaterial,Anytoxicsubstanceorhazardouschemicaldefinedorregulatedpursuanttofederal,stateorlocallawsrelatingtopollution,treatment,storageordisposalofwaste,orprotectionofhumanhealthortheenvironment.Suchlawsinclude,withoutlimitation,theComprehensiveEnvironmentalResponse,CompensationandLiabilityAct,theResourceConservationandRecoveryAct,theCleanWaterAct,theCleanAirActandlawsrelatingtoemission,spills,leaks,discharges,releasesorthreatenedreleasesoftoxicmaterial.ThetermHazardousMaterialsshallalsoincludepetroleumandpetroleumbi-products.
