(C) The goods or services to be provided, the methods of delivering goods or services, and
any significant program changes reflected in the proposed contract:
The Department of General Services (the “Department” or “DGS”) seeks approval of the
above-referenced Modification No. 2 to the Design-Build Agreement for Congress Heights
Recreation Center (DCAM -23-CS-RFP-0004) (the “Contract”) between the Department
and GCS, Inc. DBA GCS -SIGAL (the “Contractor”) . If approved, the proposed
Modification No. 2 would authorize the Contractor to continue to provide design- build
services for the Congress Heights Recreation Center, located at 611 Alabama Avenue SE,
Washington, DC 20032 (the “Project”).
The Contractor will be required to provide a full range of services required to demolish the
existing building and construct a new recreational facility to meet the Department’s
programmatic requirements. The substantial completion of the Project shall occur on or
before March 29, 2027.
The Project includes full design and construction services for an extensive renovation of
an approximately 17,000-square-foot recreation facility, as well as exterior grounds and
amenities. The improvements shall be designed for people of all ages and abilities,
including accessible recreation spaces, an enlarged fitness room, a full -size indoor
basketball gym, an incubator kitchen, a 5v5 e -gaming center, and a golf simulator. The
improvements will also include outdoor amenities, including play spaces for children aged
5-12, a full-size outdoor basketball court, a community garden, and new picnic pavilions.
A not-to-exceed (“NTE”) amount of $14,630,600.80 was previously authorized under an
early start agreement (“ESA”), enabling the Contractor to complete the preliminary scope
of work prior to finalizing the guaranteed maximum price (“GMP ”) for the Project and to
ensure the Project remained on schedule. Modification No. 1, executed by the Department
on March 3, 2026, was an administrative change to the Contract.
The proposed Modification No. 2 in the amount of $14,315,249.20 will establish the final
GMP, which sufficiently defines the full scope, performance criteria, and District
requirements. Approval of this modification would authorize the Contractor to proceed
with the remaining portion of the Work.
(D) The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price, technical or quality, and past performance
components:
The underlying Contract was competitively bid and previously submitted to and approved
by the Council on June 26, 2025, as CA26-0261, and executed by the Department on July
10, 2025, as an ESA with an NTE amount of $14,630,600.80.

(G) The background and qualifications of the proposed contractor, including its
organization, financial stability, personnel, and performance on past or current
government or private sector contracts with requirements similar to those of the
proposed contract:
The Contractor is a Certified Business Enterprise (“CBE”) in the District of Columbia and
is a Longtime and Resident -Owned Business with decades of experience throughout the
region. Their team has extensive experience managing parks and recreation construction
in urban settings and has completed numerous projects that have included fields, pools,
multi-purpose/office space, playgrounds, sports courts, gymnasiums, locker rooms, and
computer rooms. The Contractor has been determined responsible in accordance wit h 27
DCMR § 4706.1.
(H) A summary of the subcontracting plan required under section 2346 of the Small, Local,
and Disadvantaged Business Enterprise Development and Assistance Act of 2005, as
amended, D.C. Official Code § 2-218.01 et seq. (“Act”), including a certification that the
subcontracting plan meets the minimum requirements of the Act and the dollar volume
of the portion of the contract to be subcontracted, expressed both in total dollars and as
a percentage of the total contract amount:
The Contractor is a certified business enterprise in accordance with the Act (CBE Number:
LZXR46406122027). Pursuant to D.C. Official Code § 2-218.46 (d-1), the Contractor shall

submit a detailed subcontracting plan to DSLBD that meets the requirements of D.C.
Official Code § 2-218.46(d), before entering into a guaranteed maximum price.

The Contractor will be required to provide a full range of services required to demolish the
existing building and construct a new recreational facility to meet the Department’s
programmatic requirements and complete the project no later than March 29, 2027
(Substantial Completion Date). The Contractor’s performance will be monitored by DGS
staff and DGS’ designated Program Manager. Additionally, the Contractor must adhere to
the terms and conditions of the Standard Contract Provisions for Construction Contracts
and Architectural and Engineering Services Contracts.
(J) The amount and date of any expenditure of funds by the District pursuant to the
contract prior to its submission to the Council for approval:
None.
(K) A certification that the proposed contract is within the appropriated budget authority
for the agency for the fiscal year and is consistent with the financial plan and budget
adopted in accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:
The Office of the Chief Financial Officer has certified that the proposed Contract
Modification No. 2 amount is consistent with the Department’s budget and that adequate
funds are available in the Department’s budget in accordance with D.C. Official Code §§
47-392.01 and 47-392.02. The applicable Fiscal Sufficiency certification accompanies this
Council Package.
(L) A certification that the contract is legally sufficient, including whether the proposed
contractor has any pending legal claims against the District:
The proposed Modification No. 2 has been deemed legally sufficient by the Department’s
Office of the General Counsel, and the Contractor does not appear to have any current
pending legal claims against the District.
(M) A certification that the Citywide Clean Hands database indicates that the proposed
contractor is current with its District taxes. If the Citywide Clean Hands Database
indicates that the proposed contractor is not current with its District taxes, either: (1) a
certification that the contractor has worked out and is current with a payment schedule
approved by the District; or (2) a certification that the contractor will be current with

Subject: Fiscal Sufficiency Certification
In my capacity as the Agency Fiscal Officer of the Department of General Services (the “Department”),
I hereby state that the proposed Modification No. 2 to the Contract for Design-Build Services for
Congress Heights Recreation Center (DCAM-23-CS-RFP-0004) (the “Contract”) with GCS, Inc. DBA
GCS-SIGAL (the “Contractor”), in the amount of$14,315,249.20 is consistent with the Department’s
current budget and that adequate funds are available in the budget for the expenditure.
Per the Department’s Contracts & Procurement (“C&P”) team, the underlying Contract was deemed
approved by the Council on June 26, 2025, as CA 26-0261, executed by the Department on July 10,
2025, for Early Start Agreement No. 1 and established the Not to Exceed (“NTE”) $14,630,600.80
(including the Letter Contract NTE amount of $999,000.00). Modification No. 1, executed on March
3, 2026, was an administrative change to the Contract. The proposed Modification No. 2, if approved,
will establish the final Guaranteed Maximum Price (“GMP”) and would increase the Contract’s NTE
by $14,315,249.20 from $14,630,600.80 to $28,945,850.00 (Final GMP) and would authorize the
Contractor to complete the Project. As the proposed amount of the Modification is $1 million or more,
Council approval is required for this Contract action.
While the total amount $14,315,249.20 is being approved for capital eligible items only, there is an
ineligible amount of $434,458.49, listed in Exhibit G of the GMP Amendment. See the ineligible
column. These items are ineligible for capital expenditure, per the District Guidelines. The
goods/services are needed in FY2026. There should be no purchases, commitments, or expenditures
for these items, until operating funds are available, via a purchase order for the same amount. In no
event shall the Contractor be entitled to perform any work against these items unless authorized in
advance and in writing by a duly authorized DGS Contracting Officer through a modification of the
contract. Unless and until such modification is executed by a duly authorized DGS Contracting Officer,

INTENT, INTERPRETATION AND CORRELATION
Section2.1IntentoftheAgreement,TheintentoftheAgreementisfortheDesign-Buildertoperformandsupply,andtheDepartmentherebyengagesDesign-BuildertoandDesignBuilderherebyagreestoperformandsupply,theWork,includingallnecessarydesignservices,scheduling,procurement,supervision,construction,andconstructionmanagementservicesandsupplyallnecessarylabor,materials,equipmentandrelatedworkandservicesnecessarytofullycompletetheWorkandobtaintheintendedresultsoftheContractDocuments,including,butnotlimitedtotherequirementsoftheProjectScheduleandtheGuaranteedMaximumPricerequirementssetforthinArticleIabove.TheenumerationofparticularitemsintheSpecificationsand/orDrawingsshallnotbeconstruedtoexcludeotheritems.TheContractDocumentsarecomplementary,andwhatisrequiredbyanyoneoftheContractDocuments(includingeithera DrawingorSpecification)asbeingnecessarytoproducetheintendedresultsshallbebindingandrequiredasapartoftheWorkasifrequiredbyallContractDocuments,
Section2.2Design-Builder’sCompliance with Contract Documents.Design-Builder
agrees,acceptsandassumesthattheDepartment'sdecisionwillrequireimplementationofthemoststringentrequirementsamonganyconflictingprovisionsoftheContractDocumentsasbeingpartoftheWork.TheDesign-BuilderagreestobeboundbyalldecisionsbytheDepartmenttoimplementthemoststringentofanyconflictingrequirementswithintheContractDocuments.AnyfailurebyDesign-BuildertoseeksuchclarificationsshallinnowaylimittheDepartment'sabilitytorequireimplementation,includingreplacementofinstalledWorkatalaterdateatDesign-Builder’ssoleexpense,toachievecompliancewiththemorestringentrequirements.Withoutlimitingthegeneralityoftheforegoing,theDesign-Builderherebyagreesasfollows:
2.2.1ThefailureoftheDepartmenttoinsistinanyoneormoreinstancesuponastrictcompliancewithanyprovisionofthisAgreement,ortoexerciseanyoptionhereinconferred,shallnotbeconstruedasawaiverorrelinquishmentoftheDepartment'srightthereaftertorequirecompliancewithsuchprovisionofthisAgreement,orasbeingawaiveroftheDepartment'sright
thereaftertoexercisesuchoption,andsuchprovisionoroptionwillremaininfullforceand effect.
2.2.2IfthereisanyinconsistencyintheDrawingsoranyconflictbetweentheDrawings
andSpecifications,Design-BuildershallprovidethebetterqualityorgreaterquantityofWork
ormaterials,asapplicable,unlesstheDepartmentdirectsotherwiseinwriting
2.2.3Design-BuildershallberesponsiblefordividingtheWorkamongtheappropriate
SubcontractorsandVendors.No claimwillbeentertainedbytheDepartmentbasedupon
theorganizationorarrangementoftheSpecificationsand/ortheDrawingsintoareas,
sections,subsectionsortradedisciplines.
2.2.4Detaildrawingsshalltakeprecedenceoverscaledrawings,andfigureddimensions
on theDrawingsshallgovernthesettingoutoftheWork.
2.2.5Unless the Specificationsexpresslystateotherwise,referencesto documents and
standardsof professionalorganizationsshallmean the latesteditionspublished priorto
the EffectiveDate.
2.2.6Technicalwords,abbreviationsandacronymsintheContractDocumentsshallbe
usedandinterpretedinaccordancewithcustomaryusageintheconstructionindustry,

TheDesign-BuilderrepresentsthatitisfamiliarwiththescopeandqualityoftheProject,and
hastakensuchscopeandqualitymattersintoconsiderationinpreparingeachcomponentoftheGuaranteedMaximumPrice.TheDesign-BuilderagreestoworkwiththeDepartment
inmanagingtheconstructionanddesignworktocompletetheProject.
ARTICLE 5
MISCELLANEOUS PROVISIONS
Section5.1PriorAgreementUnaffected,Exceptasexpresslyagreedtoherein,allof
the terms,conditions,representationsand warrantiessetforthin the Agreement shallremain
unaffectedand in fullforceand affect.
Section5.2IntegratedAgreement,ThisAmendmentandanyattachmentheretosetforth
theentireagreementand understandingof thepartiesregardingthetransactionscontemplated
herebyandsupersedeallpriororalandwrittenagreements,arrangementsandunderstandingsrelatingtothesubjectmatterhereof,Therearenooralorwrittenagreementsorunderstandings,representationsorwarrantiesamongthepartiesotherthanthosesetforthherein.
Section5.3Counterparts,ThisAmendmentmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedtobeanoriginal,butallofwhichshallbeconsideredoneandthesameinstrument.
Section5.4Construction,ThisAgreementshallbeconstruedfairlyastoallpartiesandnotinfavoroforagainstanyparty,regardlessofwhichpartypreparedtheAgreement.
