the proposed Contract No. DCAM-25-CS-RFQ-0003U with Olan Williams & Associates LLC,
with the not- to-exceed maximum amount of $15,000,000.00. The period of performance is one
year from the date of award.
Under the proposed contract, Olan Williams & Associates LLC will perform Construction, Repair,
and Replacement (“CRR”) services as awarded via Task Orders at lump sum prices or such other
pricing as may be requested by the Department of General Services (“DGS”) for the proposed
work at various District of Columbia-owned properties within the DGS construction portfolio and
maintenance facility locations.

The term of the Basic Ordering Agreement (“BOA”) will be for a period of one (1) base
year with an option to extend for four (4) additional one (1) year option periods. For the
Base Year and each Option Year:

Under the proposed contract for Construction, Repair, and Replacement (“CRR”) services
(DCAM-25-CS-RFQ-0003U) (the “Contract”), Olan Williams & Associates LLC (the
“Contractor”) will perform CRR services as awarded via Task Orders at lump sum prices
or such other pricing as may be requested by the Department of General Services (the
“Department” or “DGS”) for the proposed work at various District of Columbia-owned
properties within the DGS construction portfolio and maintenance facility locations.
In general, this work includes: (i) electrical, mechanical, and plumbing services; (ii)
concrete and masonry services; (iii) painting services; (iv) fire, life safety, health, and food
code updates; and (v) other miscellaneous work as may be necessary and shall be
performed on an as-directed/as-needed basis. It is contemplated that the work required for
these projects will be further detailed and released through competitive task orders pursuant
to indefinite quantity/indefinite contracts awarded through this procurement.
The proposed Contract does not authorize any specific work by the Contractor. All work
will be awarded and released on a competitive basis through individual project task order
agreements, as set forth in the Contract. Since the aggregate NTE amount of the proposed
Contract for the Base Year and each of the four (4) one-year Option Years exceeds $1
million, Council approval is required for this contract action.
(D) The selection process, including the number of offerors, the evaluation criteria, and
the evaluation results, including price, technical or quality, and past performance
components:
On April 24, 2025, the Department issued a Request for Qualification (“RFQ”) to solicit
Statements of Qualifications (“SOQs”) from those entities (“Offerors”) interested in
performing CRR services . The RFQ was posted on the OpenGov portal. A project
information meeting was held on April 30, 2025. Two (2) Addenda were issued as follows:

Addendum No. 2, Issued on May 21, 2025
Extended the SOQ Delivery Date to May 30, 2025, 2:00 pm.
On May 30, 2025, the SOQs delivery date, fifty- one (51) Offerors submitted proposals in
a timely manner.
The SOQ submissions were evaluated by a Technical Evaluation Panel (“TEP” or “Panel”),
in accordance with the criteria set forth in the RFQ.
There were four (4) technical categories equating to a 100-point scale as follows:
I. Past Performance, Experience & References (25 Points);
II. Key Personnel (25 points);
III. Project Management Plan (40 Points); and
IV. Capacity (25 points).
In addition, Certified Business Enterprise Preference Points (up to 12 points) were
included.
After the Panel members completed their individual evaluations of the SOQs, the Panel
met on November 12 and 13, 2025, to develop the consensus technical score for each
Offeror. In developing and reaching the consensus score, the Panel discussed the details of
each of the SOQs in light of the evaluation factors and sub-factors.
Offerors that scored 70 points or higher were selected as qualified contractors for the
award. The Contracting Officer reviewed TEP’s technical scoring and the SOQs submitted
and determined that thirty-one (31) contractors out of fifty- one (51), including Olan
Williams & Associates LLC, were selected for award of the proposed BOAs.
(E) A description of any bid protest related to the award of the contract, including
whether the protest was resolved through litigation, withdrawal of the protest by the
protestor, or voluntary corrective action by the District. Include the identity of the
protestor, the grounds alleged in the protest, and any deficiencies identified by the
District as a result of the protest:
The contract award was not protested.
(F) The background and qualifications of the proposed contractor, including its
organization, financial stability, personnel, and performance on past or current
government or private sector contracts with requirements similar to those of the
proposed contract:
The Contractor is a CBE minority -owned business with a mission to provide reliable,
dependable construction and project management . Founded in 2021, The Contractor is

passionate about providing outstanding construction services through integrated team
approaches that encourage early involvement in the design and procurement phases,
delivering better project outcomes for each client. The Contractor has been determined
responsible in accordance with 27 DCMR 4706.1
(G) A summary of the subcontracting plan required under section 2346 of the Small,
Local, and Disadvantaged Business Enterprise Development and Assistance Act of
2005, as amended, D.C. Official Code § 2-218.01 et seq. (“Act”), including a
certification that the subcontracting plan meets the minimum requirements of the Act
and the dollar volume of the portion of the contract to be subcontracted, expressed
both in total dollars and as a percentage of the total contract amount:
Pursuant to the Contract, competitive task order agreements will be issued for projects on
an as-needed basis. The Contractor is a Certified Business Enterprise in accordance with
the Act (Certification No. LSDZ54044112027). As appropriate, subcontracting plans will
be submitted for review and approval for each task order agreement with a value of
$250,000.00 or more.
(H) Performance standards and the expected outcome of the proposed contract:
In general, the Contractor will provide a range of small, medium and large -sized CRR
services as awarded via Task Orders at lump sum prices or such other pricing as may be
requested by the Department for the proposed work at various District of Columbia-owned
properties within the DGS construction portfolio and maintenance facility locations. These
services will generally include a range of general construction and facility maintenance
projects for such project locations , which include schools, parks and recreation facilities,
municipal buildings, fire and police stations, short-term family housing, tenant fit-out type
work, small park/playground work, pools, and any other public locations. Such work shall
be performed on an as-directed/as-needed basis and must be completed by the substantial
completion date specified in each competitively bid Task Order Agreement.
(I) A description of any other contracts the proposed contractor is currently seeking or
holds with the District:
None.
(J) The amount and date of any expenditure of funds by the District pursuant to the
contract prior to its submission to the Council for approval:
None.
(K) A certification that the proposed contract is within the appropriated budget authority
for the agency for the fiscal year and is consistent with the financial plan and budget
adopted in accordance with D.C. Official Code §§ 47-392.01 and 47-392.02:
The Office of the Chief Financial Officer has certified that the guaranteed minimum value
of $50 of the proposed contract is within the appropriated budget authority for the agency
and is consistent with the financial plan and budget adopted in accordance with D.C.

Official Code §§ 47-392.01 and 47-392.02. The applicable Fiscal Sufficiency accompanies
this Council package.
(L) A certification that the contract is legally sufficient, including whether the proposed
contractor has any pending legal claims against the District:
The proposed Contract has been deemed legally sufficient by the Department’s Office of
the General Counsel, and the Contractor does not appear to have any currently pending
legal claims against the District.
(M) A certification that the Citywide Clean Hands database indicates that the proposed
contractor is current with its District taxes. If the Citywide Clean Hands Database
indicates that the proposed contractor is not current with its District taxes, either: (1)
a certification that the contractor has worked out and is current with a payment
schedule approved by the District; or (2) a certification that the contractor will be
current with its District taxes after the District recovers any outstanding debt as
provided under D.C. Official Code § 2-353.01(b):
The Citywide Clean Hands database indicates that the Contractor is current with its District

(N) A certification from the proposed contractor that it is current with its federal taxes,

THIS BASIC ORDERING AGREEMENT ("Agreement" or "Contract" or "BOA") is made by
and between the DISTRICT OF COLUMBIA GOVERNMENT, acting by and through its
DEPARTMENT OF GENERAL SERVICES (the "Department" or "DGS") and OLAN
WILLIAMS & AS SOCIA TES LLC duly organized under the laws of Washington, DC and with
a place of business at 100 M Street, SE, Suite 680 #4, Washington, DC 20003 (the "Contractor"
and collectively with the Department, the "Parties").
ARTICLE 1
NATURE OF AGREEMENT
Section 1.1 Nature of Agreement. This Agreement is issued pursuant to the Department's
Request for Qualification for Construction, Repair & Replacement ("CRR") Services (Solicitation
Number DCAM-25-CS-RFQ-0003) (the "RFQ"), and the Contractor, by virtue of this Agreement,
shall be included on the Department's roster of contractors to be eligible to compete, as set forth in
Section 1.3 of this Agreement, with other pre-qualified contractors on construction, maintenance
and repair services projects for various District of Columbia owned properties within the DGS
construction portfolio and maintenance facility locations ("Project Locations"). This Agreement
does not authorize any specific work or constitute a guarantee that any work will be assigned
to the Contractor. All work will be awarded and released through individual project Task
Orders as set forth in Section 1.4 of this Agreement.
Section 1.2 The term Agreement shall include this Contract, any and all Task Orders, the
Department's Standard Contract Provisions (Construction and Architectural/Engineering, if
applicable), as amended, attached hereto as Exhibit Al and Exhibit A2, all other exhibits attached
hereto, and/or any document incorporated by reference.
Section 1.3 Competitive Bidding.
Section 1.3.1 For each project identified and funded by the Department to be competed
among the Contractors that entered into a basic ordering agreement ("BOA") pursuant to the RFQ,
the Department will develop a scope of work. The scope of work will be issued to three (3) or
more of the Contractors via a Request for Task Order Proposals ("RFTOP"), and in most cases,
each of those contractors will be provided with an opportunity to walk the project with the
Department's representatives in order to better understand and clarify the required work. Off erors
must ensure they have sufficient capacity to meet the contract requirements prior to
submitting their proposal. An offeror that lacks adequate capacity may be excluded from
evaluation and deemed ineligible for an award.
Section 1.3.2 The Department contemplates that the scopes of work that will be issued to
Contractors during the bidding phase will not include complete drawings. The Parties
acknowledge and agree that the Contractors may be required to complete work on a design-build
or design-assist basis or any such other method as described in the RFTOPs.
Section 1.3.3 Each contractor will be required to submit, within the time allotted by the
Department, a lump sum price, guaranteed maximum price ("GMP"), or such other pricing as may
be requested by the Department for the proposed work (such price, "Task Order Price"). Absent

specificinstructionstothecontrary,proposedTaskOrderpricingshouldbe“allinclusive”and
shouldincludesufficientfundingtocoveralloftheContractor'scostsnecessarytocompletethe
project,including,butnotlimitedto,profit,homeandfieldofficeoverhead,supervision,labor,
materials,equipment,bonds,insuranceandanyotherprofessionalservicesasmayberequiredto
completethedesign,othertypeofworkortoobtainthenecessarypermits.
TheContractorshallberesponsibleforusingthethen-currentDavis-Baconwage
determinationorServiceContractAct(asapplicable)whendevelopingitspricingforany
givenproject.
Section1.3.4TheDepartmentwillselecttheContractortobeawardedeachsuchproject
primarilybasedonprice,buttheDepartmentreservestherighttoconsidernon-pricefactorswhen
makingsuchdecisionsandwillalsoconsiderdifferencesinscopeand/orproposedfinishes,
equipment,andmaterials.RFTOPswilldetailtheawardcriteriafortheproject.
Section1.3.5IntheeventtheContractorisselectedforaproject,theContractorshallenter
intoaTaskOrderAgreement(“TaskOrderAgreement”).TheContractorshallnotproceedwith
anyworkunlessanduntilsuchTaskOrderAgreementisfullyexecutedbytheDepartment's
ContractingOfficer(“ContractingOfficer”or“CO”)andtheContractorisdirectedtobeginwork.
BeforetheDepartmentexecutestheTaskOrderAgreement,theContractorsmustresolveanyclean
handcompliancematterswithrelevantauthorities,including,butnotlimitedto,theDistrictof
ColumbiaOfficeofTaxandRevenue(“OTR”).
Section1.4TaskOrdersAgreement,AnyandallworkperformedundertheoranyTask
Order(ExhibitE),issuedpursuanthereto,shallbegovernedbythetermsandconditionssetforth
intheBOA.ItiscontemplatedthatindividualTaskOrdersshall,ingeneral,containthefollowing
information:(i)adescriptionofthescopeofworkincludedinsuchTaskOrder;(ii)alumpsum
priceand/orsuchothertermsofcompensationfortheworkincludedintheTaskOrder’sscopeof
work;(iii)theSubstantialCompletionDatefortheTaskOrder’sscopeofworkand/orsuchother
schedulerequirementsforTaskOrder;(iv)liquidateddamages;(v)nameandcontactinformation
fortheassignedProgramManagerandProjectManager(eacha“PM”);and(vi)anyotherspecific
requirementsofthescopeofwork.TheTaskOrdershallalsosetforthageneraldescriptionand
requirementsofthegivenproject(suchdescriptionandrequirements,the“Project”).
Section1.5‘TermofAgreement.TheAgreementshallbeeffectivefromthedateof
executionbybothpartiesthroughoneyearfromsuchdate(suchtimeperiod,the“Term”).Any
andallworkassignedtotheContractorpursuanttoaTaskOrderissuedpursuanttotheAgreement
‘mustbecompletedwithintheTermoftheAgreement,andnolaterthantheSubstantialCompletion
DateidentifiedintheindividualTaskOrderAgreement.

ofthisAgreementforfour(4)one-yearoptionperiods(eachsuchperiod,an“OptionYear”),the
firstofwhichwouldbeginonthedatethatthebaseyearTermexpiresandendoneyearfromthe
datethatsuchTermexpires;thesecondofwhichwouldbeginonthedatethatOptionYear001
expiresandendoneyearfromthedatethatOptionYear001expires;thethirdofwhichwould

Section1.8MinimumValueofAgreement,TheContractorshallbeentitledtoreceive

Section1.9Not-to-ExceedMaximumValueofAgreement.Inaddition,thisAgreement
hasanaggregatenot-to-exceedamountofFifteenMillionDollars($15,000,000.00)(the“NTE
Amount”).ItisunderstoodthattheContractorisnotauthorizedtoproceedwithanyworkbased
solelyonthisAgreement.AnyandallworkperformedunderthisAgreementshallbeauthorized
byawrittenTaskOrderAgreement.InnoeventshalltheContractorbeentitledtorecoverinthe
aggregate,pursuanttothisAgreementandanyandallTaskOrderAgreementsissuedpursuant
hereto,morethantheNTEAmount,unlessanduntiltheDepartment'sContractingOfficerhas
authorizedtheContractortoexceedtheNTEAmountinadvanceandinwritingthroughaduly
executedChangeOrdertothisAgreement.Inaddition,eachOptionYearshallhavethesamevalue
asthebaseperiod;thus,foreachOptionYearexercisedbytheDepartment,theminimumvalueof
serviceswillbeFiftyDollars($50)andanaggregateNTEAmountofFifteenMillionDollars

GENERAL PROVISIONS
Section2.1RelationshipofParties.TheContractoracceptstherelationshipoftrustand
confidenceestablishedwiththeDepartmentbythisAgreement,andcovenantswiththe
DepartmenttofurnishtheContractor’sreasonableskillandjudgmentandtocooperatewiththe
ProgramManagerinfurtheringtheinterestsoftheDepartment.TheContractorshalluseitsbest
effortstoperformtheProjectinanexpeditiousandeconomicalmannerconsistentwiththe
interestsoftheDepartment.
Section2.2GeneralScopeofProject.TheDepartmentanticipatesthattheprojects
assignedthroughTaskOrderspursuanttothisAgreementwillbeconstruction,repair,and
replacementservicesforvariousDistrictofColumbia-ownedpropertieswithintheDGS
constructionportfolioandmaintenancefacilitylocations(“ProjectLocations”).Suchworkmay
include,butisnotlimitedto:(i)electrical,mechanicalandplumbingservices;(ii)concreteand
masonryservices;(ii)paintingservices;(iv)fire,lifesafety,healthandfoodcodeupdates;and(v)
othermiscellaneousworkasmaybenecessaryandshallbeperformedonanasdirected/asneeded
basisandmustbecompletedbythesubstantialcompletiondatesspecifiedineachcompetitively
bidTaskOrderAgreement.Theseserviceswillgenerallyincludearangeofgeneralconstruction
andfacilitymaintenanceprojectsforsuchProjectLocations,whichincludeschools,parksand
recreationfacilities,municipalbuildings,fireandpolicestations,short-termfamilyhousing,tenant
fit-outtypework,smallpark/playgroundwork,pools,andanyotherpubliclocations.Suchwork
shallbeperformedonanasdirected/asneededbasisandmustbecompletedbytheSubstantial
CompletionDatespecifiedineachcompetitivelybidTaskOrderAgreement.
Section2.3CompletionDate,SubjecttotheExcusableDelayprovisionsofthis
Agreement,theContractoragreestosubstantiallycompletetheProjectonorbeforethedateset
forthintheindividualTaskOrderforanygivenproject.
Section2.4ProgramManagerandProjectManager.TheDepartmentshallassignaProgramManagerandProjectManager(each,a“PM”)tooverseetheContractor'sworkunderany
TaskOrder.ThenameandcontactinformationfortheassignedPMswillbespecifiedinthe
applicableTaskOrder.TheContractorshalltakedirectionfrom,andcoordinateitsworkwith,theassignedPMs.TheContractorwillberequiredtodevelopworkplansthatarecoordinatedwith,
andacceptableto,thePMsassignedtoeachproject.TheContractoracknowledges,however,
thattheProgramManagerandProjectManagershallnotbeauthorizedtomodifyanyoftherightsorobligationsoftheDepartmentortheContractorpursuanttotheAgreement,
ortoissueTaskOrders,ChangeOrders,orChangeDirectives.TheContractorhereby
acknowledgesandagreesthatonlyadulyauthorizedcontractingofficeroftheDepartmentshallhavetheauthoritytoissueTaskOrders,ChangeOrdersorChangeDirectivesonthe
Department’sbehalf,
Section2.5 AdministrativeMatters
Section2.5.1UseofDGS ProjectManagementTools (ProjectTeam).Awarded
ContractorshallutilizetheDepartment'scurrentprojectmanagementsoftware,ProjectTeam,to
submitanyprojectdocumentationrequiredtobeprovidedbytheContractorfortheProject,
including,butnotlimitedto:(i)requestsforinformation;(ii)submittals;(iii)meetingminutes;
(iv)invoices/applicationsforpayment(fullpackageincludingallformsrequiredbyDGS);(v)certifiedpayrolls(inadditiontouploadviaLCPTracker);(vi)drawingsandspecifications;(vii)

GMP andanySubmissionsthatrequireapprovalbyDC Council(viii)punchlist;and(ix)other
ProjectdocumentsasmaybedesignatedbytheDepartment.
ElectronicstorageandtransmissionofinformationviaProjectTeamsystemshallbecompliant
withtheprovisionsofDGSdocumentsecurity.
Section2.5.2InvoiceSubmittal.TheContractorshallcreateandsubmitpaymentrequests,
inanelectronicformatthroughtheDCVendorPortal,https://vendorportal.dc.gov.TheContractor
shallsubmitproperinvoicesonamonthlybasis.Toconstituteaproperinvoice,theContractor
shallenterallrequiredinformationintothePortalafterselectingtheapplicablepurchaseorder
number,whichislistedontheContractor’sprofile.
Section2.6CentralOffice.DuringtheTermofthisAgreement,theContractorshall
maintainacentralofficethatisstaffedbetweenthehoursof7a.m.and5p.m,Mondaythrough
Friday.ThisofficewillbeusedtomanageworkassociatedwiththisAgreement.Aseparateoffice
doesnotneedtobeestablished,anditisacceptableiftheContractorelectstorunprojectsfromits
currentoffice.Theofficeshouldbeequippedwithtelephonelines,afaxmachine,email,accessto
theinternet,andsuchotherequipmentandsuppliesasarenecessarytofulfilltheworkrequired
underthisAgreement.
Section2.7 Coordinationwith DGS
Section2.7.1WorkingHours.TheContractorisrequiredtocoordinatewiththeassigned
ProjectManagerforeachindividualproject.Theworkmaybeperformedduringnormalbusiness
hours;however,theContractormayberequiredtoworkafterhoursoronweekendsandholidays
soasnottoadverselyimpacttheworkoftheDistrictofColumbiaemployeesand/orcontractors.
TheContractorwillbaseitsbidonnormalworkinghours;off-peakrateswillbehandledonacase-
by-casebasisduringpricenegotiationsforprojectsrequiringworkafternormalbusinesshours.
TheContractorwillberequiredtodevelopworkplansthatarecoordinatedwith,andacceptable
to,theProjectManagerand/ortheProgramManagerassignedtotheTaskOrder.Ifworkistobe
performedinanoccupiedfacility,theContractorwillberequiredtosubmitaninitialcoordination
plan(“CoordinationPlan”)withitsTaskOrderproposalfortheproject,describinghowthe
ContractorwillworkwiththeDepartmentandthefacilityoccupantstoensurethattheproject
proceedssmoothlyinordertominimizeimpactonfacilityoperations.SuchaCoordinationPlan
wouldbeevaluatedaspartofthebiddingprocessdescribedinSection1.3above.
Section2.7.2Supervision& Coordination,TheContractorshallproperlysuperviseand
coordinateitswork.Ataminimum,theContractorwillundertakethefollowingtasks:
(1) ParticipateandassistinProject/Planningmeetings;
(2) Maintainfull-timeon-siteconstructionsupervisionandprovidedailyinspections,
qualitycontrol,monitoring,coordinationofvarioustrades,recorddrawings,and
dailyworklog;
(3) Coordinateworkwithanyon-sitepersonnelsoastoensurethattheiractivitiesare
notadverselyaffected;
(4) ConductperiodicprogressmeetingsfollowingaContractor-generatedagendawith
theProgramManager;

PRECONSTRUCTION DELIVERABLES
Section3.1Schedule,Withinseven(7)daysoftheissuanceofa NoticetoProceed
(“NTP”)foranyTaskOrderawardedbytheDepartment,theContractorshallberequiredtosubmit
totheDepartmentforitsapprovalaschedulefortheproject.Suchscheduleshallincludeaschedule
forsubmittalsandkeymilestonesthatarereasonablyacceptabletotheProjectManager.The
ContractorshallnotbeginanyconstructionactivitiesuntiltheProjectManagerhasapproveda
schedulefortheTaskOrder.UnlessotherwiseauthorizedbytheTaskOrder,priortomobilizing
totheProjectsiteandcommencingwork,theContractorshallcompletethoseactivitiessetforth
inthisSection3.1,includingSections3.2,3.3,3.4,3.5,5.13,5.14,and 5.15.
Section3.2.PotentialSubcontractorsandSuppliers.Withinthetimeframespecifiedin
eachTaskOrder,andafterissuanceofaTaskOrderbytheDepartment,theContractorshallfurnish
totheProjectManageralistofthesubcontractorsandsuppliersthatwillworkonthisProject,as
wellasageneraldescriptionofeachsuchsubcontractor’sscopeofwork.Withinfive(5)business
daysaftersuchlistissubmitted,theProjectManagershalladvisetheContractorifithasany
objectiontoanyofthelistedsubcontractorsorsuppliers.IntheeventtheProjectManagerhasa
reasonableobjectiontoanysuchsubcontractororsupplier,thepartiesshalldiscusssuchobjection
andagreeonanappropriatecourseofaction.
Section3.3DesignServices.PriortoprovidingitsbidforaTaskOrderAgreement,the
Contractorwillhaveanopportunitytoreviewandaskquestionsregardingthescopeofworkfor
theTaskOrderandtoascertainwhatdesignservices,ifany,arenecessaryinordertocompletethe
Projectandwhichwillbeincludedinitspricethecostsofanynecessarydesignservices,andthe
Contractorshallberequiredtoprovide,atnoadditionalcosttotheDepartment,suchdesign
servicesasarenecessarytoimplementtheProject.TheContractorandtheProjectManagershall
agreeupontheexactdesignservicestoberequiredpriortothecommencementofconstruction
services.
Section3.4DesignReviews/Submittals.Onorbeforethedatesspecifiedintheapproved
detailedschedule(seeSection3.1),theContractorshallsubmitthenecessarydesigninformation
(ic.permitdrawings,shopdrawings,submittals,sketches,etc.)totheProjectManagerforreview
andapproval.Unlessadifferenttimeframeisestablishedintheapproveddetailedschedule,the
ProjectManagershallhavefive(5)businessdaystoreviewsuchdocuments.Intheeventthe
ProjectManagerfindssuchdocumentstobeunacceptable,theContractorshallberequiredto
reviseandresubmitsuchdocuments.TheContractorshallnotcommenceconstructionactivities
unlessanduntilsuchdocumentshavebeenapprovedbytheProjectManager.Anydelaysthatresult
fromdesignresubmissionsshallbeconsideredNon-Excusable.Inaddition,theContractorshall
coordinatewiththeProgramManagerandtheDepartment'sarchitect/engineer(ifapplicable)with
respecttorequestsforinformation(“RFIs"),architect'ssupplementalinstructions,andother
constructionadministration,aswellastheDistrictofColumbiaHistoricPreservationReview
Board(*DCHPRB”)andCommissionofFineArts(“CFA”),asrequired.
Section3.5.Permits.UnlessotherwisespecifiedintheTaskOrder,itisunderstoodthat
theContractorshallberequiredtosecureandpayforanyandallpermits,governmentalfees,
licenses,andinspectionsnecessaryfortheexecutionandcompletionofthework.TheDepartment
shallcooperatewiththeContractorinsecuringsuchpermits,licenses,andinspections;provided,
however,theDepartmentshallnotberequiredtopaythefeesforsuchpermits,licenses,and
inspectionsunlessotherwisenotedintheTaskOrder.Thecostsofanysuchfeesorinspectionsare
includedintheTaskOrderPrice.

CONTRACT SUM
Section4.1LumpSumPriceorOtherTermsofCompensation.Fortheworkcovered
byanygivenTaskOrder,theContractorshallbepaidthelumpsumprice,GMP,orothertermsof
compensationsetforthintheTaskOrder(“ContractSum”),tofullycompletetheProject.
Section4.2.NatureoftheContractSum,TheContractoracknowledgesandunderstands
thattheContractSumisbasedonthescopeofworkincludedwiththeProjectTaskOrder.Itis
understoodandagreedthattheContractSumrepresentstheContractor'spaymenttofullycomplete
theProject.ThepartiesacknowledgeandagreethatitistheirintenttohavetheContractorconstruct
anddeliverafullyfunctionalProjectascontemplatedintheScopeofWorkfortheContractSum
andconsistentwiththeProjectSchedule.Infurtheranceofsuchintent,theContractorhereby
‘assumestherisksassociatedwithandshallberesponsiblefor(i)anychangesinmarketconditions
thataffectthecostoflaborormaterials;(ii)coordinationissuesbetweenanydrawingsforthe
Project;(ii)elementsofworknotshownontheScopeofWork,butwhicharereasonablyinferable
fromtheScopeofWork;(iv)costassociatedwithaccelerationoftheworkandexpeditingof
materialsnecessarytomeettheProjectSchedulewhicharetheresultofanythingotherthanan
ExcusableDelay;and(v)theriskofsubcontractordefault.
Section4.3RisksAssumedbyContractor.Bysubmittingabidforanyproject,the
ContractorshallbedeemedtohavethoroughlyexaminedthetermsoftheRFTOP,theDrawings
andSpecificationsthatmaybeincludedwiththeRFTOP,andshallconstituteitsacknowledgement
thatithasbeenprovidedwithanopportunitytovisittheProjectsiteandthatsuchOfferorhashad
theopportunitytobecomefamiliarwithlocalconditionsunderwhichtheworkistobeperformed.
Further,insubmittinganysuchbid,theOfferorshallbedeemedtorepresentthatithassatisfied
itselfthatitcanundertaketheworkforthestatedcost.Amongotherthings,bysubmittingabid,
theOfferorassumesthefollowingrisks:(1)thenatureofthelandandsubsoilunlesssuchconditions
constituteaDifferingSiteConditionunderArticle4.AoftheStandardContractProvisionsfor
ConstructionContracts;(2)theformandnatureofthesiteandsurroundingareas;(3)detailsand
levelsofexistingpipelines,conduits,sewers,drains,cablesorotherexistingservices;(4)the
quantities,natureandavailabilityofthematerials,tools,equipmentandlabornecessaryforthe
completionofthework;(5)themeansofaccesstothesiteandanyaccommodationthatmaybe
required;(6)uncertaintiesofweatherandphysicalconditionsatthesite;andingeneraltohave
itselfobtainedallnecessaryinformationastoriskcontingencies,climatic,hydrologicalandnatural
conditionsandothercircumstanceswhichmayinfluenceoraffecthisperformanceofthework.
Section4.4Allowances.TotheextentthattheContractSumrelatedtoaTaskOrder
includesoneormoreallowances,suchallowancesshallbereflectedontheScheduleofValues
attachedtosuchTaskOrder.TheContractSumassociatedwiththatTaskOrdershallbeadjusted
(citherupwardordownward)bychangeordertoreflecttheactualcostoftheworkcoveredby
suchallowance.However,theContractorshallnotexceedtheallowanceamountspecifiedineach
TaskOrderAgreementwithouttheContractingOfficer'sapproval.
Section4.5TaxExemptStatus.TheDepartmentexpectsthattheProjectwillqualifyas
tax-exemptundertheapplicablelaws,andsuchtaxexemptionshallbereflectedintheContract
Sum.

Section5.1GeneralTheConstructionphasefortheworkcoveredbyaTaskOrder
AgreementshallcommencewhentheProjectManagerissuesanNTPforConstruction.The
Contractorshallconstructtheworkdescribedontheapproveddesignsubmittals,includingany
workthatisnotspecificallyshownthereonbutisreasonablyinferabletherefromornecessaryfor
afullyfunctioningProject.Theworkshallbecarriedoutinaworkmanlikeandtimelyfashion.All
materialsandequipmenttobeincorporatedintotheProjectshallbenewandpreviouslyunused,
unlessotherwisespecified,andshallbefreeofmanufacturingorotherdefects.
Section5.2.MandatorySubcontractProvisions.TotheextenttheContractorintendsto
subcontractaportionofthework,anysubcontractinexcessof$25,000.00shallincludethe

maysimilarlyterminatethesubcontractorsupplyagreementforconvenience,upon

Subcontractororsuppliershall,insuchacase,beentitledonlytothecostssetforth
intheTerminationforConvenienceprovisionsofthisAgreement;

Section5.3CertifiedSubcontractors.The Contractorshallnotsubstituteorreplaceany
Subcontractoror suppliercertifiedby theDistrictof Columbia Department of Small and Local
BusinessDevelopment (“DSLBD” or“DepartmentofSmall and LocalBusinessDevelopment”)
withouttheDepartment'sContractingOfficerand theDirectorofDSLBD’s priorwrittenconsent.
Section 5.4 ment Joint Check in. rtain_Instan If it comes to the
Department'sattentionthataSubcontractororsupplierhasnotbeenpaidinatimelyfashion(other
thanfordisputedamounts),andiftheContractorfailstocuretheproblemwithinfive(5)calendar
daysaftertheDepartmentgivesitwrittennoticeofthefailuretopay,theDepartmentmaymake
paymentstotheSubcontractororsupplierandContractorbyjointcheck,ifpermissible.
Section5.5SiteObservations.TheContractorshallvisitthesite,becomefamiliarwith
localconditionsunderwhichtheworkistobeperformed,andcorrelatepersonalobservationswith
requirementsoftheAgreement,TaskOrder,andapproveddesignsubmittals,asprovidedforprojects
solicitedundertheRFTOPs.TheContractorshallcarefullystudyandcomparetheAgreement,
‘TaskOrder,andapproveddesignsubmittalswitheachotherandwithinformationfurnishedbythe
Department.Beforecommencingactivities,theContractorshall:(1)takefieldmeasurementsand
verifyfieldconditions;(2)carefullycomparethisandotherinformationknowntotheContractor
withtheAgreement,TaskOrder,andapproveddesignsubmittals;and(3)promptlyreporterrors,
inconsistencies,oromissionsdiscoveredtotheDepartment.Onceworkisstarted,theContractor
assumestheresponsibilityandcostsfortheworkandthecostofcorrectingworkpreviously
installed.Onceworkisstarted,Contractorassumestheresponsibilityandcostsfortheworkand
thecostofcorrectingworkpreviouslyinstalled.
Section5.6WarrantyoftheConstructionWork.TheContractorwarrantstothe
DepartmentthatmaterialsandequipmentfurnishedunderTaskOrderwillbeofgoodqualityand
newandpreviouslyunusedunlessotherwiseexpresslypermittedinwriting,andshallbefreeof
manufacturingorotherdefectsandthatfortheone(1)yearperiodfollowingtheSubstantial
CompletionDatetheconstructionworkwillbefreefromdefectsnotinherentinthequality
requiredorpermitted,andthattheworkwillconformtotheScopeofWorkand/oranyapproved
designdocuments.TheContractor'swarrantyexcludesremedyfordamageordefectcausedby
abuse,modificationsnotexecutedbytheContractor,improperorinsufficientmaintenance,
improperoperation,ornormalwearandtearandnormalusage.TheContractorandarepresentative
oftheDepartmentshallwalktheprojecttogethereleven(11)monthsaftertheSubstantial
CompletionDatetoidentifyanynecessarywarrantywork.IntheeventtheContractorfailsto
schedulesuchawalk,thewarrantyperiodshallbeextendeduntilsuchtimeastheContractor
schedulessuchawalk.
Section5.7ExtentofResponsibilityandSiteConditions.TheContractorshallbeentitledto
submitachangerequestfordifferingsiteconditionsonlytotheextentthatsuchconditionscould
nothavebeendiscoveredbyacompetentvisualinspectionofthesiteandareofanunusualnature
anddiffermateriallyfromthoseordinarilyencounteredandgenerallyrecognizedasinheringto

workofthecharacterprovidedforintheContract(suchcircumstances,“DifferingSite
Conditions”).ThetermDifferingSiteConditionsshallmeansubsurfaceconditionsonoradjacent

bytheContractor.ThetermDifferingSiteConditionsshallalsoincludeunknownphysical
conditionsatthesiteofanunusualnaturewhichdiffermateriallyfromthoseordinarilyencountered
andgenerallyrecognizedasinheringtoworkofthecharacterprovidedforinthisContract.Priorto
commencingconstruction,theContractorshallberequiredtoconductathoroughreviewofthe
Projectsiteandthesurroundingareaandshalldocumentitsfindings.IntheeventtheContractor

Section5.9ProgressMeetings.TheContractorshallscheduleandconductataminimum
bi-weeklyprogressmeetingsatwhichtheDepartment,theProgramManagerandtheContractor
andappropriatesubcontractorscandiscussthestatusofthework.TheContractorshallprepareand
promptlydistributemeetingminutes.
Section5.10WrittenReports.TheContractorshallprovidewrittenreportstotheProgram
‘Managerontheprogressoftheentireworkatleasteveryotherweek,including,butnotlimited
to,abaselinescheduleandscheduleupdateswithnarrativedemonstratingthecriticalpathofthe
ProjectinPrimaveraformat,TheContractorshallalsomaintainadailylogcontainingarecordof
weather,Subcontractorsworkingonthesite,numberofworkers,majorequipmentonthesite,
Workaccomplished,problemsencountered,andothersimilarrelevantdataastheDepartmentmay
reasonablyrequire.ThelogshallbeavailabletotheDepartment,thearchitect/engineer,andthe
ProjectManagerand/ortheProgramManager,andonamonthlybasis,acopyofthelogshallbe
submittedtotheDepartment.
Section5.11KeyPersonnel,TheOfferor’spersonnelshouldhavethenecessary
experienceandlicensestoperformtherequiredwork.Towardthatend,Offerorsshouldinclude
withintheirProposala descriptionofthestaffavailabletoperformthisworkandtheir
qualifications.
TheContractorwillnotbepermittedtoreassignanyofthekeypersonnelunlessthe
Departmentapprovestheproposedreassignmentandtheproposedreplacement.Whensubmitting
aTaskOrderproposal,ataminimum,theContractorwillberequiredtoproposeandcommittoone
ormorespecificProjectManagersandFieldSuperintendentsfortheparticularproject.Tocarry
outtheworkassociatedwiththeresultingTaskOrder,theContractorshallprovideatleastthekey
personnelidentifiedinitsproposal,whichshallbeincludedasanexhibittotheTaskOrder,and
indicatethefunction(s)eachwillcarryoutfortheproposedprojectandindicatewhatpercentage
ofeachsuchperson'stimewillbedevotedtotheTaskOrderproject.TheContractorshallnot
replaceanyofthekeypersonnelwithouttheDepartment'spriorwrittenapproval.
Section5.12WorkbySeparateContractors.TheDepartmentreservestherightto
performconstructionoroperationsrelatedtotheProjectwiththeDepartment'sownforces,andto
awardseparatecontractsinconnectionwithotherportionsoftheProjectorotherconstructionor
operationsonthesite.
Section5.13 SiteSafetyand Clean-Up. The Contractorwillbe required i)provide
a safeand efficientsite,with controlledaccess,includingtheinstallationand provisionof such

safetybarricades,enclosuresandoverheadprotectionasmayreasonablyberequiredbythe
DepartmentandasmaybenecessarytoensureasafeworkplaceorasmayberequiredbyOSHA

cleancondition;(ii)beresponsibleforthesecurityofitstools,equipmentandmaterialsthatare
storedatthesite;(iii)providewheelwashingstationsonsitesoastopreventtheaccumulationof
dirtandotherrefuseonthestreetssurroundingtheProjectsite;(iv)beresponsibleforsitesecurity;
and(v)beresponsibleforthecostoftemporarypowerusedduringtheconstructionoftheProject,
including,butnotlimitedto,thecostofinstallingsuchtemporarywiringasmayberequired.Such
safetyandclean-upshallinclude,butnotlimitedto,thefollowing:
Section5.13.1SafetyPlan.Priortothestartofconstructionactivities,theContractorshall
prepareasafetyplanfortheconstructionphaseconformingtoOSHA29CFR1926(suchplan,
the“SafetyPlan”).ThisplanwillbesubmittedtotheDepartmentforitsreviewandapproval
priortothecommencementofconstruction.Oncesuchaplanhasbeenapproved,theContractor
shallcomplywithitatalltimesduringconstruction.TheContractorshallberequiredtorevisethe
planasmaybereasonablyrequestedbytheDepartment.Thecostofrevisingandcomplyingwith
theplanshallnotentitletheContractortoaninereaseintheTaskOrderAgreementPrice.
Section5.13.1.1SafetyBarriers/Fences.AspartofitsresponsibilityforProjectsafety,
theContractorshallinstallsuchfencesandbarriersasmaybenecessary.TheContractorshall
developaplanthatdescribestheproposedseparationandthespecificnatureofthefencesand
barriersthatwillbeused.
Section5.13.1.2SiteSecurity.TheContractorshallberesponsibleforsitesecurityand
shallberequiredtoprovidesuchwatchmenasarenecessarytoprotectthesitefromunwanted
intrusion.
Section5.13.1.3Exculpation.TherightoftheDepartmenttocommentontheSafetyPlan
andthenatureandlocationoftherequiredfencesandbarriersshallinnowayabsolvethe
Contractorfromtheobligationtomaintainasafesite.
Section5.14Site LogisticsPlan,Priortothestartofconstructionactivities,theContractor
shallprepareaSiteLogisticsPlan.TheSiteLogisticsPlanshalladdress:(j)themannerinwhich
theContractorintendstoorganizethesite;(ii)thelocationanddescriptionofsitefencesandother
safetybarricadesintendedtopreventthepublicfromenteringthesite;(iii)thelocationof
constructionentrancesandwheelwashingstations;and(iv)parkingrestrictionsandproceduresthat
willapplytotheemployeesofContractoranditssubcontractors.
Section5.15QualityPlan,Priortothestartofconstructionactivities,theContractor
shallprepareaQualityPlan.TheQualityPlanshalladdress:(j)theprocessesemployedbythe
Contractortoensurequalityassurance;(ii)todeterminehowitemsarecheckedforqualityand
whichitemsneedtobechecked;(iii)listthespecificqualitymaterialsusedduringtheproject
includingstandards,guidelines,checklist,templates,procedures,userguidesandprocesses;and
howtheContractorwillhandledefectiveitems.

Section5.17SalvagedandStoredItems.TheContractorshallberesponsiblefor
salvagingandstoringallitemsasidentifiedbytheDepartmentinaccordancewithallapplicable
Districtlawsandregulations,afternotifyingtheDepartmentandreceivingtheDepartment’s
permissiontoproceed.

Section5.18 Sediment and Erosion Control. The Contractorshallbe responsiblefor
installingsedimentand erosioncontrolmeasures,inclusiveof,butnotlimitedto,siltfencing,inlet
protection,stabilizedconstructionentrances,and othercontrolmeasures.
Section5.19CuttingandPatching.TheContractorshallberesponsibleforcutting,
fitting,orpatchingrequiredtocompletetheWorkortomakeitspartsfittogetherproperly.All
areasrequiringcutting,fitting,andpatchingshallberestoredtotheconditionexistingpriortothe
cutting,fitting,andpatching.TheContractorshallnotdamageorendangeraportionoftheWork
orfullyorpartiallycompletedconstructionoftheDepartmentorseparatecontractorsbycutting,
patching,orotherwisealteringsuchconstruction,orbyexcavation.
Section5.20 CorrectionofWork.
Section5.20.1TheDepartmentshallbeatlibertytoobjectandtorequiretheContractor
toremoveforthwithfromtheProjectsiteandtheworkandtopromptlyreplacethesuperintendent,
anyforeman,technicalassistant,laborer,agent,representative,orotherpersonusedbythe
Contractorinorabouttheexecutionormaintenanceofthework,whointhesoleopinionofthe
Departmentismisconductinghimself,orisincompetentornegligentintheproperperformanceof
hisduties,orwhoseperformanceintheworkisotherwiseconsideredbytheDepartmenttobe
undesirableorunsatisfactory,andsuchpersonshallnotbeagainemployedupontheproject
withoutthewrittenpermissionoftheDepartment.
Section5.20.2ContractorshallpromptlycorrectworkrejectedbyDepartmentforfailing
toconformtotherequirementsoftheScopeofWorkoranyapproveddesigndocumentor
applicablelaworregulationswhetherobservedbeforeoraftertheproject'scompletionand
whetherornotfabricated,installedorcompleted,andshallcorrectanyworkfoundtobenotin
accordancewiththerequirementswithinaperiodofone(1)yearfromthedateofFinalCompletion
orbytermsofanapplicablespecialwarrantyrequiredbytheTaskOrderAgreement.
Section5.20.3Ifduringtheguaranteeorwarrantyperiod,anymaterial,equipmentor
systemrequirescorrectiveWorkbecauseofdefectsinmaterialsorworkmanship,Contractorshall
commencecorrectiveworkwithinforty-eight(48)hoursafterreceivingthenoticeandwork
diligentlyuntilcorrectiveworkiscompleted;provided,however,ifsuchnoticeisreceivedonthe
daybeforeaweekendoraholiday,Contractorwillcommencecorrectiveworkonthenextbusiness
day.IfContractordoesnot,inaccordancewiththetermsandprovisionsoftheContract
Documents,commenceallcorrectiveworkwithinforty-eight(48)hoursorifContractor
commencessuchworkbutdoesnotpursueitinanexpeditiousmanner,Departmentmayeither
notifythebondingcompany(ifany)tohavesuchworkand/orobligationsperformedatno
additionalcosttoDepartmentormayperformsuchWorkand/orobligationsandchargethecosts
thereof to Contractor.
Section5.21 Manufacturers’Warranties.
Section5.21.1TheContractorwarrantsthatallmanufacturers’orotherwarrantiesonall
labor,materials,andequipmentfurnishedbyContractororaSubcontractororsuppliershallrun
directlytoorwillbespecificallyassignedtoDepartmentondemandoruponProjectcompletion
withoutdemand.Intheeventanyissueordefectwhichwouldbecoveredbyanywarrantyarises
butisnotaddressedbythegrantorofthewarranty,theContractorshallberequiredtoactasthe
‘guarantoroftheobligationsunderthewarrantyandtoperformunderthetermsofthewarranty.
Section5.21.2The Contractorwarrantsthattheinstallationofallmaterialsand equipment

shallbe instrictaccordancewiththemanufacturers’requirementsorspecifications.
Section5.22Close-OutandTraining.TheContractorshallalsoprovidetheDepartment
withacompletesetofitsProjectfiles,including,butnotlimitedto,shopdrawings,product
manuals,warranties,etc.,preparedbytheContractororitssubcontractorsalongwithanyother
documentationthatmayreasonablyberequestedbytheDepartmentoritsProgramManagerand/or
ProjectManager,atcloseoutsoastoassisttheDepartmentinoperatingthebuilding.Inaddition,
iftheProjectincludesworkonheatingorcoolingsystems,atthebeginningofthefirstheatingand
coolingseasonfollowingtumoveroftheProject,theContractorshallbeavailabletoassistwith
‘andtrainthebuildingengineersandstaffinthestart-upofthebuildingsystemsforthenewweather
cycle.
Section5.23ScheduleUpdate.TheContractorshallsubmitbi-weeklyscheduleupdates
whichshallreflectactualconditionsofProjectprogressasofthedateoftheupdate.Theupdate
shallreflecttheactualprogressofconstruction,identifydevelopingdelays,regardlessoftheir
cause,andreflecttheContractor'sbestprojectionoftheactualdatebywhichSubstantial
CompletionandFinalCompletionoftheProjectwillbeachieved.Viaanarrativestatement(not
merelyacriticalpathmethodschedule),theContractorshallidentifythecausesofanypotential
delayandstatewhat,intheContractor'sjudgment,mustbedonetoavoidorreducethatdelay.The
Contractorshallpointout,initsnarrative,changesthathaveoccurredsincethelastupdate,
includingthoserelatedtomajorchangesinthescopeofwork,activitiesmodifiedsincethelast
update,revisedprojectionsofdurations,progress,andcompletion,revisionstotheschedulelogic
forassumptions,andotherrelevantchanges.Anysignificantvariancefromthepreviousschedule
orupdateshallalsobeidentifiedinanarrative,togetherwiththereasonsforthevarianceandits
impactonProjectcompletion.AllscheduleupdatesshallbeinPrimavera6 format.The
DepartmentmaymakereasonablerequestsduringtheProjectforchangestotheformatorfor
furtherexplanationofinformationprovided.SubmissionofupdatesshowingthatSubstantial
CompletionorFinalCompletionoftheProjectwillbeachievedlaterthantheapplicablescheduled
completiondateshallnotconstituterequestsforextensionoftimeandshallnotoperatetochange
thescheduledcompletiondate.TheDepartment’sreceiptof,andlackofobjectionto,anyschedule
updateshowingSubstantialCompletionorFinalCompletionlaterthanthedatesagreeduponin
theProjectScheduleshallnotberegardedastheDepartment'sagreementthattheContractormay
haveanextensionoftime,orasawaiverofanyoftheDepartment’srights,butmerelyasthe
Contractor’srepresentationthat,asamatteroffact,SubstantialCompletionorFinalCompletion
oftheProjectmaynotbecompletedbytheagreedupondateintheProjectSchedule.Changesto
thescheduledcompletiondatesmaybemadeonlyinthecircumstancesandonlybythemethods
setforthintheTaskOrderAgreement.
Section5.24Acceleration.SubjecttothetermsofthisSection,theDepartmentshallhave
therighttodirecttheContractortoacceleratetheworkif,inthereasonablejudgmentof
Department,theContractorfailsto:(i)supplyasufficiencyofworkersortodeliverthematerials
orequipmentwithsuchpromptnessastopreventthedelayintheprogressofthework;or(ii)the
progressoftheworkmateriallyfallsbehindtheprojectionscontainedinthethencurrently
approvedProjectSchedule.IntheeventthattheDepartmentoritsProgramManagerdetermine
thatcitheroftheeventsspecifiedintheprecedingsentencehaveoccurred,theDepartmentshall
providetheContractorwithwrittennoticeofsucheventandtheContractorshallberequiredto
providetheDepartmentwithacorrectiveactionplanthatisreasonablydesignedtoaddressthe
Concernsraisedinsuchnoticewithinthree(3)daysafterreceiptofsuchnotice.IftheDepartment
‘andtheContractorareunabletoagreeonthetermsofsuchcorrectiveactionplanwithinfive(5)
calendardaysaftertheissuanceofthenotice(ie.,withinforty-eight(48)hoursafterthereceiptof
theproposedcorrectiveactionplan),theDepartmentshallhavetherighttodirectsuchacceleration

SUBSTANTIAL AND FINAL COMPLETION/CLAIMS FOR ADDITIONAL TIME
Section6.1TimeisoftheessenceofthisAgreement.
Section6.2TheContractorshallsubstantiallycompleteaprojectnolaterthanthedate
identifiedineachTaskOrder(“SubstantialCompletionDate”).Forpurposesofthisrequirement,
theterm“SubstantiallyComplete”shallmeanthatallofthefollowinghaveoccurred:(1)the
‘Workhasbeencompletedwithonlyminorpunchlistitemsremainingtobecompleted;(2)any
andallrequiredpermitsorapprovalsrelatedtotheWorkhavebeenobtained;(3)alloperatingand
‘maintenancemanuals,trainingvideotapesandwarrantiesrequiredbytheContracthavebeen
deliveredtotheDepartment;(4)anysupplementaltrainingsessionrequiredbyeachTaskOrder
foroperatingormaintenancepersonnelhavebeencompleted;(5)allclean-uprequiredbyeach
TaskOrderhasbeencompleted;and(6)theprojectisreadyfortheDepartmenttouseitforits
intendedpurpose.“Minorpunchlistitems”aredefinedforthispurposeasitemsthat,inthe
aggregate,canbecompletedwithinthirty(30)dayswithoutinterferingwiththeDepartment's
normaluseoftheProject.FinalCompletionshallmeanthepointatwhichSubstantialCompletion
hasbeenachieved,allpunchlistitemsnotedatSubstantialCompletionhavebeencompleted,and
alldocumentstheContractorisrequiredtodelivertotheDepartmentasaconditiontoreceiving
finalpaymenthavebeenreceived.The“Work”isdefinedastheconstructionandservicesrequired
bytheContract,whethercompletedorpartiallycompleted,andincludesallotherlabor,materials,
equipment,andservicesprovidedortobeprovidedbytheContractortofulfilltheContractor’s
obligations.TheWorkmayconstitutethewholeorapartoftheproject.FinalCompletionDateis,
30daysfromtheSubstantialCompletionDateorasdefinedineachindividualTaskOrder
Agreement.
Section6.3.TheContractorwillperformtheworksothatitshallachieveSubstantial
CompletionbytheSubstantialCompletionDate.UnlessthefailuretoachieveSubstantial
CompletionbytheSubstantialCompletionDateisaresultofanExcusableDelay,asdefinedin
Section6.3,thedelayshallbedeemedNon-Excusable,andtheContractorshallnotbeentitledto
anextensionoftheSubstantialCompletionDateorforfurthercompensation.Withoutlimitingthe
generalityoftheforegoing,delaysforthefollowingreasonsshallberegardedasNon-ExcusableandshallnotentitletheContractortoanextensionoftime:
(1)_ Delaysdueto job sitelabordisputes,work stoppages,or suspensionsof the Work;
(2) Delaysduetoadverseweather,unlesstheContractorestablishesthattheadverse
weatherwasofanatureanddurationinexcessofaveragesestablishedbydatafrom.

PAYMENT PROVISIONS
Section7.1Compensation.TheContractorshallbepaiditscompensationinaseriesof
progresspaymentsandafinalpayment.ProgresspaymentsshallbebasedonaScheduleofValues
thatisagreeduponbytheParties,aswellastheProjectManagerand/ortheProgramManager's
good-faithestimateofthelevelofcompletionforeachcomponentoftheScheduleofValues.
Section7.2ScheduleofValues.TheContractorshallprepareaScheduleofValuesthat
breaksdowntheTaskOrderPriceforthevariouspartsoftheWork.TheScheduleofValuesshall
bbemaintainedinsuchamannertoprovideabreakdownoftheTaskOrderPriceinenoughdetail
tofacilitatecontinuedevaluationofapplicationsforpaymentandprogressreports.Large
subcontractsshallbebrokenintoseverallineitemswhere,intheopinionoftheProjectManager
and/ortheProgramManager,suchdetailisnecessarytoproperlytracktheprogressoftheWork.
TheproposedscheduleofvaluesshallalsoincludeseparatelineitemsforeachpartoftheWorkif
sorequiredbytheProjectManagerand/ortheProgramManager.TheContractorandtheProject
Managerand/ortheProgramManagershallmeetasnecessarytomaintainthescheduleofvalues
fortheProjectinamanneracceptabletotheProjectManagerand/ortheProgramManager.No
progresspaymentsshallbemadeunlessthethen-currentScheduleofValuesisacceptabletothe
ProjectManagerand/ortheProgramManager.
Section7.3Retention.TheDepartmentshallwithholdfromeachprogresspaymentan
amountequaltotenpercent(10%)ofeachprogresspayment.OnceSubstantialCompletionhas
occurred,theDepartmentwillreducetheretentionbeingwithheldtoanamountthatisequalto
TwoHundredpercent(200%)oftheProgramManager'sgoodfaithestimateoftheremaining
Work.
Section7.4DocumentsRequiredwithApplicationforPayment.EachApplicationfor
PaymentshallbeaccompaniedbytheContractor'sjobcostledgersinaformsatisfactorytothe
Department,theSubcontractors’andSuppliers’ApplicationsforPaymentonAIADocuments
G702 and G703 or otherformacceptabletotheDepartment,and suchothersupporting
documentationastheDepartmentmayreasonablyrequest.
Section7.5TimelyPaymentofSubcontractors.Withinseven(7)daysofreceivingany
paymentfromtheDepartmentincludingamountsattributabletoWorkperformed,ormaterialsor
equipmentsupplied,bya Subcontractororsupplier,theContractorshalleitherpaythe
SubcontractororsupplierforitsproportionateshareoftheamountpaidtotheContractorforthe
Subcontractor’sorsupplier’sWorkormaterialsorequipment,ornotifytheDepartmentandthe
Subcontractororsupplier,inwriting,oftheContractor’sintentiontowithholdallorpartofthe
paymentandstatethereasonforthewithholding.AllmoniespaidtotheContractorunderthe
‘AgreementshallbeusedfirsttopayamountsduetoSubcontractorsorsupplierssupplyinglabor
ormaterialsfortheProjectandonlymoneyremainingaftersuchpaymentsaremademaybe
retainedbytheContractor.Moniespaidbyjointcheckshallbedeemedtohavebeenpaidfullyto
theSubcontractororsuppliernamedasajointpayee,unlesstheDepartmentagreesotherwisein
writing.AnyinterestpaidtoSubcontractorsorsuppliersbecausetheContractorhasfailedtopay

Section7.6 Lien Waivers. Each ApplicationforPayment shallbe accompanied by

Section7.7Submission.Onthetwenty-fifth(25")dayofeachmonth,theContractor

Section7.8RighttoWithholdPayments.TheDepartmentwillnotifytheContractor
withinfifteen(15)daysafterreceivinganyApplicationforPaymentofanydefectinthe
‘ApplicationforPaymentortheContractor’sperformance,whichmayresultintheDepartment's
decliningtopayallorapartoftherequestedamount.TheDepartmentmay withholdpayment
fromtheContractor,inwholeorinpart,asappropriate,if:
1.TheWorkisdefective,andsuchdefectshavenotbeenremedied;or
2.TheDepartmenthasdeterminedthattheContractor'sprogresshasfallenbehindthe
ProjectSchedule,andtheContractorfails,withinten(10)calendardaysoftheDepartment'swrittendemand,toprovidetheDepartmentwitha realisticand
acceptableplantorecoverthedelays;or
3.TheContractorhasfailedtopaySubcontractorsorsupplierspromptlyorhasmade
falseorinaccuratecertificationsthatpaymentstoSubcontractorsorsuppliersaredue
orhavebeenmade;or4.Anymechanic'slienhasbeenfiledagainsttheDepartment,thesiteoranyportion
thereoforinteresttherein,oranyimprovementsonthesite,eventhoughthe
DepartmenthaspaidallundisputedamountsduetotheContractor,andthe
Contractor,uponnotice,hasfailedtoremovethelien,bybondingitofforotherwise,
withinten(10)calendardays;or5.TheContractorisotherwiseinsubstantialbreachofthisAgreement.
Section7.9PaymentNotAcceptance.Paymentofanyprogresspaymentorfinal
paymentshallnotconstituteacceptanceofWorkthatisdefectiveorotherwisefailstoconformto
theAgreement,orawaiverofanyrightsorremediestheDepartmentmayhavewithrespectto

LIQUIDATED DAMAGES
Section 10.1 If the Contractorfailsto achieve SubstantialCompletion by the Substantial

MISCELLANEOUS PROVISIONS
Section14.1ExtentofContract,TheAgreement,whichincludesthisContractandthe
otherdocumentsincorporatedhereinbyreference,representstheentireandintegratedagreement
betweentheDepartmentandContractorandsupersedesallpriornegotiations,representations,or
agreements,eitherwrittenororal.TheAgreementmaybeamendedonlybyawritteninstrument
signedbyboththeDepartmentandContractor.AllofthedocumentscomprisingtheAgreement
shouldbereadascomplementary,sothatwhatiscalledforbyoneiscalledforbyall.Ambiguities
shallbeconstruedinfavorofabroaderscopeofwork,astheintentoftheAgreementis,with
specificidentifiedexceptions,torequiretheContractortoassumeentireresponsibilityforthe
Project.IfthereisanyinconsistencyamongthedocumentscomprisingtheAgreement,theorder
ofprecedenceamongthemisasfollows,withthefirstlisteddocumenthavingthehighestpriority:
theAgreementanditsModifications;ChangeOrdersandExhibits(anyChangeOrderissuedand
executedbytheDepartmentshallsupersedethoseportionsofearlierdatedcontractdocumentsto
whichitpertains);TaskOrdersandExhibits;StandardContractProvisions(anymissingtermin
theAgreement,however,shallbeaddressedinaccordancewiththeStandardContractProvisions);
Contractor'sOffer/AwardForm;andSectionsA &B oftheRFQ.
Section14.2OwnershipandUseofDocuments,Thedrawings,specifications,andother
documentspreparedbytheContractor’sarchitect/engineer,andcopiesthereoffurnishedtothe
Contractor,areforusesolelywithrespecttotheTaskOrderproject.Theyarenottobeusedby
theContractor,Subcontractors,Sub-subcontractors,orsuppliersonotherprojects,otforadditions
totheTaskOrderprojectoutsidetheTaskOrderScopeoftheWork,withoutthespecificwritten
consentoftheDepartmentandthearchitect/engineer.
Section14.3GoverningLaw.TheContractshallbegovernedbyandconstruedin
accordancewiththelawsoftheDistrictofColumbia,withoutregardtoitsconflictoflaws
principles.
Section 14.4 Buy American Act Provision. The Contractor shall comply with the
provisionsoftheBuyAmericanAct(41U.S.C.§§8301-8305),including,butnotlimitedto,the
purchaseofsteel.Totheextentthatthelanguageinthissectioncontradictsthelanguageunder
Article24ofTheDepartmentStandardContractProvisionsforConstructionContracts(Exhibit
‘Al)regardingcompliancewiththeBuyAmericanAct,thelanguageinthissectionshould
supersede.
Section14.4.1InaccordancewiththeBuyAmericanAct(41U.S.C.§§8301-8305),and
ExecutiveOrder10582,December17,1954(3CFR,1954-58Comp.,p.230),asamendedby
Executive Order 11051, September 27, 1962 (3 CFR, 1059—63 Comp., p. 635), the Contractor
agreesthatonlydomesticconstructionmaterialwillbeusedbytheContractor,subcontractors,
‘materialmenandsuppliersintheperformanceoftheAgreement,exceptfornon-domesticmaterial
listedintheAgreement.
“Components”asusedinthisSection,meansthosearticles,materials,andsupplies
incorporateddirectlyintotheendproducts.“Domesticendproduct”,asusedinthisSection,means(1)anunmanufacturedend
productminedorproducedintheUnitedStates,or(2)anendproductmanufacturedintheUnited
States,ifthecostofitscomponentsmined,produced,ormanufacturedintheUnitedStatesexceeds
65percentofthecostofallitscomponents.Foranendproductthatconsistswhollyor

predominantlyof ironor steelor a combinationof both,thecostof foreignironand steelmust
constitutelessthan5 percentofthecostofall thecomponents used intheend product.
‘Componentsofforeign originofthe same classorkindastheproductsshalllbe treated
asdomestic.Scrapgenerated,collected,andpreparedforprocessingintheUnitedStatesis
considereddomestic.
“EndProducts”,asusedinthisSection,meansthosearticles,materials,andsupplies
tobeacquiredforpublicuseunderthisContract.
‘TheContractorshalldeliveronlydomesticendproducts,exceptthose:
1. ForuseoutsidetheUnitedStates;
2. ThattheDistrictdeterminesarenotmined,produced,ormanufacturedintheUnited
Statesinsufficientandreasonablyavailablecommercialquantitiesofa satisfactoryquality;
3. ForwhichtheDistrictdeterminesthatdomesticpreferencewouldbeinconsistentwith
thepublicinterest;or
4, Forwhich theDistrictdeterminesthecosttobe unreasonable.
Section 14.4.2 Domestic Construction Material. “Constructionmaterial” means
anyarticle,material,orsupplybroughttotheconstructionsiteforincorporationinthebuildingor
work,Anunmanufacturedconstructionmaterialisa“domesticconstructionmaterial”ifithasbeen
minedorproducedintheUnitedStates.A manufacturedconstructionmaterialisa“domestic
constructionmaterial”ifithasbeenmanufacturedintheUnitedStatesandifthecostofits
componentswhichhavebeenmined,produced,ormanufacturedintheUnitedStatesexceeds65
percentofthecostofallitscomponents.“Component”meansanyarticle,material,orsupply
directlyincorporatedinconstructionmaterial.Iftheconstructionmaterialconsistswhollyor
predominantlyofironorsteel,theironorsteelwasproducedintheUnitedStates;or,for
constructionmaterialthatconsistswhollyorpredominantlyofironorsteeloracombinationofboth,
aconstructionmaterialmanufacturedintheUnitedStatesifthecostofforeignironandsteel
constituteslessthan5percentofthecostofallthecomponentsusedinsuchconstructionmaterial.
Section14.4.3DomesticComponent,Acomponentshallbeconsideredtohavebeen
“mined,produced,ormanufacturedintheUnitedStates”regardlessofitssource,infact,ifthe
article,material,orsupplyinwhichitisincorporatedwasmanufacturedintheUnitedStatesand
thecomponentisofaclassorkinddeterminedbytheGovernmenttobenotmined,producedor
‘manufacturedintheUnitedStatesinsufficientandreasonablyavailablecommercialquantitiesand
ofsatisfactoryquality.
Section 14.4.4Foreign Construction Material.“Foreignconstructionmaterial”
means a constructionmaterialotherthana domesticconstructionmaterial.
Section14.5Davis-Bacon Act Provision.The ContractoragreesthattheWork performed
undertheproposedTask Order shallbe subjecttotheDavis Bacon Wage DeterminationService
Act assetforthinExhibitF1andTitle 29 Codeof FederalRegulations(“CFR”),5.5DavisBacon
ProvisionassetforthinExhibitF2 ineffectatthetimeoftheTaskOrderexecutionby the
Department.

Section14.6.1Except as describedinSection14.6.8below,theContractorshallcomply
withTitleIofthe Way toWork Amendment Act of2006,effectiveJune 8,2006 (DC Law 16-118,
DC OfficialCode §2-220.01etseq.)("LivingWage Act of2006"),forcontractsforservicesinthe
amountof $100,000ormore ina 12-monthperiod (ExhibitD).
Section14.6.2TheContractorshallpayitsemployeesandsubcontractorswhoperform
servicesundertheContractnolessthanthecurrentlivingwage.
Section14.6.3TheContractorshallincludeinanysubcontractfor$15,000ormorea
provisionrequiringthesubcontractortopayitsemployeeswhoperformservicesundertheContract
nolessthanthecurrentlivingwagerate.
Section14.6.4The DOES may adjustthelivingwage annually,and theContractorwillfind
thecurrentlivingwage rateon itswebsiteatwww.does.de.gov.
Section14.6.5TheContractorshallprovideacopyoftheFactSheetattachedasExhibitD
toeachemployeeandsubcontractorwhoperformsservicesundertheContract.TheContractorshall
alsoposttheNoticeattachedasExhibitD inaconspicuousplaceinitsplaceofbusiness.The
Contractorshallincludeinanysubcontractfor$15,000ormorea provisionrequiringthe
subcontractortoposttheNoticeinaconspicuousplaceinitsplaceofbusiness.
Section14.6.6TheContractorshallmaintainitspayrollrecordsundertheContractinthe
regularcourseofbusinessforaperiodofatleastthree(3)yearsfromthepayrolldateandshall
includethisrequirementinitssubcontractsfor$15,000ormoreundertheContract.
Section14.6.7ThepaymentofwagesrequiredundertheLivingWageActof2006shallbe
consistentwithandsubjecttotheprovisionsofDC OfficialCode§32-1301etseq.
Section14.6.8TherequirementsoftheLivingWageActof2006donotapplyto:
(1) ContractsorotherAgreementsthataresubjecttohigherwageleveldeterminations
requiredbyfederallaw;
(2) Existingandfuturecollectivebargainingagreements,providedthatthefuture
collectivebargainingagreementresultsintheemployeebeingpaidnolessthanthe
establishedlivingwage;
(3)— Contractsfor electricity,telephone,water,sewer or otherservicesprovidedby a
regulatedutility;
(4) Contractsforservicesneededimmediatelytopreventorrespondtoadisasteror
imminentthreattopublichealthorsafetydeclaredbytheMayor;
(5) Contractsorotheragreementsthatprovidetraineeswithadditionalservicesincluding,
butnotlimitedto,casemanagementandjobreadinessservices;providedthatthe

Section14.6.9TheMayormayexemptacontractorfromtherequirementsoftheLiving
WageActof2006,subjecttotheapprovalofCouncil,inaccordancewiththeprovisionsofSection
109oftheLivingWageActof2006.
Section14.7Reserved.
Section 14.8 False Claims Act. The Contractorshallbe governed by alllaws and
regulationsprohibitingfalseor fraudulentstatementsand claims made to the government,
includingtheprescriptionssetforthinDistrictofColumbia Code § 2-381.02.
Section14.9NoThird-PartyBeneficiaryRights.NothinginthisAgreementshallbe
construedascreatingthird-partybeneficiaryrightsinanypersonorentity,exceptasotherwise
expresslyprovidedinthisAgreement.
Section14.10Reserved.
Section14.11BindingEffect:Assignment,TheAgreementshallinuretothebenefitof,
andbebindinguponandenforceableby,thepartiesandtheirrespectivesuccessorsandpermitted
assigns.TheContractorshallnotassignitsrightsundertheAgreement,includingtherighttoall
oraportionofitscompensation,withouttheDepartment'spriorwrittenconsent.Anydelegation
orassignmentmadecontrarytotheprovisionsofthisParagraphshallbenullandvoid.
Section14.12Survival.AllwarrantiesandrepresentationsoftheContractorcontainedin
theContractorinanycertificateordocumentfurnishedpursuanttotheAgreementshallsurvive
terminationorexpirationoftheAgreement.
Section14.13NoWaiver.IftheDepartmentwaivesanypower,right,orremedyarising
fromtheContractoranyapplicablelaw,thewaivershallnotbedeemedtobeawaiverofthe
power,right,orremedyonthelaterrecurrenceofanysimilarevents.Noact,delay,orcourseof

conductbytheDepartmentshallbedeemedtoconstitutetheDepartment'swaiver,whichmaybe
effectedonlybyanexpresswrittenwaiversignedbytheDepartment.
Section14.14RemediesCumulative.Unlessspecificallyprovidedtothecontraryinthe
Agreement,allremediessetforthintheAgreementarecumulativeandnotexclusiveofanyother
remedytheDepartmentmayhave,including,withoutlimitation,atlaworinequity.The
Department'srightsandremedieswillbeexercisedatitssolediscretionandshallnotberegarded
asconferringanyobligationontheDepartmenttoexercisethoserightsorremediesforthebenefitof
theContractororanyotherpersonorentity.
Section14.15EntireAgreement;Modification,TheAgreementsupersedesall
contemporaneousorpriornegotiations,representations,courseofdealing,oragreements,either
writtenororal.NomodificationstotheAgreementshallbeeffectiveunlessmadeinwriting,signed
byboththeDepartmentandtheContractor,unlessotherwiseexpresslyprovidedtothecontraryin
theContract.
Section14.16Severability.Intheeventanyoneormoreoftheprovisionscontainedin
thisAgreementshallforanyreasonbeheldtobeinvalid,illegalorunenforceableinanyrespect,
suchinvalidity,illegalityorunenforceabilityshallnotaffectanyotherprovisionofthisAgreement,
andinlieuofeachsuchinvalid,illegalorunenforceableprovision,thereshallbeadded
automaticallyasapartofthisAgreementaprovisionassimilarintermstosuchinvalid,illegalor
unenforceableprovisionasmaybepossibleandbevalid,legalandenforceable;eachpartofthis
‘Agreementisintendedtobeseverable.
Section14.17Anti-DeficiencyAct.TheDepartment'sobligationsandresponsibilities
underthetermsoftheContractandtheContractDocumentsareandshallremainsubjecttothe
provisionsof(i)thefederalAnti-DeficiencyAct,31U.S.C.§§1341,1342,1349,1350,1351,(i)
theD.C.Code47-105,(iii)theDistrictofColumbiaAnti-DeficiencyAct,D.C.Code§§47-355.01
=355.08,astheforegoingstatutesmaybeamendedfromtimetotime,and(iv)Section446ofthe
DistrictofColumbiaHomeRuleAct.NeithertheContractnoranyoftheContractDocuments
shallconstituteanindebtednessoftheDepartment,norshallitconstituteanobligationforwhich
theDepartmentisobligatedtolevyorpledgeanyformoftaxation,orforwhichtheDepartment
hasleviedorpledgedanyformoftaxation.INACCORDANCEWITH§446OFTHEHOME
RULE ACT, D.C. CODE § 1-204.46, NO DISTRICT OF COLUMBIA OFFICIAL IS
AUTHORIZED TO OBLIGATE OR EXPEND ANY AMOUNT UNDER THE
CONTRACT OR CONTRACT DOCUMENTS UNLESSSUCH AMOUNT HAS BEEN
APPROVED, IS LAWFULLY AVAILABLE, AND APPROPRIATED BY ACT OF
CONGRESS.
Section14.18TerminationforDefault,TheDepartmentmayterminatetheAgreement
fordefaultiftheContractorfailstoperformanyofitsdutiesorobligationsundertheAgreement.
TheDepartmentmustprovidetheContractorwithwrittennoticeofitsintenttoterminatethe
‘Agreementunderthisprovisionseven(7)daysbeforeactuallyputtingtheterminationintoeffect.
IftheContractorhasbegunitscurativeactionandhasmadeprogresssatisfactorytothe
Departmentwithinthesevendays,theDepartmentmaysonotifytheContractor,andthe
terminationwillnottakeeffect.Otherwise,theterminationshalltakeeffectwithoutfurthernotice
oropportunitytocure.
Section14.19 Termination forConvenience. The Departmentmay, upon seven(7)days’
writtennoticeto the Contractor,terminatethe Agreement in whole or specifiedpart,for its
convenience,whethertheContractorisinbreachoftheContractornot.The noticeoftermination

shallstatethe effectivedate of termination,the extentof the termination,and any specific
instructions.TheContractorshallbeentitledtoreceiveonlythefollowingwithrespecttothe
terminatedportionof theProject:(1)Cost ofWork performedup to thedateoftermination;(2)
reasonablecostsofterminatingoutstandingsubcontractsand supplyagreementsand othersimilar
wind-upcostsinareasonableamount;(3)afairandreasonableportionoftheoverheadandprofit
attributabletotheWorkperformedontheterminatedportionoftheProject,uptothetimeof
termination.Intheeventofa terminationforconvenience,theContractorshallnotbe entitledto
profiton unperformedelementsoftheWork.
Section14.20 Anti-CompetitivePracticesandAnti-Kickback Provisions.
Section14.20.1TheContractorrecognizestheneedformarketstooperatecompetitively
andshallobserveandshallcomplywithallapplicablelaw,rules,andregulationsprohibitinganti-
competitivepractices.TheContractorshallnotengage,directlyorindirectly,incollusionorother
anti-competitivepracticesthatreduceoreliminatecompetitionorrestraintrade.TheDepartment
shallreporttotheappropriateauthorityanyactivitythatevidencesaviolationoftheantitrustlaws
andtakesuchotherfurtheractiontowhichitisentitledorobligatedunderthelaw.
Section14.20.2TheContractorshallobserveandcomplywithallapplicablelaw,rules,
andregulationsprohibitingkickbacksand,withoutlimitingtheforegoing,theContractorshallnot
(i)provideorattempttoprovideoroffertoprovideanykickback;(ii)solicit,accept,orattemptto
acceptanykickback;or(iii)include,directlyorindirectly,theamountofanykickbackinthe
contractpricechargedbyContractororaSubcontractoroftheContractortotheDepartment.The
Contractorshallhaveinplaceandfollowreasonableproceduresdesignedtopreventanddetect
possibleviolationsdescribedinthissubparagraphinitsownoperationsanddirectbusiness
relationships,TheDepartmentmaytakeanyrecourseavailabletoitunderthelawforviolations
ofthisanti-kickbackprovision.
Section14.20.3TheContractorrepresentsandwarrantsthatitdidnot,directlyor
indireetly,engageinanycollusiveorotheranti-competitivebehaviorinconnectionwiththebid,
negotiation,orawardoftheAgreement.
Section14.21EthicalStandardsfortheDepartment’sEmployeesand Former
Employees.
Section14.21.1TheDepartmentexpectstheContractortoobservethehighestethical
standardsandtocomplywithallapplicablelaw,rules,andregulationsgoverningethicalconduct
orconflictsofinterest.NeithertheContractor,noranypersonassociatedwiththeContractor,shall
provide(orseekreimbursementfor)anygift,gratuity,favor,entertainment,loanorotherthingof
valuetoanyemployeeoftheDistrictortheDepartmentnotinconformitywithapplicablelaw,rules
orregulations.TheContractorshallnotengagetheservicesofanypersonorpersonsinthe
employmentoftheDepartmentortheDistrictforanyWorkrequired,contemplatedorperformed
undertheAgreement.TheContractormaynotassigntoanyformerDepartmentorDistrict
employeeoragentwhohasjoinedtheContractor’sfirmanymatteronwhichtheformeremployee,
whileintheemployoftheDepartment,hadmaterialorsubstantialinvolvementinthematter.The
ContractormayrequestawaivertopermittheassignmentofsuchmatterstoformerDepartment
personnelonacase-by-casebasis.TheContractorshallincludeineverysubcontractaprovision
substantiallysimilartothisSectionsothatsuchprovisionsshallbebindinguponeach
Subcontractoror vendor.

Section14.22Gratuitiesand OfficersNot To BenefitProvisions.
Section14.22.1Ifitisfound,afternoticeand hearing,by theDepartmentthatgratuities
(intheformofentertainment,gifts,payment,offersofemploymentorotherwise)wereofferedor
givenbytheContractor,oranyagentorrepresentativeoftheContractor,toanyofficial,employee
oragentoftheDepartmentortheDistrictwithaviewtowardsecuringtheAgreementoranyother
contractorsecuringfavorabletreatmentwithrespecttotheawardingoramending,orthemaking
ofanydeterminationswithrespecttotheperformanceof theAgreement,theDepartmentmay,by
writtennoticeto the Contractor,terminatethe rightof the Contractorto proceed under the
Agreementandmaypursuesuchotherrightsandremediesprovidedbylawandunderthe
Agreement.
Section14.22.2IntheeventtheAgreement isterminatedasprovidedinSection14.21.1,
theDepartmentshallbe entitled:
4. topursuethesame remediesagainsttheContractorasitcouldpursueintheevent
ofa breachof the Agreement by theContractor;and
2. _asapenaltyinadditiontoanyotherdamagestowhichitmaybeentitledbylaw,to
exemplarydamagesinanamount(asdeterminedbytheDepartment)whichshall
benotlessthantentimesthecostsincurredbytheContractorinprovidinganysuch
gratuitiestoanysuchofficeroremployee.
Section14.22.3Nomemberof,nordelegatetoCongress,MayororCityCouncilMember,
norofficernoremployeeoftheDistrict,norofficernoremployeeoftheDepartmentshallbe
admittedtoanyshareorpartoftheAgreementortoanybenefitthatmayarisetherefrom,andall
agreementsenteredintobytheauthorizedrepresentativeoftheDepartmentinwhichheorany
officeroremployeeoftheDepartmentshallbepersonallyinterestedaswellasallagreements
madebytheDepartmentinwhichtheMayororCityCouncilMemberorofficeroremployeeof
theDisirictshallbepersonallyinterestedshallbevoidandnopaymentsshallbemadeonanysuch
contractsbytheDepartmentorbyanyofficerthereof;butthisprovisionshallnotbeconstruedor
extendtotheagreementiftheshareoforbenefittothememberof,ordelegatetoCongress,Mayor
orCityCouncilMember,orofficeroremployeeoftheDistrictisdeminimis.
Section14.23Covenant AgainstContingent FeesProvisions.
Section14.23.1TheContractorwarrantsthatnopersonorsellingagencyhasbeen
employedorretainedtosolicitorsecuretheAgreementuponanagreementorunderstandingfora
Commission,percentage,brokerage,orcontingentfee,exceptingbonafideemployeesorbona
fideestablishedcommercialorsellingagenciesmaintainedbytheContractorforthepurposeof
securingbusiness.Forbreachorviolationofthiswarranty,theDepartmentshallhavetherightto
terminatetheContractwithoutliabilityor,initsdiscretion,todeductfromthecontractpriceor
consideration,orotherwiserecover,thefullamountoftheDepartment'spercentage,brokerage,or
contingentfee.
Section14.24ConformancewithLaws.ItshallbetheresponsibilityoftheContractor
toperformtheContractinconformancewiththeDepartment’sProcurementRegulations(27
DCMR §4700etseq.)andallstatutes,laws,codes,ordinances,regulations,rules,requirements
andordersofgovernmentalbodies,including,withoutlimitation,theU.S.Governmentandthe
DistrictofColumbiagovernment;anditisthesoleresponsibilityoftheContractortodetermine
theProcurementRegulations,statutes,laws,codes,ordinances,regulations,rules,requirements

andordersthatapplyandtheireffectontheContractor'sobligationsthereunder.ThisSection
14.24shallapplyduringboththeDesignandpreconstructionphaseandtheConstructionphase,
Section14.25RetentionofRecords:Inspectionsand Audits.
Section14.25.1TheContractorshallmaintainbooks,records,documents,andother
evidencedirectlypertinenttoperformanceundertheContractinaccordancewithgenerally
acceptedprofessionalpracticeandappropriateaccountingproceduresandpracticesconsistently
appliedineffectonthedateofexecutionoftheContract.
Section14.25.2TheContractorshallalsomaintainthefinancialinformationanddataused
inthepreparationandsupportofthecostingandcostsummarysubmittedtotheDepartmentand
therequiredcostsubmissionsineffectonthedateofexecutionoftheDepartment.
Section14.25.3TheDepartment,theDistrictofColumbiagovernment,theComptroller
GeneraloftheUnitedStates,theU.S.DepartmentofLabor,andanyoftheirauthorized
representativesshallhaveaccesstothebooks,records,documents,andotherevidenceheld,owned
frmaintainedbytheContractorforthepurposeofinspection,auditandcopyingduringnormal
businesshoursanduponadvancewrittennoticetotheContractor.TheContractorshallprovide
properfacilitiesforsuchaccessandinspection.
Section14.25.4TheContractoragreestoincludethewordingofthisSection14.25inall
itssubcontractsinexcessofFiveThousandDollars($5,000.00)thatdirectlyrelatetoProject
performance.
Section14.25.5AuditsconductedpursuanttothisSectionwillbeinaccordancewith
generallyacceptedauditingstandards,withtheresultspreparedinaccordancewithgenerally
acceptedaccountingprinciplesandestablishedproceduresandguidelinesoftheapplicable
reviewingorauditagency.
Section14.25.6TheContractoragreestothedisclosureofallinformationandreports,
resultingfromaccesstorecords,toanyauthorizedrepresentativeoftheDepartment.Wherethe
auditconcemstheContractor,theauditingagencywillaffordtheContractoranopportunityforan
auditexitconferenceandanopportunitytocommentonthepertinentportionsofthedraftaudit
report.Thefinalauditreportwillincludethewrittencomments,ifany,oftheauditedparties.
Section1425.7TheContractorshallpreserveallrecordsdescribedhereinfromthe
effectivedateoftheContractcompletionandforaperiodofseven(7)yearsafterafinalsettlement.
Inaddition,thoserecordswhichrelatetoanydispute,appealorlitigation,orthesettlementof
claimsarisingoutofsuchperformance,orcostsoritemstowhichanauditexceptionhasbeen
taken,shallbemaintainedandmadeavailableuntilseven(7)yearsafterthedateofresolutionof
suchdispute,appeal,litigation,claim,orexception.
Section14.26Warranties and Representations
Section14.26.1Alldisclosures,representations,warranties,andcertificationsthe
ContractormakesinitsproposalinresponsetotheRFQ shallremainbindingandineffect
throughoutthetermoftheContract.TheContractorreaffirmsthatallsuchdisclosures,
representations,warranties,andcertificationsaretrueandcorrect.

Section14.27ResponsibilityforAgentsandContractors.Atalltimesandduringboth
thepreconstructionandConstructionphases,theContractorshallberesponsibletotheDepartment
foranyandallactsandomissionsoftheContractor'sagents,employees,Subcontractors,Sub-
Subcontractors,materialsuppliers,andlaborers,andtheagentsandemployeesofthe
Subcontractors,Sub-Subcontractors,materialsuppliers,andlaborersperformingorsupplying
WorkinconnectionwiththeProject.ThisSection14.27shallapplyduringboththe
preconstructionandconstructionphases.
Section14.28 IndependentContractor.Incarryingoutallitsobligationsunder
theContract,theContractorshallbeactingasanindependentcontractor,andnotasanemployee
oragentoftheDepartment,orjointventurerorpartnerwiththeDepartment.TheContractorshall
haveexclusiveauthoritytomanage,direct,andcontroltheWork,andshallberesponsibleforall
constructionmeans,methods,techniques,sequences,andprocedures,aswellasforProjectsafety.
Section14.29 ‘Non-Discriminationin EmploymentProvisions.
Section14.29.1DistrictofColumbiaHumanRightsAct
a.TheContractorshallnotdiscriminateinanymanneragainstanyemployeeorapplicantfor
employmentthatwouldconstituteaviolationoftheDistrictofColumbiaHumanRightsAct,
effectiveDecember13,1977,asamended(D.C.Law2-38;D.C.OfficialCode§2-1401.01
etseq.)(“Act”,asusedinthisclause).TheContractorshallincludeasimilarclauseinall
subcontracts,exceptsubcontractsforstandardcommercialsuppliesorrawmaterials.In
addition,theContractoragrees,andanysubcontractorshallagree,topostinconspicuous
placesavailabletoemployeesandapplicantsforemployment,anoticesettingforththe
provisionsofthisnon-discriminationclauseasprovidedinSection251oftheAct.
b. Pursuant to Mayor’s Order 85-85 (6/10/85),Mayor’s Order 2002-175 (10/23/02),Mayor's
Order2011-155(9/9/11),andtherulesoftheOfficeofHumanRights,Chapter11ofTitle
4oftheD.C.MunicipalRegulations,thefollowingclausesapplytotheAgreement:
1.TheContractorshallnotdiscriminateagainstanyemployeeorapplicantfor
employmentbecauseofrace,color,religion,nationalorigin,sex,age,maritalstatus,
personalappearance,sexualorientation,familyresponsibilities,matriculation,political
affiliation,orphysicalhandicap.
2,‘TheContractoragreestotakeaffirmativeactiontoensurethatapplicantsareemployed,
andthatemployeesaretreatedduringemployment,withoutregardtotheirrace,color,
religion,nationalorigin,sex,age,maritalstatus,personalappearance,sexual
orientation,familyresponsibilities,matriculation,politicalaffiliation,orphysical
handicap.Theaffirmativeactionshallinclude,butnotbelimitedto,thefollowing:
i, Employment,upgrading,ortransfer;

agreestopostinconspicuousplaces,availabletoemployeesandapplicantsfor
employment,noticestobeprovidedbytheDepartmentsettingforththeprovisionsof
paragraphs1and2 ofSection14.29.1(b)ofthisAgreement,concemingnon-
discriminationandaffirmativeaction.
4.TheContractorshall,inallsolicitationsoradvertisementsforemployeesplaced
byoronbehalfoftheContractor,statethatallqualifiedapplicantswillreceive
considerationforemploymentpursuanttothenon-discriminationrequirements
setforthinSection14.29.1.
5.TheContractoragreestosendtoeachlaborunionorrepresentativeofworkerswith
whichithasacollectivebargainingagreement,orothercontractorunderstanding,a
noticetobeprovidedbytheDepartment,advisingeachlaborunionorworkers’
representativeof the Contractor’scommitments under thisSection 14.29.1,andshall
postcopiesofthenoticeinconspicuousplacesavailabletoemployeesandapplicants
foremployment.
6.TheContractoragreestopermitaccessbytheDepartmenttoallbooks,records,and
accountspertainingtoitsemploymentpracticesforpurposesofinvestigationto
ascertaincompliancewiththisSection14.29.1,andtorequire,undertermsofany
subcontractoragreement,eachsubcontractortopermitaccessofthesubcontractors,
books,records,andaccountsforsuchpurposes.
7.‘TheContractorshallincludeineverysubcontractthisSection14.29.1,sothatsuch
provisionsshallbebindinguponeachsubcontractororvendor.
8.TheContractorshalltakesuchactionwithrespecttoanysubcontractastheCO may
directasameansofenforcingtheseprovisions,includingsanctionsfornoncompliance;
provided,however,thatintheeventtheContractorbecomesinvolvedin,oris
threatenedwith,litigationwith a subcontractoror vendor asa resultof such direction
bytheDepartment,theContractormayrequesttheDistricttoenterintosuchlitigation
toprotecttheinterestoftheDistrict.
Section14.29.2PregnantWorkersFairness
a.TheContractorshallcomplywiththeProtectingPregnantWorkersFaimessActof
2016,D.C.OfficialCode§32-1231.01etseg.(PPWFAct).
b.TheContractorshallnot:
1.Refusetomakereasonableaccommodationstotheknownlimitationsrelatedto
pregnancy,childbirth,relatedmedicalconditions,orbreastfeedingforanemployee,
unlesstheContractorcandemonstratethattheaccommodationwouldimposean
unduehardship;
2,Takeanadverseactionagainstanemployeewhorequestsorusesareasonable
accommodationinregardtotheemployee'sconditionsotprivilegesofemployment,
includingfailingtoreinstatetheemployeewhentheneedforreasonable

accommodationsceasestotheemployee'soriginaljobortoanequivalentposition
withequivalent:

Section14,29.3Unemployed Anti-Discrimination
‘a.The Contractorshallcomply withtheUnemployed Anti-DiscriminationAct of2012,
D.C. OfficialCode § 32-1361 etseg.(“Anti-DiscriminationAct”).
b. The Contractorshallnot:
1._ Failorrefusetoconsiderforemployment,orfailorrefusetohire,anindividualas
anemployeebecauseoftheindividual'sstatusasunemployed;or

Section14.30TheQuickPaymentAct
Section14.30.1InterestPenaltiestoContractors
Section14.30.1.1TheDistrictwillpayinterestpenaltiesonamountsduetotheContractor
undertheQuickPaymentAct,D.C.OfficialCode§2-221.01etseq.,asamended,fortheperiod
beginningonthedayaftertherequiredpaymentdateandendingonthedateonwhichpaymentof
theamountismade,Interestshallbecalculatedattherateof1%permonth.Nointerestpenaltyshall
bepaidifpaymentforthecompleteddeliveryoftheitemofpropertyorserviceismadeonorbefore
therequiredpaymentdate.Therequiredpaymentdateshallbe:
a,ThedateonwhichpaymentisdueunderthetermsoftheContract;
b.Notlaterthan7calendardays,excludinglegalholidays,afterthedateofdeliveryofmeat
ormeatfoodproducts;
c.Notlaterthan10calendardays,excludinglegalholidays,afterthedateofdeliveryofa
perishableagriculturalcommodity;or
4.30calendardays,excludinglegalholidays,afterreceiptofaproperinvoicefortheamount
ofthepaymentdue,ifaspecificdateonwhichpaymentisdueisnotestablishedby
contract;
Section14.30.1.2Anyamountofan interestpenalty,whichremainsunpaidattheendofany
30-dayperiod,shallbeaddedtotheprincipalamountofthedebt,andthereafterinterestpenalties
shallaccrueontheaddedamount.
Section 14.30.13 No interestpenaltyshallbe due to the Contractorifpayment forthe
completeddeliveryofgoodsor servicesismade on orafter:
a.3"dayaftertherequiredpaymentdateformeatorameatfoodproduct;
b.5"dayaftertherequiredpaymentdateforanagriculturalcommodity;or
c.15 dayafteranyotherrequiredpaymentdateinthecaseofanyotheritem.
Section14.30.2Payments toSubcontractors
Section14.30.2.1TheContractormusttakeoneofthefollowingactionswithinseven(7)
daysofreceiptofanyamountpaidtotheContractorbytheDistrictforworkperformedbyany
subcontractorunderthiscontract:

a.Paythesubcontractorfortheproportionateshareofthetotalpaymentreceivedfrom
theDistrictthatisattributabletothesubcontractorforworkperformedunderthe
Contract;or
b.NotifytheContractingOfficerandthesubcontractor,inwriting,oftheContractor’s
intentiontowithholdallorpartofthesubcontractor’spaymentandstatethereason
forthenonpayment.
Section14.30.2.2TheContractormustpayanysubcontractororsupplierinterestpenalties
‘onamountsduetothesubcontractororsupplierbeginningonthedayafterthepaymentisdueand
endingonthedateonwhichthepaymentismade.Interestshallbecalculatedattherateof1%per
month,Nointerestpenaltyshallbepaidonthefollowingifpaymentforthecompleteddeliveryof
theitemofpropertyorserviceismadeonorbefore:
a.The3rddayaftertherequiredpaymentdateformeatorameatproduct;
b.TheSthdayaftertherequiredpaymentdateforanagriculturalcommodity;or
c.The15thdayaftertherequiredpaymentdateforanyotheritem.
Section14.30.2.3Any amount ofan interestpenaltywhichremainsunpaidby theContractor
attheendof any 30-dayperiodshallbe addedtotheprincipalamountofthe debttothesubcontractor
and thereafterinterestpenaltiesshallaccrueon theadded amount.
Section14.30.2.4A disputebetweentheContractorandsubcontractorrelatingtothe
amountsorentitlementofasubcontractortoapaymentoralatepaymentinterestpenaltyunderthe
QuickPaymentActdoesnotconstituteadisputetowhichtheDistrictofColumbiaisaparty.The
Districtmaynotbeinterpleadedinanyjudicialoradministrativeproceedinginvolvingsucha
dispute.
Section14.30.3Subcontractor Quick PaymentCl: Flow-Down Requirements
Section14.30.3.1TheContractorshallincludeineachsubcontractunderthisContracta
provisionrequiringthesubcontractortoincludeinitscontractwithanylower-tiersubcontractoror
supplierthepaymentandinterestclausesrequiredunderparagraphs(1)and(2)ofD.C.OfficialCode
§2-221.02(d).
Section14.31ConfidentialityofInformation,TheContractorshallkeepallinformation
relatingtoanyemployeeorcustomeroftheDistrictinabsoluteconfidenceandshallnotusethe
informationinconnectionwithanyothermatters;norshallitdiscloseanysuchinformationtoany
otherperson,firm,orcorporation,inaccordancewiththeDistrictandfederallawsgoverningthe
confidentialityofrecords.InthecourseoftheContractor’sperformanceofthework,theDepartment
maymakeavailabletotheContractorinformationthattheDepartmentdesignatesastradesecretsor
otherconfidentialengineering,technical,andbusinessinformation.Aslongas,andtotheextent
that,suchinformationremainsconfidentialandavailabletoothersonlywiththeconsentofthe
Department,orisnotgenerallyavailabletothepublicfromothersources,theContractorshall
maintainsuchinformationinstrictconfidenceandshallnotdiscloseanysuchinformationtoothers
(includingitsemployeesorsubcontractors),excepttotheextentnecessarytoenabletheContractor
tocarryouttheprojects.TheContractorshallsimilarlyobligateanyandallpersonstowhomsuch
informationisnecessarilydisclosedtomaintaintheinformationinstrictconfidence.TheContractor
agreesthat,intheeventofanybreachofthisconfidentialityobligation,theDepartmentshallbe
entitledtoequitablerelief,includinginjunctiverelieforspecificperformance,inadditiontoallother
rightsorremediesotherwiseavailable.

Section14.32Freedom ofInformationAct (“FOIA’
‘TheDistrictof Columbia Freedomof InformationAct,atD.C. OfficialCode §2-532 (a-3),requires
theDistricttomake availableforinspectionand copyingany recordproducedor collectedpursuant
to a Districtcontractwitha privatecontractortoperforma publicfunction,tothesame extentasif
therecordwere maintainedby theagency on whosebehalfthe contractismade. IftheContractor
receivesa requestforsuch information,theContractorshallimmediatelysendtherequesttothePM
designatedineachTask Order Agreement,who willprovidetherequesttotheFOIA Officerforthe
agency withprogrammaticresponsibilityinaccordancewith theD.C. Freedom of InformationAct.
Iftheagencywithprogrammaticresponsibilityreceivesarequestforarecordmaintainedbythe
ContractorpursuanttotheContract,thePM willforwardacopytotheContractor.Ineitherevent,
theContractorisrequiredby law toprovideallresponsiverecordstothePM withinthetimeframe
designatedby the PM. The FOIA Officerforthe agency with programmatic responsibilitywill
determinethereleasabilityoftherecords.The DistrictwillreimbursetheContractorforthecostsof
searchingandcopyingtherecordsinaccordancewithD.C.OfficialCode§2-532andChapter4 of
Title1oftheD.C.MunicipalRegulations.
Section14.33Americans with DisabilitiesAct Of 1990 (“ADA’
DuringtheperformanceunderthisAgreement,theContractorandanyofitssubcontractorsshall
complywiththeADA.TheADAmakesitunlawfultodiscriminateinemploymentagainstaqualified
individualwithadisability.See42U.S.C.§12101etseq.
Section14.34ContractsinExcess of One MillionDollars
‘Anycontractinexcessof$1,000,000.00shallnotbebindingorgiverisetoanyclaimordemand
againsttheDistrictuntilapprovedbytheCounciloftheDistrictofColumbiaandsignedbythe
ContractingOfficer.
Section14.35MediaReleases.NeithertheContractor,itsemployees,agents,or
subcontractors,noritsmaterialsuppliersshallmakeanypressreleaseorsimilarmediareleaserelated
toanyprojectunlesssuchpressreleasehasbeendiscussedwiththeDepartmentpriortoitsissuance,
Section14.36ProhibitionAgainstContractor’sPerformance_of_Inherently
Governmental Functions
PursuanttoD.C.OfficialCode§ 2-352.05a,theContractorshallnotperformanyinherently
governmentalfunction.Aninherentlygovernmentalfunctioninvolves,amongotherthings,the
interpretationandexecutionofthelawsoftheDistrietto:(1)BindtheDistricttotakeornottotake
someactionbycontract,policy,regulation,authorization,order,orotherwise;(2)Appoint,direct,or
controlofficialsoremployeesoftheDistrict;(3)Exertultimatecontrolovertheacquisition,use,or
dispositionoftheproperty,realorpersonal,tangibleorintangible,oftheDistrict,includingthe
control,ordisbursementof,appropriatedandotherDistrictfunds;(4)Withrespecttocontractsto
procuregoodsorservicesfortheDistrict:(A)Determinewhatsuppliesorservicesaretobeacquired
bytheDistrict,andatwhatprices;provided,thattheMayorortheMayor'sdesigneemaygivea
contractorauthoritytoacquiresuppliesfortheDistrictatpriceswithinspecifiedrangesandsubject
tootherreasonableconditionsconsideredappropriate;(B)Participateasavotingmemberonany
