IN THE COUNCIL OF THE DISTRICT OF COLUMBIA

February 4, 2025

To declare the existence of an emergency with respect to the need to approve Contract No.
CW117574 with Compost Crew, Inc. A Benefit Corporation, and to authorize payment
for the goods and services received and to be received under the contract.

RESOLVED, BY THE COUNCIL OF THE DISTRICT OF COLUMBIA, That this
resolution may be cited as the “Contract No. CW117574 with Compost Crew, Inc. A Benefit
Corporation Approval and Payment Authorization Emergency Declaration Resolution of 2025”.

Sec. 2. (a) There exists an immediate need to approve Contract No. CW117574 with
Compost Crew, Inc. A Benefit Corporation and to authorize payment for the goods and services
received and to be received under the contract.
(b) On July 19, 2024, the Office of Contracting and Procurement (“OCP”), on behalf of
the Department of Public Works, awarded a letter contract, Contract No. CW117574 with
Compost Crew, Inc. A Benefit Corporation, to support organic waste collection from residential
households in the District for the period from July 19, 2024, through November 19, 2024, in the
not-to-exceed amount of $1 million.
(c) Modification No. 1 to the letter contract modified the price schedule of the contract
but did not increase the price.
(d) Modification No. 2 to the letter contract extended the period of performance through
December 18, 2024, at no additional cost.
(e) Modification No. 3 to the letter contract extended the period of performance through
January 15, 2025, at no additional cost.
(f) Modification No. 4 to the letter contract extended the period of performance through
January 31, 2025, and increased the not-to-exceed amount of the letter contract to $1,560,274.
(g) OCP now desires to definitize the contract for the period from July 19, 2024, through
July 18, 2025, in the not-to-exceed amount of $4,122,574.
(h) The Council intends that performance under the contract be authorized
notwithstanding the provisions of the Procurement Practices Reform Act of 2010, effective April
8, 2011 (D.C. Law 18-371; D.C. Official Code § 2-351.01 et seq.), or any other law or order,
including provisions that would otherwise authorize protests at, or other reviews by, the Contract
Appeals Board.

(i) Under section 451(b)(1) of the District of Columbia Home Rule Act, approved
December 24, 1973 (87 Stat. 803; D.C. Official Code § 1-204.51(b)(1)), Council approval is
necessary because the value of the contract is more than $1 million during a 12-month period.
(j) Council approval is necessary to allow the continuation of these important services.
Without Council approval, Compost Crew, Inc. A Benefit Corporation cannot be paid for goods
and services provided in excess of $1 million for the period from July 19, 2024, through July 18,
2025.

Sec. 3. The Council determines that the circumstances enumerated in section 2 constitute
emergency circumstances making it necessary that the Contract No. CW117574 with Compost
Crew, Inc. A Benefit Corporation Approval and Payment Authorization Emergency Act of 2025
be adopted after a single reading.

Sec. 4. This resolution shall take effect immediately.
