A RESOLUTION

IN THE COUNCIL OF THE DISTRICT OF COLUMBIA

June 3, 2025

To declare the existence of an emergency with respect to the need to approve Modification Nos.
M009, M0010, and M0011 and proposed Modification No. M0012 to Contract No.
CW96234 with Umbrella Therapeutic Services, Inc., and to authorize payment for the
goods and services received and to be received under the contract.

RESOLVED, BY THE COUNCIL OF THE DISTRICT OF COLUMBIA, That this
resolution may be cited as the “Modification Nos. M009, M0010, M0011, and M0012 to
Contract No. CW96234 with Umbrella Therapeutic Services, Inc. Approval and Payment
Authorization Emergency Declaration Resolution of 2025”.

Sec. 2. (a) There exists an immediate need to approve Modification Nos. M009, M0010,
and M0011, and proposed Modification No. M0012 to Contract No. CW96234 with Umbrella
Therapeutic Services, Inc. to provide pre- and post-transitional care home services to District
youth, and to authorize payment for the goods and services received and to be received under the
contract.
(b) On March 5, 2025, by Modification No. M009, the Office of Contracting and
Procurement, on behalf of the Department of Youth Rehabilitation Services, exercised a partial
option of option year 3 in the not-to-exceed amount of $325,085.40.
(c) Modification No. M0010 exercised another partial option at no additional cost.
(d) Modification No. M0011 exercised another partial option and increased the not-to-
exceed amount by $303,413.04, to a total not-to-exceed amount of $628,498.44.
(e) Proposed Modification No. M0012 would exercise the remainder of option year 3 and
increase the not-to-exceed amount by $2,008,305.36, to a total not-to-exceed amount of
$2,636,803.80.
(f) Council approval is necessary because the modifications will increase the value of the
contract to more than $1 million during a 12-month period.
(g) Council approval is necessary to allow the continuation of these vital services.
Without Council approval, Umbrella Therapeutic Services, Inc. cannot be paid for goods and
services provided in excess of $1 million for the period from March 17, 2025, through March 16,
2026.

Sec. 3. The Council of the District of Columbia determines that the circumstances
enumerated in section 2 constitute emergency circumstances making it necessary that the
Modification Nos. M009, M0010, M0011, and M0012 to Contract No. CW96234 with Umbrella
Therapeutic Services, Inc. Approval and Payment Authorization Emergency Act of 2025 be
adopted after a single reading.

Sec. 4. This resolution shall take effect immediately.
