1 AN ACT
2 To amend and reenact R.S. 12:407(B), relative to the adopting, amending, or repealing of
3 bylaws of an electric cooperative; to provide for bylaws by the board of directors; to
4 provide for bylaws by the members; and to provide for related matters.
5 Be it enacted by the Legislature of Louisiana:
6 Section 1. R.S. 12:407(B) is hereby amended and reenacted to read as follows:
7 §407. Bylaws

9 B. Bylaws may be adopted, amended, or repealed by the members. or Unless
10 otherwise provided in the bylaws, bylaws may be adopted, amended, or repealed by
11 the board of directors. However, only the members may amend the bylaws when the
12 amendment concerns the dissolution of the cooperative or the sale, lease, or other
13 disposition or encumbrance of all or any substantial portion of property belonging
14 to the cooperative. The board of directors shall not adopt any bylaws in conflict with
15 the provisions of R.S. 12:414, 418, or 421.
