A CONCURRENT RESOLUTION
To authorize and request the Louisiana State Law Institute to study the use and application
of the term "foreign" in state law as it pertains to banking institutions, pipeline
operations and other critical infrastructure, and juridical persons generally, and to
report its findings and make specific recommendations for legislation to the
Legislature of Louisiana prior to the convening of the 2027 Regular Session.
WHEREAS, the laws of this state frequently employ the term "foreign" to describe
corporations, limited liability companies, financial institutions, and other juridical persons
organized in jurisdictions outside of this state; and
WHEREAS, the use of the term "foreign" appears throughout various titles of the
Louisiana Revised Statutes and Codes, including but not limited to provisions governing
banking, commerce, corporate law, and pipeline operations and other critical infrastructure;
and
WHEREAS, the meaning, scope, and implications of the term "foreign" may vary
depending on the context in which it is used, potentially leading to inconsistencies in
interpretation and application; and
WHEREAS, such inconsistencies may have significant legal, regulatory, and
economic consequences for businesses operating in this state, as well as state citizens; and
WHEREAS, a comprehensive review of the use and application of the term "foreign"
in state law would assist the legislature in determining whether clarification, modernization,
or standardization of terminology is warranted; and
WHEREAS, the Louisiana State Law Institute is uniquely qualified to conduct such
a study and to provide recommendations based on thorough legal research and analysis.
THEREFORE, BE IT RESOLVED that the Legislature of Louisiana does hereby
authorize and request the Louisiana State Law Institute to study the use and application of
the term "foreign" in state law as it pertains to banking institutions, pipeline operations and

other critical infrastructure, and juridical persons generally, and to report its findings and
make specific recommendations for legislation to the Legislature of Louisiana prior to the
convening of the 2027 Regular Session.
BE IT FURTHER RESOLVED that in conducting this study, the Louisiana State
Law Institute may consider, including but not limited to, the following:
(1) The historical origins and evolution of the term "foreign" in Louisiana statutes
and jurisprudence.
(2) Variations in the definition and application of the term across different areas of
law.
(3) The legal and practical effects of usage with respect to regulated industries and
juridical persons.
(4) The extent to which entities from countries considered "foreign adversaries" of
the United States might appropriately be specifically defined and differentiated from other
international entities.
(5) Whether alternative terminology or standardized definitions would improve
clarity and consistency.
BE IT FURTHER RESOLVED that the Louisiana State Law Institute shall submit
one print copy and one electronic copy of any report produced pursuant to this Resolution
to the David R. Poynter Legislative Research Library as required by R.S. 24:772.
BE IT FURTHER RESOLVED that a copy of this Resolution be transmitted to the
director of the Louisiana State Law Institute.
