Corporations and Associations – Principal Offices – Private Mailboxes 2

FOR the purpose of authorizing an address in this State supplied by a commercial mail 3
receiving agency to be designated as the principal office of a Maryland corporation, 4
limited liability company, limited liability partnership, or limited partnership, under 5
certain circumstances; providing for the disclosure of certain contact information by 6
a commercial mail receiving agency; and generally relating to the principal offices of 7
corporate entities. 8

SECTION 1. BE IT ENACTED BY THE GENERAL ASSEMBLY OF MARYLAND, 16
That the Laws of Maryland read as follows: 17

1–101. 19

(a) In this article, unless the context clearly requires otherwise, the following 20
words have the meanings indicated. 21

(H–1) “COMMERCIAL MAI L RECEIVING AGENCY ” MEANS A PERSON THAT IS 22
AUTHORIZED BY THE U.S. POSTAL SERVICE TO ACCEPT THE DELIVERY OF MAIL ON 23
BEHALF OF ANOTHER PERSON AS A BUSINESS SERVICE. 24

(w) “Principal office” means: 25

(1) The place in this State filed or recorded with the Department as the 26
principal office of a Maryland corporation, limited liability company, limited liability 27
partnership, or limited partnership; [or] 28

(2) SUBJECT TO § 1–407 OF THIS TITLE , AN AN ADDRESS IN THIS 29
STATE SUPPLIED BY A COMMER CIAL MAIL RECEIVING AGENCY WITH WHICH A 30
MARYLAND CORPORATION , LIMITED LIABILITY CO MPANY, LIMITED LIABILITY 31
PARTNERSHIP, OR LIMITED PARTNERSH IP HAS A VALID COMME RCIAL MAIL 32
RECEIVING AGREEMENT IN ACCORDANCE WITH U.S. POSTAL SERVICE 33
REGULATIONS; OR 34

(3) If there is no principal office designated UNDER ITEM (1) OF THIS 1
SUBSECTION OR ADDRESS SUPPLIED UNDER ITEM (2) OF THIS SUBSECTION, the main 2
office of the Maryland corporation, limited liability company, limited liability partnership, 3
or limited partnership in this State for the transaction of business. 4

(A) IN THIS SECTION , “COMMERCIAL MAIL RECE IVING AGENCY” MEANS A 6
PERSON THAT IS AUTHO RIZED BY THE U.S. POSTAL SERVICE TO ACCEPT THE 7
DELIVERY OF MAIL ON BEHALF OF ANOTHER PERSON AS A BUSINESS SERVICE. 8

(B) IF A PERSON DESIGNATE S AN ADDRESS PROVIDE D BY A COMMERCIAL 9
MAIL RECEIVING AGENCY AS A PRINCIPAL OFFICE FOR PURPOSES OF THIS ARTICLE, 10
THE PERSON ACKNOWLEDGES THAT THE MAIL RECEIVING AGENCY SHALL PROVIDE 11
THE CONTACT INFORMATION INCLUDED IN USPS FORM 1583 TO THE DEPARTMENT 12
OR A LAW ENFORCEMENT AGENCY ON REQUEST. 13

SECTION 2. AND BE IT FURTHER ENACTED, That this Act shall take effect 14
October 1, 2026. 15
