An Act
to amend
183.0122 (2) (a) (intro.);
to create
183.0122 (2) (e) of the

statutes;
relating to:
the fee for filing limited liability company articles of

organization with the Department of Financial Institutions.
Analysis by the Legislative Reference Bureau
This bill creates a filing fee exception for youth entrepreneurs who form a limited liability company (LLC).
Current law establishes a fee of $130 for filing LLC articles of organization with the Department of Financial Institutions. However, DFI may not collect this fee if the LLC members or organizers are all student entrepreneurs. A “student entrepreneur” is defined as a student who is at least 18 years of age, enrolled in a postsecondary institution in this state, and an organizer or member of an LLC formed as a business start-up.
The bill creates an additional filing fee exception for youth entrepreneurs. A “youth entrepreneur” is defined as an individual who is at least 12 but less than 18 years of age and who is an organizer of an LLC or will be a member of the LLC upon its formation. Under the bill, DFI may not collect a fee for filing LLC articles of organization if the LLC members or organizers are all youth entrepreneurs.

(e) 1. In this paragraph, “youth entrepreneur” means an

individual who is all of the following:

a. An organizer of a limited liability company or who will be a member of the

limited liability company upon its formation.

b. At least 12 years of age but less than 18 years of age.

2. The department may not collect a fee for filing articles of organization if all

of the following apply:

a. All members of the limited liability company, upon its formation, are youth
