Summary/Major Elements:

In the 2010 legislative
session, Wyoming statutes were updated to reflect the Model Limited Liability
Company Act. This act corrects a missed provision by repealing language
limiting application of the statutes.

The act also clarifies how
appeals may be taken of decisions of the secretary of state rejecting a limited
liability companys application for reinstatement after administrative
dissolution.

Application to existing domestic limited liability companies.

(a)

Except as provided in subsection (b) of this section, t
his chapter applies to domestic limited liability companies in existence on
its effective date

July 1, 2010
that were organized under any general statute of this state providing for organization of limited liability companies
