A BILL FOR AN ACT relating to the Nebraska Uniform Limited Liability1
Company Act; to amend section 21-193, Reissue Revised Statutes of2
Nebraska; to change provisions relating to notice; to require the3
Secretary of State to create a web page for notices; to charge a fee4
for electronic publication of notices; and to repeal the original5
section. 6

Section 1. Section 21-193, Reissue Revised Statutes of Nebraska, is1
amended to read: 2
21-193 (1)(a) (1) Notice of organization, amendment of the3
certificate of organization, merger, conversion, or domestication must4
be: 5
(i) Published published three successive weeks in some legal6
newspaper of general circulation near the designated office of the7
limited liability company; or . 8
(ii) Electronically published on the web page described in9
subsection (2) of this section. 10
(b) A notice of organization must show the information required by11
subsection (b) of section 21-117 to be stated in the certificate of12
organization. 13
(c) A brief resume of any amendment of the certificate of14
organization or of any merger, conversion, or domestication of the15
limited liability company shall be published in the same manner and for16
the same period of time as notice of organization is required to be17
published. 18
(2)(a) The Secretary of State shall establish and maintain an easy-19
to-use and publicly accessible web page on the Secretary of State's20
website for the electronic publication of notices of organization,21
amendment of the certificate of organization, merger, conversion, or22
domestication of limited liability companies. 23
(b) The web page shall allow members of the public to view, search,24
and retrieve published notices at no cost. 25
(c) The Secretary of State shall collect a fee of twenty dollars at26
the time a notice is published on the web page from the publisher. The27
Secretary of State shall retain an amount of such fees sufficient to28
cover the administrative costs incurred by the Secretary of State in29
developing, operating, and maintaining the web page described in this30
subsection. The Secretary of State shall remit the remaining balance of31

the fees to the State Treasurer. The State Treasurer shall credit the1
remaining balance of the fees to the Innovation Hub Cash Fund.2
(d) The Secretary of State may adopt and promulgate rules and3
regulations necessary to carry out this subsection.4
(3) (2) Whenever any limited liability company is voluntarily5
dissolved, notice of the dissolution shall be published as required by6
section 21-150. 7
(4) (3) Proof of publication of any of the notices shall be filed in8
the office of the Secretary of State. In the event any notice described9
in subsection (1) of this section and required to be given pursuant to10
this section is not given, but is subsequently published as described in11
subsection (1) of this section for the required time, and proof of the12
publication thereof is filed in the office of the Secretary of State, the13
acts of the limited liability company prior to, as well as after, such14
publication shall be valid. 15
Sec. 2. Original section 21-193, Reissue Revised Statutes of16
Nebraska, is repealed. 17
